IN THE SUPREME COURT OF FLORIDA

THE FLORIDA BAR,CASE NO. SC16-999

Re: CHIRAG BALVANT

KABRAWALA,

Petitioner.

AFFIDAVIT

STATE OF FLORIDA

COUNTY OF ORANGE

Before me, the undersigned authority, personally appeared Chirag Balvant

Kabrawala viho having been duly sworn deposes and says:

1. I was admitted to The Florida Bar in 2004, and my Florida Bar

number is 709441.

. 2. By Order of the Florida Supreme Court dated July 7, 2016, I was

suspended from the practice of law for a term of 91 days effective August 6, 2016.

While my 91-day suspension period ended on or about November 7, 2016, I will

remain suspended until I am reinstated to practice law in Florida.

3. I am submitting this affidavit in connection with my Petition for

Reinstatement to The Florida Bar filed herewith.

4. Every day, I reflect upon the misconduct that resulted in my

EXHIBIT

D

Page 18: RECEIVED, 03/22/2017 12:28:31 PM, Clerk, Supreme Court · to serve as a State ofFlorida qualified eligibility and referral specialist, was ... Exhibit G -Letter from Mr. Nikesh ...

suspension. I consider what actions I wish I had taken and why, instead, I engaged

in the acts resulting in my misconduct. I fully recognize how serious my actions

were, and I take full responsibility for my acts. I have no ill will or malice toward

any party involved in my discipline and suspension, and I completely understand,

accept, and respect why I was suspended.

5. I genuinely regret that I did not live up to my own high standards for

personal and professional conduct, and in so doing, I hurt and embarrassed myself,

my wife and family, my clients and colleagues, and the legal profession.

6. Throughout my suspension, I considered what efforts I can take to

apologize for, and to "remedy" the misdeeds I performed, and just as importantly,

how I can demonstrate to the Bar, the community, my family, and my colleagues,

that I am remorseful for my acts.

7. I met with friends, colleagues in the legal community, mentors, and

trusted community members, to express my shame and guilt, and to apologize for

my acts. In my conversations, I learned that "remorse" is an outward emotional

state that is achieved by the acts I perform as a result of the misconduct. Put

another way, it requires me to answer the question "if I feel so badly about my

acts, then what am I doing about it?"

8. Since my suspension, I have taken substantial efforts to demonstrate

that I have rehabilitated myself and that I am remorseful for my past acts. I have

2

Page 19: RECEIVED, 03/22/2017 12:28:31 PM, Clerk, Supreme Court · to serve as a State ofFlorida qualified eligibility and referral specialist, was ... Exhibit G -Letter from Mr. Nikesh ...

taken every opportunity to become a better person and one who meets the

standards of conduct and professional fitness required by The Florida Bar to

practice law again.

9. I used my absence and suspension from the practice of law to make a

positive impact in the community where I live and work by spending more than

120 hours volunteering in worthwhile charitable, community and humanitarian

organizations, including, (1) as a patient liaison for Shepherd's Hope, a non-profit

that provides free medical services for the underserved and uninsured population;

(2) as a Volunteer Advocate for Children with the Guardian ad Litem program; and

(3) as a construction volunteer for Habitat for Humanity. In particular, I felt that

my service to Shepherd's Hope was so impactful, that I wanted to offer my

assistance in greater ways. During my suspension, I applied to, and was approved

by, the Florida Department of Health to serve as an eligibility and referral

specialist for the State of Florida licensed health care providers. This position

allows me to volunteer in the organization's medical clinics and meet with patients

to understand why they are seeking the services of Shepherd's Hope, and to assist

those patients with completing the documentation needed to be examined by

volunteer medical personnel, including offering translation services (Spanish) for

such documentation.

10. My involvement with these charitable, community and humanitarian

3

Page 20: RECEIVED, 03/22/2017 12:28:31 PM, Clerk, Supreme Court · to serve as a State ofFlorida qualified eligibility and referral specialist, was ... Exhibit G -Letter from Mr. Nikesh ...

organizations helped me develop a greater appreciation for the personal and

professional challenges faced by countless people in my community. I gave each

organization my personal assurances that I will continue to volunteer with them

even after I am reinstated to the Bar, because I recognize that my service can

contribute to the betterment ofmyself, my community, and these organizations and

the persons they serve.

11. In addition to my volunteer services with Shepherd's Hope, Guardian

ad Litem, and Habitat for Humanity, I recognize that my misconduct and

suspension from the practice of law can serve as a cautionary example to students

in law school who are aspiring to practice law. During my suspension, I met with

Professor Benjamin Edwards' professional responsibility class at Barry University

School of Law and spoke about my ethical misconduct, the disciplinary process,

the consequences my conduct and the suspension has left on my career, livelihood,

and the community, and the standards of conduct and professional fitness required

by The Florida Bar to practice law. This experience was incredibly rewarding

because it underscored the vital importance of ethical conduct in the practice of

law, and helped the class and me to develop an immense appreciation for the

privilege of practicing law in the State of Florida. I have asked to visit Professor

Edwards' professional responsibility classes to meet and speak with law students in

future terms as well.

4

Page 21: RECEIVED, 03/22/2017 12:28:31 PM, Clerk, Supreme Court · to serve as a State ofFlorida qualified eligibility and referral specialist, was ... Exhibit G -Letter from Mr. Nikesh ...

12. The term of the suspension also stressed the importance of

rehabilitating myself to the standards of conduct and professional fitness required

by The Florida Bar to practice law. I attended two continuing legal education

seminars hosted by The Florida Bar focusing primarily on ethics, including the

Annual Ethics Update (Course Code 2248), and Practicing with Professionalism

(Course Code 2219). The lectures reinforced to me that the Court is entrusted with

safeguarding the trust the public has for members of The Florida Bar, and that my

acts, resulting in my suspension, breached that trust. During the Annual Ethics

Update lecture, I learned that small (and solo) law-firm practitioners are over-

represented in the disciplinary system because they have little support and

oversight, or often find themselves overwhelmed with work. As a result, I joined

The Florida Bar Solo and Small Firm section to learn more about the unique

challenges faced in that legal setting, and to offer its members lessons I learned

from my misconduct and experience with the disciplinary system. I also

familiarized myself with nearly every attorney discipline case during the past five

years. This exercise helped me develop an immense respect for the disciplinary

system, observe the nature of cases presented, and most importantly, appreciate the

conduct that the Court and The Florida Bar expects from its attorneys and the

repercussions of failing to abide by those standards.

13. I am sincerely repentant for my acts and I pledge to this Court and

The Florida Bar File No. 2015-30,709 (9F)

Dear Honorable Justices,

1. I am submitting this affidavit in support of the Petition for Reinstatement filed by ChiragBalvant Kabrawala with The Florida Bar.

2. I am a member in good standing with The Florida Bar (Bar No. 375527) since myadmission to the Bar in 1983. I also maintain an "AV-Preeminent" rating by theMartindale-Hubbell Peer Review.

3. I am a shareholder with the Zimmerman Kiser Sutcliffe P.A. law finn in Orlando, Florida, and I practice law in the areas of transactional real estate (commercial and multi-family),real estate finance, zoning, land use, general corporate, business and creditors' rights.

4. I have known the Petitioner, Chirag Balvant Kabrawala, both professionally and personally, for nearly four (4) years.

5. I first dealt with Mr, Kabrawala in 2012 during his association with the law firm of BakerHostetler LLP in Orlando, Florida. Mr. Kabrawala and the Baker Hostetler law firm wereengaged by a client in connection with the acquisition and financing of a hotel property andmy law firm and I represented the lender in that transaction.

6. During the past four years, I have continued to interact with Chirag Kabrawala onnumerous occasions - both as a fellow attorney - through his representation of purchasers,

7. In all my dealings with Chirag, I have found him not only to be competent, but also aperson with good moral character and integrity.

9. I am well aware of Mr. Kabrawala's suspension from the practice of law, including thefacts and circumstances that resulted in his suspension; prior to the commencement of hissuspension, he asked to meet with me, as a friend and colleague, to discuss his conduct andacts that resulted in his suspension.

10. Chirag did not offer any excuses for his mistakes that resulted in his suspension; rather, heassumed all responsibility and accepted the consequences of his actions and I believe thatChirag has learned from his misconduct and the repercussions that followed.

11. I observed that Chirag has suffered both personal and professional humiliation and he isextremely ashamed of his conduct and of the damage he caused to his family, his clients, and the profession, in general, and his legal community, in particular.

12. Chirag used his suspension term to devote time to volunteer activities, including the Habitatfor Humanity of Greater Orlando organization, where he spent significant time performingmanual labor in community revitalization and homebuilding projects in Orlando, Florida ( Iconfirmed this with my oldest daughter who is an attorney in Orlando and also served as theChairman of the Board for Habitat the last 3 years).

13. I am also aware that, as a means of rehabilitation, Chirag recently met with a professionalresponsibility class at the Barry Law School in Orlando, Florida, to offer details about hissuspension, the effect it has had on his personal and professional life, and to hopefullyprevent future lawyers from committing similar mistakes.

14. I believe the likelihood of any further transgressions by Mr. Kabrawala regarding anyinfraction insofar as his Florida Bar license are concerned will not occur again.

15. I strongly recommend that Chirag Kabrawala be readmitted to The Florida Bar as hecertainly merits this reinstatement.

16. I hope that this Court will allow Chirag Balvant Kabrawala to be readmitted to practice andI know that he will be a positive asset to The Florida Bar and will again be a viable andcompetent attorney in the Orlando, Florida community.

EXHIBITRE: Affidavit of Character for Chirag Balvant Kabrawala )

G

Dear Sirs and Madams,

I have been advised that Chirag Balvant Kabrawala filed a Petition for Reinstatement to the FloddaBar. I hope the Bar will accept this letter as my professional and personal recommendation that Mr.Kabrawala be reinstated to practice law in Florida as a member of the Florida Bar, and hope that the Barrecognizes the extensive interaction I have had with Mr. Kabrawala as a fdend, conMante, and mostimportandy, as my attorney, in connection with my legal needs. I am a member of the Orlando, Floridacommunity and am employed as a real estate developer.

I have known Mr. Kabrawala for neady 10 years - since 2007 - having first met him while he wasassociatedwith the Latham, Shuker law firm. My initial interaction with Mr. Kabrawalawas that ofopposingcounsel: he and the Latham, Shuker firm were representing the seller in a commercial real estate transactionwhere my company and I were the buyer-parties (and we were represented by my own counsel). Thetransaction was very complicated but was ultimatelyclosed primarily due to Mr. Kabrawala's diligent efforts.During that single engagement, Mr. Kabrawala proved to be very competent, smart, and capable, and Iultimately sought out his services for legal representation on a subsequent transaction that year.

I continued to rely on Chirag as my attorney following his separation from the Latham, Shaker lawfirm, through his association with the Baker & Hostetler law firm, and ultimately as a solo practitioner, andI intend to continue working with Mr. Kabrawala upon his full reinstatement to the Flodda Bar.

In every one of my dealings with Mr. Kabrawala, he has proven to be exceptionally competent, diligent, fair, honest, sincere and trustworthy, and a person ofhigh moral character and integrity. His acumenis an asset to me and his other clients and I routinely recommend Mr. Kabrawala to fåends, colleagues, andeven members ofmy own family in connectionwith our respective legal needs; in fact, I will continue to useand refer Chirag Kabrawala for legal representation upon his reinstatement.

Mr. Kabrawala has been completely forthright about all of circumstances that resulted in hissuspension from the Bar. Mr. Kabrawala first approached me during late February 2015, immediately afterhe learned of the Bar's investigation and grievance, and he shared a copy of the Bar's complaint with me.

During the pendency of the Bar's investigation, and through his suspension term, Mr. Kabrawalaand I regulady met and spoke about the Bar complaint, including the reasons and circumstances why heengaged in the acts described within. I learned about the personal and professional pressures he was facing

Page 31: RECEIVED, 03/22/2017 12:28:31 PM, Clerk, Supreme Court · to serve as a State ofFlorida qualified eligibility and referral specialist, was ... Exhibit G -Letter from Mr. Nikesh ...

Page 2

at or near the time of his actions, however he never tried to minimize or justify those pressures for hismisdeeds. Chicag was very candid about the Bar's allegations and he took full responsibility for the actsdescribed in the complaint; he did not attempt to deny or deflect anything in the complaint, nor did hesuggest any ill will toward the Bar or his former law firm for filing the complaint. I personally know thatMr. Kabrawala met with other clients to inform them of the complaint, investigation, and suspension, andto express his accountability, responsibility, and his sincere remorse for his actions.

Chirag has repeatedly admitted to me the seriousness of his actions, that it is "the worst mistake heever made," that he learned a lot about himself including how to deal with pressures, how to managedeadlines more effectively, and the damage and shame he caused to himself, his clients, his spouse andfamily, his reputation, and his colleagues and clients at the Baker & Hostetler law firm.

I have always admired Chirag for his dedication to charitable / humanitarian efforts. He is one ofthe few people that I know (attorney or non-attorney) who spends as much time and effort in making apositive impact in his community, especially through his involvement with the Shepherd's Hopeorganization. I know that Mr. Kabrawala has made the most of his suspension by devoting significant timeto charitable causes including Habitat for Humanity, Shepherd's Hope, and the Hindu Temple. I know thatChirag will continue to serve his community after his reinstatement.

While I cannot condone the mistakes that Mr. Kabrawala made, it helps me to know and understandthe circumstances surrounding his actions, his complete accountability and responsibility for his actions, andthe lasting effect it has on him. I also know that Chicag has learned from his actions, is remorseful for hisactions, and is humbled and sorrowful.

I respectfully request that the Florida Bar approve Chirag Kabrawala's petition for reinstatementwithout qualification. I firmly believe that Chirag is fully-rehabilitated, that he will never again pose a legalor ethical concern to the Bar, and that he is and will continue to be a credit to the legal profession, his clients, and the community in which he serves.

Please do not hesitate to contact me at any time if you have any concerns or questions, or if I canprovide further support for the petition. Thank you very much for your consideration.

Sincerely

Nikesh Shah, Affiant

Re: Chirag Kabrawala

Dear Mr. Tozian:

I write to provide information about Mr. Chirag Kabrawala. I am a law professor atBarry University Dwayne O. Andreas School ofLaw in Orlando, Florida. On October 24,2016,Mr. Kabrawala came to speak to my Professional Responsibility course. Mr. Kabrawala spokeabout his experience with the disciplinary system and how the disciplinary process had affectedhis life.

The class questioned Mr. Kabrawala at length. In the week before he came, I distributeda copy of the Bar's publicly available consent order. The students reviewed the order and cameto class with a clear understanding ofwhat Mr. Kabrawala did and why the Florida Barsuspended him from practice. My Professional Responsibility class contains approximatelyeighty students, all in their second or third year of law school. They had an engaged andthoughtful discussion about the disciplinary process and its consequences. I did not clear any ofthe student questions in advance or place any restrictions on their ability to ask him questions.

Mr. Kabrawala's appearance made an impact. In many instances, students assume thatthey would never be so foolish as to break the ethics rules. Because they think that only "otherpeople" would do such a thing, they may not internalize that disciplinary sanction could happento them if they break the ethics rules. After Mr. Kabrawala spoke, several ofmy students toldme that his appearance had helped them recognize how seriously the Florida Bar takes the ethicsrules. I believe his appearance made a meaningful impact on them and helped them tounderstand the importance ofthe ethics rules.

To Whom it May Concern:

I am writing to express my unqualified support of Chirag Kabrawala for his re-admission to the· Florida Bar. I offer this recommendation with two uniqueperspectives of Mr. Kabrawala that I believe make me paiticularly qualified to doso.

Since 2013 I have been the President/CEO of Shepherd's llope, Inc. a 501c3nonprofit faith based organization that prdvides access to free health care for theuñinsured at 5 health centers in Orange and Seminole counties. Since 1997, thisiánoyative healthcare model has grown to synchronize and leverage a tightly wovenconsortium of 26 staffmembers 2,200 licensed medical and géneral professionals(operating under.the Florida Department ofHealth's Volunteer Healthcare ProviderProgram), 4 community hospitalisystems (Florida Hospital,'Orlando Health;Nemours Children's Hospital and Central Florida Regional), · 100diagnostic/surgical· providers and 23 multi-faith partners who cumulatively hasprovided 220,000 primary and secondary, care medical visits and services touninsured men, women and children In 2015 alone 41,000 volunteer hours and inkind donations equaled $22,422,557 helping to create a beautiful dentrism that hasShepherd"s Hope regarded natioñally as an exemplary inodel of health caredelivery..

Serviiig.as a member of-the Shepherd's Hope Board of Director since 2011, Mr.. Kabrawala is currently Secretaryofthe Board, a position he obtained by nomination

for a second term by his peer Directors, co-chair of the Governanée.Committee anda rnember of the Executive Committee. It is in these capacities of his servicà that Iwork and interact with hirn on nearly a daily basis. He has been tireless in offeiinghis counsel on critical agéncy concerns ranging from new board memberrecruitment, agency governance concerns and new revenue.development to ourcurrent critical project that has spanned two years - the procurement of land andconstruction of Shepherd's 042Hopes first permanent .facility · that .will co-houseadministration offices and a new health center. I have witnessed firsthand histremendous work ethic,.his unique ability to bring people to ether aròund acommon goal and his expertise to advocate passionately for our mission all for the

Page 38: RECEIVED, 03/22/2017 12:28:31 PM, Clerk, Supreme Court · to serve as a State ofFlorida qualified eligibility and referral specialist, was ... Exhibit G -Letter from Mr. Nikesh ...

benefit'ofthe organization and more imp9rtantly the men, woinen and children who -come to us as patients - seeking hope and-healing. Mr. Kabrawala goes about theseacts quietly, seeking no self-aggrandizementforhimself. In fact, over the p-ast year,

. . in addition to all ofthe other areas of service he commits to foy Shepher l's Hope,he has undertaken to being an active volunteér, nightly coming to a health center

. . branding no board member identification and acting siinply as someone trying to .make a difference in the life ofsomeone suffering.

. The other capacity that I would like to,offer .to support the validity of my .. recommendation of Mr. Kabrawala is. mý own personal involvement with the

Florida Bar and the unique perseliective I have been able to o.btain related to Barmembers and the disiplinary process. Starting in 2003, I· served a threé year term .as a lay member of the Ninth Circuit, Florida Bar Greivence Committée.and thenagain another three year term starting in 2013. In that capacity, I was asked tòrepresent the public as a part of.the.critical review process ofBar members as theywere recommended for review for ethicàl and Bar rules violations. I had occasionto support recommendations for. diversion for members suffering from mentál .illnesses and substance abusé while álso on several instances supporting.votes for

. suspensions and even license revokation. Each case w'as a solmen process I took. seriously as I recognized possible harm to the public may have óccurred. Then, in

2008 my involvment was elevated when1 was.appointed by the Florida SupremeCourt to the Florida Bar's Citizen's Advisiory Committee and served unit!2012. I

. . . had occasion.to encounter cases of egregious actions committed by Bar niembersand witnessed multiple timés public repremands in front of the Florida Bar Boardof Governors. , I developed a profound respect for the Florida Bar's deep

. commitment to protecting the' ethics and integrity of the- legal profession,,it's .members and most importantly the general public who trust and confide.

It is prec.isly because ofmy experiences detailed here that I took seriously the natureofMr. Kabrawala's violation that led to his suspension and the request to serve as .a reference· for his re-admission.· I have no reservation's that the violatioicommitted by Mr. Kabrawala was otheryvise an anomoly in his professional andpersonal coinmitment to acting at all times witlì integrity, honor and trutlifullness. .I have further witnessd his intens'e remorse and his pledge to never again placehimself, any client or member"of the general public in any situation that wouldcause them direct or indirect harm.,I trust and believe completely in his words tothis effect and urge yoù to· do so also as you evaluate whether to grant him re-admission to the Florida Bar. . .. . .

Sincerely, . .

Please accept this as my letter of recommendation that CHIRAG KABRAWALA(hereinafter "Mr. Kabrawala") be reinstated to the Florida Bar.

I have known Mr. Kabrawala for the past two years. It has been my experiencethat he is someone upon whom you could depend. I must admit that I had very littlecontact with him during the time that his trouble occurred. However, I strongly believethat he is a man ofhigh moral character and that his past actions are contrary to his ownexpectations ofhimselfor his true character.

I do believe that he has learned from his mistakes and is very remorseful about hispast misconduct. I feel confident that he has integrity to represent clients if he werereinstated and allowed to practice law in this state.

I fully recommend the reinstated ofMr. Kabrawala license to practice law.

10. I have in the past and will continue to refer clients to Chirag Kabrawala for any help inreal estate transaction legal matters.

11. I highly recommend Chirag Kabrawala for readmission to the Florida Bar without anyhesitation.

Further, I would like to add a longer statement regarding Chirag Kabrawala's character and thelessons this suspension has taught him.

I moved from the State ofCalifornia to Florida to attend Law School at the University ofFloridain 2008. After graduating, I received my firstjob as a prosecutor for the Orange/Osceola CountyState Attorney's Office in Orlando, Florida, in August of2011. I moved to Orlando not knowinga single individual and having few friends. I first met Chirag Kabrawala in August 2012 at afundraising event for Orange County's Property Appraiser. I went to the event by myselfin thehopes ofmeeting other young professionals. At that event, I introduced myselfto Chirag and hewent out ofhis way to introduce me to everyone he knew at the event. Further, he continued toinvite me to additional networking events he was a part of, introduced me to other lawyers in thecommunity, and to his home when he would host social events. His efforts made me feel like Ibelonged in Orlando and allowed me to build a friends network that made Orlando feel likehome. Almost four years later, I can trace almost every one ofmy good friends in the city ofOrlando directly back to Chirag.

While spending time with Chirag, I also was introduced to the social work and communityoutreach that Chirag participates in. Chirag serves on the board ofSheppard's Hope, a non-profitthat provides free primary health care for uninsured individuals in the area. I've seen firsthand thegreat pride he has in the organi7ation and the work he has done for them, whether it was findingcommercial office space for their organization or helping with their real estate transactions.

Chirag is also a fantastic lawyer. Whenever anyone is looking for a real estate transactionlawyer, I proudly provide my clients with his contact information. He has excelled in the hustleand bustle ofthe big law firm and has successfully transitioned into solo practice. I started mylaw firm a few months before Chirag started his firm and I can tell you first hand that Chiragwanted to make sure that every rule and law was complied with before starting his practice. Hehas worked tremendously hard the last two years building his practice and it has been aresounding success.

When he told me about the suspension, I could see the shame and disappointment in his face. Hehad worked hard to build his practice and he realized that this suspension was a permanent stainon his legal reputation. I had lunch with him shortly after the suspension notice and he wasdevastated. He had finally reached a point with his law firm where he had consistent amounts ofwork and was having referrals flow in almost every week. Additionally, he had finally got workfrom one ofthe biggest Indian hotel developers in Orlando, but couldn't accept the work on theircase because ofthe suspension. Having to call every one ofhis clients and tell them that he couldno longer practice law for at least 91 days was both embarrassing and humiliating for him.

Though throughout the process, Chirag has always taken responsibility for his actions. He has

Page 49: RECEIVED, 03/22/2017 12:28:31 PM, Clerk, Supreme Court · to serve as a State ofFlorida qualified eligibility and referral specialist, was ... Exhibit G -Letter from Mr. Nikesh ...

personally told me that he would never do this again and that there is no excuse for what he did. While Chirag will not make any excuses, I knowthat the actions that led to the suspension cameduring a difficult time in his life. Chirag's best friend Brandon had been involved in a near fatalmotorcycle accident and Chirag was constantly flying back and forth across country fromOrlando to Los Angeles to visit his best friend at the hospital after working 60/80 hours a week.Brandon was in a coma for months before finally regaining consciousness and Chirag went tovisit Brandon every month he was in the hospital. I know few others who would make that samesacrifice Chirag made to visit an injured friend. Additionally, Chirag's father was also diagnosedwith cancer that same year and lost his life shortly after. These antidotes are not to make excusesfor Chirag's actions - he refuses to do so every time we talk about it - but to show that Chiragtruly cares about others, the community, and more importantly the clients he works for.

I know that this suspension has been devastating for Chirag's practice and that Chirag is taking itvery seriously. He is eager to get back to practicing law and help clients with their real estateneeds. I hope this afBdavit shows the true and personal side ofChirag Kabrawala. I have gottento know him quite well in the last four years and he is one ofthe few individuals that goes out ofhis way to help individuals in the community. I don't know where I would be ifChirag didn't goout ofhis way back in August of2012 to talk to me at that fundraiser, but my life wastransformed for the better because ofhis kind gesture. And after practicing law for five years, Ican honestly say that the State ofFlorida needs more lawyers like him. I would highlyrecommend Chirag Kabrawala for readmission to the Florida Bar. IfI can be ofany furtherassistance, do not hesitate to contact me.
