Dear Chartwells Team Members,We take our commitment of nourishing students very seriously. Our Chartwells promise of
being the food and nutrition specialist serving the academic community still holds true. Once
again, I am so proud of all that we have accomplished considering what has been put on our
plate in 2012.
If I were to characterize 2012 in a few areas, they would be streamlining our business processes,
building relationships, and preparing for the future. Although it was a challenging year for us,
I believe we stayed focused on our company mantra of “Eat. Learn. Live” and we did it with
a passion for quality. We have come out stronger, more adept and ready for a new year. If you
can’t tell, I am so excited about our future.
Over 30,000 Chartwells associates continued to provide value-added services and continued to
build trust with our customers and clients, all without missing a beat in 2012. We managed to
keep up our very outstanding 98 percent retention rate, serve 2.7 million students per day and
over 400 million meals, operate districts in 36 states, and pull off a stellar sales season compared
to other large competitors. This is a testament to what we are capable of when we work
together as a team and stay focused on our long-term goals.
We have established five priorities to focus on in order to realize our long-term potential, which
include financial controls and management oversight of our internal processes:

• Achieve daily sales outstanding(DSO) targets
• Achieve client budget guarantees
2. Business Development - Retention of existing accounts and gaining new business

5. People - Attract, develop, and retain
We need your help to remain focused on our priorities and to continue to be a valued and

I think it’s very important that our associates see what we have accomplished in this past year –

MAP (Management and Performance) Strategy 2012-2013
Safety, Health and Environment First Above all else, providing a safe environment for our students to dine in and our
associates to work in is the foundation on which we stand. Safe dining centers
and food safety is our obligation to the communities that we serve. Providing our
associates with training, tools and resources they need to perform their job in a
safe fashion is our duty. All of us must remember the Chartwells safety awareness
standard operating procedure: STOP, THINK AND ACT.
Our PeopleInvesting in our people continues to be a focus of our support teams as we
develop tools that will help employees achieve success in their current role, both
professionally and personally, and also develop skills to move to the next level.
MAP 1 - Client Sales and Marketing
Our business is built on strong relationships and mutually
beneficial partnerships with our clients. Our focus will
remain on how to strengthen our relationships with our
current clients, how we can create partnerships with an
expanding client base, and how we can ensure that we
address the specific needs of each client.
MAP 2 - Consumer Sales and MarketingConstant innovation while still leveraging our reputation
to provide superior service to the students we serve will
continue to be the focus of day-to-day operations.
We will enhance our Environments program to build upon
the program’s initial success.
MAP 3 - Cost of FoodUncertain economic times, food cost inflation and
changing USDA regulations have all affected food
costs. Our focus will be on efficiencies in the unit and
developing programs and recipes that allow us to
deliver menus that meet the USDA regulations in the
most cost effective manner.
MAP 4 - Unit Cost
Whether it is a cost that directly affects Chartwells or a
cost that we manage for our clients, our attention must
be on best practices for controlling costs and the effective
use of all resources and money we spend to operate our
businesses. Paying close attention to controlling these
costs while ensuring that our customers’ expectations are
exceeded will be critical to our success.
MAP 5 - Above Unit CostAt the divisional level, we have taken steps to reduce the
expenses in this area while still providing the support and
resources needed. This will be a charge for the year to come
as we examine the support we provide and the impact it has
on the business.

2013 Financial Incentive PlansEligible Unit Manager Incentive Plan / P & L Accounts
Plan objectives and rewards: Designed to reward the account manager for
growing actual PBO year-on-year.
1. Minimum Plan
2013 actual result is less than 2012, but over 2013 plan:
Minimum opportunity is 10% of annual salary.
2. Standard Plan
2013 actual result is 0–9% greater than 2012 actual:
Maximum opportunity is 20% of annual salary.
3. Enhanced Plan
2013 actual result is 9.1% greater than 2012 actual:
Maximum opportunity is 25% of annual salary.
Eligible Unit Manager Incentive Plan / Management Fee Accounts
Plan objectives and rewards: Designed to reward growth in excess of budgeted
PBO up to 10% of base salary. This must be client approved and budgeted in
advance. Your plan documents can be obtained from your district manager.
District Manager and Above Incentive Plan
Plan objectives and rewards:
1. Aligned with Chartwells Key Results Areas, including Net New Business,
price increases, DSO, margin, PBO and Year-on-Year growth, enhances
your bonus opportunity.
2. Reward opportunity is specific to your position.
Full bonus subject to meeting all of the following requirements and applies to all incentive plans listed above: • Chartwells Attributes: Unit Managers need to ensure that they are
purchasing items from the sector Managed Order Guides.
• Adherence to client contract terms is critical to the success of
your operation.
• Must be on the payroll on the date of payment.
Workers’ Compensation Initiative
(Associate Labor must be on Compass
payroll to qualify)
Accounts that achieve no paid claims
will receive an additional payout based
on the associate chart below:
• 0-10 Associates = $250
•11-35Associates= $500
•36-50Associates = $750
•51-100Associates = $1,000
•101-200Associates = $2,500
DISTRICT MANAGER AND ABOVE
If all accounts in the district and/or region
achieve more than 50% improvement of
paid claims’ run rate, year-on-year, the
DM or RVP will earn an additional $2,500
(DM/RDM) / $5,000 (RVP).
This incentive will be tracked by the
finance department and a separate
memo outlining the Workers’
Compensation initiative for DM’s and
above will be sent under a separate cover.

Share Rewards InitiativeCross-Selling Initiatives
Up to $10,000 for any associate or team that plays a significant role in
selling an account.
For referrals above $500K, a one-time payment equal to .5 percent of the annual revenues
of an approved referral up to a maximum payment of $15,000. Payment is contingent upon
reaching a signed contract and will occur the period after the account opens.
For referrals less than $500K, a one-time bonus incentive per account as follows:
• $500 for new vending or OCS contracts generating annual
sales from $10K - $25K.
• $1,500 for new vending or OCS contracts generating annual
sales from $26K - $150K.
• 1% of sales for any vending or OCS contracts generating annual
sales from $151K - $500K up to a maximum one-time payout of $5,000.
Star Quest Associate Referral BonusThis plan is designed to reward current hourly and salaried associates who assist in
recruiting efforts by referring prospective candidates. Upon completion of six months
of service by the new hire, the referring associate will be eligible for $250 for referring an
hourly associate, $1,000 for referring a grade 9–14 manager, and $2,000 for referring a

Sales Lead - ChartwellsYou can earn up to $500 just by providing sales leads that result

Development ProgramsFramingham Nutrition Course To ensure our associates understand healthy eating, our foodservice
directors are required to take a 10-hour Fundamentals of Nutrition course
online through Framingham State University. Understanding nutrition
and promoting healthy foods in our dining centers are key elements of our

New Managers OrientationIn the Chartwells spirit of making sure our managers are off to a great start, we launched
a virtual manager orientation program in 2012. The week-long program consists of
100% web based learning and focused on corporate support, standards of operation,
and opportunities for excellence .
Centers for ExcellenceOur CFEs continue to grow in number as we added two more accounts in 2012, and they
continue to set the standard in terms of excellence in our division. Through hard work
and dedication, the teams at all of the Centers for Excellence work day-in and day-out to
deliver the highest standards of service and food to our students.
Leadership AcademyFirst introduced in 2011, the Leadership Academy is a program aimed at the
development of leadership and professional skills for district managers and support
teams. The theme for this year’s program was accountability, ownership and standards
of operations.

Chartwells School Dining Services Certifies Newtown Public Schools
October 11, 2012
As A Center For Excellence
Newtown, Connecticut - Chartwells School Dining Services
is proud to announce the addition of a new school district to
their roster of Centers For Excellence (CFE).
The Newtown Public School District (Newtown SD) is the
second CFE location to be certified in the Northeast region
for Chartwells.
At Winston-Salem Forsyth County School District in North Carolina, Chartwells
ran a breakfast promotion and the winners at the Elementary and Middle School
won a “sports pack” full of balls, water bottles and Frisbees.
At Stamford’s Westhill high school in Connecticut, students involved in the
Go Healthy Early Nutrition Club took steps to ensure the entire student body was
properly “fueled up” for the recent Connecticut Academic Performance Test (CAPT).

Farmington, Connecticut - Farmington’s on-site chef, Tim Print, conducted a Chef’s
Demo Table at Farmington High School on Monday, March 5th. They displayed two
different chef demo tables. On one, Chef Tim combined the Chefs 2 Schools “Herbs
& Spices” with the “Breads of the World”.

Chartwells local food purchases totaled $4.2M this year;
that’s an increase of 15 percent over last year. Chartwells
believes it’s important to teach students about sustainable
food practices that will create a better environment now and
for future generations. These

Public Schools announces its 2011 awards for its Minority And
Women-Owned Business (MWBE) Enterprise Program. In 2011
we have grown the volume of business with MWBE partners to
62 percent of our total business.

127 Chartwells Schools Achieve HealthierUS Schools Challenge Awards
November 21, 2011
Chartwells was proud to
announce that, as of November
2011, a total of 127 schools that they serve have received
awards for the HealthierUS Schools Challenge (HUSSC). In
celebration of these exemplary schools, Chartwells managers
and their partner schools participated in an HUSSC celebration
at the White House.
April, 18, 2012
Amarillo, Texas - Every Amarillo Independent School District
elementary school completed the national Healthier U.S.
School Challenge, and the district received $46,000 for the
schools’ accomplishments. Twenty-three schools received a
gold award, nine received silver and four received bronze.
St. Louis Public Schools is Recognized as a Bronze Level Winner in Compass in the Community
October, 2011
Compass Bronze Level Winner - St. Louis Public Schools!
1. The Chartwells-Thompson team at St. Louis Public Schools
coordinated a Compass team for the Step Out Walk to Fight
Diabetes to support the American Diabetes Association and
raised over $1,100 for ADA.
2. Partnered with organizations such as Gateway Greening
to become a leader in the “green” initiative through efforts
to support sustainability and to help provide nutrition
education to students. Assisted in starting school gardens
to help provide nutrition education surrounding harvested
produce.
• $2,000 dollars of charitable money will be donated on
behalf of Chartwells-Thompson at St. Louis Public Schools.
Sort By The Tunes in St. Louis, MO
November 2, 2012
101 associates from Chartwells, Morrison, Eurest, Canteen,
Bon Appetit as well as many family and friends participated
in a Sort To The Tunes event at the St. Louis Area Foodbank.
The team processed 680 cases of food, 18,458 pounds of
food and helped to provide 16,068 meals for the hungry!

Recognizing Excellence
This years “Be-A-star” Winner
Menasha School District (WI)
Menasha School District (WI) was announced as the “Be-A-star”
National Account of the Year award winner. The school district
was presented with its award at the Compass Night of Stars
Celebration that took place in Orlando, Florida on October
17 – 19, 2012. The district hosted a second, local celebration
in November at the Clovis Groves Elementary Commons.
Menasha received this distinction because of its successful
commitment to the community, the environment, foodservice
excellence, staff development and most importantly, to its
schools and students.
Starting in 1997 as a method to build a foundation for growth
and success, Be-A-star has been widely embraced throughout
Chartwells to the point where it has become our primary
recognition tool for promoting business excellence. The
“Be-A-star” awards are given to districts that exemplify
business excellence in school foodservice and go above and
beyond the call of duty. The 2011-12 program “Navigate to
Great” was aligned to our MAP business objectives in areas
such as community service, financial performance, customer
and client satisfaction, wellness and diversity.
The goal of this year’s “Be-A-star” program 2012-2013, 1-2-3
GROW, is to give managers and teams a structured, simple
approach to achieving business goals with all of the tools
needed in one place. The 1-2-3 GROW concept fosters the
growth of our business through account wins and acquisitions,
growth in profits by maximizing efficiency, and most
importantly the growth and personal success of our great

HERO is the recognition program that inspires our associates to
Aim Higher. At Chartwells, we are always looking for ways to

announced the recipients of its annual “Be-A-star” awards. The
national Be-A-star winners were recognized at the Compass
Night of Stars Celebration that took place in Orlando, Florida
