TERMS & CONDITIONS FOR SELECTING AGENCY TO BUILT, OWN, OPERATE & TRANSFER (BOOT) BUS WASHING &

CLEANING FACILITY

Bids invited for SELECTING AGENCY TO BUILT, OWN, OPERATE & TRANSFER (BOOT) BUS WASHING & CLEANING FACILITY at RSRTC DEPOTS for a period of five years and same can be extended only after evaluation of performance. The agency shall, within three months, from the date of award of tender start cleaning & washing buses utilizing space provided by RSRTC.

1. The Project shall be and continue to be the property of the RSRTC. 2. The successful Bidder/contractor would design, procure, finance, construct,

operate and maintain the Project during the Period on a Build – OWN–Operate – Transfer (BOOT) basis. The Project would be transferred back to the RSRTC at the end of the Period.

3. The successful Bidder/contractor shall at its cost, expenses and risk make such financing arrangements, in a timely manner as would be necessary to implement the Project, and to meet all of its obligations under the Agreement.

4. The Successful bidder/contractor shall, at all times, ensure that all aspects of the Project and processes in the construction, operation and maintenance thereof shall conform with the laws pertaining to environment, health and safety including rules, policies and guidelines related thereto.

5. The successful bidder/contractor shall not part with or create any encumbrance on the whole or any part of the sites save and except as set forth and permitted under this Agreement.

6. The successful bidder/contractor shall not, without the prior written approval of the RSRTC use the site for any purpose other than for the purpose of the Project and purposes incidental or ancillary thereto.

7. Upon termination of this agreement for any reason or expiry the RSRTC shall have the power and authority to and take possession and control of the site with equipped plants and prohibit the bidder to enter in to premises.

8. The Successful bidder/contractor shall on the date of expiry of term, hand back vacant and peaceful possession of the site with equipped plants in good operable condition.

9. The Agreement may be executed in two counterparts, each of which when executed and delivered shall constitute an original of this Agreement but shall together constitute one and only the Agreement.

Eligibility Criteria For the Bidder

The following are the conditions, which are to be necessarily fulfilled, to be eligible for technical evaluation of the proposed solution. Only those interested bidders who satisfy the following eligibility criteria should respond to this RFP:

1. The Bidder should be an Indian Company(s) registered under the Indian Companies Act, and/or any other legal entity registered in Indian Law.

2. The Bidder should have registration of shop act, VAT and service tax.

3. The bidder should enclose a certificate from the Chartered Accountant stating that the turnover details furnished in the audited statement accounts have been verified by him and that they are found correct. Failure to comply with this condition, the offer will be disqualified.

4. The bidder must fulfill all the statutory requirements.

5. Bidder who have been blacklisted by any of the Government Organisation /Public Sector undertaking for breach of contract shall not be considered.

FORM FEES

This document also available on the website www.rs r tc . ra jasthan.gov. in enable the BIDDERs to use this document for submitting their tenders in RSRTC against the notice. The BIDDERs, who submit their tenders on downloaded documents, shall also submit document fee of Rs. 1000.00 (Rs. One thousand only) as applicable, in the form of account payee Bank Draft payable in favor of “FA”, Rajasthan State Road Transport Corporation, Jaipur in addition to Earnest Money in the envelope containing terms of reference and conditions of the tenders. This amount will be non-refundable to the BIDDERs. In case of any ambiguity, the original document available in www. rs r tc . ra jasthan.gov. inshall be treated as final document. The tenders submitted on downloaded documents without enclosing document fee Rs. 1000.00 in the form of Bank Draft shall not be accepted. Bidder can submit tender for one or more locations. Bidders are required to submit bid separately for each location as mentioned in above list.

VALIDITY OF TENDERS

1. The tenders submitted should be valid for a minimum period of 180 days

from the date of the opening of tenders. EARNEST MONEY

2. An Earnest Money is required Rs/-30000/ each depot as per following

categories:- An Earnest money in the form of Account payee bank draft payable on

any branch of nationalized bank at Jaipur in favour of FA "Rajasthan State Road Transport Corporation, Jaipur" should be enclosed along with the

terms & conditions duly signed and stamped in the main envelop containing envelop A& B. No proposal shall be evaluated in the absence of Earnest Money on any ground whatsoever and their tenders shall not be opened & rejected.

3. Earnest money shall be given separately for each location. ACCEPTANCE & EVALUATION OF TENDERS

4. The two sealed envelopes, envelope A - containing "Technical Bid and

details of the company in relevant formats” and envelope B - containing “Financial Bid” separately on prescribed document purchased from the Corporation or downloaded from the web site www.rsrtc.rajasthan.gov.in complete in all respect should be put in single sealed envelope along with the earnest money and should be deposited in the tender box kept in the office of ED (Eng.) at Headquarter Jaipur as per schedule. If any date declared in the tender is a holiday the activity listed shall be performed on the following working day.

5. One representative of each BIDDER may participate at the time of opening the tenders. The BIDDERs may however seek any other relevant information from RSRTC, which may or may not be provided at the discretion of RSRTC. An application in this regard shall be made to the ED (Eng.). The decision regarding the same shall be final & binding. RSRTC shall be free to evaluate the proposal, ask for further details, documentation, presentation before the management or any other information deemed necessary for evaluating the same. The BIDDERs shall provide all information to RSRTC as required failing which may disqualify them from being considered for the same. RSRTC shall be free to evaluate and call for information, from any successful BIDDER and may reject all or any proposal on any ground whatsoever without assigning any reason.

6. BIDDERs may include all documents they deem fit to elaborate their proposal, which may or may not be considered by RSRTC for the purposes of evaluation. Bidders may provide a concept note detailing the offered solution, its competitive merits and benefits to RSRTC, etc. such that the committee shall be in a position to take an informed decision.

7. Conditions of the BIDDERs submitted with the proposal will not be binding on RSRTC.

8. The documents containing tenders shall be free from cutting and erasures. However, alterations, if any, in the proposal should be attested properly by the BIDDER, failing which the proposal is liable to be rejected.

9. RSRTC will not be responsible for any delay in obtaining the proposal document by the BIDDERs from RSRTC or submission of the completed document to RSRTC, Jaipur.

10. Tenders not conforming to any terms and conditions or incomplete in any respect are liable to be rejected.

11. In case of BIDDERs whose tenders are not considered for opening of Financial Bids for any reason whatsoever, or unsuccessful BIDDERS after Financial Bids are opened, the Earnest Money amount shall be refunded, however this shall be done only after the final decision of the committee on the said tender. The earnest money shall be forfeited in case

of non acceptance by BIDDER after opening of financial bids or with drawl from participation at any stage after submission of bid.

12. All eligible bidders shall be deemed to have been technically qualified, however, in view of the number of bidders the Corporation reserves the right to consider any number of bidders for opening of Financial Bids as the committee thinks fit on the basis of average turnover as per clause 1.

13. Before finalization of the bidder anyone, some all can be called which will be at the discretion of the committee.

PROJECT IMPLEMENTATION

14. The technically qualified BIDDER will be required to present a concept

document, systems design, financial viability of plan clearly indicating No. of persons deployed, their salary etc. and implementation plan.

FINANCIAL BID, IMPLEMENTATION, PAYMENT

15. Financial Bids shall be evaluated on lowest washing & cleaning charges

per bus as per form B . The bidder shall quote for 24x7x365 days operations.

16. Payment Terms as under -

Washing & cleaning Bill shall be submitted by bidder on fortnightly basis to Chief Manager of respective depot of RSRTC under which the washing Plant is installed. Payment of the buses which have been washed & cleaned will be done only after Verification by Manager Operation. Then the same will be cleared within next 15 days from date of submission.

Proper functioning of CCTV Camera will be the responsibility of the bidder.

17. The prices quoted in the tenders should clearly mention washing & cleaning charges per bus inclusive of all the taxes based on minimum 60% of the fleet size per day.

PENALTY CLAUSE

18. After cleaning if bus is found dirty before putting into service, a penalty of no payment of cleaning of bus in question shall be made.

19. For making of alternate arrangement 60 days will be allowed. 20. If after 60 days the plant is not set right then the contract will be cancelled &

security amount will be forfeited. 21. Service provider has to keep in pool necessary aggregates so that

automatic washing should be in service for 95 % of time in the month.

SECURITY DEPOSIT

22. Successful tenderer have to deposit security amount equivalent to the

10 % value of work order. Earnest money will be adjusted in the Security Deposit Amount of the successful tenderer. Security Deposit Amount does not carry any interest.

Security deposit amount will be forfeited if:-

RSRTC shall forfeit the EARNEST MONEY/PERFORMANCE SECURITY DEPOSIT either in whole or in part thereof at his discretion without prejudice to his other rights and remedies open to the RSRTC in this regard and it shall be binding on the Contractor.

TERMINATION

23. On completion of bidding process RSRTC shall enter into a contract with

the successful bidder. RSRTC shall evaluate the performance of the contract on a time to time basis. All conditions of termination of contract by way of completion, breach, force majure, etc. shall apply as per the contract. The draft contract shall be made available to successful bidder and signed by mutual consent. However, RSRTC, Jaipur reserves the right to terminate the contract at any stage without assigning any reason whatsoever. RSRTC would not be under any obligation to give any clarifications for such termination.

24. RSRTC, reserves the right to reject any or all the tenders without assigning any reason whatsoever. RSRTC would not be under any obligation to give any clarifications to those BIDDERs whose tenders have been rejected.

25. In the event of any controversy or claim arising out of or relating to this agreement, or a breach thereof, the parties hereto shall first attempt to settle the dispute through amicable settlement. If matter is not resolved amicably within….. days, the aggrieved party shall refer the matter for arbitration to Chairman or Chairman and managing Director ( as the case may be) to be agreed upon and appointed by both the parties.The arbitration proceedings shall be conducted under the provisions of Arbitration and Conciliation Act, 1996. The award of the arbitrator shall be final and binding on the parties. The place of arbitration shall be at Jaipur.” The laws and further amendment from time to time of the Central Govt. and State Govt. shall govern the validity of the agreement.

declared that I/we the undersigned have read and examined all the terms and conditions of the proposal document. I/we hereby accept all these terms and conditions. I/we declare under section 7 of Rajasthan Transparency in Public Procurement Act, 2012 that:-

1. I/we possess the necessary professional technical, financial and managerial competence and resources required by the procuring entity.

2. I/we have fulfilled my/our obligation to pay such all the taxes payable to the union and state government or any local authority.

3. I/we are not insolvent in receivership, bankrupt or being wound up, not have my/our affairs administered by a court or a judicial officer, not have my/our business activities suspended and not be the subject to legal proceedings for any of the foregoing reasons.

4. I/we , our directors and officers have not been convicted by a criminal court related to our professional conduct or the making of the false statement or misrepresentations and have not been disqualified pursuant to debarment proceedings.

5. I/we do not have a conflict of interest as specified in the Act, Rules and Bid document, which materialy affects fair competition.

6. I/we hereby declare that in the preparation and submission of proposal, I/we have not acted in collution with any other bidder and not done any act, deed or thing which is or could be regarded as anti-competetive.

7. I/we hereby further declare that I/we have not offered nor will offer any illegal gratification in cash or any other kind to any person or agency in connection with the instant proposal.

REQUIREMENT OF RSRTC Bus washing has to be undertaken by installing an automatic washing

Plant in RSRTC premises with all standerd equipment for washing buses up to 11 feet height of following minimum standard- Washing Machine with 2 Brush self propelled totally Automatic Plant With water recyciling Facility . For the instillation of washing machine area is 40 x 80 feet will be provided by RSRTC workshops for 5 years.

ADDITIONAL ITEMS REQUIERED

1- Vehicle guide rails. 2- Side Brush guards. 3- Trafficator lights. 4- Stain-chain for supply services. 5- JST Stream under chassis wash system Automatic with manual start off. 6- Submersibul pump has to be installed on each location and will be handed over to RSRTC after 5 years. 7- Civil work for installation of machines. 8- Installation of CCTV Camera

The equipment will be provided with automatic start system which will be actuated by the movement of vehicle.

A- Bus should be fully cleaned from inside as well as outside.

B- Floor should be washed and cleaned using dry/wet vacuum cleaner.

C- Window glass and wind screen glass should be washed using detergent and it

should be stain free after cleaning. D- P a s s e n ge r seat and back should be cleaned and dried using compressed

air in such a way that it should be stain free & neat. E- All type of stickers or pamphlets other than advertisement authorized by

RSRTC shall be removed while washing and cleaning of the bus from out side as well as inside.

ADDITIONAL TERMS & CONDITIONS

a. Complete Specification of Automatic Bus Washing Plant with full details should be mentioned in Bill of Quantity while quoting.

b. Prequalification of tender shall be judged with regard the each Bid answer of Technical Bid is mandatory. In case bidder fails to fill Technical Bid with supporting document the tender may be disqualified.

c. Required electrical point up to sub-meter shall be provided by RSRTC but the payment of electric bill is to be made by the firm on actual consumption basis.

d. Bidder has to mention clearly the accepted/not accepted in front of each clause.

e. In case bidder is other than manufacturer, bidder has to mention the Brand Name of Machine as per minimum standard provided by RSRTC and manufacturer’s address.

f. After acceptance of the Financial Bid, an agreement shall be made with the parties by respective Regional Manager of RSRTC or Chief Manager.

g. The party shall provide stamp papers for the agreement. h. Driver for Shunting of the buses shall be provided by RSRTC. i. After complitation of contract period the firm will not take away the

Washing Plant installed by them. j. If No Objection Certificate is required for installation of Submersible Pump

the same has to be taken by the approved tenderers. Necessary support shall be provided by RSRTC.

k. Necessary civil work for installation of bus washing machines will be made by firm.

Annexure A: Compliance with the Code of Integrity and No Conflict of Interest Any person participating in a procurement process shall -

(a) not offer any bribe, reward or gift or any material benefit either directly or indirectly in exchange for an unfair advantage in procurement process or to otherwise influence the procurement process;

(b) not misrepresent or omit that misleads or attempts to mislead so as to obtain a financial or other benefit or avoid an obligation;

(c) not indulge in any collusion, Bid rigging or anti-competitive behavior to impair the transparency, fairness and progress of the procurement process;

(d) not misuse any information shared between the procuring Entity and the Bidders with an intent to gain unfair advantage in the procurement process;

(e) not indulge in any coercion including impairing or harming or threatening to do the same, directly or indirectly, to any party or to its property to influence the procurement process;

(f) not obstruct any investigation or audit of a procurement process; (g) disclose conflict of interest, if any; and (h) disclose any previous transgressions with any Entity in India or any other country during

the last three years or any debarment by any other procuring entity.

Conflict of Interest:- The Bidder participating in a bidding process must not have a Conflict of Interest. A Conflict of Interest is considered to be a situation in which a party has interests that could improperly influence that party's performance of official duties or responsibili ties, contractual obligations, or compliance with applicable laws and regulations. i. 'A Bidder may be considered to be in Conflict of Interest with one or more parties in a bidding process if, including but not limited to:

a. have controlling partners/ shareholders in common; ,or b. receive or have received any direct or indirect subsidy from any of them; or c. have the same legal representative for purposes of the Bid; or d. have a relationship with each other, directly or through common third parties, that puts

them in a position to have access to information about or influence on the Bid of another Bidder, or influence the decisions of the Procuring Entity regarding the bidding process; or

e. the Bidder participates in more than one Bid in a bidding process. Participation by a Bidder in more than one Bid will result in the disqualification of all Bids in which the Bidder is involved. However, this does not limit the inclusion of the same subcontractor, not otherwise participating as a Bidder, in more than one Bid; or

f. the Bidder or any of its affili ates participated as a consultant in the preparation of the design or technical specifications of the Goods, Works or Services that are the subject of the Bid; or

g. Bidder or any of its affil iates has been hired (or is proposed to be hired) by the Procuring Entity as engineer-in-charge/consultant for the contract.

If any Bidder or prospective bidder is aggrieved that any decision, action or omission of the Procuring Entity is in contravention to the provisions of the Act or the Rules or the Guidelines issued thereunder, he may file an appeal to First Appellate Authority, as specified in the Bidding Document within a period of ten days from the date of such decision or action, omission, as the case may be, clearly giving the specific ground or grounds on which he feels aggrieved:

Provided that after the declaration of a Bidder as successful the appeal may be filed only by a Bidder who has participated in procurement proceedings:

Provided further that in case a Procuring Entity evaluates the Technical Bids before the opening of the Financial Bids, an appeal related to the matter of Financial Bids may be filed only by a Bidder whose Technical Bid is found to be acceptable. (2) The officer to whom an appeal is filed under para (1) shall deal with the appeal as expeditiously as possible and shall endeavour to dispose it of within thirty days from the date of the appeal. (3) If the officer designated under para (1) fails to dispose of the appeal filed within the period specified in para (2), or if the Bidder or prospective bidder or the Procuring Entity is aggrieved by the order passed by the First Appellate Authority, the Bidder or prospective bidder or the Procuring Entity, as the case may be, may tile a second appeal to Second Appellate Authority specified in the Bidding Document in this behalf within fifteen days from the expiry of the period specifi ed in para (2) or of the date of receipt of the order passed by the First Appellate Authority, as the case may be. No appeal shall lie against any decision of the Procuring Entity relating to the following matters, namely:- (a) determination of need of procurement; (b) provisions limiti ng participation of Bidders in the Bid process; (c) the decision of whether or not to enter into negotiations; (d) cancellation of a procurement process; (e) applicability of the provisions of confidentiality .

(5) Form of Appeal

(a) An appeal under para (l) or (3) above shall be in the annexed Form along with as many copies as there are respondents in the appeal.

(b) Every appeal shall be accompanied by an order appealed against, if any, affidavit verif ying the facts stated in the appeal and proof of payment of fee.

(c) Every appeal may be presented to First Appellate Authority or Second Appellate Authority, as the case may be, in person or through registered post or authorised representative.

(6) Fee for filing appeal (a) Fee for first appeal shall be rupees two thousand five hundred and for second appeal shall be rupees ten thousand, which shall be non-refundable. (b) The fee shall be paid in the form of bank demand draft or banker’s cheque of a Scheduled Bank in India payable in the name of Appellate Authority concerned. (7) Procedure for disposal of appeal

(a) First Appellate Authority or Second Appellate Authority, as the case may be, upon filing of appeal, shall issue notice accompanied by copy of appeal, affidavit and document, if any, to the respondents and fix date of hearing.

(b) On the date fixed for hearing the First Appellate Authority or Second Appellate Authority, as the case may be, shall,- (i) hear all the parties to appeal present before him; and (ii) peruse or inspect document, relevant records or copies thereof relating to the

matter. (c) After hearing the parties, perusal or inspection of documents and relevant records or

copies thereof relating to the matter, the Appellate Authority concerned shall pass an order in writing and provide the copy of order to the parties to appeal free of cost.

(d) The order passed under sub-clause (c) above shall also be placed on the State Public Procurement Portal.
