Ceneral Terms and Conditions 2006

Our offers and services are based on these general terms and conditions. Any amendments to theagreed general terms and conditions are subject to prior consent of the other contracting party andalso has to consider possible risk and cost deviations. The purchaser accepts our terms and conditions by placing the order.

OffersOur offers are subject to confirmation. Orders and their modifications shall only become binding whenconfirmed in writing by ORBIS.All prices quoted by ORBIS in offers, price lists, confirmations of order and invoices shall be in Euroexclusive of value added tax except agreed otherwise for other currencies.Illustrations, dimensions and weights given in catalogues and brochures are approximate. We reservethe right to make changes without special notification.

Special versionsIn the case of form of the product specified by the customer or of sales aids and/or in the case of useof a customer brand the purchaser shall bear responsibility for entitlement to such use. He shall beliable vis-à-vis ourselves with regard to any consequences of improper use.

PricesOur Euro price lists serve only as a basis for invoicing and may neither be submitted to end purchasers nor made available to them for their scrutiny. They give non-binding recommended prices.Errors and misprints are at reserve.Unless other agreements have been made our valid list prices apply at the day of supply.

Delivery time, despatch and transfer of riskThe delivery dates given by us are not binding and shall be ex works unless other agreements havebeen concluded to different effect. We reserve the right to make partial deliveries. Goods for whichdespatch readiness has been notified shall be taken over without delay by the purchaser. Otherwisewe shall be entitled at our discretion to despatch it or to store it at the expense and risk of the purchaser.Cases of force majeure shall release us from the obligation to deliver on schedule and shall permit usto extend the delivery time accordingly.Any claims for damages are hereby excluded.Long or short deliveries of a tolerance of up to 10 % of the complete order quantity are deemed complied while the grand total amount refers to that volume.

Force majeureActs of God, industrial disputes, riots, official measures, non-arrival of deliveries from our suppliers andother unpredictable, unavoidable and serious events will release the contracting partners from theirduty to perform for the duration of the disturbance and to the extent of their effect. This is also appli-cable where these events occur at a time when the contracting partner concerned is in default, unlessthe delay is caused intentionally or negligently. As far as reasonable the contracting partners are obliged to provide the necessary information immediately and in good faith to adjust their obligationsto the changed conditions.In case the impediment lasts longer than 3 months each contracting partner may withdraw from thepart of the contract not complied with.

PaymentPayments shall be effected in accordance with the agreements concluded.If we have indisputably supplied partly defective goods the purchase shall nevertheless be obliged toeffect payment for the fault-free part of the consignment.Furthermore the purchaser may only offset in the case of counterclaims which have been establishedwith legal effect or which are undisputed.The agreed payment period shall be deemed observed if the invoice amount in Euro has been cred-ited to our account within the time period agreed. In case of overdue payments we are authorised todebit interest on arrears to the extent of the rate banks invoice us for current account credits while theminimum will be 8 percent points on top of the prevailing basic interest rate of the European CentralBank. Bills of exchange shall only be accepted by prior agreement and on the condition of its discountability. Discount and other bank charges shall be borne by the purchaser. In the case of delayed payment we may suspend fulfilment of our obligations up to receipt of the payments after written notification of the purchaser.If the purchaser's ability to pay deteriorates all payments and bills of exchange shall become due withimmediate effect. For orders in progress we may in such a case demand advance payment or security within a reasonable period and we may refuse supply until our demand is met. If the purchaser refuses to comply or the period set expires without compliance, we shall be entitled to withdraw from the contract or to demand damages on account of non-fulfilment.

Reservation of titleWe reserve right of ownership on all goods supplied until fulfilment of all claims arising from the busi-ness relationship with the purchaser.The purchaser shall be obliged to insure the article supplied against theft, fire and other damage andto provide us with evidence of the policy.

The purchaser shall be entitled to sell these goods in an ordinary business transaction, provided hefulfils in due time his obligations arising out of the business relationship with us. But he may neitherpledge nor transfer ownership of the reserved goods as security. He shall be obliged to secure ourrights in the case of credited further sale of the reserved goods.In the event of breaches of its duties by the partner, in particular in the case of delayed payment, weshall be entitled, after a reasonable period of grace allowed to the partner for performance has elapsed without result, to withdraw from the contract and take back the goods, this shall not affect thestatutory provisions concerning cases where it is not necessary to allow a period of grace. The partner shall be obliged to surrender the goods.We shall be entitled to withdraw from the contract if an application is filed for insolvency proceedingsto be instituted against the partner’s assets.All claims and rights arising from the sale of the goods to which we have right of ownership or fromany renting thereof for which the purchaser has permission shall be assigned to us by the purchaseras security with immediate effect. We herewith accept the assignment.Any working or processing of the reserved goods shall always be performed by the purchaser for us.If the reserved goods are processed or inseparably mixed with other articles which do not belong tous, we shall acquire co-ownership of the new item in ratio to the invoice value of the reserved goodsto the other processed or mixed articles at the time of processing or mixing.If our goods are combined or inseparably mixed with other movable articles to form a single article andif the other article is to be regarded as the main article, the purchaser shall transfer to us pro-portionate co-ownership to the extent that the main article belongs to him. The purchaser shall havecustody of the ownership of co-ownership for us. For the article produced by processing or combiningand/or mixing the same shall also apply with respect to the reserved goods.

WarrantyAll ORBIS products are manufactured in accordance with the current state of the art and with the greatest possible care. They are subject to a constant quality control. We guarantee impeccable manufacture of the goods we supply in accordance with the criteria of the agreed technical conditionsof supply.If we are to supply goods in accordance with drawings, specifications, samples etc. of the purchaser,the purchaser shall bear the risk of the suitability for the intended purpose.The date for determining contractual compliance condition of the goods is the date the risk is transferred.We provide no warranty for faults arising owing to unsuitable or improper use, defective assembly orcommissioning by the purchaser or third parties, normal wear or negligent handling, and also not forthe consequences of improper modifications or commissioning work performed by the purchaser orthird parties and such work performed without our permission. The same applies to defects deteriorating inconsiderably the function or value of the goods.The warranty period shall be based on the law in case nothing different has been agreed.The purchaser shall submit a written complaint concerning any obvious faults without delay afterreceipt of the goods at their destination, and concerning any concealed faults without delay afterdiscovery of the faults, but at the latest within 6 months of the transfer of risk.If acceptance of the goods or a first-sample test has been agreed, complaints concerning faults whichthe purchaser could have established in a careful acceptance or first-sample test are excluded.We shall be afforded the opportunity to establish the faults which are the subject of the complaint.Goods complained about shall be returned to us without delay at our request. We shall bear the transport costs if the complaint is justified. If the purchaser does not fulfil these obligations or per-forms modifications without our permission to the goods already complained about, he shall thereby lose any warranty entitlement.If a justified complaint is made in due time we shall at our discretion repair the article complainedabout or supply a fault-free replacement. More extensive claims are hereby excluded, especiallyclaims for damages. If goods are to be supplied in large quantities the purchaser shall afford us theopportunity at short notice to sort out defective goods.Legal product liability claims of the partner against us are only accepted in case the partner has madeno agreements with his clients beyond legal claims on defects.Complaints concerning transport damage shall invariably be made to the forwarder or to the claimsagent indicated on the insurance certificate.

Other claims, liabilityUnless otherwise stated further claims of the purchaser against the supplier are excluded. This appliesin particular with regard to claims for damages due to violation of duties and debt relations as well asimpermissible action. The supplier is not liable for any damages not arising in connection with the products supplied. Moreover, the supplier is not liable for any loss in profit or any pecuniary damagesuffered by the purchaser.

Place of performance and jurisdictionThe place of performance and jurisdiction is Ahaus, Germany.Exclusively German law is applicable to any nature of contract. Application of the convention of theUnited Nations of April 11, 1980, on contracts governing the sale of goods is excluded (CISG – UN rightof sale).

ORBIS. Over 75 Years of Experience

ORBIS is your experienced and reliable partner with over 75 years of know-how at your side. Our

history goes back into the year 1929 when Paul Groten sen. Founded ORBIS as a tool factory in

Solingen. The former production site was completely destroyed during air attacks in World War II.

After end of war ORBIS continued to manufacture for the time being in the site of a company friend

to them until in 1956 the complete production was transferred to Ahaus (region of Münster) due to

more favourable outline conditions. With the commence of 50s ORBIS gathers first experience in

the private label branding sector expanding since the 60s the worldwide export business and in

1972 moves to today’s production site which was continuously modernised and extended during

the years. In 1975, ORBIS started their own home-made plastic manufacturing for pliers grips. As

one of the first companies in Germany, ORBIS manufactures VDE pliers since 1988. In 2005,

ORBIS continues to extend their pliers programme and concludes their portfolio with the manufac-

ture of bolt and concrete mesh cutters. At the same time manufacturing is further optimised to the

direction of quick and cost effective compliance to individual customer requirements.

Insulated tools

ORBIS VDE pliers according to DIN EN 60900 / VDE 0682 part 201, have been tested indi-vidually and meet the hight safety requirements of these standards. Type appoval andpermanent production mointoring by the VDE.At own company VDE test labs all pliers or random checks are subject to the followingexaminations:

� Even at a temperature of -20°C,the insulating handles must betough enough to withstand impactand shock loads.

� Even after one week at a temperature of +70°C, the handles must still be firmly secured on the pliers. The pull off test is performed at a test force of 500 N.

� Even after one day in a watherbath, all pliers must be protectedagainst disruptive discharges andspark over whenexposed to a10,000 V AC.

� After two hours at a temperatureof +70°C, no disruptive dischargemay occur at a test voltage of5,000 V AC even in the event of apoint load of 20 N.

� The insulating material must behardly inflammable in order toprevent any risk of fire. Thiscapabilty is checked using anopen gas flame.
