OBJECTIVE The purpose of this Request for Proposal (RFP) is to solicit sealed proposals from qualified firms to perform services on behalf of the County of Macomb. The goal is to select the most capable vendor offering the most competitive price. This proposal is in accordance with the Macomb County Procurement Policy. SUBMISSION PROCEDURES Date Due: March 26, 2020 at 10:00 AM (local time) Proposal will be publicly opened and read.

VOLUNTARY WALK-THROUGH A voluntary walk-through will be held for the contractors to become familiar with the facilities and buildings. The first walk-through will be held at the Sheriff’s Department on March 18, 2020 at 10:00 a.m. located at 43565 Elizabeth Rd., Mt. Clemens, MI 48043. All vendors who would like to attend this walk-through must confirm their attendance by March 16, 2020 with Ben Treppa (586) 469-6539. No unconfirmed vendors will be allowed at the walk through due to the nature of the building. Your contact at this location is Ben Treppa, he will be leading the tour. Please be advised that his is a high security location and that you may be subjected to a search. The second walk-through will be held on March 19, 2020 at 9:00 a.m. beginning at the Robert A. VerKuilen Building located at 21885 Dunham Rd., Clinton Twp., MI 48036 at 9:00 am. Please enter through G entrance, your contact is Ben Treppa, he will be leading the tour. The second phase of the walk-through on March 19, 2020 will be held at the Department of Road’s located at 34592 Nova Dr., Clinton Twp., MI 48035. Attendance at the walk-through is not mandatory in order to submit a proposal. Any questions must be submitted in written form following the walk-through. A written response, in the form of an addendum will be processed before the proposals are opened, if such information would be of significance to uninformed proposer. Inquiries and questions received after the above date will not be considered. MODIFICATIONS Macomb County vendors should be registered on the Michigan Inter-governmental Trade Network (MITN) website www.mitn.info. Clarifications, modifications, or amendments may be made to this document at the discretion of the Macomb County Purchasing Department prior to the opening of the solicitations. Should any such changes be made, an addendum will be issued and posted on the MITN website. It is the responsibility of each Proposer to check the website and verify that he/she has received all Addenda prior to submitting a Proposal. All addenda issued to Proposers prior to date of receipt of Proposals shall become a part of these specifications, and all Proposals are to include the Work therein described. DEFINITIONS

A. Request for Proposal Documents (RFP) include this Request for Proposal, (including drawings, specifications and all Addenda issued prior to execution of the Contract) and the proposed Contract Documents.

B. Addenda are written or graphic instruments issued by Macomb County prior to the

execution of the Contract that modify or interpret the Request for Proposal Documents.

C. A Proposer is a person or entity who submits a Proposal to Macomb County, and

who meets the requirements set forth in the Documents.

D. Default is the failure of the Proposer to fulfill the obligations of the contract.

E. Owner is the County of Macomb.

F. Proposer is a person or business which provides services to the County of Macomb

under terms specified in a contract.

PROPOSAL DOCUMENTS Request for Proposal Documents are available on the Michigan Inter-governmental Trade Network (MITN) website www.mitn.info. Proposers shall use the complete sets of RFP Documents in preparing Proposals. Macomb County assumes no responsibility for errors or misinterpretations resulting from the use of incomplete sets of Documents. PROPOSER’S QUALIFICATIONS Proposers must be properly licensed under the state laws governing their respective trade. Proposers shall meet qualifications indicated in the RFP Documents. Macomb County may make such investigations as necessary to determine the ability of the Proposer to perform the Work, and the Proposer shall furnish to Macomb County all such information and data for this purpose as Macomb County may request. Macomb County reserves the right to reject any Proposal if the evidence submitted by, or investigation of, such Proposer fails to satisfy Macomb County that such Proposer is not properly qualified to carry out the obligations of the Contract. ERRORS, OMISSIONS, AND/OR DISCREPANCIES The County of Macomb will not be liable for any errors and/or omissions in proposals. The County of Macomb reserves the right to make corrections or amendments due to errors identified in proposals by the County of Macomb or the proposer. The County of Macomb, at its option, has the right to request clarification or additional information from the proposers. TERMINATION Macomb County reserves the right to terminate any award to the Proposer without any liability, upon a 30 day notice from Macomb County. RIGHT TO REJECT Macomb County reserves the right to reject any or all Proposals in whole or in part and to waive any informalities therein, or accept any Proposal it may deem in the best interest of the County. Note: Past experience and performance may be a factor in making an award. MODIFICATION AND WITHDRAWAL OF PROPOSALS A Proposal may be withdrawn on personal requests received from Proposer prior to submission time. A Proposal being withdrawn may be re-submitted up to submission time. Negligence or error on the part of the Proposer in preparing his/her Proposal confers no right for withdrawal of the Proposal after it has been opened. OFFER PERIOD Proposals will remain firm for a period of 120 days after official opening of Proposals. EXECUTION OF CONTRACT Macomb County reserves the right to accept any and all Proposals, or to negotiate contract terms with the various Bidders when such is deemed by Macomb County to be Macomb County’s best interest.

TERM OF CONTRACT The Contract will be for a minimum of two (2) year. RENEWAL The proposed agreement may be renewed for two (2) one-year extensions with a total of three possible years for the proposal, provided that by at least 45 days prior to end of the contract both parties agree to an extension under the same terms and conditions as exist in the current contract. SALES AND EXCISE TAXES The County of Macomb, being a governmental unit, is exempt from sales and federal excise taxes. The price is to be net, exclusive of any taxes. All prices stated in the Proposal response will include all Federal, State, County and Municipal taxes, including Michigan State Sales and Use Taxes, or contributions required by Proposer’s business. INDEMNIFICATION Macomb County will not be responsible for injury to Proposer’s employees, Sub-Contractors, or to third parties caused by the Proposer’s agents, servants or employees. Therefore, the Proposer agrees to incorporate the below hold harmless agreement into the required insurance and to be evidenced by being contained in the certificate of insurance. Further, the below listed indemnification is incorporated and is part of the subject contract.

The Proposing Firm agrees to protect, defend, indemnify and hold the County of Macomb and its commissioners, officers, employees and agents free and harmless from and against any and all losses, penalties, damages, settlements, costs, charges, professional fees, or other expenses or liabilities of every kind and character arising out of or relating to any and all claims, legal fees, liens, demands, court costs, obligations, actions, proceedings or causes of action of every kind and character in connection with or arising directly or indirectly out of this agreement and/or the performance hereof. Without limiting the generality of the foregoing, any and all such claims, etc. relating to personal injury, death, damage to property, defects in materials or workmanship, or any actual or alleged violation of any applicable statute, ordinance, administrative order, rule or regulation, or decree of any court, shall be included in the indemnity hereunder. The Proposing Firm further agrees to investigate, handle, respond to, provide defense for and defend any such claims, etc. at his sole expense and agrees to bear all other costs and expenses related hereto, even if it (claims, etc.) is groundless, false or fraudulent. In any case in which this indemnification would violate legal prohibition, the foregoing provision concerning indemnification shall not be construed to identify the County for damage arising out of bodily injury to persons or damage to property caused by or resulting from the sole negligence of the County, its commissioners, officers, employees or agents.

CONTRACTS WITH SUB-CONTRACTORS All contracts made by the Proposer with Sub-Contractors shall be covered by the terms and conditions of the Contract. The Proposer shall inform all Sub-Contractors of these terms and conditions. Macomb County reserves the right to require of the Proposers tentatively selected for consideration in the awarding of the Contract, a list of the Sub-Contractors whom the Contractor intends to employ.

Macomb County reserves the right to disapprove the use of any proposed Sub-Contractor, and in such event, the Proposer submitting such Sub-Contractor shall submit another such Sub-Contractor in like manner within the time specified by Macomb County. Macomb County reserves the right to reject any proposal if such information required by Macomb County is not submitted as above indicated.

INSURANCE COMMERCIAL GENERAL LIABILITY INSURANCE Shall be written on an occurrence basis with limits of Liability of not less than $1,000,000 (one million dollars) as combined single limit for each occurrence of bodily injury and personal injury with an annual aggregate of not less than $2,000,000 (two million dollars). The policy shall include;

a. Contractual Liability b. Products and Completed Operations c. Independent Contractors Coverage d. Broad Form General Liability Extensions or equivalent

WORKERS’ COMPENSATION Workers’ Compensation Insurance meeting Michigan statutory requirements. Employer’s Liability Insurance with minimum limits of $500,000 each accident, $500,000 bodily injury by disease policy limit, $500,000 bodily injury by disease each employee. AUTOMOBILE LIABILITY INSURANCE Motor Vehicle Liability Insurance including Michigan NO-FAULT Coverage for all vehicles, owned and non-owned, leased and hired used in the performance of this contract with limits of $1,000,000 (one million dollars) as the combined single limit for each occurrence for bodily injury and property damage. PROFESSIONAL LIABILITY/ERRORS & OMISSIONS Professional Liability Insurance with minimum limits of $1,000,000 (one million dollars) each occurrence and $2,000,000 (two million dollars) aggregate. INSURANCE INSTRUCTIONS All certificates of insurance and duplicate policies shall contain the following: The County of Macomb shall be named additional insured on all policies (excluding Worker’s Compensation) and the underwriters will have no right of recovery or subrogation against the County of Macomb including its agents, employees, elected and appointed officials and agencies. It being the intention of the parties that the insurance policy so effected will protect both parties in primary coverage for any and all losses covered by the subject policy. The insurance carrier(s) must have an A.M. Best rating of no less that an A-, VII. The insurance company(s) issuing the policy or policies will have no recourse against the County of Macomb for payment of any premiums or for assessments under any form of policy. The Contractor will assume any and all deductibles in the above any and all deductibles in the above-described insurance policies. The term “INSURED” is used severally, not collectively, but the inclusion in this policy of more than one insured will not operate to increase the limit of the Owner’s liability. All certificates are to provide a thirty (30) day notice of material change or cancellation. Certificates of insurance must be provided no less than ten (10) working days before commencement of work to the County of Macomb, 120 North Main Street, 2nd Floor, Mt. SPECIFICATIONS/SCOPE OF WORK

Pest Control Services

SCOPE OF WORK The County of Macomb is soliciting proposals from qualified companies to establish a contract for pest control services at various buildings for a period of two (2) years; the County reserves the right to exercise an option to renew for two additional 1-year periods if mutually agreed. The purpose of this document is to ultimately enter into a contract with one or more qualified firms in order to provide the necessary services and meet County’s demands.

1. The Contractor shall provide full treatment pest control services for all areas and buildings, both interior and exterior, as specified herein, including all rooms, offices, closets, lounges, toilets, kitchens, locker rooms, hallways, stairwells, inside storage areas, basements, attics, garages plus any other building portion or part not specifically described herein on a monthly or bi-weekly basis. All prices t be FOB: Macomb County, Michigan. Macomb County does not pay fuel surcharges.

2. The Contractor shall furnish all supervision, insurance, materials, tools, supplies, chemicals, rodenticides, insecticides, equipment and competent, suitable and qualified personnel to inspect, identify and treat for the elimination of infestations and presence of various pests, insects, and vermin, which includes but are not limited to the following: ants, bees, centipedes, lice, flies, fleas, mice, rats, roaches, silverfish, spiders, sting insects and insect species common to the region.

3. The Contractor shall establish and maintain an IPM Log Book for each individual site and provide the required recordkeeping information required by law. Integrated Pest Management (IPM) program strategically examines your specific type of business and identifies the ideal pest control approach to comply with strict commercial regulations.

4. All applications assigned to this account shall be able to provide documentation that they have participated in a training program adhering to the Michigan Department of Agriculture R 285.637.14. This documentation will be provided before the contract award

5. Vendors must possess any all licenses and permits needed to complete this service. The Natural Resources and Environmental Protection Act, P.A. 451, as Amended and Regulation 636, as Amended, require individuals to be either a certified pesticide applicator or registered applicator to apply a pesticide for a commercial purpose or in the course of his or her employment. The bidder must provide evidence in the form of applicator’s certification or registration credential to Macomb County. The bidder must be licensed to de business in the State of Michigan. Please provide the following license information; Pesticide Application Business License Number. Provide a listing of all pesticide categories for which you are certified (e.g 7A, 7B, FUM…) The Bidder must adhere to all regulations as stated in the Michigan Department of Agriculture (MDA) amended Regulation No. 637. Pesticide Use that effect on February 28, 2008. Authorized Signature for Licensing Clause: ________________________________________________

6. Contractor shall supply and ensure that each service technician assigned to these facilities maintains the necessary and required equipment for the safe use and application of pesticides. Protective clothing, equipment and devices shall comply with Federal Insecticide, Fungicide and Rodenticide Act (FIFRA) and the specific pesticide labels. Service personnel must use uniforms and identification cards. 7. No pesticide shall be used in the performance of the agreement unless it will be used in strict conformance with the manufacturer’s instructions as they appear on the label and as approved by the Environmental Protection Agency (EPA). Except when in the hands of the Contractor, or his employees, no pesticide shall be left unattended or not under lock and key and no pesticide will be stored on the premises of any County locations where work is being performed. The awarded Contractor shall furnish formulas and antidotes covering chemicals and pesticides to be used under this contract. Materials Safety Data Sheets (MSDS) shall be supplied to Ben Treppa, or his designee, for all chemicals applied under these specifications. All chemicals and pesticides and procedures used must comply with requirements of all Federal, State and Local ordinances and laws and applied in a safe and efficient manner. 8. The awarded vendor shall provide, for each chemical product offered, the following documents and/or information, which will be incorporated as part of any subsequent term contract.

a. Material Safety Data Sheet (MSDS) b. Product data sheet/product technical specifications c. When not included in the above, where applicable, the County requires product application information, concentration and dilution data, user instructions, special properties data, and product storage and shelf life information.

9. Contractor shall minimize the use of pesticides whenever possible. No baiting or traps will be used in public areas. The vendor will minimize the use of pesticides whenever possible. All reasonable measures shall be taken to control offensive odors during the pest control service.

10. If presence or infestations of various pests, insects or vermin is discovered between monthly services, the Contractor is to provide service call to treat specified location within twenty-four

(24) hours of being notified by the County at no additional charge.

11. All dead or dying rodents shall be removed and disposed of by the Contractor within two (2) hours after notification. Rodents trapped shall be collected and precautions taken during disposal.

12. All reasonable measures shall be taken to control offensive odors during the pest control service

13. If the Contractor fails to commence work at the mutually agreed upon time, after two no-

shows will be considered in default. The County reserves the right to terminate the contract without penalty upon 30 (thirty) days’ notice due to poor performance or for reason deemed to be in its best interest. The County reserves the right to re-award the contract to the second most qualified vendor, request new proposals or do whatever is deemed to be in its best interest.

14. Initial treatment shall include placement and installation of a sufficient number of exterior and interior tamper-resistant Rodent Bait Stations deemed necessary for rodent control; stations shall be inspected upon each visit, signed and dated. No bait stations will be placed in public areas.

15. General pest control applications shall be performed throughout the entire facility.

16. The pest control service as outlined is for the monthly maintenance; including, but not limited to every crevasse, crack, hole, closet, door entrances/exits, offices, all rooms, hallways, foyers,

and machine rooms. External services shall include garage areas and exit doors and trash dumpsters.

17. Applications shall be customized to different characteristics and requirements of individual locations Initially the technician will do a thorough inspection of the building and provide a written service report that includes, but is not limited to, a list of maintenance that needs to be completed, such as clean-up, maintenance and prevention methods, example repair cracks in window sills, replace worn weather-stripping under doors, seal pipe chases and clean floor drains.

. 18. Notification by Contractor

a. The Contractor shall notify Ben Treppa or his designee, of any evidence of infestation of wood destroying pests (i.e. termites, etc.) immediately upon discovery.

b. Corrective treatment shall be secured separately from the resulting contract.

19. Contractor shall clearly identify those pests identified to be exterminated by each pesticide or chemical.

20. Contractor guarantees these will be no additional charge to the County for pest and insect retreatment until an infestation is eradicated.

21. Migrating insects will be eradicated as needed.

22. Because the Macomb County Sheriff’s Office is secure facilities, Contractors are required to report in and provide identification when entering the building.

a. Access to secured areas will be controlled by County’s personnel.

23. Contractor shall be required to execute a contract on the basis of the proposal within 14 days after being notified to proceed to work.

24. Contractor to provide a copy of emergency procedures for accidental discharge of chemicals.

25. Contractor must use chemicals compatible with human safety and be applied in such a manner to minimize risks to humans.

26. Contractor shall be responsible for any damage incurred by chemical used.

27. No contract is automatically renewed at the end of any contract term.

28. Contractors shall provide his/her emergency business phone number.

29. Additional costs, such as mileage and fuel charges will not be allowed for the term of this contract.

30. Scheduling of Work Contractor must, prior to any pest control services, contact Facilities and Operations in

advance at 586-469-6027 failure to contact Facilities may result in the unavailability of access to certain County properties.

Pest Control Services will usually be performed during normal business hours, Monday through Friday, between the hours of 9:00 a.m. and 3:30 p.m., or as arranged with building occupants at no additional expense (excluding holidays). The buildings will normally be occupied while work is being accomplished.

Contractor must be available at no additional charge to perform services on Saturdays. Contract must be available at no additional charge to perform services in early morning hours

or evening hours.

It will be the Contractor’s responsibility to perform work so as not to interfere with the normal operation of County business.

Buildings and/or services may be added to or deleted from the list during the contract term at the discretion of the County; the County may issue separate quotations for the new facility.

31. The Contractor must establish and maintain an IPM Log Book for each individual site and provide the required recordkeeping information. Information must be provided in duplicate by faxing an additional copy to Ben Treppa within 24-hours.

32. Contractor is responsible for cleaning-up after its crew.

33. The Contractor shall confine his/her work to the area assigned in this project. The Contractor will be responsible for repairing any damage to any area not considered as part of the work. The County will not be liable for damage to property due to the Contractor’s negligence.

34. It shall be the responsibility of the Contractor to determine quantities of any special materials required and incorporate any such items in his/her cost.

35. No additional work shall be performed without prior written approval of Ben Treppa or his designee.

36. Proposed pricing is set per location.

37. Invoices are to be generated monthly and are to include location and date of each visit with approved County employee signature. This signature is confirmation that the service was completed. Any invoice without an approved County employee signature will not be paid.

The following buildings require a quote for the applications listed below. 

Spring Treatment (April‐May) – This includes spraying of entire inside and outside of building for all 

types of ants.

MACOMB COUNTY BASED PREFERENCE A local preference percentage credit from the following allowance table will be applied to the proposal of any County-based Enterprise. This credit will be subtracted from the proposal of the County-based Enterprise. 3. The undersigned are not presently indicted for or otherwise criminally or civilly charged by any

governmental entity (federal, state or local) with commission of any of the offenses set forth in paragraph 2.

4. The undersigned have not within a three (3) year period preceding this bid, had one or more public

transactions (federal, state or local) terminated or attempted to be terminated for cause or default.
