Weaimtodevelopstrongrelationshipswithourlearners,fund-holdersandotherswithwhomwehavedealings,basedonmutualtrust,understandingandrespect.Inthosedealings,weexpectthosewithwhomwedobusinesstoadheretobusinessprinciplesconsistentwithourown.Wewillconductouroperationsinaccordancewiththeprinciplesoffaircompetitionandapplicableregulations.LDTrainingsaccountingandotherrecordsandsupportingdocumentsmustaccuratelydescribeandreflectthenatureoftheunderlyingtransactions.Nounrecordedaccount,fundorassetwillbeestablishedormaintained.Wewillcomplywiththelawsandregulationsapplicablewhereverwedobusiness.Wewillobtainlegaladvicewherefeltnecessarytocomplywiththiscommitment.Wewillreviewandtrackourbusinessrisksincludingsocialandenvironmentalrisks.LDTrainingwillnotfacilitate,support,tolerateorcondoneanyformofmoneylaundering.Toensurethatourbusinessisruninanethicalandeffectivemannerwewillmaintaininternalcontrols.

PERSONALCONDUCT
AllemployeesareexpectedtobehaveinaccordancewiththeprinciplessetoutinthisCodeofBusinessEthics.Employeesareexpectedtoprotectandnotmisusecompanyassetssuchasbuildings,vehicles,equipment,andmonies.Employeesareexpectedtouseemail,internet,ITandtelephonesinamannerappropriateforbusinesspurposesinlinewiththeprinciplescontainedinthisCodeandanyapplicableITpolicies.

BRIBERY
NoGroupemployeeorindividualorbusinessworkingonourbehalfmustacceptorgiveabribe,facilitationpaymentorotherimproperpaymentforanyreason.Thisappliestotransactionswithgovernmentofficials,anyprivatecompanyorpersonanywhereintheworld.Italsoapplieswhetherthepaymentismadeorreceiveddirectlyorthroughathirdparty.LDTrainingshallensurethatadequateproceduresareinplacetopreventtheriskofbriberyandthattheseareeffectivelycommunicatedandimplementedacrosstheCompanyinlinewiththerequirementsoftheBriberyAct2010andassetoutintheAnti-BriberyPolicy.

GIFTS,ENTERTAINMENTANDIMPROPERPAYMENTS
Acceptingorgivinganyentertainmentorgiftthatisdesignedto,ormaybeseentoinfluencebusinessdecisions,isnotacceptable.NoLDTrainingassociateoremployeeshalloffer,give,seekorreceive,eitherdirectlyorindirectly,inducementsorotherimproperadvantagesforbusinessorfinancialgain.Ifanemployeeorassociateisinanydoubtastowhetherheorshemayacceptanoffer,thatemployee/associateshoulddiscusstheissuetheDirector.Anygiftorhospitalitygivenorreceivedbyanemployee/associateshouldbereportedforinclusionontheLDTrainingGiftsandHospitalityRegisters.IntheUKthisappliestoanygiftorhospitalitywithanestimatedoractualvalueof£50ormore.

CONFLICTSOFINTEREST
Whilstwerespecttheprivacyofouremployees,allLDTrainingemployees/associatesareexpectedtoavoidpersonalrelations,activitiesandfinancialinterestswhichcouldconflictwiththeirresponsibilitiestoLDTraining.LDTrainingemployees/associatesandconsultantsmustnotseekgainforthemselvesorothersthroughmisuseoftheirpositionsorcompanyproperty.Allactualandpotentialconflicts(includingthosearisingfromtheactivitiesorinterestsofcloserelativesorpartners)shouldbedisclosedtoanddiscussedwiththeDirector.

Informationreceivedbyanyoneinthecourseofhisorheremploymentmustnotbeusedforpersonalgainorforanypurposeotherthanthatforwhichitwasgiven.Whereconfidentialinformationisobtainedinthecourseofbusinessthatconfidentialitymustberespected.
