Policies of the the Mariana Cove Homeowners Association regarding various areas of governance are set forth in this document for easy reference. Colorado recently amended the “Colorado Common Interest Ownership Act” (CCOIA) which requires that an HOA establish policies regarding certain areas of governance. Many of these policies are already covered in the Mariana Cove Homeowners Association (MCHOA) Bylaws and Covenants. In some cases the policies discussed in the Bylaws and Covenants have been set forth in greater detail in policy documents. Nothing in these policies is intended to supersede the Bylaws or Covenants. Assessment Collection Policy The MHOA has an annual assessment of dues which provides funds for the maintenance and other collective interests of the Association. Collection of dues and in some instances the levying of special assessments to provide for the association are among the duties of the Executive Board as stated in the Bylaws (section 5.4). The amount of the annual assessment is predicated on the budget projections for the upcoming year and are typically provided to each member of the Association in advance of the annual meeting. Annual budgets are voted on at the annual meeting. The collection of dues follows the annual meeting of the Association. In the instance that some dues are not paid in timely manner the Executive Board is also empowered to assess penalties and take other actions to collect the delinquent fees. The Association has adopted a specific resolution regarding the collection of past due and delinquent fees. A copy of that resolution is appended to this document. Appendix A Covenant Enforcement Policy The Covenants of the MCHOA are agreed to by all members when they buy their property. Enforcement of the Covenants supports a community that is enjoyable to all and helps maintain property values in the neighborhood. As a matter of enforcing the Covenants uniformly and in compliance with State statutes, the Board published the Rule and Regulations and delivered to all members most recently in September of 2015. A copy of the Rules and Regulation and the enforcement policy is appended to this document. Appendix B Conduct of Meetings The Board of Directors of the MCHOA conducts regular meetings which are open to all members of the Association. The notice of those meeting and agenda are presented in advance. The order of business in those meetings is prescribes in the Bylaws (Section 4.9). Minutes of the meetings are subsequently posted on the website or are available for inspection by any member on demand (see inspection of records policy below). The general order of business for meeting of the Executive Board is appended to this document. Appendix C Inspection of Records It is the policy of the MCHOA that records of the Association be regularly available to the members or their agents for inspection or copying. A resolution regarding the types of records maintained and method of access was passed by the Board to be in compliance with the CCOIA as amended in 2013. A list of the records available is presented in the resolution which is attached to this document. Appendix D

Conflict of Interest  Matters of the MCHOA that come before the Board are expected to be discussed and decided with the best interest of the community at large in mind.  Members of the MCHOA have every right to expect that the elected members of the Board will honor that duty.  In practice there is rarely a topic for which the outcome might personally benefit a Board member or influence that member’s vote in deference to the common good.  If such topics ever arise, it is the expectation that any Board member(s) who may stand to personally benefit from the outcome would recuse themselves from the discussion and the vote.  At present there is no written policy on this issue.      Investment Policy The funds of the MCHOA are kept in an account at The Home State Bank in Loveland.  There is no active investment of any of the funds except for the interest paid by the bank.  The dues collected and the annually budgeted expenditures are closely matched.  The small amounts of reserve capital maintained by the MCHOA are deliberately liquid for contingency purposes.    Adoption of Rules and Policies The MCHOA by way of the Executive Board attempts to insure that its Bylaws comply with the CCOIA and its periodic amendments.  Occasionally, in the interest of such compliance, the Board considers creating formal policies or resolutions to clarify particular aspects of the Association’s governance.  In those instances where a formal policy is proposed the topic is discussed and if considered desirable a committee (which may be comprised of Board members or members at large) undertakes the drafting process.  Drafts are considered and edited until consensus is reached.  The final is presented to the Board for consideration and vote.    Reserve Study  The MCHOA maintains reserve funds to manage the upkeep of certain pieces of infrastructure (e.g. the waste water pump house) and for contingencies.  Experience over the years has established a level at which the reserve fund is adequately maintained without growing excessive.  Some HOAs find it useful to finance a formal study to establish the appropriate reserve funding level.  The MCHOA has not found that to be necessary for our needs.
