INTRODUCTION

Having developed Scotland’s most luxurious private Residence Club in the Royal Burgh of St Andrews, Fife this is a

limited opportunity for early stage investors to acquire two and three-bedroom residences on a fractional basis, together

with membership privileges, under preferred terms.

To ensure security for all owners, the developers have created a unique ‘debt-free’ structure to protect each owner’s

investment. By placing the developed residences at Pittormie in to a trust which cannot be broken for 175 years the

developers engaged a simple logic to transform the famous Pittormie estate:

» Only use the finest materials to develop each residence – far superior to industry norms

» Decorate each room with outstanding items i.e. antiques, original art etc.

» Incorporate an elegant, classic style which is timeless

» Provide first class facilities which cater to the whole family’s needs

» Limit the number of units to enhance the experience and value

In addition to the special terms provided the incentive for early stage investors to buy a luxurious second home in an

historic Scottish estate; which is enhanced by all the Residence Club facilities and structure of ownership; comes from

being part of a growth business. Our objective is to emulate this unique template in other iconic locations around the world

and build out a portfolio of wholly owned debt-free Residence Clubs. In addition to releasing the capital within Pittormie

and making the Residence Club a profitable long-term tenanted estate, the funds generated in the 12 month sales cycle

will be reinvested on an 18-22 month cycle in other Residence Clubs which will be developed along similar principals;

providing all owners the opportunity to swap their weeks between properties without cost; resulting in an additional uplift

in the value of fractions. Our long term goal does not impinge upon the value or potential of the initial fractions at Pittormie

while the rational of incentivising early entrants and aligning long term interests enables us to build a small portfolio of

investors that can enjoy the benefits of the future.

At Pittormie a simple sales strategy will be engaged to release the inventory. With 24

fractions per residence and a maximum of 20 residences built, a total of 480 fractions

will be sold over ten phases of price increases. Starting from a low base point (below

industry norms for five star residence clubs in iconic locations) prices will be increased

by 10% for every 10% of the inventory sold in the first four phases (40%). Increases for

the remaining fractions are predicted to grow by 4-8% for every 10% sold depending

upon the market. This enticing pricing strategy, which starts at £77,000, is being used to

shorten the natural sales cycle from 3 years to 1 while generating over £60m in revenues.

Early entrants enjoy the benefit of realising a significant uplift in value while friends and

peers that enter at a later stage have the security of paying more to enter an established

community while acquiring one of the few remaining fractions. Two whole residences

(48 fractions) in units 4 and 10 have already been sold in addition to multiple two-week

fractions. This is your chance to join the growing number of ‘Founders’ as we make

history at Pittormie and build a number of other clubs you will soon call home!

ATTRACTIONS

This special offer for fractions 49 to 96 closes once we reach 96 owners and guarantees:

» Prices averaging 20% below current market valuations – second lowest point in plan

» Unused weeks provide guaranteed rental income of 6.66% for first two years*

» No annual dues for first two years

» Ability to select the best weeks within the best units

» Exchange their weeks throughout the year, subject to availability

» Rent out unused nights/weeks

» Utilise any of the residences if available, on a complimentary basis, via the six week

short notice booking system

» No VAT on the purchase or resale of fractions: The developer did not reclaim the VAT

on the development of the residences and hence fractions fall outside of VAT.

» Transfer title to any family member, trust or associated company without charge

Much like an exclusive equity country club, The Residence Club at Pittormie is available

only to its owners, and guests. Owners purchase an asset and enjoy frequent and flexible

lodging throughout the year plus private club amenities and club services via

membership. It is not just the real estate value which appreciates in value but also the

value of the membership, the facilities, its events and services.

Each fraction entitles the owner and their family to occupy the specified residence in his

or her Ownership Certificate for two weekly periods in each year being; one weekly

period during High Season and one weekly period during Low Season.

» “High Season” means the first week of May through to the final week of September

plus week 51 (Christmas) and week 52 (New Year), all as set out in the Season

Calendar Table.

» “Low Season” means the first week of October through to the final week of

April excluding weeks 1 to 3 inclusive, week 50, week 51 (Christmas) and week 52

(New Year).

The short notice program is specifically designed to encourage members to utilise any

of the unused residences throughout the year in addition to any specific weeks they own.

At any time members may contact the Concierge to find out if any of the apartments are

free within the next six weeks and reserve any unused residence free of charge.

RISKS

This low risk proposition gives owners the security of obtaining built and furnished

luxurious second homes at a stage where the development has been completed and the

club is operational - via a tried and trusted UK mechanism - 175 year leasehold.

This deeded interest ensures investors that their only risk is the speed at which the

residences are sold out and the additional residence clubs are created to generate the

uplifts in value.

* The Club will underwrite the 6.6% guarantee

PITTORMIE HISTORY

The Pittormie Estate was given to Ludvig of Lennox by King James VI in 1593 as

the home of the first Duke of Fife. In 2005 the estate was purchased by the Club from

the McKinnon family – the owners of Drambuie liquor. In 2006 plans were passed

to transform this old private home in to one of the country’s finest clubs under the

guidance of Historic Scotland.

RECENT REFURBISHMENT

After three years of investment and refurbishment the estate (which acts as the home

of The Eden Club) boasts a listed baronial castle – with eight en-suite bedrooms and

a variety of lounges, bar, whisky rooms, and dining rooms where members may

relax. The four main dining areas all operate under the supervision of Michelin Star

Chef Alan Donald.

Within the estate the pool, gym, spa, tennis courts and short-game practice area have

all been created to compliment the paddocks and beautiful manicured gardens. The

estate is lined with fences, trees and bushes and protected by CCTV and on-site

security.

The two and three-bedroom residences of between 1300 and 2890 sq ft have been

decorated and furnished to the highest levels in all of Scotland. They are serviced by

a dedicated full time staff plus a fleet of drivers and vehicles. The Residences are part

of an exclusive private club and can be purchased in whole or in part depending upon

investors requirements. The maximum is twenty-four two-week fractions and the

minimum one two-week fraction per apartment.

THE RESIDENCE CLUB – THE FUTURE

Over the course of the next year as we sell out the initial allocation of fractional weeks at Pittormie we envisage a

substantial increase in value. Research shows High Net Worth individuals are prepared to pay more to join friends and

peers in elite Clubs, for which prices typically increase by 5% to 10% with every 10% sold. This has been demonstrated

historically by clubs in landmark locations e.g. The Eden Club and Queenwood. Starting from a low average cost base of

£90,000 we believe the price will increase to £200,000 - £220,000 (the industry norm for two-week fractions).

Having acquired the site, capitalised the build out and developed a successful template with Pittormie the company aims

to open similar Residence Clubs at other iconic locations e.g. Monterey, Aspen, Barbados etc. With the opening of each

additional Residence Club owners will be able to exchange their weeks between locations without charge. This will

increase the value of weeks within each property and owners will benefit from the development of the portfolio. The logic

is new owners in the Monterey Residence Club will pay more when they can also immediately use St Andrews, likewise

for third, forth and fifth destinations. With this unique model owners enjoy the benefit of upside while the developer

realises a premium on the development of future fractions thereby ensuring that both parties have their interests aligned

with the expansion of the company. Our Residence Club template is not limited to golf and is anticipated to encompass

ski, beach and city locations.

Evidence shows that people are typically taking less than six weeks holiday per year but these weeks are not all taken at

one destination. Owning 52 weeks of a second home carries substantial annual commitments not least time and money.

There are an increasing number of people who realise you are better off owning a few weeks at different locations that

cater to your needs for golf, ski, beach etc, at £200,000 to £350,000 per property, than placing £3m of your wealth in one

destination.

Investors are taking their place at an early stage in the evolution of an exiting international club of clubs. With all successful

clubs those who joined at an early stage benefited most and we invite you to join us as we build out our portfolio of properties.

RESALE ASSURANCE

» Increase in value after 2 years or pay no resale commission (saving 7.5%)

» Four-in/one-out exit strategy (after two years) if we are still in initial sales period

» Opportunity to exchange two-week fraction for Eden Club Membership at any stage

RESALE SERVICE

The Residences at Pittormie guarantee to maintain a marketing and sales office which will include the use of local and

international estate agents as co-brokers. The Club anticipate a 2%-3% ‘death and disinterest’ rate after two years which would

witness approximately 10 to 15 resale’s per annum. This means that for anyone wishing to re-sell their weeks, if the Club are

still selling their initial allocation, after every forth sale by the company the fifth sale will be a member wishing to exit.

PRICE COMPARISONS

The Residences at Pittormie are positioned as the highest quality Residence Club in the United Kingdom. Skibo and Loch

Lomond have been unable to develop Residence Clubs as they don’t own the free hold and face planning restrictions.

Other Residence Clubs in Scotland have been successful with strong demand for resales. Below are links to companies

who have marketed lesser quality residence clubs in Scotland than that of The Residences at Pittormie. This should give

investors a clear understanding of the market price of the apartments.

Glenmor – (Gleneagles): Since the initial phase of homes within the Gleneagles development was built in 2000 the

success of second home ownership in Scotland has demanded a further 7 phases of homes.

The Carrick – (Loch Lomond): Released in 2007 on the banks of Loch Lomond the Devere operated development was

sold out. http://www.devere.co.uk/our-locations/cameron-house.html

International Residences Club

Similar to Starwood and Four Seasons, Ritz Carlton offer Home Club Membership

similar to a Fractional Ownership offering, which provides use of a deeded residence at

a property where Members can return to throughout the year. Membership pricing ranges

from the low £80,000s – mid £500,000s per membership at the more iconic locations. A

typical membership at one destination is approximately £180,000.

COMPETITION ANALYSIS

Unlike Ritz Carlton, Four Seasons and other large groups we are solely focusing on

developing outstanding Residence Clubs in iconic locations and not developing where we

already have developments or can develop cheap alternatives. Most of the locations

within the portfolios of others groups are destinations where many of our audience have

little or no interest in travelling to and a critical part of our plan rest’s with only

developing in places our customers want to take vacations or own properties.

Intimate, luxurious boutique properties hold far more appeal than large developments to

high net worth individuals. There is an additional value attached to belonging to clubs

with real cache, a fact that mass market brands are unable to emulate. By keeping the

scale of each destination small we are also creating scarcity while limiting the risk.

Destination Clubs like Exclusive Resorts and Quintess charge £500,000 to join and

charge you 20% on the way in. You own no deeds or assets. You are buying access only.

You have no upside while these companies possess large amounts of debt. They are

unable to offer their customers security let alone potential uplift in values.

Our unique model involves taking the capital from the sales of each Residence Club and

investing in the next destination – one at a time. We engage happy owners who partake

in the benefits of growth to recruit their peers communicating their satisfaction of usage

and investment confidence. Owners are also stakeholders in protecting the environment

and naturally select peers they wish to share time with.

Having developed each Residence Club without debt we are growing a secure profitable

portfolio of clubs which increases owner’s value: both financially and through usage.

For more information on Destination Clubs and Residence Clubs please see the separate

document.
