SERVICE NOTES:
• Use a clean lubricant (compatible with the working fluid) on all pump components during assembly.• Thoroughly clean the reservoir, suction lines, suction strainer, drain lines, etc. before re-installing the
pump. Most premature pump failures occur when contaminants from a previous failure have not beencompletely removed from the system, or cause for previous failure is still present (i.e. water in oil, filterbypassing, etc.).
• Always fill the case with clean fluid before starting a new or serviced pump (fill as high as inlet portwill allow on a PAVC style pump). For flooded suction, purge air from suction lines by cracking the inletfitting or vent plug on pump body. This should prevent an airlock condition and allow for fasterpriming. Starting the pump slowly by jogging (or turning over engine without allowing it to start) willhelp the pump prime and makes it easier to determine when priming has occurred.
• Check for proper shaft rotation if there is a possibility it may have changed during a system rebuild.• Start pump with an open circuit whenever possible. Reduce the compensator to its minimum setting
during start-up. Cycle the pump on and off stroke while increasing the compensator to its requiredsetting. This will assist in break-in of new components and help purge air from the case.
BASIC TROUBLESHOOTING:
Pump Won’t Prime Note : Pump should prime within 30 seconds. If it does not, STOP!
• Check for proper drive rotation.• Make sure pump shaft is turning (i.e. key at coupling hubs is engaged).• Make sure reservoir is full.• Check for major sources of a suction leak (vent plug open, shaft seal missing (PAVC), flange not tight, pinched
o-ring at flange or pump housing, etc.).
Can’t Build Any Pressure• Make sure pump is primed.• Check alignment, especially on PAVC pumps without “9” option.• Make sure system is not an open circuit. (A pump produces flow, not pressure. It can only limit pressure when
the system requirement is higher than the pump compensator setting.)
Can Only Build A Few Hundred PSI• Compensator is backed all the way out.• Remote/load sense line is vented.• Control orifice is plugged.• Pressure control dart is lodged open.• Torque control plug missing (PAVC).• Wrong compensator spool (PVP).
Pump Won’t Compensate• Differential spring over-compressed (i.e. spring guide dislocated).• Drain line blocked (PAVC).• Pressure control stem vent hole is plugged.• Spool travel hindered.• Control orifice missing (PAVC).• Saturation orifice missing in load sense circuit.

Offer Of Sale
The items described in this document and other documents or descriptions provided by Parker Hannifin Corporation, its subsidiar ies andits authorized distributors, are hereby offered for sale at prices to be established by Parker Hannifin Corporation, its subsidiaries and itsauthorized distributors. This offer and its acceptance by any customer (“Buyer”) shall be governed by all of the following Term s andConditions. Buyer’s order for any such item, when communicated to Parker Hannifin Corporation, its subsidiaries or an authorize ddistributor (“Seller”) verbally or in writing, shall constitute acceptance of this offer.
1. Terms and Conditions of Sale: All descriptions, quotations, proposals,offers, acknowledgments, acceptances and sales of Seller’s products aresubject to and shall be governed exclusively by the terms and conditions statedherein. Buyer’s acceptance of any offer to sell is limited to these terms andconditions. Any terms or conditions in addition to, or inconsistent with thosestated herein, proposed by Buyer in any acceptance of an offer by Seller, arehereby objected to. No such additional, different or inconsistent terms andconditions shall become part of the contract between Buyer and Seller unlessexpressly accepted in writing by Seller. Seller’s acceptance of any offer topurchase by Buyer is expressly conditional upon Buyer’s assent to all the termsand conditions stated herein, including any terms in addition to, or inconsistentwith those contained in Buyer’s offer. Acceptance of Seller’s products shall in allevents constitute such assent.
2. Payment: Payment shall be made by Buyer net 30 days from the date ofdelivery of the items purchased hereunder. Amounts not timely paid shall bearinterest at the maximum rate permitted by law for each month or portion thereofthat the Buyer is late in making payment. Any claims by Buyer for omissions orshortages in a shipment shall be waived unless Seller receives notice thereofwithin 30 days after Buyer’s receipt of the shipment.
3. Delivery: Unless otherwise provided on the face hereof, delivery shall bemade F.O.B. Seller’s plant. Regardless of the method of delivery, however, riskof loss shall pass to Buyer upon Seller’s delivery to a carrier. Any delivery datesshown are approximate only and Seller shall have no liability for any delays indelivery.
4. Warranty: Seller warrants that the items sold hereunder shall be free fromdefects in material or workmanship for a period of 18 months from date ofshipment from Parker Hannifin Corporation. THIS WARRANTY COMPRISESTHE SOLE AND ENTIRE WARRANTY PERTAINING TO ITEMS PROVIDEDHEREUNDER. SELLER MAKES NO OTHER WARRANTY, GUARANTEE, ORREPRESENTATION OF ANY KIND WHATSOEVER. ALL OTHER WARRAN-TIES, INCLUDING BUT NOT LIMITED TO, MERCHANTABILITY AND FIT-NESS FOR PURPOSE, WHETHER EXPRESS, IMPLIED, OR ARISING BYOPERATION OF LAW, TRADE USAGE, OR COURSE OF DEALING AREHEREBY DISCLAIMED.
NOTWITHSTANDING THE FOREGOING, THERE ARE NO WARRANTIESWHATSOEVER ON ITEMS BUILT OR ACQUIRED WHOLLY OR PARTIALLY,TO BUYER’S DESIGN OR SPECIFICATIONS.
5. Limitation of Remedy: SELLER’S LIABILITY ARISING FROM OR IN ANYWAY CONNECTED WITH THE ITEMS SOLD OR THIS CONTRACT SHALL BELIMITED EXCLUSIVELY TO REPAIR OR REPLACEMENT OF THE ITEMSSOLD OR REFUND OF THE PURCHASE PRICE PAID BY BUYER, ATSELLER’S SOLE OPTION. IN NO EVENT SHALL SELLER BE LIABLE FORANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES OF ANYKIND OR NATURE WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSTPROFITS ARISING FROM OR IN ANY WAY CONNECTED WITH THISAGREEMENT OR ITEMS SOLD HEREUNDER, WHETHER ALLEGED TOARISE FROM BREACH OF CONTRACT, EXPRESS OR IMPLIED WAR-RANTY, OR IN TORT, INCLUDING WITHOUT LIMITATION, NEGLIGENCE,FAILURE TO WARN OR STRICT LIABILITY.
6. Changes, Reschedules and Cancellations: Buyer may request to modifythe designs or specifications for the items sold hereunder as well as the quantitiesand delivery dates thereof, or may request to cancel all or part of this order,however, no such requested modification or cancellation shall become part of thecontract between Buyer and Seller unless accepted by Seller in a writtenamendment to this Agreement. Acceptance of any such requested modificationor cancellation shall be at Seller’s discretion, and shall be upon such terms andconditions as Seller may require.
7. Special Tooling: A tooling charge may be imposed for any special tooling,including without limitations, dies, fixtures, molds and patterns, acquired tomanufacture items sold pursuant to this contract. Such special tooling shall beand remain Seller’s property notwithstanding payment of any charges by Buyer.In no event will Buyer acquire any interest in apparatus belonging to Seller whichis utilized in the manufacture of the items sold hereunder, even if such apparatushas been specially converted or adapted for such manufacture and notwith-standing any charges paid by Buyer. Unless otherwise agreed, Seller shall havethe right to alter, discard or otherwise dispose of any special tooling or otherproperty in its sole discretion at any time.
8. Buyer’s Property: Any designs, tools, patterns, materials, drawings, confi-dential information or equipment furnished by Buyer, or any other items whichbecome Buyer’s property, may be considered obsolete and may be destroyedby Seller after two (2) consecutive years have elapsed without Buyer placing anorder for the items which are manufactured using such property. Seller shall notbe responsible for any loss or damage to such property while it is in Seller’spossession or control.
9. Taxes: Unless otherwise indicated on the face hereof, all prices and chargesare exclusive of excise, sales, use, property, occupational or like taxes whichmay be imposed by any taxing authority upon the manufacture, sale or deliveryof the items sold hereunder. If any such taxes must be paid by Seller or if Selleris liable for the collection of such tax, the amount thereof shall be in addition tothe amounts for the items sold. Buyer agrees to pay all such taxes or to reimburseSeller therefore upon receipt of its invoice. If Buyer claims exemption from anysales, use or other tax imposed by any taxing authority, Buyer shall save Sellerharmless from and against any such tax, together with any interest or penaltiesthereon which may be assessed if the items are held to be taxable.
10. Indemnity For Infringement of Intellectual Property Rights: Seller shallhave no liability for infringement of any patents, trademarks, copyrights, tradedress, trade secrets or similar rights except as provided in this Part 10. Seller willdefend and indemnify Buyer against allegations of infringement of U.S. patents,U.S. trademarks, copyrights, trade dress and trade secrets (hereinafter “Intellec-tual Property Rights”). Seller will defend at its expense and will pay the cost of anysettlement or damages awarded in an action brought against Buyer based on anallegation that an item sold pursuant to this contract infringes the IntellectualProperty Rights of a third party. Seller’s obligation to defend and indemnify Buyeris contingent on Buyer notifying Seller within ten (10) days after Buyer becomesaware of such allegations of infringement, and Seller having sole control over thedefense of any allegations or actions including all negotiations for settlement orcompromise. If an item sold hereunder is subject to a claim that it infringes theIntellectual Property Rights of a third party, Seller may, at its sole expense andoption, procure for Buyer the right to continue using said item, replace or modifysaid item so as to make it noninfringing, or offer to accept return of said item andreturn the purchase price less a reasonable allowance for depreciation. Notwith-standing the foregoing, Seller shall have no liability for claims of infringementbased on information provided by Buyer, or directed to items delivered hereunderfor which the designs are specified in whole or part by Buyer, or infringementsresulting from the modification, combination or use in a system of any item soldhereunder. The foregoing provisions of this Part 10 shall constitute Seller’s soleand exclusive liability and Buyer’s sole and exclusive remedy for infringement ofIntellectual Property Rights.
If a claim is based on information provided by Buyer or if the design for an itemdelivered hereunder is specified in whole or in part by Buyer, Buyer shall defendand indemnify Seller for all costs, expenses or judgements resulting from anyclaim that such item infringes any patent, trademark, copyright, trade dress, tradesecret or any similar right.
11. Force Majeure: Seller does not assume the risk of and shall not be liable fordelay or failure to perform any of Seller’s obligations by reason of circumstancesbeyond the reasonable control of Seller (hereinafter “Events of Force Majeure”).Events of Force Majeure shall include without limitation, accidents, acts of God,strikes or labor disputes, acts, laws, rules or regulations of any government orgovernment agency, fires, floods, delays or failures in delivery of carriers orsuppliers, shortages of materials and any other cause beyond Seller’s control.
12. Entire Agreement/Governing Law: The terms and conditions set forthherein, together with any amendments, modifications and any different terms orconditions expressly accepted by Seller in writing, shall constitute the entireAgreement concerning the items sold, and there are no oral or other represen-tations or agreements which pertain thereto. This Agreement shall be governedin all respects by the law of the State of Ohio. No actions arising out of sale of theitems sold hereunder or this Agreement may be brought by either party more thantwo (2) years after the cause of action accrues.

SERVICE NOTES:
• Use a clean lubricant (compatible with the working fluid) on all pump componentsduring assembly.
• Thoroughly clean the reservoir, suction lines, suction strainer, drain lines, etc., beforere-installing the pump. Most premature pump failures occur when contaminantsfrom a previous failure have not been completely removed from the system, orcause for previous failure is still present (i.e. water in oil, bypassing filter, etc.).
• Always fill the case with clean fluid before starting a new or serviced pump (fill ashigh as inlet port will allow on a PAVC style pump). For flooded suction, purge airfrom suction lines by cracking the inlet fitting or vent plug on pump body. This shouldprevent an airlock condition and allow for faster priming.
• Check for proper shaft rotation, if there is a possibility it may have changed duringa system rebuild.
• Start pump with an open circuit whenever possible. Reduce the compensator to itsminimum setting during start-up. Cycle the pump ON and OFF stroke while increasingthe compensator to its required setting. This will assist in break-in of new componentsand help purge air from the case.

Introduction:The PVP16 **** 12 series piston pumps are designed to provide long life while operating with HydraulicOil. Refer to catalog 1550/USA for limits. However, should maintenance be required, the followinginstructions should be used for disassembly, replacement of parts, cleaning and assembly.
Note:Prior to any pump disassembly, plug the open ports and clean all dirt from the outside of
the pump.
Prior to assembly all parts should be cleaned and then lightly coated with oil.

Service Notes & Basic Troubleshooting
Service Notes:
� Use a clean lubricant (compatible with the workingfluid) on all pump components during assembly.
� Most premature pump failures occur whencontaminants from a previous failure have not beenremoved from the system, or cause for previousfailure is still present (i.e. water in oil, filterbypassing, etc.)
� Thoroughly clean the reservoir, suction lines, suctionstrainer, drain lines, etc. before re-installing thepump.
� Always fill the pump case with clean fluid beforestarting a new or serviced pump for flooded suction,purge air from suction lines by cracking the inletfitting or vent plug on pump. This should prevent anairlock condition and allow for faster priming.
� Starting the pump slowly by jogging (or turning overengine without allowing it to start) will help the pumpprime and make it easier to determine when priminghas occurred.
� Start pump with an open circuit whenever possible.Reduce the compensator to it's minimum settingduring start-up. Cycle the pump on and off strokewhile increasing the compensator to its requiredsetting.This will assist in break-in of new components andhelp purge air from the case.
Basic Troubleshooting:
Pump Will Not Prime∆ Pump should prime within 30 seconds. If it does not,
STOP.∆ Check for proper drive rotation.∆ Make sure pump shaft is turning (i.e. key at coupling
hubs is engaged).∆ Make sure reservoir is full.∆ Check for major sources of a suction leak (vent plug
open, shaft seal missing (PAVC), flange not tight,pinched O-Ring at flange or pump housing.
Cannot Build Any Pressure∆ Make sure pump is primed.∆ Check alignment, especially on PAVC pumps
without "9" option.∆ Make sure systems is not an open circuit.
A pump produces flow, not pressure. It can onlylimit pressure when the system requirement is higherthan the pump compensator setting.
Can Only Build A Few Hundred PSI∆ Compensator is backed all the way out.∆ The remote or load sense line is vented.∆ Control orifice or spool is plugged.∆ Incorrect compensator spool (PVP).∆ Pressure control dart is lodged open.∆ Torque control plug is missing (PAVC).
Pump Will Not Compensate∆ Differential spring over-compressed (i.e. spring

Changes, Reschedules and Cancellations: Buyer may requestto modify the designs or specification for items sold hereunder as well as thequantities and delivery dates thereof, or may request to cancel all or part ofthis order, however, no such requested modification or cancellation shallbecome part of the contract between buyer and Seller unless accepted bySeller in written amendment to this Agreement. Acceptance of any suchrequested modification or cancellation shall be at Seller’s discretion, andshall be upon such terms and conditions as Seller may require.
7. Special Tooling: A tooling charge may be imposed for any specialtooling, including without limitation, dies, fixtures, molds and patterns,acquired to manufacture items sold pursuant to this contract. Such specialtooling shall be and remain Seller’s property notwithstanding payment of anycharges byBuyer, in no event will Buyer acquire any interest in apparatusbelonging to Seller which is utilized in the manufacture of the items soldhereunder, even if such apparatus has been specially converted or adaptedfor such manufacture and notwithstanding any charges paid by Buyer.Unless otherwise agreed, Seller shall have the right to alter, discard orotherwise dispose of any special tooling or other property in its solediscretion at any time.
8. Buyer’s property: Any designs, tools, patterns, materials,drawings. Confidential information or equipment furnished by buyer, orany other items which become Buyer’s property, may be consideredobsolete and may be destroyed by Seller after two (2) consecutive yearshave elapsed without Buyer placing an order for the items which aremanufactured using such property. Seller shall not be responsible for anyloss or damage to such property while it is in Seller‘s possession orcontrol.
9. Taxes: Unless otherwise indicated on the face hereof, all pricesand charges are exclusive of excise, sales, use, property, occupational orlike taxes which may be imposed by any taxing authority upon themanufacture, sale or delivery of the items sold hereunder. If any such taxesmust be paid by Seller or if Seller is liable for the collection of such tax, theamount hereof shall be in addition to amounts for the items sold. Buyeragrees to pay all such taxes or to reimburse Seller therefore upon receipt ofits invoice. If Buyer claims exemption from any sales, use or other taximposed by any taxing authority, Buyer shall save Seller harmless from andagainst any such tax together with any interest or penalties thereon whichmay be assessed if the items are held to be taxable.
10. Indemnity For Infringement of Intellectual Property Rights:Seller shall have no liability for infringement of any patents, trademarks,copyrights, trade dress, trade secrets or similar rights except as provided inthis Part 10. Seller will defend and indemnify Buyer against allegations ofinfringement of U.S. patents, U.S. Trademarks, copyrights, trade dressand trade secrets (hereinafter “Intellectual Property Rights). Seller willdefend at its expense and will pay the cost of any settlement or damagesawarded in an action brought against Buyer based on an allegation that anitem sold pursuant to this contract infringes the Intellectual Property Rightsof a third party. Seller’s obligation to defend and indemnify Buyer iscontingent on Buyer notifying Seller within ten (10) days after Buyerbecomes aware of such allegations of infringement, and Seller having solecontrol over the defense of any allegations or actions including allnegotiations for settlement or compromise. If an item sold hereunder issubject to a claim that it infringes the Intellectual Property Rights of a thirdparty, Seller may, at its sole expense and option, procure for Buyer theright to continue using said item, replace or modify said item so as tomake it noninfringing, or offer to accept return of said item and return thepurchase price less a reasonable allowance for depreciation. Notwith-standing the foregoing, Seller shall have no liability for claims ofinfringement based on information provided by Buyer, or directed to itemsdelivered hereunder for which the designs are specified in whole or part byBuyer, or infringements resulting from the modification, combination or usein a system of any item sold hereunder. The foregoing provisions of thisPart 10 shall constitute Seller’s sole and exclusive liability and buyer’s soleand exclusive remedy for infringement of Intellectual Property Rights.
If a claim is based on information provided by Buyer or if thedesign for an item delivered hereunder is specified in whole or in part byBuyer, buyer shall defend and indemnify Seller for all costs, expenses ofor judgments resulting from any claim that such item infringes any patent,trademark, copyright, trade dress, trade secret or any similar right.
11. Force Majeure: Seller does not assume the risk of and shallnot be liable for delay or failure to perform any of Seller’s obligations byreason of circumstances beyond the reasonable control of Seller (hereinaf-ter “Events of Force Majeure”). Events of Force Majeure shall includewithout limitation, accidents, acts of god, strikes or labor disputes, acts,laws, rules or regulations of any government or government agency, fires,floods, delays or failures in delivery of carries or suppliers, shortages ofmaterials and any other cause beyond Seller’s control.
12. Entire Agreement/Governing Law: The terms and conditionsset forth herein, together with any amendments, modifications and anydifferent terms or conditions expressly accepted by Seller in writing, shallconstitute the entire Agreement concerning the items sold, and there are nooral or other representation or agreements which pertain thereto. ThisAgreement shall be governed in all respects by the law of the State of Ohio.No actions arising out of the sale of the items sold hereunder or thisAgreement may be brought by either party more than two (2) years after thecause of action accrues.
The items described in this document and other documents or descriptions provided by Parker Hannifin Corporation, its subsidiaries and its authorized distributors arehereby offered for sale at prices to be established by Parker Hannifin Corporation, its subsidiaries and its authorized distributors. This offer and its acceptance by anycustomer (“Buyer”) shall be governed by all of the following Terms and Conditions. TRADEUSAGE, OR COURSE OF DEALING ARE HEREBY DISCLAIMED.
NOTWITHSTANDING THE FOREGOING, THERE ARE NO WARRAN-TIES WHATSOEVER ON ITEMS BUILT OR ACQUIRED WHOLLY ORPARTIALLY, TO BUYER’S DESIGNS OR SPECIFICATIONS.
5. Limitation of Remedy: SELLER’S LIABILITY ARISING FROMOR IN ANY WAY CONNECTED WITH THE ITEMS SOLD OR THIS CON-TRACT SHALL BE LIMITED EXCLUSIVELY TO REPAIR OR REPLACE-MENT OF THE ITEMS SOLD OR REFUND OF THE PURCHASE PRICEPAID BY BUYER, AT SELLER’S SOLE OPTION. IN NO EVENT SHALLSELLER BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL ORSPECIAL DAMAGES OF ANY KIND OR NATURE WHATSOEVER.INCLUDING BUT NOT LIMITED TO LOST PROFITS ARISING FROM OR INANY WAY CONNECTED WITH THIS AGREEMENT OR ITEMS SOLDHEREUNDER, WHETHER ALLEGED TO ARISE FROM BREACH OFCONTRACT, EXPRESS OR IMPLIED WARRANTY, OR IN TORT, INCLUD-ING WITHOUT LIMITATION, NEGLIGENCE, FAILURE TO WARN OR STRICTLIABILITY.
6. Changes, Reschedules and Cancellations: Buyer may requestto modify the designs or specification for items sold hereunder as well as thequantities and delivery dates thereof, or may request to cancel all or part ofthis order, however, no such requested modification or cancellation shallbecome part of the contract between buyer and Seller unless accepted bySeller in written amendment to this Agreement. Acceptance of any suchrequested modification or cancellation shall be at Seller’s discretion, andshall be upon such terms and conditions as Seller may require.
7. Special Tooling: A tooling charge may be imposed for anyspecial tooling, including without limitation, dies, fixtures, molds andpatterns, acquired to manufacture items sold pursuant to this contract. Suchspecial tooling shall be and remain Seller’s property notwithstandingpayment of any charges byBuyer, in no event will Buyer acquire anyinterest in apparatus belonging to Seller which is utilized in the manufac-ture of the items sold hereunder, even if such apparatus has been speciallyconverted or adapted for such manufacture and notwithstanding anycharges paid by Buyer. Unless otherwise agreed, Seller shall have the right
to alter, discard or otherwise dispose of any special tooling or otherproperty in its sole discretion at any time.
8. Buyer’s property: Any designs, tools, patterns, materials,drawings. Confidential information or equipment furnished by buyer, orany other items which become Buyer’s property, may be consideredobsolete and may be destroyed by Seller after two (2) consecutive yearshave elapsed without Buyer placing an order for the items which aremanufactured using such property. Seller shall not be responsible for anyloss or damage to such property while it is in Seller‘s possession or control.
9. Taxes: Unless otherwise indicated on the face hereof, all pricesand charges are exclusive of excise, sales, use, property, occupational orlike taxes which may be imposed by any taxing authority upon themanufacture, sale or delivery of the items sold hereunder. If any suchtaxes must be paid by Seller or if Seller is liable for the collection of suchtax, the amount hereof shall be in addition to amounts for the items sold.Buyer agrees to pay all such taxes or to reimburse Seller therefore uponreceipt of its invoice. If Buyer claims exemption from any sales, use orother tax imposed by any taxing authority, Buyer shall save Sellerharmless from and against any such tax together with any interest orpenalties thereon which may be assessed if the items are held to betaxable.
10. Indemnity For Infringement of Intellectual Property Rights:Seller shall have no liability for infringement of any patents, trademarks,copyrights, trade dress, trade secrets or similar rights except as provided inthis Part 10. Seller will defend and indemnify Buyer against allegationsof infringement of U.S. patents, U.S. Trademarks, copyrights, trade dressand trade secrets (hereinafter “Intellectual Property Rights). Seller willdefend at its expense and will pay the cost of any settlement or damagesawarded in an action brought against Buyer based on an allegation thatan item sold pursuant to this contract infringes the Intellectual PropertyRights of a third party. Seller’s obligation to defend and indemnify Buyeris contingent on Buyer notifying Seller within ten (10) days after Buyerbecomes aware of such allegations of infringement, and Seller havingsole control over the defense of any allegations or actions including allnegotiations for settlement or compromise. If an item sold hereunder issubject to a claim that it infringes the Intellectual Property Rights of a thirdparty, Seller may, at its sole expense and option, procure for Buyer theright to continue using said item, replace or modify said item so as tomake it noninfringing, or offer to accept return of said item and return thepurchase price less a reasonable allowance for depreciation. Notwith-standing the foregoing, Seller shall have no liability for claims ofinfringement based on information provided by Buyer, or directed to itemsdelivered hereunder for which the designs are specified in whole or partby Buyer, or infringements resulting from the modification, combination oruse in a system of any item sold hereunder. The foregoing provisions ofthis Part 10 shall constitute Seller’s sole and exclusive liability and buyer’ssole and exclusive remedy for infringement of Intellectual Property Rights.
If a claim is based on information provided by Buyer or if thedesign for an item delivered hereunder is specified in whole or in part byBuyer, buyer shall defend and indemnify Seller for all costs, expenses ofor judgments resulting from any claim that such item infringes any patent,trademark, copyright, trade dress, trade secret or any similar right.
11. Force Majeure: Seller does not assume the risk of and shallnot be liable for delay or failure to perform any of Seller’s obligations byreason of circumstances beyond the reasonable control of Seller(hereinafter “Events of Force Majeure”). Events of Force Majeure shallinclude without limitation, accidents, acts of god, strikes or labor disputes,acts, laws, rules or regulations of any government or government agency,fires, floods, delays or failures in delivery of carries or suppliers, shortagesof materials and any other cause beyond Seller’s control.
12. Entire Agreement/Governing Law: The terms and conditionsset forth herein, together with any amendments, modifications and anydifferent terms or conditions expressly accepted by Seller in writing, shallconstitute the entire Agreement concerning the items sold, and there areno oral or other representation or agreements which pertain thereto. ThisAgreement shall be governed in all respects by the law of the State ofOhio. No actions arising out of the sale of the items sold hereunder or thisAgreement may be brought by either party more than two (2) years afterthe cause of action accrues.
The items described in this document and other documents or descriptions provided by Parker Hannifin Corporation, its subsidiaries and its authorized distributorsare hereby offered for sale at prices to be established by Parker Hannifin Corporation, its subsidiaries and its authorized distributors. This offer and itsacceptance by any customer (“Buyer”) shall be governed by all of the following Terms and Conditions. Buyer’s order for any such item, when communicated toParker Hannifin Corporation, its subsidiary or an authorized distributor (“Seller”) verbally or in writing, shall constitute acceptance of this offer.

Taxes: Unless otherwise indicated on the face hereof, all prices andcharges are exclusive of excise, sales, use, property, occupational or liketaxes which may be imposed by any taxing authority upon the manufac-ture, sale or delivery of the items sold hereunder. If any such taxes mustbe paid by Seller or if Seller is liable for the collection of such tax, the amountthereof shall be in addition to the amounts for the items sold. Buyer agreesto pay all such taxes or to reimburse Seller therefore upon receipt of itsinvoice. If Buyer claims exemption from any sales, use or other tax imposedby any taxing authority, Buyer shall save Seller harmless from and againstany such tax, together with any interest or penalties thereon which maybe assessed if the items are held to be taxable.10. Indemnity For Infringement of Intellectual Property Rights: Sellershall have no liability for infringement of any patents, trademarks,copyrights, trade dress, trade secrets or similar rights except as providedin this Part 10. Seller will defend and indemnify Buyer against allegationsof infringement of U.S. Patents, U.S. Trademarks, copyrights, trade dressand trade secrets (hereinafter ‘Intellectual Property Rights’). Seller willdefend at its expense and will pay the cost of any settlement or damagesawarded in an action brought against Buyer based on an allegation thatan item sold pursuant to this contract infringes the Intellectual PropertyRights of a third party. Seller’s obligation to defend and indemnify Buyeris contingent on Buyer notifying Seller within ten (10) days after Buyerbecomes aware of such allegations of infringement, and Seller having solecontrol over the defense of any allegations or actions including allnegotiations for settlement or compromise. If an item sold hereunder issubject to a claim that it infringes the Intellectual Property Rights of a thirdparty, Seller may, at its sole expense and option, procure for Buyer theright to continue using said item, replace or modify said item so as to makeit noninfringing, or offer to accept return of said item and return thepurchase price less a reasonable allowance for depreciation. Notwith-standing the foregoing, Seller shall have no liability for claims of infringe-ment based on information provided by Buyer, or directed to itemsdelivered hereunder for which the designs are specified in whole or partby Buyer, or infringements resulting from the modification, combination oruse in a system of any item sold hereunder. The foregoing provisions ofthis Part 10 shall constitute Seller’s sole and exclusive liability and Buyer’ssole and exclusive remedy for infringement of Intellectual Property Rights.If a claim is based on information provided by Buyer or if the design foran item delivered hereunder is specified in whole or in part by Buyer, Buyershall defend and indemnify Seller for all costs, expenses or judgmentsresulting from any claim that such item infringes any patent, trademark,copyright, trade dress, trade secret or any similar right.11. Force Majeure: Seller does not assume the risk of and shall not beliable for delay or failure to perform any of Seller’s obligations by reasonof circumstances beyond the reasonable control of Seller (hereinafter‘Events of Force Majeure’). Events of Force Majeure shall include withoutlimitation, accidents, acts of God, strikes or labor disputes, acts, laws, rulesor regulations of any government or government agency, fires, floods,delays or failures in delivery of carriers or suppliers, shortages of materialsand any other cause beyond Seller’s control.12. Entire Agreement/Governing Law: The terms and conditions setforth herein, together with any amendments, modifications and anydifferent terms or conditions expressly accepted by Seller in writing, shallconstitute the entire Agreement concerning the items sold, and there areno oral or other representations or agreements which pertain thereto. ThisAgreement shall be governed in all respects by the law of the State of Ohio.No actions arising out of the sale of the items sold hereunder or thisAgreement may be brought by either party more than two (2) years afterthe cause of action accrues.

Terms and Conditions of Sale: All descriptions, quotations, proposals,offers, acknowledgments, acceptances and sales of Seller’s products aresubject to and shall be governed exclusively by the terms and conditionsstated herein. Buyer’s acceptance of any offer to sell is limited to theseterms and conditions. Any terms or conditions in addition to, or inconsis-tent with those stated herein, proposed by Buyer in any acceptance ofan offer by Seller, are hereby objected to. Regardless of the method of delivery,however, risk of loss shall pass to Buyer upon Seller’s delivery to a carrier.Any delivery dates shown are approximate only and Seller shall have noliability for any delays in delivery.4. Warranty: Seller warrants that the items sold hereunder shall be freefrom defects in material or workmanship for a period of 18 months fromdate of shipment from Parker Hannifin Corporation. THIS WARRANTYCOMPRISES THE SOLE AND ENTIRE WARRANTY PERTAINING TOITEMS PROVIDED HEREUNDER. SELLER MAKES NO OTHER WAR-RANTY, GUARANTEE, OR REPRESENTATION OF ANY KIND WHAT-SOEVER. Changes, Reschedules and Cancellations: Buyer may request tomodify the designs or specifications for the items sold hereunder as wellas the quantities and delivery dates thereof, or may request to cancel allor part of this order, however, no such requested modification orcancellation shall become part of the contract between Buyer and Sellerunless accepted by Seller in a written amendment to this Agreement.Acceptance of any such requested modification or cancellation shall beat Seller’s discretion, and shall be upon such terms and conditions asSeller may require.7. Special Tooling: A tooling charge may be imposed for any specialtooling, including without limitation, dies, fixtures, molds and patterns,acquired to manufacture items sold pursuant to this contract. Such specialtooling shall be and remain Seller’s property notwithstanding payment ofany charges by Buyer. In no event will Buyer acquire any interest inapparatus belonging to Seller which is utilized in the manufacture of theitems sold hereunder, even if such apparatus has been speciallyconverted or adapted for such manufacture and notwithstanding anycharges paid by Buyer. The items described in this document and other documents or descriptions provided by Parker Hannifin Corporation, its subsidiaries and its authorizeddistributors are hereby offered for sale at prices to be established by Parker Hannifin Corporation, its subsidiaries and its authorized distributors. Thisoffer and its acceptance by any customer ("Buyer") shall be governed by all of the following Terms and Conditions. Buyer’s order for any such items,when communicated to Parker Hannifin Corporation, its subsidiary or an authorized distributor ("Seller") verbally or in writing, shall constitute acceptanceof this offer.

Buyer’s Property: Any designs, tools, patterns, materials, drawings,confidential information or equipment furnished by Buyer or any otheritems which become Buyer’s property, may be considered obsolete andmay be destroyed by Seller after two (2) consecutive years have elapsedwithout Buyer placing an order for the items which are manufactured usingsuch property, Seller shall not be responsible for any loss or damage tosuch property while it is in Seller’s possession or control.9. Taxes: Unless otherwise indicated on the face hereof, all prices andcharges are exclusive of excise, sales, use, property, occupational or liketaxes which may be imposed by any taxing authority upon the manufac-ture, sale or delivery of the items sold hereunder. If any such taxes mustbe paid by Seller or if Seller is liable for the collection of such tax, the amountthereof shall be in addition to the amounts for the items sold. Buyer agreesto pay all such taxes or to reimburse Seller therefore upon receipt of itsinvoice. If Buyer claims exemption from any sales, use or other tax imposedby any taxing authority, Buyer shall save Seller harmless from and againstany such tax, together with any interest or penalties thereon which maybe assessed if the items are held to be taxable.10. Indemnity For Infringement of Intellectual Property Rights: Sellershall have no liability for infringement of any patents, trademarks,copyrights, trade dress, trade secrets or similar rights except as providedin this Part 10. Seller will defend and indemnify Buyer against allegationsof infringement of U.S. Patents, U.S. Trademarks, copyrights, trade dressand trade secrets (hereinafter ‘Intellectual Property Rights’). Seller willdefend at its expense and will pay the cost of any settlement or damagesawarded in an action brought against Buyer based on an allegation thatan item sold pursuant to this contract infringes the Intellectual PropertyRights of a third party. Seller’s obligation to defend and indemnify Buyeris contingent on Buyer notifying Seller within ten (10) days after Buyerbecomes aware of such allegations of infringement, and Seller having solecontrol over the defense of any allegations or actions including allnegotiations for settlement or compromise. If an item sold hereunder issubject to a claim that it infringes the Intellectual Property Rights of a thirdparty, Seller may, at its sole expense and option, procure for Buyer theright to continue using said item, replace or modify said item so as to makeit noninfringing, or offer to accept return of said item and return thepurchase price less a reasonable allowance for depreciation. Notwith-standing the foregoing, Seller shall have no liability for claims of infringe-ment based on information provided by Buyer, or directed to itemsdelivered hereunder for which the designs are specified in whole or partby Buyer, or infringements resulting from the modification, combination oruse in a system of any item sold hereunder. The foregoing provisions ofthis Part 10 shall constitute Seller’s sole and exclusive liability and Buyer’ssole and exclusive remedy for infringement of Intellectual Property Rights.If a claim is based on information provided by Buyer or if the design foran item delivered hereunder is specified in whole or in part by Buyer, Buyershall defend and indemnify Seller for all costs, expenses or judgmentsresulting from any claim that such item infringes any patent, trademark,copyright, trade dress, trade secret or any similar right.11. Force Majeure: Seller does not assume the risk of and shall not beliable for delay or failure to perform any of Seller’s obligations by reasonof circumstances beyond the reasonable control of Seller (hereinafter‘Events of Force Majeure’). Events of Force Majeure shall include withoutlimitation, accidents, acts of God, strikes or labor disputes, acts, laws, rulesor regulations of any government or government agency, fires, floods,delays or failures in delivery of carriers or suppliers, shortages of materialsand any other cause beyond Seller’s control.12. Entire Agreement/Governing Law: The terms and conditions setforth herein, together with any amendments, modifications and anydifferent terms or conditions expressly accepted by Seller in writing, shallconstitute the entire Agreement concerning the items sold, and there areno oral or other representations or agreements which pertain thereto. ThisAgreement shall be governed in all respects by the law of the State of Ohio.No actions arising out of the sale of the items sold hereunder or thisAgreement may be brought by either party more than two (2) years afterthe cause of action accrues.

1. Terms and Conditions of Sale: All descriptions, quotations, proposals,offers, acknowledgments, acceptances and sales of Seller’s products aresubject to and shall be governed exclusively by the terms and conditionsstated herein. Buyer’s acceptance of any offer to sell is limited to theseterms and conditions. Any terms or conditions in addition to, or inconsis-tent with those stated herein, proposed by Buyer in any acceptance ofan offer by Seller, are hereby objected to. No such additional, differentor inconsistent terms and conditions shall become part of the contractbetween Buyer and Seller unless expressly accepted in writing by Seller.Seller’s acceptance of any offer to purchase by Buyer is expresslyconditional upon Buyer’s assent to all the terms and conditions statedherein, including any terms in addition to, or inconsistent with thosecontained in Buyer’s offer, Acceptance of Seller’s products shall in allevents constitute such assent.2. Payment: Payment shall be made by Buyer net 30 days from the dateof delivery of the items purchased hereunder. Amounts not timely paidshall bear interest at the maximum rate permitted by law for each monthor portion thereof that the Buyer is late in making payment. Any claimsby Buyer for omissions or shortages in a shipment shall be waived unlessSeller receives notice thereof within 30 days after Buyer’s receipt of theshipment.3. Delivery: Unless otherwise provided on the face hereof, delivery shallbe made F.O.B. Seller’s plant. Regardless of the method of delivery,however, risk of loss shall pass to Buyer upon Seller’s delivery to a carrier.Any delivery dates shown are approximate only and Seller shall have noliability for any delays in delivery.4. Warranty: Seller warrants that the items sold hereunder shall be freefrom defects in material or workmanship for a period of 18 months fromdate of shipment from Parker Hannifin Corporation. THIS WARRANTYCOMPRISES THE SOLE AND ENTIRE WARRANTY PERTAINING TOITEMS PROVIDED HEREUNDER. SELLER MAKES NO OTHER WAR-RANTY, GUARANTEE, OR REPRESENTATION OF ANY KIND WHAT-SOEVER. ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITEDTO, MERCHANTABILITY AND FITNESS FOR PURPOSE, WHETHEREXPRESS, IMPLIED, OR ARISING BY OPERATION OF LAW, TRADEUSAGE, OR COURSE OF DEALING ARE HEREBY DISCLAIMED.NOTWITHSTANDING THE FOREGOING, THERE ARE NO WARRAN-TIES WHATSOEVER ON ITEMS BUILT OR ACQUIRED WHOLLY ORPARTIALLY, TO BUYER’S DESIGNS OR SPECIFICATIONS.5. Limitation Of Remedy: SELLER’S LIABILITY ARISING FROM OR INANY WAY CONNECTED WITH THE ITEMS SOLD OR THIS CONTRACTSHALL BE LIMITED EXCLUSIVELY TO REPAIR OR REPLACEMENT OFTHE ITEMS SOLD OR REFUND OF THE PURCHASE PRICE PAID BYBUYER, AT SELLER’S SOLE OPTION. IN NO EVENT SHALL SELLERBE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL OR SPECIALDAMAGES OF ANY KIND OR NATURE WHATSOEVER, INCLUDINGBUT NOT LIMITED TO LOST PROFITS ARISING FROM OR IN ANY WAYCONNECTED WITH THIS AGREEMENT OR ITEMS SOLD HEREUNDER,WHETHER ALLEGED TO ARISE FROM BREACH OF CONTRACT,EXPRESS OR IMPLIED WARRANTY, OR IN TORT, INCLUDING WITH-OUT LIMITATION, NEGLIGENCE, FAILURE TO WARN OR STRICTLIABILITY.6. Changes, Reschedules and Cancellations: Buyer may request tomodify the designs or specifications for the items sold hereunder as wellas the quantities and delivery dates thereof, or may request to cancel allor part of this order, however, no such requested modification orcancellation shall become part of the contract between Buyer and Sellerunless accepted by Seller in a written amendment to this Agreement.Acceptance of any such requested modification or cancellation shall beat Seller’s discretion, and shall be upon such terms and conditions asSeller may require.7. Special Tooling: A tooling charge may be imposed for any specialtooling, including without limitation, dies, fixtures, molds and patterns,acquired to manufacture items sold pursuant to this contract. Such specialtooling shall be and remain Seller’s property notwithstanding payment ofany charges by Buyer. In no event will Buyer acquire any interest inapparatus belonging to Seller which is utilized in the manufacture of theitems sold hereunder, even if such apparatus has been speciallyconverted or adapted for such manufacture and notwithstanding anycharges paid by Buyer. Unless otherwise agreed, Seller shall have the
