The Company

The Zumtobel Group is a leading global player offering innovative, high-quality lighting solutions and lighting components. The Group pursues a multi-brand strategy and offers its customers around the world a comprehensive range of products and services with its three internationally established brands, Thorn, Tridonic and Zumtobel, and its two smaller brands, acdc and Reiss. In the lighting business the Group with its Thorn, Zumtobel and acdc brands is the European market leader. The Reiss brand supplies OEMs with luminaires with a higher degree of protection.

The product portfolios of the Thorn, Zumtobel, acdc and Reiss brands are marketed by a single sales organisation. The sales function plays a key role in the Zumtobel Group’s business model. The Group had 1,943 employees working in this area during the 2015/16 reporting year. The restructuring of sales to implement a multi-brand strategy focused on the various target groups allows the Zumtobel Group to meet and optimally cover the diverse needs of its customers. This allows customers to profit from a very broad product portfolio across the full range of applications in professional indoor and outdoor lighting, including lighting control components and systems.

In the components sector, through its Tridonic subsidiary the Zumtobel Group applies proven electronics and software expertise to create innovative system solutions that incorporate the latest technology trends. Tridonic supplies luminaire manufacturers across the globe with control gear, lighting management systems and LED modules. The Zumtobel Group is focusing on a common product development and platform strategy that will lead to the use of the same components (above all from the Group’s Tridonic components subsidiary) in various Thorn, Zumtobel, Reiss and acdc lighting products. This maximises synergies, reduces costs and strengthens the Group’s innovation power.

The Zumtobel Group has created the basis to offer its customers innovative services and will increasingly rely on new business models. With its “NOW“ programme, the company is offering its customers light as a service for a monthly rate. This innovative sales approach is based on professional project management and flexible service contracts that allow customers to delegate the issue of light to the Zumtobel Group as an experienced partner, starting with a needs analysis and continuing through planning and financing all the way to installation and maintenance of the lighting solution.

Market position

With production plants and sales activities around the world, the Zumtobel Group is one of the few global players in the lighting industry. Some 80 percent of the Group’s revenues are generated in Europe, its most important market. The European professional lighting industry is highly fragmented, and the ten largest European luminaire producers cover roughly 45% of the total market. In this fragmented market, the Zumtobel Group – with its internationally established Thorn and Zumtobel brands and the smaller Reiss and acdc brands – holds a leading position.

In contrast, the global conventional component sector shows a higher degree of consolidation. In the LED module and LED converter segments, however, many new suppliers have been pushing into the market for several years now, primarily from Asia. The Zumtobel Group’s Tridonic brand is a global leader in cont-rol gear and lighting control systems.

At the Zumtobel Group, cooperation between the Lighting and Components Segments, above all in the area of research and development, leads to increased opportunities for differentiation from the competiti-on. With its multi-brand strategy, comprehensive product portfolio and multi-channel market access, the Zumtobel Group is well placed to continue expanding its market position during the technology shift to LEDs. In addition, the Group profits from its strong technology position, long-standing customer relations and combined expertise in lighting applications.

The Group sees a further focal point and significant opportunities in the area of “connected lighting“. Light is predestined to become a key element for the infrastructure of the Internet of Things (IoT). Lighting iseverywhere, integrated and digital. Together with external partners, the Zumtobel Group is investiga-ting the combination of lighting and the IoT. The Internet of Light will make new and better experiences possible for the retail trade, buildings and cities and therefore offers a wide range of opportunities for the development of innovative business models. The Zumtobel Group is therefore systematically working to expand its expertise in the areas of software, connectivity and IoT.

The business divisions

The four brands – Thorn, Tridonic, Zumtobel and acdc – are organised as business divisions. Theresponsibility for special products is centred in a fifth division “Special Purpose Products (SPP)”. It includes,above all, externally manufactured products, the Reiss portfolio with its focus on high protection productswhich are now also marketed through the global sales organisation as well as merchandise and OEM brands for the Group’s wholesale partners. The goals of each business division are to drive the strategicdevelopment of the product portfolio, to strengthen the brand profile and to ensure that customers’ needs are exactly met. The heads of the business divisions are responsible for profit and loss as well as for the entire logistics process, from customer specifications to delivery of the finished product.

Tridonic

Tridonic is a globally active brand providing solutions to make lighting smart, connected and efficient. The brand offers a holistic architecture of high quality, reliable and energy-efficient hardware and software. In addition to producing components and system solutions for the Group’s Thorn and Zumtobel brands, Tri-donic serves as an OEM (Original Equipment Manufacturer) supplier to luminaire manufacturers worldwi-de, generating around 80 percent of its sales outside the Zumtobel Group. Customers appreciate Tridonic‘s ability as an innovative and competent partner to make their lighting smarter, more exciting and more sustainable. More than 2,500 patents testify to Tridonic’s innovative strength. The present-day Zumtobel Group originated as Elektrogeräte und Kunstharzpresswerk W. Zumtobel KG, which was founded in Dornbirn, Austria, in 1950. In the decades that followed, the Zumtobel family – represented initially by the founder Dr. Walter Zumtobel then by his two sons Jürg and Fritz Zumtobel – pursued the continuous expansion of the company‘s business, particularly in the German-speaking markets, through a mixture of organic growth and minor acquisitions.

From an early stage the Zumtobel organisation was geared to achieving profitable growth. As early as 1976 this family-owned company was converted into a joint stock corporation (Aktiengesellschaft), before in 1991 the two divisions – luminaires and lighting components – were restructured as legally autono-mous subgroups.

The 1990s were marked by further growth: Key milestones during this period were the acquisition of the German luminaire manufacturer Staff in 1994/96 and the takeover of the UK-based Thorn Lighting Group in 2000. These steps enabled the Zumtobel Group to almost double its revenues, as well as strategically enhancing its market presence.

The new millennium brought the beginning of a new era for the Zumtobel Group, as LED technology was first used in smaller areas of application and then throughout the professional lighting industry. As early as 2001, Tridonic in Jennersdorf began development and production of LED components and modules. Today the plant serves as a centre of competence for LED technology for the entire Zumtobel Group. The transformation from conventional lighting sources to LED has, for the most part, been completed: the LED share of Group revenues reached 63.4% in 2015/16, and nearly all of the new products introduced during the reporting year are equipped with energy-efficient LEDs.

After decades of expansion that had transformed this former family-owned company into a global player, the next logical step was to obtain a listing on the Vienna Stock Exchange. The Zumtobel Group’s initial public offering on 12 May 2006 followed the decision of U.S. private equity firm Kohlberg, Kravis and Roberts (KKR), which had acquired a stake in the Group during the takeover of Thorn Lighting, to sell its shares.

In December 2013 Ulrich Schumacher, the new CEO of the Zumtobel Group, rolled out a new organisati-onal structure which built on synergies and led to improved market cultivation based on a multi-brand approach. All of the Lighting Segment brands are now marketed by a joint sales organisation. The Tridonic components subsidiary allows the Zumtobel Group to follow an internal platform strategy, using the same components in Thorn, Zumtobel, acdc and Reiss luminaires. The procurement volumes for the entire Group have also been bundled in a central purchasing department. This maximises synergies in producti-on, sales and development, reduces costs and boosts innovative strength.

The increased cooperation between the brands in the joint sales organisation has allowed the Zumto-bel Group to establish a strong market position over the last two years. Today, the Zumtobel Group is concentrating on the expansion of its expertise in the areas of intelligent controls, data management and software development as well as the expansion of the service business and innovative business models.

At the Light + Building trade fair in spring 2016, the Zumtobel Group and its brands presented their first product portfolio for private consumers. This launch expands the current business area in close connection with the Group’s partners – electricians / electrical systems planners – to also cover the demanding area of residential lighting (“Living“).

After the reorientation of the lighting industry to focus on LED, the issue of “connectivity“, meaning intel-ligent and Internet-linked lighting, represents the next major phase in the technological transformation. The Zumtobel Group will bundle its resources, including activities related to the Internet of Things (IoT), in a separate business division “Controls & Systems (C&S)“ starting on 1 May 2016.

Ulrich Schumacher was born in 1958 in Bergisch Gladbach, Germany. He took up his post as Chief Exe-cutive Officer of the Zumtobel Group in October 2013. In 1986 Ulrich Schumacher launched his career at Siemens, where he was responsible for the semi-conductor business starting in 1996. In 1998 he was ap-pointed to the managing board of Siemens AG. Between 2000 and 2004 he took the carved-out Siemens Semiconductor Group public, renamed as Infineon Technologies AG. On leaving the company in 2004 he became a partner in Francisco Partners, a U.S. private equity firm. From 2007 to 2011 Ulrich Schumacher was CEO and President of Grace Semiconductor Manufacturing Corporation in Shanghai. Since then he has held several board positions and provided consultancy services to technology companies.

Academic Background

Ulrich Schumacher studied Electrical Engineering at the RWTH Aachen, Germany and completed a PhD in this field. He also studied Business Administration.

Karin Sonnenmoser, who was born in 1969 in Biberach an der Riss (Germany), took over the job of Chief Financial Officer in the Zumtobel Group AG Board on 1 May 2014. She started her career at Volkswagen AG in 1995 and has held numerous positions in Group Finance. From 2002 to 2006, she was the head of the General Secretariat for the Volkswagen Brand Group and was also the General Secretary of the CEO of Volkswagen AG in this position. During the period from 2007 to 2010 she was initially appointed Mana-ging Director and subsequently Chair of the Management Board of AutoVision GmbH. Following till 2014, Sonnenmoser held the position of Managing Director of Finance and Controlling at Volkswagen Sachsen GmbH, Gläserne Manufaktur GmbH and Volkswagen Bildungsinstitut GmbH in Zwickau.

Alfred Felder was born in South Tyrol in 1963 and, prior to his appointment as COO of the Zumtobel Group, held the post of CEO of Tridonic from November 2012 to March 2016. His professional career began in 1990, when he was a Project Manager in the R&D Department at Siemens. He held various specialist and management positions there up until 2003, including in the central Siemens R&D Department in Germany, as well as at Infineon in Japan. In September 2003, Felder moved within the Siemens group to Osram and occupied various management positions in the OLED and LED Technology divisions. Before becoming part of the Zumtobel Group, he was the Senior Vice President Sales, with global responsibility for Osram‘s General Lighting sales activities.

Alfred Felder obtained a doctorate in the field of Electrical Engineering at the Vienna University of Technology.

Klaus Vamberszky was born in 1961 in St. Pölten, Austria. He began his career as a luminaire designer at Zumtobel Licht GmbH in 1985. Since then, Klaus Vamberszky has held various positions in the areas of research, development and marketing within the Zumtobel Group. He was appointed EVP Technology for the Zumtobel Group in October 2009 and subsequently named CTO of the Group. In this function, Klaus Vamberszky is responsible for the ongoing technological development of the Zumtobel Group and the coordination of the technological approaches followed by Tridonic as a manufacturer of components and Thorn and Zumtobel as producers of luminaires.

Michael Ball was born in Hamburg in 1973 and worked as a Partner at McKinsey & Company, Inc. be-fore joining the Zumtobel Group. Christoph Mathis was born in 1968 in Bregenz/Vorarlberg, Austria and has been EVP of the Business Division Zumtobel since January 2016. He began his career at HEAD sports equipment in 1995 and after a short time became a project manager at Zumtobel Lighting. Over the years, Christoph Mathis has passed through many stations within the group. This includes as stint as head of product management in Dorn-birn and Usingen before taking over international coordination of new product launches as Launch Ma-nagement Director of the Thorn and Zumtobel brands in 2005. From 2009 until 2014, he managed Global Application, Product & Launch Management at Zumtobel and worked in the same role for the Thorn brand from 2014 until 2016.

Gareth Frankland has over 20 years’ experience leading acdc, a dynamic SME in the fast-moving LED ligh-ting sector. Not only has Gareth grown the business from a small start-up LED company to a significant global player in architectural LED lighting, he also pioneered the company’s international development, setting up offices in London, Dubai and the USA. Thorn

Thorn has provided new lighting for three of the stadiums hosting Euro 2016 in the run-up to the tournament. A key factor here was the stringent requirements imposed by UEFA for TV broadcasts. Thorn floodlights are in use at Geoffroy-Guichard stadium in Saint-Étien-ne, at the “Stade des Lumières” (Stadium of Light) in Lyon and at the Allianz-Riviera stadium in Nice. In the lighting for the Euro 2016 stadiums the primary concern was to comply with UEFA’s guidelines for TV broadcasts in full. At the same time offering various lighting modes was also very important. Thorn can draw on decades of experience in sports venue lighting.

As one of the most modern and dynamic schools in the country, Skive Business College in Denmark has most recently extended its facilities with a new wing comprising 15 new classrooms and shared facilities. To illuminate the new wing the college chose Thorn LED luminaires with a combination of Omega LED fixtures in classrooms and Chalice LED fixtures in the corridors. The lighting had to be efficient and work well for both students and teachers.

For the City of Copenhagen, Thorn developed a customised lantern (Thor) which is connected to the city’s central management system. Thorn installed 10,000 smart street lights that automatically adapt lighting levels to traffic density, The pioneering lighting solution offers enhanced safety as well as comfort and better lighting quality and leads to energy safings up to 60%.

Zumtobel

St Martin Tower marks a huge step forward in the development of the Frankfurt office scene, both in terms of the architecture and the lighting solution. Incorporating a total rental area of more than 24,000 sq, this is where LED luminaires from Zumtobel systemati-cally provide coordinated light at the workplace and help create an inspiring atmosphere throughout the building. The flexible interior design naturally placed high demands on the lighting solution, which was developed by the architects msm meyer schmitz-morkramer in cooperation with Zumtobel. Traditional priorities such as functionality and task-oriented spaces shared equal weighting with new aspects like optimised working environments and the associated wellbeing of people who use the building.

Zumtobel let designer store shine in new light in the historic centre of the Belgian town of Antwerp. The design of the shop proved to be a major challenge. On the one hand, every aspect of the plans, including the LED lighting solution from Zumtobel, had to meet the strict requirements of the Tokyo-based fashion brand. On the other hand, the issue of historic preservation placed the emphasis firmly on improvisation, as the 300-square-metre venue is housed in a buil-ding from the 16th century. Enthralling lighting effects designed to follow a subtle dramatic scheme draw attention to the store, creating a feel-good atmosphere and helping extend the amount of time that the customer is likely to spend browsing.

Zumtobel illuminates the new constructed Sägerbrücke bridge in Dornbirn by using a customised LED outdoor solution. With SUPER-SYSTEM outdoor it was possible to achieve a completely uniform illumination of the entire surface and maximum visual comfort for the bridge and the “Do.Helix” installation crafted by the artist Hubert Lampert. The precise light distribution helps avoid unnecessary light pollution, mean that the lighting solutions represents an extremely energy-efficient choice. The minimalist design language of the pro-duct delivers high visual quality without taking centre stage, so that both the architecture of the “island bridge” and the sculpture in the centre can be fully appreciated.

When Lead Designer James Sultan and the lighting design team of Studio Lux, LLC in Seattle designed the lighting for the newest Por-sche dealership in this discerning area of Bellevue, they were looking for a fully integrated and flexible LED lighting solution to illuminate the displayed automobiles in the area right inside the showroom, with the objective to really make them sparkle in all their beauty. acdc 360+ delivered just what was needed. The quality and ease of usage of acdc’s 360+ made it a perfect choice for this exquisitely designed Porsche dealership.

As a new addition to the Zumtobel Group, at the light+building fair 2016 acdc presented an extensive portfolio of innovative luminaires which bring life to buildings. Three new products were presented for the first time: The Fusion spotlight, the Blade family for outdoor con-tinuous row lighting systems as well as the Novus downlight which sets new standards on the market with exceptional vertical perfor-mance. The atmospheric centrepiece of the presentation was the bar, lit by acdc, which acted as a central meeting point at the stand and was illuminated in various colours.

Knightsbridge Estate comprises over 500 years of architectural herita-ge. The challenge for lighting designers GIA Equation was to develop a lighting scheme that would create a sense of unity while retaining the Estate’s elegance. To achieve this, acdc produced a specially adapted Plaza flood fitting, along with adapted versions of Blade and Fino linear. Independent levels of 2700K and 6000K colour tempe-ratures were created for different scenes and a DMX onboard driver was installed for individual luminaire control. acdc installed multiple optics within Plaza, including a narrow 12 degree beam to punch up the height of columns and 18 degree beam to wash the base of the columns and blend the two colour temperatures.

Reference projects with combined brand offer

With a combined product offer from Zumtobel and Thorn including Tridonic components, the infrastructure of King Abdulaziz Int. Airport in Jeddah is ready for the requirements of the 21st century. For Zum-tobel and Thorn, the airport is a joint success story. Among others, 50,000 units of the Thorn X-Force moisture-proof luminaire were used. Hence, this was the biggest single contract for this product so far. In addition, PRISMA and COLLEGE surface-mounted and pendant luminaires as well as TITUS industrial luminaires by Thorn were in-stalled. The lighting solution was rounded off by TUBILUX luminaires and LED emergency luminaires by Zumtobel. The contract volume of the Jeddah Airport project amounts to some 7 million US dollars.

A combined package of Zumtobel and Thorn products provides for the lighting system of the ten-storey Mästerhuset financial centre in Stockholm. The heart of the lighting solution is formed by more than 1000 Zumtobel MELLOW LIGHT V office luminaires. Other Zumtobel products used include KAVA wall-mounted luminaires, CARDAN LED recessed luminaires, DISCUS evolution spotlights as well as an emer-gency lighting solution consisting of RESCLITE and COMSIGN. From the Thorn portfolio, PRISMA surface-mounted and pendant luminai-res as well as OMEGA LED recessed luminaires were chosen.

The cooperation between Thorn and Zumtobel has enabled the Zumtobel Group to implement a comprehensive lighting solution for indoor and outdoor lighting of the public hospital AZ Damiaan in Ostend, Belgium. In collaboration with the artist Luk Van Soom, an artistic outdoor lighting concept was implemented using Thorn luminaires. For indoor lighting, Zumtobel products were used. The contract volume of the AZ Damiaan Ostend project amounts to some 835,000 euros.
