STUDY SESSION 4:30 p.m. – Bond Proposals CALL TO ORDER President Lehrman called the meeting to order at 6:32 p.m. followed by an opening statement on policy and procedure. He also invited the public to the next board meeting, May 10 to get more information on bond options at a 4:30 Study Session. He also invited juniors and seniors to apply for the 2016-17 student board representative position. FLAG SALUTE Mr. Lehrman introduced Stevens Middle School Principal Charlotte Stingley who then introduced students Emy Fraire (Ariel) and Osmar Villa Frayre (Flounder) from the cast of upcoming Stevens’ performance of “The Little Mermaid.” The students then led the flag salute. Student representatives Bergstrom, Mojica and Mendoza presented each student with a Pride of Pasco pin. The students introduced their family members who were present and invited everyone to attend their performance Friday and Saturday night. SPECIAL RECOGNITION On behalf of the board and in honor of Teacher Appreciation Week, May 2-6 and National Teacher Day, May 3, Ms. Caul honored nine Pasco teachers who earned their National Board Certification this year. Those present to be recognized were Colt Nickel, Angela Rose, Jeff Spaur, Jennifer Spaur and Julie Stadelman. The board took a short break to recognize the teachers with cake and punch and returned to open session at 6:53 p.m. APPROVAL OF MINUTES Ms. Lancon moved to approve the minutes of the regular meeting of April 12, 2016 as presented. Mr. Christensen seconded the motion; the motion carried. AGENDA REVIEW Mrs. Whitney announced that there would be an executive session according to RCW 42.30.110(1)(b). AUDIENCE COMMENTS Mr. Lehrman explained that after each report the audience may ask questions or make comments on those topics and they are welcome at that time. He opened the floor for comments on any other topics. There were no audience comments at this time. COMMUNICATIONS Dr. Richardson visited Curie and McClintock schools and spoke to principals, teachers and other staff members. He thanked principals Aragon and Morales for their time. He also attended the Chess Art and Science night and thanked Leilany for the invitation and giving him a tour of what they were doing. He participated in the Spanish Community Forum and attended an exciting game between PHS and CHS soccer teams, won by CHS in overtime. Mrs. Phillips attended the WSSDA Regional Workshop in College Place, where they toured a brand new school and were updated on legislative issues as they pertain to education, the community and the district. Mrs. Phillips congratulated the four schools who had students go on to the Chess tournament. Mr. Mojica visited UW where he conversed with other students and signed his acceptance letter. He announced that CHS prom is May 14 and that after a month of not being allowed to run (due to illness), he ran his first track meet and although it did not go well he is encouraged that it will get better. Mr. Mendoza participated in Launch Weekend WSU were he officially launched his new business. He also found out that he is a HAAP scholarship recipient. Mr. Bergstrom announced that PHS has a play coming up called “Miss Nelson is Missing” which is being performed this Thursday, Friday and Saturday. He also reminded folks for the May 14 PHS prom being held at the Moore Mansion. National Honor Society induction was last night, and they had two great speakers, Mr. Mendoza, calculus teacher and Mrs. Whitney who did a great job and inspired newcomers. He stated that AP testing is next week and that he also attended the Spanish Forum and Rotary where he received a scholarship. He thanked the Rotary for their support. Mr. Christensen attended the WSSDA Regional workshop in College Place, stating it was very instructive. The most interesting presentation was on communication software by a fairly new company which is web-based. He attended the Pasco invite working as security at the gate between triple jumps and was able to see some amazing student competitors. He was also able to spend time with Ross

Hunter who came to visit Pasco schools and visited the Lakeview community where students gave him a tour and explained some of the challenges that they face. It was good to be able to expand his vision around some of the challenges. He thanked the district for putting that visit together. He also attended the Chess Arts and Science activity, the Spanish Community Forum at Robinson and visited the iPal lab at McLoughlin. Mr. Leavitt and the two teachers were great hosts, and he left excited about the prospects of what this program will offer our community. Mr. Lehrman also attended some of the tour with Ross Hunter, Director of the Washington State Department of Early Learning, appointed by the governor. He had talked to him this past year, in his previous role as a legislator, and he knew our story and wanted to come see it for himself. He missed the Lakeview portion, but Mr. Hunter wants to work with district staff to support PreK in that neighborhood when funding is available. He attended the Pasco Invite with his children and had a great time. He also participated in the Spanish Community Forum where community members were able to voice their concerns and questions. It was great for all those present and he looks forward to more opportunities to communicate through these forums to have a two way dialogue. Mrs. Whitney acknowledged Tim Sullivan for his role in the Pasco Invite track and field event, as well as all the other administrators and over 150 volunteers from both Pasco and Chiawana high schools who take part in the planning and facilitation of event that makes it such a great community event. She asked that her thanks be passed on to athletic directors and staff. Mrs. Lancon reported on the two NFL golden footballs sent to Pasco High on behalf of former Bulldog greats Ron Howard and Anthony Davis who both played in a Super Bowl game. The NFL celebrated its 50th Superb Bowl Game by sending the commemorative golden footballs to the high schools of all players who played in any of the 50 Super Bowls. Mr. Howard and Mr. Davis came in from out of town to participate in an awards ceremony on April 22. They both paid tribute to their Pasco teachers and coaches for helping them with their success. It was a memorable evening at PHS. REPORTS/DISCUSSION Nutrition Services Update – Nutrition Services Supervisor Kristen Blair provided the school board with information from the Nutrition Services Department on recommendations to increase the number of schools participating in the Community Eligibility Program (CEP) program and the need to increase school lunch prices to meet federal standards. The Nutrition Services Department provided an update on the CEP on February 23, 2016. Final numbers became available on April 1, 2016 and Nutrition Services will recommend additional schools to be included. Also at this time each year the Nutrition Services Department assesses the cost for paid lunches. A recommendation will be made at the next board meeting to increase them as presented to comply with federal law. Discussion followed. Board Legislative Proposals – Mr. Christensen led the discussion to determine the Pasco School Board’s legislative issues to present to WSSDA for potential inclusion in the WSSDA Legislative Platform for the 2017 legislative session. Each year, WSSDA solicits legislative proposals from school district Boards of Directors. The Pasco board typically discusses, and ultimately votes, on which issues to submit a proposal. Mr. Christensen led the discussion of issues that are important to the Pasco board. He will take the input and develop proposals to be presented for action at the next board meeting. He announced that this year’s legislative assembly is September 23-24, 2016 in Spokane, WA and invited any board members who could attend to join him. Discussion followed. Mr. Christensen requested that the board think about it, and get back to him prior to May 10 with comments as they are due to WSSDA by May 16, 2016.

Audience Comments on this topic: Lance Dever expressed concerns about board choices that give away local control of decision making. Reliance on federal funding takes away our right to decide. Erin Hall-Lewis shared that as much as it is important to bring our voice to bare in Olympia, she thinks it would behoove the district to focus locally first before going to legislators for additional funding for any new programs. Mrs. Phillips responded by saying that we must find a balance, but that it is important for legislators to hear our concerns, and that Mr. Christensen does that on behalf of the district. ACTION ITEMS Approval of Curriculum Adoption Recommendations – Mrs. Whitney requested board approval of the curriculum recommendations for K-11 English Language Arts and K-12 Mathematics. An overview of the process that the committees followed and the recommendation from the Instructional Materials Committee was provided on April 12, 2016 in both a study session and in a report during the board meeting. See slides for the name of the curriculum. Mrs. Phillips moved to approve the Math and English Language Arts Curriculum adoption as presented. Ms. Lancon seconded the motion; a roll call vote was taken as follows; the motion carried. EXECUTIVE SESSION The board went into executive session at 8:10 according to RCW 42.30.110(1)(b). The session is expected to take approximately 20 minutes and no action will be taken afterwards. BACKGROUND: (Pertinent past action/events) The Community Eligibility Provision (CEP) is an option available under the United States Department of Agriculture’s (USDA) Child Nutrition Programs that allows schools with high numbers of low-income students identified via direct certification processes to serve breakfast and lunch at no cost to all students in the school without collecting school meal applications. Information was presented to the board on April 26, 2016 recommending expanding the CEP to include nine additional sites in the district. The district introduced a pilot program for the Community Eligibility Provision at Emerson and Stevens in 2015-16. The feedback from the pilot program has been very positive from school principals, staff and parents.

The Pasco board typically discusses, and ultimately votes on, which issues to submit. The approved proposals will be submitted by May 16 to the WSSDA committee. We will hear in August whether each of them get a Pass, Do Not Pass, or a Sign on to Other Language. At that time the board will have another opportunity to vote on the next step. The Legislative Assembly scheduled in September will consider the proposals for adoption for the next Legislative Session.

By action of the 1976 Legislature, each School District Board of Directors may delegate control, supervision, and regulation of any extracurricular activity to the WIAA and compensate such entity for services provided. The local SCHOOL BOARD PRESIDENT and SUPERINTENDENT must sign this resolution form to indicate that the School Board has approved the Public School District’s or Private School’s membership with the Washington Interscholastic Activities Association (WIAA) and as members, these schools will follow the WIAA Rules and Regulations.

DELEGATING AUTHORITY TO WIAA

WHEREAS Chapter 32, Laws of 1975-76, 2nd Ex. Sess. grants authority to each school district board of directors to control, supervise and regulate the conduct of interschool athletic activities and other interschool extracurricular activities of an athletic, cultural, social, or recreational nature for students in the district.

WHEREAS Chapter 32, Laws of 1975-76, 2nd Ex. Sess. authorizes school district boards of directors to delegate control, supervision and regulation of any of the aforesaid activities to any voluntary, nonprofit entity and to compensate any such entity for services provided subject to the satisfaction of certain conditions and approval by the State Board Of Education.

WHEREAS the Washington Interscholastic Activities Association is a voluntary, nonprofit entity which has satisfied the conditions, expressly set forth in Chapter 32, Laws of 1975-76, 2nd Ex. Sess. and has further been approved by the State Board of Education in action taken on August 17, 1977.

WHEREAS the board of directors of directors of the following School District or School being otherwise fully informed of the rules and regulations of the Washington Interscholastic Activities Association as approved by the State Board of Education and recognizing that said rules and regulations provide for private sponsorship of post-season tournaments for extracurricular activities by WIAA, consent to abide by such rules and regulations.

Beginning July 1, 1988, interscholastic sports officials were covered by Washington State Labor and Industries via a common rate and payment system that eliminated game-by-game calculations and record keeping by school and/or district business offices. WIAA will guarantee payment of L&I premiums for WOA registered officials for all interscholastic activities under WIAA’s jurisdiction and will assess WIAA member schools via classification rates at the same time service fees are billed. Officials L&I coverage is only in effect for activities authorized and offered by School Board approval and listed on the school’s WIAA membership form.

BACKGROUND: (Pertinent past action/events) This agreement is for the purchase of board approved curriculum/math materials for grades 7-12. For the one time cost of $757,821.70 for 3 years of materials and services we will receive:

• CCSS Middle and High School Mathematics Courses • Course services for up to 5,827 students and 95 teachers at 6 campuses for 3 years • Participation in an Agile Mind Institute for teachers and leaders – August 23 – 25, 2016 • 5,857 Student Activity Sheet books • Advice for Instruction Books for 95 Teachers • 12 Full-day onsite Advisor Sessions during school year/per year.

SERVICES AGREEMENT

This services agreement (this "Agreement") is entered into as of May 5, 2016 between Pasco School District ("District") and Agile Mind Education Holdings, Inc. ("Agile Mind"). This Agreement describes the terms and conditions under which District has agreed to license certain computer-based on-line learning programs, tools, and services of Agile Mind that the company makes available via access to Agile Mind’s Internet servers ("Services"). 1. PURCHASE OF SERVICES; PRICE

a. District agrees to obtain the Services in the subjects specified below for the specified number of students, teachers, and campuses for the following fees: $757,821.70.

b. Subject to the terms and conditions of this Agreement, Agile Mind grants to District a limited, non-exclusive

license to use the Services as specified in paragraph 1.a. during the term of this Agreement. Use of the Services includes access to and use of materials on portions of the Agile Mind Web site for those Services ("Web site") (including use of materials available for printing on the Web site). District will be licensed to (and may use) the Services only for the number of students and teachers and only for the campuses and subjects specified in paragraph 1.a., except that (i) parents of the authorized students may use the Services to assist the students and (ii) school administrators at the campuses may use the Services to perform their administrator job responsibilities. As part of these conditions, District agrees that District will not, and will not authorize students or teachers (or parents or administrators) to:

Print or make additional photocopies or electronic copies of Web or printed pages for anyone, including

students or teachers, unless those copies are for and essential to the instructional progress of a teacher or student authorized to use the Services,

Download, distribute or otherwise make available any part of any Agile Mind Web site, except for the downloading and printing of authorized materials for use by the authorized teachers and students (and the parents and administrators) as described in paragraph 1.a., or

Share or distribute passwords or access codes.

c. District may use the Services, the Web site, and any materials available on or printed from the Web site only as expressly permitted in this Agreement.

d. The Services provided pursuant to the Initial Term of this Agreement shall be provided through June 30,

2019. The Initial Term of this Agreement shall terminate on June 30, 2019 provided that on July 1, 2019 and each successive July 1 thereafter, this Agreement shall renew for a successive additional one year period unless either party, at least thirty (30) days prior, gives written notice of termination prior to such renewal date.

e. District will remit the fees specified above directly to PO Box 847376, Dallas, TX 75284-7376. In addition,

District will pay any sales, use and similar taxes relating to the Services. Proof of exemption from those taxes must be on file with Agile Mind for any order to be treated as exempt from those taxes. District will pay the fees and taxes within Fifteen (15) days from the date of invoice.

2. RETENTION OF RIGHTS The Services, together with the Web site and the software, content, data, and other materials used or made available by Agile Mind in providing the Services and any information in or derived from the foregoing (collectively, "Related Materials"), are proprietary and confidential to Agile Mind. District, including its teachers and students (together with the students’ parents and administrators), may use (and agrees to use) the Services and Related Materials only as specified in this Agreement, and agrees not to make any other use or any disclosure of the Services or Related Materials. As part of this obligation, District may not modify, redistribute, sell, decompile or reverse engineer the Related Materials, or otherwise reduce any portion of the software included in the Related Materials to a human-perceivable form or seek to derive or use any algorithms, concepts, techniques, processes or methods embodied in the software. Agile Mind retains all rights as to the Services and Related Materials (including copyright, trade secret, trademark and other intellectual property rights), and any implied rights are excluded and disclaimed.

3. AUTHORIZATIONS Agile Mind represents and warrants that it is authorized to execute and perform this Agreement and that the individual signing for Agile Mind is authorized to sign on behalf of Agile Mind. District represents and warrants that it is authorized to execute and perform this Agreement and that the individual signing for District is authorized to sign on behalf of District.

4. INDEMNIFICATION

District acknowledges that it is responsible for the use of the Services and Related Materials by District and its teachers and students (together with the students’ parents and administrators), including compliance with District’s own policies and procedures relating to the Internet. To the extent permitted by applicable law, District agrees to indemnify, hold harmless and (at Agile Mind’s request) defend Agile Mind from any cause of action or other claim that arises from such use of the Services and Related Materials.

5. CONFIDENTIALITY Neither party shall disclose this Agreement or any of its terms and conditions to any third party without prior written notice to the other party, except to the extent a party is obligated by law or by a court of competent jurisdiction to make a disclosure, provided that the party subject to the obligation to disclose promptly notifies the other party and reasonably cooperates with the other party to limit the disclosure and use of the Agreement or its terms and conditions. In addition, a party may disclose this Agreement or its terms and conditions to actual or potential acquirers of, investors in, or sources of financing for all or any part of the party.

6. WARRANTY DISCLAIMER Agile Mind will use commercially reasonable efforts to have the Services purchased by District conform in all material respects to the functional description of the Services on the Web site from which the Services are provided. The Services and Related Materials are otherwise provided "as is." AGILE MIND DISCLAIMS ANY WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

7. LIMITATION OF LIABILITY Neither Agile Mind nor any licensor, content provider, supplier, service provider, trainer, consultant or other third party associated with Agile Mind will be liable (under any legal theory), for damages or otherwise, in an amount that exceeds the payments actually made by District to Agile Mind under this Agreement. In any event, neither Agile Mind nor any such associated third party will be liable for incidental, consequential, indirect, special or other non-direct damages, or any lost profits or revenue, in connection with the Services or this Agreement.

8. ENTIRE AGREEMENT This Agreement constitutes the entire agreement relating to the subject matter hereof, superseding any earlier or contemporaneous understandings, covenants, conditions, representations, warranties, or other agreements (oral,

written or otherwise). Each party acknowledges that it is not relying on any understandings, covenants, conditions, representations, warranties, or agreements other than as expressly set forth in this Agreement. Any modifications or amendments to this Agreement must be in writing signed by a duly authorized agent or representative of Agile Mind and District. As part of the foregoing, any contrary, inconsistent, or additional terms incorporated in any purchase order or other documents will not supersede the terms and conditions of this Agreement.

9. TERMINATION OF AGREEMENT Either party may terminate this Agreement, with or without cause, in accordance with Section 1.d above. Sections 2 and 4-12 will survive expiration or termination of this Agreement. Termination or expiration will not affect Agile Mind’s right to payment for (and District will pay) fees and other amounts, including fees for the Services, for the period before expiration or earlier termination.

10. NON-ASSIGNMENT OF AGREEMENT District may not (and shall not) assign or otherwise transfer this Agreement or any right under this Agreement or grant any sublicense of any right under this Agreement. Any attempted assignment, transfer, or sublicense shall be void. Agile Mind may assign or otherwise transfer this Agreement but only as part of a merger, asset sale or other transfer involving the portion of Agile Mind’s business to which this Agreement relates.

11. GOVERNING LAW This Agreement shall be construed and enforced in accordance with the State of Washington. Any action or proceeding brought by either party against the other arising out of or relating to this Agreement shall be brought only in a state or federal court of competent jurisdiction in the State of Washington.

12. NOTICES All notices and other communications required or permitted under this Agreement shall be served in person, by US Mail, or Federal Express or equivalent carrier at the following address:
