Although It is clear that while we cannot keep Neighbors Holdings from being sold, we feel certain that the Honorable Judge Isgur will consider the small financial gap between the highest dollar amount which breaks up the company into uncertainty (5 different bidders) and the HIGHEST single bid which keeps the entire company intact and preserves many jobs.

Dear Honorable Judge Marvin Isgur, US Bankruptcy Court Judge and Honorable Judge Marvin Isgur, USBANKRUPTCY JUDGE,

We are pleased to present you with this petition affirming this statement:

"We, the undersigned, hereby petition the Honorable Judge Marvin Isgur to consider the BEST bid asopposed to the highest bid in the case 18-22836 (MI) of the bankruptcy of Neighbors Legacy Holdings.

Although your honor's decision in this matter is just and final, we implore that you hear andsubstantiate these pleas set before you. We the physicians and employees of Neighbors EmergencyCenters are a family. Collectively speaking, we believe that a decision based purely on highest bid is notthe BEST course for those of us who stand to lose more than just a business identity, but our entire wayof life.

The bidding process in the case of Neighbors Legacy Holdings et.al. was concluded yesterday with thewinner appearing to be a break-up of the company to multiple bidders. We believe that the interests ofall parties concerned are best served by retaining the enterprise intact as a whole entity. We have alsobeen made aware that some of the winning bidders are planning to shut down current operating centerswhich will end up costing jobs to lots of employees and physicians. We ask that you consider theHIGHEST bid to keep the the entire enterprise as a whole before making a decision based on dollarsalone. Your honor has the ability and responsibility to pick the highest and BEST Bid. In this situation,the highest dollar amount is not necessarily the BEST. We are requesting you to please consider ourplea. Please consider all efforts to keep the entire company intact for the sake of many hard workingpeople. "

Neighbors has been an amazing home for so many of us over the years. Though we have experienced greatlosses, our triumphs together over the course of the past nine years far outweigh them. We realize that ourvalue as a whole company far exceeds the millions of dollars offered by competing bidders for mere pieces ofour property, because our value lies in the unity of our people, our fierce loyalty to one another, and ourcommitment to our communities. Our hope has always been to stay together as a unified group in spite of ourlosses and the difficult transition of going through bankruptcy. Many of us have grown up together over thepast years, gotten married, had kids, experienced tragedy and life changes- all surrounded by our fellowemployees, who have become our family and our team. We have also said goodbye to valuable members ofour team. Some we have lost to market stresses and moving, others to natural disasters and sadly some todeath. Yet so many members of our family have rallied and stuck together with the common goal of bringingpositive change to the field of emergency medicine. I�m sad that the members of this group did not makethese feelings known to the judge days, weeks, or months ago. Although corporations(likeTenant, HCA) have a fiduciary duty to their shareholders for profit, as a profession, physicians duty andbottom line is patient care. I agree the financial difference between the breakup bid price and the intact bid price is trivial. The breakupcauses great hardship to many physician and non-physician alike. The highest and Best bid is one that keepsthe company intact. Certainly expenses will be cut and there will be pain but vastly less. A brighter future forall is there with an intact company.
