Loading port :Guangzhou Partial shipments are allowed in tow lots,460M/Tons to London not later thean Saptember 15,1994.380M/Tons to Livepool not later than Octoder 15,1994.”(840 公吨棉籽油,装运港:广州,允许分二批装运。 460 公吨于 1994 年 9 月 15 日前至伦敦, 380 公吨于 1994年 10 月 15 日前到利物浦 ) 。粮油进出口公司于 8 月 3 日在黄浦港装 305公吨至伦敦,计划在月末再继续装 155 公吨到伦敦的余数, 9 月末再装至利物浦的 380 公吨,第一批 305 公吨装完后即备单办理议付,但单据寄到国外,于 8 月 15 日开证行提出单证有如下不符:

1 、 我信用证只允许分二批( in two lots )装运,即 460 公吨至从伦敦, 380 公吨至利物浦,你于 8 月 3 日只装 305 公吨至伦敦,意即至伦敦余 155 公吨准备继续再装,这样违背了我信用证规定。

2 、 我信用证规定装运港为广州港( Loading port:Guangzhou),根据你提单上记载,其装运港为黄浦( Huangpu),不符合我信用证要求。

案例七我国某出口公司先后与伦敦 B 公司和瑞士 S 公司签订两个出售农产品合同,共计 3500长吨,价值 8. 275万英镑。装运期为当年 12月至次年 1 月。但由于原定的装货船舶出故障,只能改装另一艘外轮,至使货物到 2 月 11 日才装船完毕。在我公司的请求下,外轮代理公司将提单的日期改为 1 月 31 日,货物到达鹿特丹后,买方对装货日期提出异议,要求我公司提供 1 月份装船证明。我公司坚持提单是正常的,无需提供证明。结果买方聘请律师上货船查阅船长的船行日志,证明提单日期是伪造的,立即凭律师拍摄的证据,向当地法法院控告并由法院发出通知扣留该船,经过 4 个月的协商,最后,我方赔款 2. 09万英镑;买方方肯撤回上诉而结案。 分析 : 倒签提单是一种违法行为,一旦被识破,产生的后果是严重的。但是在国际贸易中, 倒倒签提单的情况还是相当普遍。尤其是当延期时间不多的情况下,还是有许多出 口商会铤而走险。当倒签的日子较长的情况出现,就容易引起买方怀疑,最终可 以通过查阅船长的航行日志或者班轮时刻表等途径加以识破。

案例八 有份 CIF合同,出售矿砂 5咖公吨,合同舶装运条款规定: "CIF

Hamburg , 1989 年 2 月份:由一船或数船装运。 "买方于 2 月15 日装运了 3100 公吨,余数又在 3 月 1 日装上另一艘轮船。当卖方凭单据向买方要求付款时,买方以第二批货物延期装运为由,拒绝接受全部单据,并拒付全部贷款,卖方提出异议,认为买方无权拒收全部货物。 分析 : 根据合同 "由一船或数船装运 "的规定,可以认定该合同是允许分批装运的。卖方在履 行合同时,分两批装运,第一批货物的装货时间是符合合同规定的,只是第二批货 物违反了合同规定的期限。因此,买方不应对符合合同的第一批货物拒收或索赔权 力。至于第二批货物,虽然违反了合同,但是,装运时间仅仅超过期限一天,一般 不能视为根本性违反合同,因此,买方拒收第二批货物的理由也是不充分的,最多 只能要求赔偿。

案例九我某出口公司与某外商 LF.同意按照即期信用证方式付款的条件达成交易,出口合同和收到的信用证均规定不准转运。我方在规定的装运期内将货物装上直驶目的地的班轮,并以直运提单办理 ? 议付。但承运船只在途经某港时,船公司为接载其它货物,擅自将我方托运的货物卸下,换装其它船只继续驶运目的港。由于中途耽搁,加上换装的船舶设备陈旧,使抵达目的港的时间比正常的直运船的抵达时间晚了二个多月,影响了买方对货物的使用。为此,买方向我出口公司提出索赔,理由是我方提交的是直运提单,而实际上是转船运输,是弄虚作假行为。 问题 :你认为这样做是否妥当 ? 为什么 ?

分析:银行有权拒绝议付。理由如下: 根据《跟单信用证统一惯例》( 500号)的规定,

信用证虽是根据买卖合同开出的,但一经开出就成为独立于买卖合同的法律关系( 1 分)。银行只受原信用证条款约束,而不受买卖双方之间合同的约束。合同条款改变,信用证条款未改变,银行就只按原信用证条款办事( 1 分)。买卖双方达成修改信用证的协议并未通知银行并得到银行同意,银行可以拒付。

作为卖方律师,当银行拒付时,可依据修改后的合同条款,直接要求买方履行付款义务。

案例二十三: 中国甲公司与美国乙公司于1999年10月2日以FOB天津价格条件签订了从中国向美国出口一批纽约唐人街华人所需春节用品的合同,乙公司通过银行开出信用证规定的装船日期为1999年12月10日至31日天津装运。乙公司所订船舶在来天津的途中与他船相碰,经修理于2000年1月10日才完成装船。甲公司在出具保函的情况下换取了承运人签发的注明1999年12月31日装船的提单。船舶延迟到达目的港纽约,造成收货人丙公司与一系列需方签订的供货合同均迟延履行,并导致一些需方公司向丙公司提出了索赔。丙公司赔偿了提出索赔要求的需方后转而向承运人提出了索赔。对于该案,下列选项哪些是正确的?   A.本案承运人签发的提单属于倒签提单   B.承运人应赔偿收货人丙公司的损失   C.丙公司应向保险人提出索赔   D.本案货物的风险自装运港船舷由卖方转移给买方

分析:提单是指用以证明海上货物运输合同和承运人接管或装载货物,以及承运人保证据以交付货物的单证。   所谓倒签提单是指提单中注明的装船日期早于实际装船的日期。为了保证收货人能够及时收到货物,信用证中一般均规定有装船日期,托运人应在该装船日期之前或当日完成装船,否则,收货人有权拒收货物并提出索赔。银行也不接受装船日期晚于信用证规定的装船期间的提单。基于这个原因,在装船晚于信用证规定的期限时,托运人往往向承运人出具保函,要求承运人按信用证规定的装船日期签发提单,以便向银行办理结汇。在国际贸易买卖合同中,交货日期属于合同的要件,而装船日期是一个直接关系到交货日期的因素。承运人应托运人的要求倒签了提单,实际上就隐瞒了迟延交货的责任,构成对收货人的欺诈,日后须对此引起的损失负责。本题中乙公司通过银行开出信用证规定的装船日期为1999年12月10日至31日天津装运,而承运人签发的提单日期是1999年2月31日,因此该提单是倒签日期的提单。故选项A说法正确。

 FOB,全称Free on Board 意为“船上交货(指定装运港)”。此贸易术语在风险和费用的划分上,是以装运港船舷为界线,即卖方承担在装运港货物越过船舷以前的风险和费用。选项D错误在于货物的风险自越过装运港船舷由卖方转移给买方,而不是在装运港船舷风险就转移。   《汉堡规则》是目前调整班轮运输的国际公约之一,该规则规定了承运人应对延迟交货负责。延迟交货是指未在约定的时间内交付,或在无约定的情况下,未在合理的时间内交付。承运人对延迟交货的赔偿责任限额为迟交货物应付运费的2.5倍,但不应超过应付运费的总额。本题中承运人迟延交货,应赔偿收货人丙公司的损失。故选项B说法正确。   本题还涉及到了海洋运输货物保险的附加险别,它是指投保人在投保主要险别时,为补偿主要险别范围以外可能发生的某些危险造成的损失所附加的保险。附加险可分为一般附加险、特别附加险和特殊附加险三类。一般附加险承保各种外来原因造成的货物全损或部分损失。特别附加险指必须附属于主要险别项下,对因特殊风险造成的保险标的的损失负赔偿责任的附加险。包括交货不到险、进口关税险、舱面险、拒收险、黄曲霉素险、出口货物到香港或澳门存仓火险。本题中如果丙公司投保了特别附加险,则有权先向保险人提出索赔。   答案:ABC
