Taggart, President DATE: December 8, 2011 SUBJECT: Corporate Strategy 2012-2016 The Corporate Strategy 2012-2016 (attached) is a document that has been developed to strategically guide Overlook’s pursuit of business opportunities, but additionally may be considered a document to be shared with prospective employees during the interview phase. It is structured as a quick-read document that is augmented annually by the Annual Business Coordination and Development Activities Policy (Overlook Policy #2). This Policy supersedes Overlook Policy dated 8 November 2010, Subject: Corporate Strategy 2011-2015.

A STRATEGIC VIEW Our company’s vision of a ‘People‐Results‐Growth’ approach to business development reflects
my belief that we collectively as Overlook are the key to our business success. Our greatest
resource is you. Working together we are the enabling component of achieving exceptional
performance and ultimately charting the course for company growth.
We are entering an exciting period of opportunity. Recent upheavals in the U.S. and World
economy provide us with clear signals that we must position ourselves to be agile and prepared
to adapt our business to remain competitive. Although the business climate imposes
challenges, we will remain flexible and seize opportunities, while capitalizing on the
tremendous promise that the next five years holds for Overlook.
We will remain focused on providing the Federal Government professional technical and
engineering services founded on our core GPS/PNT competencies, while actively seeking
opportunities to expand into wider government professional support markets and commercial
interests.
Each member of the Overlook team is a high‐value asset and plays a key role in helping the
company expand. As we move forward, we will remain diligent in proposing and providing

OVERLOOK SYSTEMS TECHNOLOGIES, INC. "WHO ARE WE?" Overlook Systems Technologies, Inc. is a veteran owned small business specializing in providing professional Systems Engineering and Technical Assistance (SETA) support services to the U.S. Government since 1987.
"WHAT DO WE DO?" Overlook is an industry leader with extensive knowledge and experience in all aspects of the Global Positioning System (GPS) and Positioning, Navigation and Timing (PNT) technologies, operations, protection, acquisition, modernization, user applications, national and DoD policy and architecture implementation. Overlook functions primarily as a Systems Engineering and Technical Assistance (SETA) contractor to the Federal Government. Overlook provides analysis and engineering services in a consulting and Advisory and Assistance Services (A&AS) capacities, working closely with the government's own technical experts, policy staffs, and operational functions. Overlook provides the government with the flexibility, continuity of knowledge and quick availability of expertise without the expense and commitment of sustaining long‐term government staff.

This Strategy will be implemented through an Annual Business Plan covering a 12‐month calendar year beginning in January and ending in December, which will be developed, approved and published not later than November 30th of the year prior.

We will continually enhance the customers’ satisfaction by developing our staff’s skills through an atmosphere of education, optimism, teamwork, creativity, and ethical behavior; thereby inspiring a problem‐solving, innovative, resourceful workforce committed to excellence for our customers.

OVERLOOK VISION Using our ‘People – Results – Growth’ approach, Overlook’s vision is to firmly establish ourselves as the leading Federal Government professional and technical services small‐business GPS/PNT company over the next five years. With GPS and PNT as our core mission area and technical competency, we will consolidate our position in a variety of markets and build our expertise in cross‐cutting functional areas such as Systems Engineering, Program Management, Information Technology, Cyber Networks Protection, Information Systems supporting critical infrastructure, computer‐based modeling and simulation and technical testing and demonstration areas.

OVERLOOK RULES OF THE ROAD Because we typically work alongside government customers, the lines between contractor support and government authority can sometimes become blurred. Although we generally enjoy wide latitude in decision support to our government customers, our role is to advise and assist government decision making and to never speak directly as an agent of the government.
Also, although Overlook personnel will often be called on as trusted agents to participate in government planning or policy sessions, we as contractors do not have the same privileges as government personnel. We therefore fundamentally have no rights to participate in government decision‐making as it affects government missions, contracts policy or office environments.
Keep in mind that our actions and statements reflect directly on the reputation of Overlook. Therefore, always be thoughtful to what we do and say, and always apply a sanity check against our corporate core values before we act. The fact that contracted employees are hired and fired at the will of the government is a reality which is fundamental to the nature of our business. We must never forget this.
COMMON SENSE Providing superb contractor support is not difficult. Applying common sense to our support actions will serve Overlook well as a professional organization.

MARKET OUR CAPABILITIES Implement and pursue an active, deliberate, systematic, and focused Business Development posture. We will aggressively conduct marketing and proactively seek opportunities through multiple simultaneous venues as defined in the Annual Business Plan.
• Continually promote Overlook’s name and business capabilities within select markets.
Attend meetings and industry conferences to ensure we remain aware of new business opportunities.
Accept speaking engagements and host functions with professional societies.
Encourage staff to submit professional papers to conferences/trade shows that are consistent with our business areas.

GROW Grow the company, building on strengths in GPS/PNT core competencies to expand into markets beyond the DoD’s Department‐level staffs, Services, Combatant Commands, and Combat Support Agencies. Seek opportunities to build upon our current expertise by expanding into new mission areas and technical disciplines.
• Aggressively expand our GPS‐ and PNT‐oriented work into additional organizations such as DHS, DOT, FAA, Department of the Interior, USDA, USCG, NASA, NOAA, etc.
• Leverage our inherent technical expertise and exposure to additional mission areas gained from current contracts as functional areas which are applicable to new business opportunities. Capture past and present performance, and translate these achievements into qualifications for future work.
