With the passing of another year, everyone here at Oregon Pride is thankful and appreciative of the continued support and loyalty that we have been blessed with. We continue to work very hard to earn that support, and value the business you have entrusted to us. While other nurseries have cut programs and production, we have increased our production numbers, added larger sizes, and continue to offer new items and different assortments. We have added many new unique grafted conifers to the product mix, and have added both #5 pot (lower price sizes) & the #25 pot (landscape sizes) to our list. Also notice the many new branded items; Proven Winner, Ball, First Edition, Plant Haven, and Upshoots selections have all been added to our program in both #2 and #5 sizes. Both our #2 pot grass line-up, and our #3 pot small fruit assortment have been increased with new varieties and added production. Terms & Conditions Prices: All prices are FOB McMinnville, Oregon. Prices herein are for the wholesale trade only. Prices are effective through the calendar year of January 1, 2015 to December 31, 2015, but are subject to change without prior notice. Minimum Ship Quantity: To maintain our commitment to keep prices as competitive as possible and minimize future price increases – we request that minimum ship quantities be met. Special arrangement must be made prior to shipping on quantities less than minimums.

Terms: Standard terms are cash in advance of shipment. Visa & MasterCard will be accepted as payment, subject to a 3% service fee. Accounts with approved credit and a prior years invoiced volume less than $10,000 are eligible for a 2% discount, if invoices are paid within 10 days of the invoice date. Invoices paid with Visa are not eligible for the 2% discount. Invoices not paid within terms will forfeit any discount. Customers with a prior year invoiced volume greater than $10,000 will be invoiced according to the following volume discount schedule:

$ 10,000 - $ 24,999 5% $ 25,000 - $ 49,999 7% $ 50,000 - $ 99,999 10% $100,000 - $149,999 15% $150,000 - $200,000 20%

In order to receive these discounts all invoices must be paid within 30 days of the invoice date. If invoices are not paid in the specified terms all discounts will be forfeited. Conditions of Sale: OPN warrants only that the plant material is true to variety name. All claims regarding damages, plant size, plant conditions, and/or loading errors must be noted on the shipping document, signed by the carrier, and mailed back to OPN within five working days. Liability to OPN will not exceed purchase price of the claimed product. All product pulled for shipping and left on dock will be subject to a restocking charge. Multiple Shipments & Blanket Orders: We encourage orders to be split into several deliveries, but request that all material be shipped in a timely basis. OPN also requests that all blanket orders be properly broken down into designated ship dates by FEB. 1st. All product from the later requested ship dates must be shipped by June 30. OPN will reserve the right to cancel orders and items that are being held past the designated original ship date. All ES and LS confirmed quantities must be scheduled by 6/1 and shipped by 6/30; this includes all blanket orders. Failure to clean up these orders on timely basis will cause possible forfeiture of future discounts and blanket orders. Shipping: OPN will arrange for shipping upon your request. All scheduled drops will be subject to both freight charges and drop charges. Please allow for a minimum of 5 days advance notice for proper order processing.

Customer Pick Up: We welcome customers who wish to schedule their own shipping. Please review the customer pick-up policies:

• Allow enough footage for your staged order, thus preventing product left behind, and restocking fees. • Allow a minimum of 5 days notice prior to your trucks arrival • Require your driver to have proper load locking devices. • All product pulled for pick-up and left on the loading dock will be charged a 5% restocking fee • Orders pulled and held 5 days past the scheduled pick-up date will be subject to a 5% restocking fee.

Order Confirmation Process: All orders received up to the September 14th deadline will be confirmed in the first round of confirmations. Previous year’s customers and confirmed quantities will receive first priority. After September 14th all accepted orders will be confirmed in the order they are received. All orders will be subject to a final confirmation process in mid November when fall inventory adjustments are finalized.

Minimum Orders: We require a minimum shippable order of 5 feet of truck volume, or approximately $2,500.00. Minimum quantities of 10 pieces for #2 / #3 / #5 and 5 pieces for #6 / #7 / #10, and 2 pieces for #15 / #20 / #25 will be required. An extra pulling charge will be accessed for orders with less than the minimum quantities. Winter Storage Discount: OPN offers a winter storage-early spring program. This allows qualified orders of over $10,000 shipped October 1 to December 30, to receive April 1st dating, and a 5% discount. Freight charges must be paid within 30 days of the actual shipment. Customer is responsible for winter protection, and assumes any weather-related losses. Contract-Growing: OPN has a contract-growing program, which provides those, who participate and qualify, additional discounts and reservation opportunities. Contact an OPN representative for further information.
