MEMORANDUM OF AGREEMENT

This MEMORANDUM OF AGREEMENT, is made and entered into this 1st day of February 2013, in the City of Santa Rosa, Laguna, Philippines by and between:

CITY GOVERNMENT OF SANT A ROSA, LAGUNA, a local government unit, existing

under and by virtue of the laws of the Philippines, represented herein by its City Mayor, HON. ARLENE B. ARCILLAS, hereinafter referred to as "CITY GOVERNMENT";

and

ROBINSONS LAND CORPORATION, a corporation duly organized and existing under the laws of the Philippines, with principal office at Galleria Corporate Center, Edsa comer Ortigas Avenue, Quezon City represented herein by its General Manager, MS. ARLENE G. MAGTIBAY, hereinafter referred to as "RLC";

and

DEPARTMENT OF EDUCATION - DIVISION OF CITY OF SANT A ROSA, a government agency with office address at 2nd Floor, Leon C. Arcillas Memorial

Building, Rizal Blvd., Brgy. Market Area, City of Sta. Rosa, Laguna, represented herein by its Schools Division Superintendent, HEREBERTO JOSE D. MIRANDA, CESO VI, herein referred to as "DEPED".

WITNESSETH THAT:

WHEREAS, CITY GOVERNMENT intends to continue the program implementation of Road Safety Mobile Park Exhibit (as established by Toyota Autoparts Philippines and Rotary Club of Sta. Rosa) in Robinsons Sta. Rosa Market from February 1, 2013 to August 1, 2013.

WHEREAS, the name "Road Safety Mobile Park Exhibit" is changed to "MAYOR

ARLENE B. ARCILLAS ROAD SAFETY KIDDIE PARK", hereinafter referred to as "EXHIBIT";

WHEREAS, the CITY GOVERNMENT, through this EXHIBIT, aims to strengthen the children's awareness on traffic rules and regulations at an early stage through hands-on expenence;

WHEREAS, DEPED, through the EXHIBIT, aims to promote road safety as a way of life for children ages 4 to I 0, and train them to become responsible road users by way of an interactive experience in a simulated road setting;

WHEREAS, the CITY GOVERNMENT, with its growing concern for road safety in the City of Santa Rosa, is willing to provide. manpower support and maintenance to the EXHIBIT in the form of Park Attendants;

WHEREAS, RLC resolved to allocate Space Nos. L2--002 to 006 and L2-010 to 014 (with a total floor area of222.4 SQM) at Level 2 of Robinsons Sta. Rosa Market as venue for the EXHIBIT, subject to the following terms and conditions, to wit :

1. CITY GOVERNJv.ffiNT shall provide all necessary logistical support for the operation of the EXHIBIT;

2. The CITY GOVERNMENT shall ensure the cooperation and support of various stakeholders and partner agencies for this EXHIBIT, specifically the City Traffic Management and Enforcement Office (CTJ\1EO), the Lie;a n13 mga Barane;ay and the

Boy Scouts of the Philippines - City of Santa Rosa Council;

3. Manpower for the operation of the EXHIBIT shall be for the account of the CITY

submit list of names of authorized park attendants for proper identification. These authorized park attendants should wear their official ID and uniform during operation.

4. DEPED shall ensure the continuous operations of the EXHIBIT, six (6) days a week,

from Tuesday to Sunday; 5. DEPED shall ensure the steady flow of students from both public and private schools

as well as that of walk-in guests; 6. CITY GOVERNMENT and DEPED shall hold RLC free and harmless from any

complaint, claims or suit from third parties arising from or in connection with the operation of the EXHIBIT and/or any action, negligence or fault of their personnel arising therein.

7. CITY GOVERNMENT and DEPED shall maintain the cleanliness, upkeep and security of the EXHIBIT venue;

8. RLC shall waive its usual charges for rental, aircon, electricity and CUSA (Common Usage Service Area) of the EXHIBIT venue (Space Nos. L2-002 to 006 and L2-010 to 014 at Level 2 of Robinsons Sta. Rosa Market) for the duration of the EXHIBIT.

9. RLC shall have final approval of all equipment and other items to be brought in the mall, specifically in the EXHIBIT venue (Space Nos. L2-002 to 006 and L2-010 to 014 at Level 2 of Robinsons Sta. Rosa Market). CITY GOVERNMENT and DEPED shall strictly comply with mall rules and regulations ofRLC.

10. This Agreement shall be effective for a period of six (6) months beginning February 1, 2013 to August 1, 2013, extendable by mutual agreements of the parties. Should the parties fail to renew or extend this MOA in writing on or before its expiry date, it is understood that this MOA shall be deemed terminated without need of any act or declaration on the part of either party.

NOW, THEREFORE, in consideration of the above premises, the parties hereunto set their hands on the date and place first above written.
