Kidder Mathews (“Broker”) has been retained by the owner (“Owner”) of the property (“Property”), to act as the exclusive representative of Owner in connection with a potential sale. Investor acknowledges and agrees that Broker will make such Confidential Information available to Investor and its Agents only upon execution of this agreement and/or the discretion of Owner. Investor (“___________________________________________________”) agrees to be bound by the terms of this agreement and understands that all property information provided in this offering is intended for the sole use as a qualified investor and/or as a representative Agent. Investor/Agent acknowledge that the information provided and any additional information about this property will be kept confidential and is not to be redistributed. Investor/Agent shall secure the written agreement of any related parties, experts, consultants, real estate brokers or agents (“Associates”) who are provided access to all or part of any Confidential Information to abide by the terms of this Agreement in the same manner and to the same extent as Investor/Agent. Investor/Agent shall be responsible for Associates’ faithful compliance with the terms of Agreement. Investor/Agent also agrees that they nor any affiliated party will not visit the property or discuss park matters with any residents, employees, management, government agencies or lessee without the approval of the Owner and/or Broker. This Agreement shall commence upon the date Confidential Information is first provided to Customer or the Effective Date of this Agreement, whichever is sooner, and shall expire six (6) months after discussions involving Customer pertaining to the Property terminate. Notwithstanding the termination of this Agreement, its terms and non-circumvention obligations shall survive for a period of twelve (12) months thereafter and shall apply to all previously disclosed Confidential Information.
