terms and conditions subject to which such information is provided.

3. USPMU may, in their absolute discretion, but without being under any obligation to do so,

document or cancel the present Invitation and call for fresh Invitations. Such changes would be
intimated to all Bidders using this EOI Document.
4. USPMU reserves the right to reject any or all of Expression of lnterests (Eots) submitted in
response to this Eol Invitation al any stage without assigning any reasons whatsoever before
acceptance of any proposal. USPMU also reserves the right to hold or withdraw fiom or cancel
the process at any stage up to the final pre-qualification / shortlisting.
5. Neither USPMU nor their employees or representative will have any liability in case of non-
receipt ofany correspondence fiom them to the bidders due to the Postal delays.
6. Mere submission ofthis EOI or Pre-qualification or issue of RFP does not vest any right in the
Bidder for being selected for the project.

DETAILED TECHNICAL AND ENGINEER]NG FEASIBILITY STUDIES FORDEVELOPMENT OF A NEW ECONOMIC CITY IN PUNJAB PAKISTAN
Punjab is facing alarming threats of urbanization, however, the phenomenon is being considered
positively and in response, the Govemment of the Punjab is envisaging to tap the potential ofurbanization in the province. When the Motorway (M2) Conidor linking Islamabad and Lahore
was planned, it was aspired to have some 1l new industrial towns along its length. Howevel, this
idea could not be matured due to va ous reasons. Now the GoPb aims to initiate the development
opportunities along the Motorway corridor. Furthermore, the posl-development context of China-Pakistan Economic Corridor (CPEC) enhances the Potential of developing new towns that
capitalize economic development in the province. In this context, there exisls a dire need to
investigate properly proposed/selected site in the province of Punjab whele the GoPb can initiate
urban-industrial development that can bring economic and physical advantages to other locations.
The Planning and Development Department, Govemment of the Punjab, Pakistan has therefore
assigned The Urban Sector Planning and Management Unit (The Urban Unit) to act as the Ploject
Management Unit for the "Detailed Technical and Engineering Feasibility Studies forDevelopment of a New Economic City in Punjab, Pakistan".
The "Detailed Technical and Engineering Feasibility Studies for Development of a New
Economic City in Punjab, Pakistan" will need to have regional focus and includc short to long-
term actions. National consulting firms having expertise in this regard are being invited to submit
Expressions of Interest for the same.

SECTION I: INSTRUCTIONS TO BIDDER
A. Scope of Applicationl. Urban Sector Planning and Management Services Unit (USPMU) Pvt. Ltd. wishes to
receive EOIs for Qualification to shortlist experienced and capable firms / companies forthe RFP stage.
2. Shortlisted Bidders would be subsequently invited to subinit the proposal in respect ofthe"Detailed Technical and Engineering Feasibility Snrdies for Development of a NewEconomic City in Punjab, Pakistan".
B. Eligible Biddersl. May be a single company or a group of maximum 4 companies (hereinafter referred to as
Consortium), coming together to prepare the Detailed Technical and EngineeringFeasibility Snrdies for Development of a New Economic City in Punjab, Pakistan. Theterm Bidder used hereinafter would therefore apply to a single entity and/or a Consortiumor joint venture.
The Bidder should submit a Power of Attomey as per the format enclosed at AppendixlA, authorizing the signatory of the EOI Application to commit the Bidder.
EOIS submitted, in response to the EOI, by a Consortium should comply with thefollowing additional requirements:
Number of members in a consortium would be limited to maximum of 4;
The EOIs should contain the information required for each member of the
Consortium;An individual Bidder cannot at the same time be member of a Consortium applyingfor this Project. Further, a member of a particular Consortium cannot be member ofany other Consortium applying for this Project; an undertaking towards this end
needs to be submitted by all members;Members of the Consortium shall nominate one member as the Lead Member. Thenomination shall be supported by a Power of Attomey as per the format enclosed at
Appendix I B;Membcrs of the Consortium shall enter into a Memorandum of Understanding(MOU) as per the format enclosed at Appendix 10 and duly notarized for the
purpose of making the EOI Application and submitting a Proposal. The MOUshall, inter alia:i. Convey the intent to enter into the Contract Agreements and subsequently
carry out all the responsibilities specified in the Contract Agreement, in case
the assignment is awarded to the Bidder; and
ii. Clearly outline the proposed roles and responsibilities ofeach member in case
of Consortium at each stage.
4. Notwithstanding anything stated elsewhere in this document, the Client shall have the
right to seek updated information from the Bidder to ensure their continued eligibility.Bidder(s) shall provide evidence of their continued eligibility in a manner that issatisfactory to the Client. Bidder may be disqualified if it is determined by the Ctient, at
any stage of the process, that the Bidder will be unable to fulfil the requirements of theProject or fails to continue to satisry the Eligibility Criteria. Supplementary information

or documentations may be sought from Bidders at any time and must so be providedwithin a reasonable period as stipulated by the Client.
5. A firm which has been barred or disqualif,red either by any departmenVagencies of the
Govemment of Pakistan /Punjab or Govemment departments/agencies of their respectivecountry, in case of Intemational bidder(s) would not be eligible to submit an EOIApplication, either individually or as member of a Consortium. Bidder to submit an
affidavit to this effect.
C. Changes in Consortium CompositionAfter sho listing, change in the composition of the Consortium (except lead member.l will be
subject to approval of the Client but applications to change the consortium should reach the
Client at least l0 days before the last date for submission of RFP. Conditions for such approvalwill be provided in the RFP document.
D. Number of EOIsEach Bidder shall submit only one (1) EOI Application in response to this EOL Any Bidder,which submits or participates in more than one EOI Application will be disqualified and will alsocause the disqualification of the Consortiums of which it is a member as the case may be.
E. EOI Preparation Cost
Thc Bidder shall be responsible for all of the costs associated with the preparation of its EOI and
its participation in the pre-qualification process. The Client will not be responsible or in any wayliable for such costs, regardless ofthe conduct or outcome ofthe pre-qualification process.
F. Examination of EOIl It would be deemed that by submitting the EOI, Bidder has

G. Right to Accept or Reject all Applicationsl. Notwithstanding anything contained in this EOI, the Client reserves the dght to accept or
reject all EOI and to amul the pre-qualification process and reject all EOIs / proposals, at
any time without any liability or any obligation for such acceptance, rejection orannulment. with assigning reasons.
The Client reserves the right to reject any EOI Application if:a. At any time, a material misrepresentation is made or uncovered, orb. The Bidder does not respond promptly and thoroughly to requests for supplemental
information required for the evaluation of the EOI.
Such misrepresentation / improper response would lead to the disqualification of the
Bidder. If the Bidder is a Consortium, then the entire Consortium would be disqualified /rejected.

a. Made a complete and careful examination of the EOI; andb. Received all relevant information requested from the Client.

H. Contents of EOIThe EOI Document comprises the contents as given in the Table of Contents and wouldadditionally include any Addenda issued in accordance with the provisions of this Document.
I. ClarificationsInterested parties may address their queries relating to the EOI to the Oflice of the Urban Unit.The queries should reach the above latest by December 27,2017 ,5:00 pm, Ph: +92 42-99205316-22,Fax: +92 42-99205323; Email: [email protected]. The Urban Unit would endeavor torespond to the queries. The responses will be sent by fax,/ email.
M. Validity of EOIsEOIs shall remain valid for a period not less than 90 days from the EOI Application Due Date.The Client reserves the right to reject any EOI Application, which does not meet this requirement.
N. Format and Signing of EOI Applicationl. The Bidder would provide all the information as per this EOI. The Client would evaluate
only those EOIs that are received in the required format and are complete in all respects.2. The Bidder shall prepare one original ofthe documents comprising the EOI Application
and clearly marked "ORIGINAL". In addition, the Bidder shall make rwo copies of theEOI Application, clearly marked "COPY". In the event of any discrepancy between theoriginal and the copies, the original shall prevail.
3. The EOI Application and its copies shall be typed or written in indelible ink and eachpage shall be initialled and stamped by the Bidder. All the alterations, omissions,additions, or any olher amendments made to the EOI Application shall be initialled by theperson(s) signing the EOI Application.
O. Sealing and Marking of EOI Applicationsl. The Bidder shall seal the original and copy duly marking the envelopes as "ORIGINAL"
and'TWO COPIES'. The envelopes shall then be sealed in an outer envelope super

J. Amendment ofEOIl. At any time prior to the deadline for submission of EOI Application, the Client may, for
any reason, whether at is own initiative or in response to clarifications requested by anyBidder, modifr the EOI Document by the issuance ofan Addendum.
2. Any Addendum thus issued will be sent in writing to all those who have sent queries tothe EOI Document, and shall also be uploaded on www.urbanunit.gov.pk
K. LmguegeThe EOI and all related correspondence and documents should be written in the EnglishIanguage. Supporting documents and printed literature fumished by Bidder with the EOIs;Application may be in any other language provided that they are accompanied by appropriatetranslations of the pertinent passages in the English language duly certified appropriately.Supporting malerials, which are not translated into English, shall not be considered. For thepurpose of interpretation and evaluation ofthe EOI, the English language translation shall prevail.
L. CurrencyThe currency for the purpose of the EOIs; Application shall be the Pak Rupee (PKR). Theconversion to Pak Rupees shall be clearly indicated in the Appendix 5.

scribing 'EOI for "Detailed Technical and Engineering Feasibility Studies forDevelopment of a New Economic City in Punjab, Pakistan" and also the name(s) ofbidder / consortium.Each EOI (original and copy) shall contain:a. Power of Attomey (POA) for the signing authority as per the format enclosed at
Appendix 1A. Altematively, at EOI stage, authorization letter issued by the CEO orsuitably authorized person would suffice subject to the power of attomey beingsubmitted before the RFP submission deadline;
b. Power of Attomey for the Lead member of the consortium as per the formatenclosed at Appendix lB, in case of Consortium;
c. Bidder details (Appendix 2);d. EOI's Application in the prescribed format (Appendix 3) along with supporting
documents;e. Completed Format for Experience as in Appendix 4, along with supporting
documents;f. Completed Format for Financial Capability as in Appendix 5, 6 & 7, along with
supporting documents;g. A consortium applying at EOI stage, if unable to submit POA for lead member
nomination, MOU, Board resolutions, etc., may submit the Letter of intent signedby all Consortium members to form a Consortium including nominalion of a leadmember and to ensure submission ofrelated documents including (b) above and theMOU (k below), etc. before signing of contract agreement, if selected. (Appendix6);
h. Format ofAnti collusion certificate as in Appendix 8;i. Format of Assignment Undertaking as in Appendix 94;j. In case of a Consortium, an undertaking from each member of Consortium
certifying that it is an exclusive member of that particular consortium alone, andnot a member of any other consortium nor an independent Bidder, bidding for thisProject and has submitted only one (1) EOI Application in response to this EOI(Appendix 9 B).
k. MOU in case of a Consortium (Appendix l0); andl. Documentary evidence, if applicable, relating to experience of group
companies/associates.The envelope shall be addressed to:

If the envelope is not sealed and marked as instructed above, the Client assumes noresponsibility for the misplacement or premature opening of the contents of the EOIApplication submitted.
P. EOI Application Due Date
EOI Applications should bc submitted before I l:00 am PST on the EOI Application Due Date
mentioned in thc Schedule of Pre-Qualification Process, at the address provided above in thc
manner and form as detailed in this EOI. EOI Applications submitted by either facsimiletransmission, telex or e-mail will not bc considered for evaluation and shortlisting. However, the

Client reserves the right to extend the EOI Application Due Date and Time, at any time prior toopening of EOIs in response to this EOI. In such cases, the EOI applications received prior tosuch extension shall not be opened. Further, if the EOI document is materially modifiedlong/during such extend€d period, the EOI application received prior to extension shall be
retumed to the bidders and appropriate time shall be allowed for resubmission of the EOIapplications.
Q. Late EOI ApplicationsEOI Applications received after the Duc Date shall NOT be considered
R. Modifications/ Substitution/ Withdrawal of EOIs
The Bidder may modify, substitute or withdraw its EOIs after submission, provided that writtennoticc of the modification, substitution or withdrawal is received by the Client before the EOI'sDue Date and time. No EOI shall be modified or substituted or withdrawn by the Bidder after the
EOI Due Date and time.
S. Evaluation of Application - Due Date
The Client would open the Apptications on the opening due date mentioned in the Schedule ofPre-qualification Process, for the purpose ofevaluation.
T. Evaluation of EOI - CriteriaThe Client would subsequently examine and evaluate EOIs in Accordance with the criteria set out
in Section 3.
U. Evaluation of EOI - Supporting Documents
The Client reserves the right to call for supporting documentatidn to veri$ the data provided by
Biddu, at any time during the pre-qualification process. The Bidder in such cases would need to
provide the requested clarification / documents promptly and within the stipulated time failing
which the Bidder is liable to be disqualified at any stage of the shortlisting process.
V. Evaluation of EOI - Right to Reject
The Client reserves the right to reject any EOI Application it1. At any time, a material misrepresentation is made or uncovered; or
2. The Bidder does not respond promptly and thoroughly to requests for supplemental
information required for the evaluation of the EOI.
W. ConfidentialityInformation relating to the examination, clarification, evaluation, and recommendation for the
short-listed Bidders shall not be disclosed to any person not officially concemed with the process.
The Client will rreat all information submined as part of EOI Application in confidence and
would require all those who have access to such material to tleat the same in confidence. The
Client will not divulge any such information unless it is ordered to do so by higher authorify that
has the power under law to require its disclosure.
X. Tests of responsiveness
Prior to evaluation of EOIs, the Client will determine whether each EOI Application is responsive
to the requirements of the EOI. An EOI Application shall be considered responsive if the EOI
Application:

SECTION 2: TERMS OF REFERENCE
PROJECT INTRODUCTIONThe New City project was initiated and being funded by the Covernment ofPunjab (GoPb), Pakistan. The
Urban Sector Policy and Management Services Unit (USPMU), Pakistan (commonly known as "ThePunjab Urban Unit" wcbsite (www.urbanunit.gov.pk) is a public sector corporate consulting concem
having a diverse strength in sectors like urban planning, architecture, urban design, GIS/RS, environment,institutional development, and capacity building. For this particular project, the GoPb mandates the UrbanUnit to act as a Project Management Unit (PMU) to assist and provide supervision for all consultancyservices arising in due course of studies required New City viz-a-viz. pre-feasibility, feasibility, detailedmaster planning, institutional design, engineering design and development phases for this new cityproject.
BACKGROUND INFORMATION
The increased urbanization has overburdened the existing cities specifically in the province of Punjab.
Yet urbanization offers various opporhmitics for economic growth. Realising the stated facts, the
Govemment of Punjab has initiated for development of a new urban industrial agglomeration on world
class standards in Punjab. Initially a site was selected for the development of a new city along the
Motorway (M2) corridor near Lillah interchange located 210 Km from Lahore. Motorway M2 is a 370
km long 6lane inter-city highway connecting Pakistan's national capital Islamabad with Lahore and was
planned in early 1990's with a vision to develop some eleven new industrial towns on it but none has been
materialized till today. The proposed city would have the largest industrial cluster [zone] in the country
with high-cnd supportive urban infrastructure and to house around 2 million inhabitants and offering them
diverse work-live-leisure opportunities.
However, during the course of project planning and deliberations, it was decided by the Govemment ofthe Punjab to not only specifically look at one site on the M2 but also determinc the potential of other
competitive sites as well on which a New City could be developed. For this, initially a Prefeasibilify for
New City was carried out by an international consulting firm with an objective to prioritize the potential
sites for the development of other new towns within Punjab.
The prefeasibiliry Study has been completed in the month of March 2017. The prefeasibility covered
Baselinc Market and Demand Analysis; Identirying Optimal Sites (site comparison); Proposed
implementation, Financial Model, and Expected Impacts in the form of a consolidated Prefeasibility
Report. A further Assessment and Calibration study is underway to review and re-assess the results
arrived at in the first study. This study and subsequent finalization of site is expected to be completed by
thc end of December 2017 . The tentative size of area of NEC may be around 400 Km'. In view thereof,
the Government of Punjab intends to hire two leading firms (one Intemational and one National level)
under separate contracts with different assignments. However, both'the firms shall be conducting
Feasibility Studies and Master Planning related assignments in close liaison, for a coherent and integrated
planning, as per their scope that has been advertised and published separately. The National (local) firm
shall be responsible for few parts ofFeasibility studies ofthe proposed city. All the National (local) firms,
witb experience in conducting Feasibilities studies for development ofnew Cities and integrated SEZs are
invited to bid under this Expression of Interest.
SCOPE OF WORK
The subject study is divided into seven pans. The Client shall award work orders for each Part subject to
the timely submission and subsequent review and approval of the relevant documents by the Client and

Management approach and stakeholderengagemenvparticipation to gain first hand on-site information and to discuss preliminary findings shallalso form a part ofthe studies.
DETAILED FEASIBILITY
..1 DemographicrSocio-economicandGovernanceAssessment
The Consultants shall carryout demographic assessment of the Project Area including existing populationdata, density analysis, population projections broken down by age, education, mobility, including a
comparison of users generated from the following areas: the existing urban centers located in vicinity, theproposed development area of the NEC each at five-year increments through 2040. The populationinformation (existing and projections) shall also be provided bylto union council, tehsil, district boundaryetc. as a reference. Further, the same information will be overlaid on the maps to show spatial distributionwithin 50 Km radius of project study area.
The Consultants shall also perform a detailed socio-economic analysis by considering various socio-economic parameters and variables such as population, community structures, employment, distributionof income, goods and services, recreation, public health, presence of tribal groups, their customs,aspirations and aftitudes. The consultants shall make use of primary and secondary sources for dataaccumulation and survey plan which shall be shared in the proposal. This part also involves the initialbroader assessment of the existing instirutional and govemance practice in project site area with somebasic gap analysis.
..2 Technical & Engineering Feasibility Assessment
The Technical and Engineering Feasibility Assessment of the selected Site for the NEC should addressthe suitability of the site for its intended development. Various aspects of the technical feasibility shalldetermine whether the proposed site is suitable for the establishment of a New City on engineeringgrounds for intcnded use. The Consultants shall perform an analysis of existing settlements and built structures to determine the
total numbers, type and nature, structural assessment for compensation and land acquisition costs etc. The
Consultants shall build a detailcd GIS database with thematic maps of such settlements and builtstructures, overlaying cadastral information such as Mouza and Khasra numbers etc. The Consultants
shall analyze the existing infiastructure to assess its carrying capacity and its future expansion and
integration of the existing infJastructure and proposed infrastructure if any; can be incorporated in the
proposed infrastructure requirements for the Proposed City.
..5 RegionalAccessibility
The Consultants shall evaluate the existing regional accessibility and its potential to accommodate the
future commuting requirements etc. in relation to the proposed City. The site and city development must
be evaluated in terms of connecting with larger regional and economic context i.e. CPEC alignments and
cify integration into CPEC's economic and SEZ development objectives.

..6 Social Feasibility Assessment
Thc Consultants shall look into the details of social impacts of the proposed developments as outlined inthe Master Plan. This will cover a thorough investigation or likelihood of developmental impacts on localpopulation such as how the project activities could affect local population's livelihood opportunities thatare dependent on exploitation of natural resources e.g. grazing and agricultural activities; the likelihood ofcommunity's system such as cohesion, stability, character, services and facilities; the fcars and aspirationsof local populace, their perceptions about their safety, their integration in the project outcomes, their fears
about the future of their community, and their aspirations for their future and the future oftheir children.
..7 EnvironmentalFeasibilityAssessment
The Consultants shall conduct a comprehensive Environmental Baseline data inventory and carry out aSWOT analysis of the Project Area by incorporating information such as:

The Consultants shall analyze all the environmental base line data collected of the project site area inretrospective and extrapolative manner and subsequently perform a pre-plan stage Environmental ImpactAssessment of the proposed city development.
This is expected to be done by employing some environmental impact modelling/forecasting tools usingtrend extrapolation or genius forecasting to project and shall be done by developing different developmentscenarios at different points in time in future say 5, t0 and 20 years.
The Consultants shall further look into the prevalence and occurrence of natural/environmental hazards
and vulnerability asse ssment/modelling associated with both urban and industrial development.
The results of this pre-plan environmental assessments shall be used to develop a post-plan StrategicEnvironmental Assessmenl as per guidelines of EPA/EPD and other intemational environmental impactassessment guidelines for large-scale complex developments as NEC.

GUIDELINES FOR PROVIDING INFORMATION RELATED TO FINANCIAL
CAPABILITYl. The Bidder should provide the Financial Capability based on its own audited financialstatements. Financial capability of the Bidder's parent company or its subsidiary or any associatecompany (who are not Members of the Consortium) will not be considered for computation oftheFinancial Capabiliry of the Bidder.
