The OECD mission is to promote policies that will improve the economic and social
well-being of people around the world. We are focused on helping governments in our
member countries and elsewhere in four main areas:
First and foremost, governments need to restore confidence in markets and the
institutions and companies that make them function. That will require
improved regulation and more effective governance at all levels of political
and business life.
Secondly, governments must re-establish healthy public finances as a basis for
future sustainable economic growth.
In parallel, we are looking for ways to foster and support new sources of
growth through innovation, environmentally friendly ‘green growth’ strategies
and the development of emerging economies.

The OECD is one of the world’s largest publishers in the fields of economics and
public policy and OECD publications are a prime vehicle for disseminating the

Members and Key Partners The OECD today consists of 34 member countries
spanning the globe, from North and South America to Europe and the Asia-Pacific
region. They include many of the world’s most advanced countries but also emerging
countries like Mexico, Chile and Turkey. We also work closely with emerging giants
like China, India and Brazil and developing economies in Africa, Asia, Latin America
and the Caribbean.
In May 2007, OECD countries agreed to invite Chile, Estonia, Israel, Russia and
Slovenia to open discussions for membership of the Organisation and offered
enhanced engagement to Brazil, China, India, Indonesia and South Africa. While
enhanced engagement is distinct from accession to the OECD, it has the potential in

the future to lead to membership and marks the start of accession talks. Chile Slovenia
Israel and Estonia have since completed the necessary formalities, including
parliamentary approval, and become members.
Strategic Objectives
The OCED has established three key strategic objectives:
1) A global institution: The Organisation aims to become a source of evidence-
based advice for all governments, international forums such as the G20 and G8,
and a standard setter to address global challenges.
2) Global outreach: the OECD is expanding its membership to include emerging
economies. The Organisation is broadening its scope of policy exchange and
collaboration with countries at differing levels of development and aims to
enlarge its regional dimension with Africa, Latin America, South East Asia,
Central Asia, Eurasia and South East Europe.
3) Develop responsive internal structures and management: to adjust to global
challenges and to increase relevance to the diversity of cultures that brings
expansion, the Organisation’s internal functions need to evolve to allow more
flexibility and adaptability.
Locations
The main offices of the OECD are located in Paris, with information and publications
centres in Washington D.C., Berlin, Tokyo, and Mexico City.
Staffing Challenges
To support the Organisation as it responds to its strategic objectives, OECD staff
members will need to equip themselves with the essential competency set to meet
organisational changes and face the challenges. In this respect, the OECD has
launched in 2012 a core competency framework that defines the set and levels of
skills for all OECD staff members. The OECD Core Competency Framework
provides the basis for staff development to prepare for future needs in terms of human
capital.

PART I: INSTRUCTIONS TO TENDERERS
ARTICLE 1 - NATURE AND PURPOSE OF THE CALL FOR TENDERS
The set of specifications and conditions set out in this document constitute a Call for Tenders for
the design and delivery of in-house training programs which will be part of an on-going curriculum
of training offered to staff and managers.
This Call for Tenders is split into a total of five lots:
Lot 1: Management and interpersonal skills;
Lot 2: OECD work specific training such as fundraising and report writing;
Lot 3: Reducing the causes and effects of stress;
Lot 4: Official languages (French and English); and
Lot 5: Media communication and message development.
Tenderers can respond to one or multiple lots and can submit proposals for individual or multiple
events within each lot. In responding, Tenderers are requested to submit only the information
requested in the Tender submission sections. If responding to multiple events or lots Tenderers
should indicate potential efficiencies based on the OECD awarding the Tenderer multiple events in
one or more lots.
The OECD reserves the right to award multiple Framework contracts for each Lot.
The OECD will not make any commitment to provide a minimum quantity of work to any
Contractor.
ARTICLE 2 - CONDITIONS OF THE CALL FOR TENDERS
2.1. Composition of the Call for Tenders
This document contains three parts:
Part I: Instructions to Tenderers and its Annex (I Declaration);
Part II: Technical Specifications and its Annexes (II Core Competency Framework, III Event
Topic Areas, IV Overview of Event, and V Detailed Breakdown of Event);
Part III: Minimum General Conditions for OECD Contracts.
2.2. Tenders
All Tenders will be treated as contractually binding for the Tenderer, and the Tenderer shall
consequently date and sign the documents mentioned above, as well as any document in support
(including its proposal of prices), and initial each page of each document.
2.3. Duration of Tender validity
Tenders shall remain valid for at least one hundred and eighty (180) calendar days as from the
deadline for receipt of Tenders.

2.4. Additional information
Should any problems of interpretation arise in the course of drawing up the Tender documents,
Tenderers may submit a written request for further information or clarification to the Organisation,
via email only, to the address indicated below, no later than ten (10) calendar days before the
deadline for the receipt of Tenders. The OECD will not commit to answering questions or
clarifications received after this date. All Tenderers will be advised of the answers given to such
questions.

2.5. Acceptance and rejection of Tenders
There is no commitment on the part of the Organisation to accept any offer or part thereof that is
received in response to the Call for Tenders.
The Organisation reserves the right to:
• Accept Tenders with non-substantive defects; and
• Reject Tenders received after the deadline for receipt of Tenders, without indemnity or
justification.
2.6. Modification or cancellation of Call for Tenders
The OECD reserves the right to modify or cancel all or part of the Call for Tenders, should the need
arise, without having to justify its actions and without such action conferring any right to
compensation on Tenderers.
2.7. Tenders submitted by partnerships
Partnerships must jointly meet the administrative requirements set out in the Call for Tenders. Each
partner must also fully meet those requirements individually.
Once a Tender has been submitted, there may be no change in the composition of a partnership
without the prior written permission of OECD. The Organisation reserves the right to reject any
request for such modification without having to justify its decision.
2.8. Extension of the deadline for submission
The OECD reserves the right to extend the deadline for receipt of the Tenders. In that case, all the
Tenderer’s and Organisation’s rights and duties and in particular Article 2.3 above will be subject to
this new deadline.
2.9. Tendering expenses
Tenders are not paid. No reimbursement of expenses related to the preparation of any Tender will
be made by the OECD.

2.10. Confidentiality
It is requested that this Call for Tenders be treated as confidential. Any information communicated
to the Tenderer and /or the performance of the work, are confidential and strictly dedicated to the
purpose of the Call for Tenders. The OECD reserves the right to request that all material be returned
at the end of the Call for Tenders process, regardless of their format.
ARTICLE 3 - PRESENTATION, SUBMISSION AND CONTENTS OF TENDERS
3.1. Tender presentation and conditions for submission
Tenders shall be entirely drafted in English or French and shall be received by the Organisation:

Tenders received after that deadline or in unsealed envelopes and/or bearing any mention that
would identify or make reference to the Tendering company may be rejected, as may any offers that
do not respond to all the services described in the Technical Specifications.
Tenders sent by email or fax will be systematically rejected, even if a duplicate is sent in paper
format (hard copy).
3.2. Contents of the Tender
Tender submissions must contain the following items.
The Tender in two paper copies and one electronic version (e.g. CD ROM or USB key).
A letter of application signed by the Tenderer confirming the following:
That all the elements of the Tender are contractually binding;
That the person signing the Tender has the authority to commit the Tenderer to a legally
binding offer;
That the Tenderer accepts all of the Minimum General Terms and Conditions without
any modification. If there is an exception, please state the exception and the rationale for
that exception; and
That the Tenderer, and each of the partners in the case of a partnership, have fulfilled all
its legal obligations with regard to tax declarations and payments in its home country
and must supply all the requisite certificates to that effect.

The Tenderer shall provide, to the extent possible in accordance with the national regulations of
the Tenderer, certificates identifying the Tenderer, including its name, legal form, address,
registration number or equivalent, date founded, areas of activity and number of employees by
country and activity.
Note that the Tenderer, should it be shortlisted, will be asked to provide the following:
Any relevant existing agreements with intermediaries or third parties;
Financial information for the last three (3) years; and
Proof of completed legal obligations with regards to tax declarations and payments in its
home country and all the requisite certificates to that effect.
3.2.1. Financial Conditions
Prices quoted must include everything necessary for the complete execution of an eventual contract,
(for example, insurance, transport, guarantees). Charges for items essential to execution of the
contract and not identified in the proposal will be borne by the Tenderer.
ARTICLE 4 - INTERVIEWS
The OECD reserves the right to organise interviews and request the Tenderers to explain in more
detail the content of their Tenders.
ARTICLE 5 - SELECTION CRITERIA
The criterion for Tender appraisal includes, but is not limited to, the following areas:
5.1. The quality and relevance of the proposed events and answers to the technical specifications of
the Call for Tenders;
5.2. The pricing terms for the proposed events.
5.3. The financial and managerial soundness of the Tenderer, or of each individual partner in the
case of a group, assessed on the basis of accounting records presented and agreements between
partners in a group.
ARTICLE 6 - INFORMATION TO TENDERERS
All Tenderers will be informed, whenever possible, of the decision taken on their Tenders.

Annex I: Declaration

As part of the offer in response to the OECD Call for Tenders n° 100000560, the Tenderer
(company or individual) declares on oath the following:
that it is not bankrupt or being wound up, is not having its affairs administered by the courts, has
not entered into an arrangement with creditors, has not suspended business activities, is not the
subject of proceedings concerning those matters, and is not in any analogous situation arising
from a similar procedure provided for in national legislation or regulations;

PART II: TECHNICAL SPECIFICATIONS
ARTICLE 1 - OECD LEARNING CURRICULUM
The constantly evolving global political and economic landscape is posing both a challenge and
an opportunity for international organisations. Training, in combination with developmental
solutions such as on the job learning, coaching and temporary developmental assignments, is a
key tool in ensuring and maintaining the OECD staff’s current and future impact and
effectiveness.
The OECD provides a range of training to address organisation wide, directorate1, and individual
learning needs. This training curriculum is intended to respond to competency gaps identified as
part of the performance assessment process and to develop and enhance the specific skills the
OECD staff’s needs to perform effectively their current and known future responsibilities.
Training events should therefore leverage the OECD’s “Core Competency Framework” (see
Annex II for the relevant competencies and descriptions). The training curriculum can be
enhanced if needed by the provision of ad-hoc customized training events based on needs
established by a specific work unit or directorate or by attendance at external training events
responding to more specialized needs of individual staff members.
This Call for Tenders is to identify Contractors who can contribute to the provision of a range of
training events. The current training curriculum events offered by the OECD will be updated and
or replaced following the completion of this Tender. Successful respondents to this Tender will be
submitted to a framework of Contractors who will be contracted to provide specific training
events based on needs identified by the OECD HRM training team.
Note that Training on IT and senior level leadership are not included in this Call for Tenders.
ARTICLE 2 - REQUIREMENTS AND SCOPE OF SERVICE
Unless stated otherwise in Part II, Article 4 ‘Specific Considerations for Lots’, training events
should conform to the following points.
2.1 DESIGN OF OECD TRAINING CURRICULUM
We seek to develop with selected Contractors a curriculum that will take into consideration the
following specifications:
2.1.1 Training Objectives
The curriculum will:
Develop staff competencies’ in line with the strategic objectives of the Organisation (see page
3 of this Call for Tender) and the established OECD Core Competency Framework (see
Annex II);

Give participants an opportunity to broaden their understanding of their environment and
strengthen peer exchange and networks; and
Raise self-awareness of participants’ need to develop their skills to unleash their potential.
Contractors will be required to:
Design bespoke events, specifically for the needs of the OECD;
Adapt existing materials (either their own or those of the OECD) to current needs; and/or
Deliver events based on OECD materials, with no, or limited adaptations.
In all cases, Contractors will be required to work closely with the OECD in the preparation and
development phase, to understand the specific needs of the Organisation.
2.1.2 Curriculum Content and Target Audience
Annex III “Event Topic Areas” provides a detailed summary of the event areas to be covered by
the OECD training curriculum. Tenderers can submit responses for more than one event and/or
suggest supplementary courses within an identified topic area in order to meet the stated
objectives. As the OECD Core Competency Framework is likely to evolve over time and generate
new learning needs, retained learning Contractors may be asked in the future to design/deliver
learning events that cover these new skills.
The training curriculum will target staff from a range of:
Job functions and areas of expertise (e.g. managers, economists, policy analysts and experts,
statisticians and support staff);
Nationalities and cultures; and
Grade seniority and experience.
For information, based on current practices, the training events included within this Call for
Tenders would typically expect to total approximately 100 sessions with up to 1,750 attendees
over the course of one year with the following breakdown:
Management: 450
Personal Effectiveness & Communication: 600
Stress: 200
Languages: 450
Media Communication and Message Development: 50
There is no commitment on the behalf of the OECD to any of these figures.
2.1.3 Delivery Language
To the extent possible, Tenderers should offer training events in both of the two official languages
of the organisation (French and English).
2.1.4 Contextualisation of Content and Delivery
Tenderers should be experienced at and able to adapt and contextualize event content and delivery
to reflect tasks and challenges faced in the working environment of an international organisation

with a multinational and multicultural workforce many whom are not working in their native
language.
2.1.5 Format of Training Events
Events typically last for one or two days with each event session including between 10 and 15
staff. The nature of OECD work, which can include project work and regular missions, mean it
can be difficult to secure attendance at training events for longer periods of time. Therefore, event
length should typically be between half a day to a maximum of two days.
Events should encourage active learning and respond to various learning style preferences
through, for example, the inclusion of realistic case studies, theory and practice exercises.
However, Tenders can include recommendation to enhance the current curriculum format
including through the use of blended learning, supporting resources and modular approaches.
Training events will be expected to take place at the OECD premises (Paris, France) and should
be available for delivery throughout the calendar year.
2.1.5.1 What the OECD provides
The Contractor is expected to provide all items relating to training content, for example, training
materials, hand-outs, and exercises. The OECD will provide all non-training specific materials
and facilities for onsite events such as room facilities.
A typical training room facility will provide a PC, large screen television and suitable equipment
for audio and video conferencing. Rooms are subject to availability and prior booking.
2.1.6 Learning Management System
The OECD has recently implemented Cornerstone, a talent management, learning and
performance management software, as its learning management system. The administration of all
events by OECD staff will be managed through this tool including the promotion, registration and
evaluation of events. As the functionality of the tool is expanded at the OECD, successful
Tenderers may be required to access a secure website to perform limited administrative duties
related to their events such as printing and updating attendance records and viewing evaluation
reports.
ARTICLE 3 - PROJECT MANAGEMENT AND IMPLEMENTATION
The design of the event, approach and choice of instructors are to be managed by a designated
Programme Manager, working in close collaboration with OECD counterparts. The process and
approval phases of the project are to be clearly structured to ensure the final event reflects the
desired objectives.

effectively and progress within the Organisation. The events are designed to reflect the OECD
core competencies and indicators.

4.2 Lot 2: OECD Work Specific
Events included in this lot are specifically related to key tasks expected of staff at the OECD and
may focus on more specialized skills and internal policies and procedures. Tenderers are not
expected to have detailed knowledge of the OECD policies and procedures covered in these topic
areas but should demonstrate specialized knowledge and strong experience in delivering training
in the topic area submitted as well as demonstrating how the course could accommodate OECD
specific policies, procedures and situations.

4.3 Lot 3: Reducing the Causes and Effects of Stress A staff survey was carried out in 2010 to gauge staff stress levels, identify the main causes of
stress and map out courses of action to institute a prevention plan to address the causes and effects
of stress.
In response to the findings of this survey, a framework for addressing stress levels in the
Organisation was established. This framework includes training initiatives that aim to build or

reinforce resilience of staff towards stress as well as monitoring of key indicators across the
Organisation, promotion of flexible working arrangements and prevention plans to promote health
in the workplace.
The stress reduction training should raise staff managers’ awareness of work-related stress,
EXD/HRM, address time and workload pressures, managerial practices generating stress, coping
with change and challenging interactions with others.
Event topic areas covered by this Lot include;
Dealing with change,
Managing emotions effectively in the workplace,
Minimising stress (for managers),
Minimising stress (for staff),
Taking control of time.

4.4 Lot 4: Official Language Training (French and English)
The two official languages of the OECD are English and French staff. Most jobs require fluency
in one and a working knowledge of the other language to perform the range of tasks. Meetings
and discussions will frequently switch between the two languages depending on the preference of
the speaker. For many staff relocating to France, learning and improving their French language
can be critical to adapting and settling in successfully.
Depending, on demand, language training events are offered in French/English at introductory,
false beginner, intermediate, and advanced levels. Each event typically consists of a total of 20
hours, split over a two-week period, with two hours per day. Sessions normally start either in the
morning or at lunch times with staff typically able to attend one event per month. Events take
place onsite and will include between 10 and 15 staff.
After registering for language training, staff members are assessed using the Bulats language test
and groups are created with staff at similar levels of language competence. Tenderers should
explain how they can support the testing, group creation and notification.
At the conclusion of the event, Contractors should provide an updated assessment of the
participants indicating attendance rates and progression achieved.
Tenderers can recommend enhancements to the current arrangement such as blended learning,
remote coaching, etc.

4.5 Lot 5: Media Communication and Message Development
The objective of the training event covered by this lot is to offer senior officials, as well as
members of the Secretariat and its committees, advice and recommendations on how to
communicate the work, goals, and functions of the Organisation clearly and effectively.

The themes to be covered in the training event, alone or in combination, could relate to any area
of OECD work, including: financial markets, macroeconomics, biotechnology, education,
environment and climate change, health, international development, governance and corruption,
healthcare costs, trade and agriculture, etc.
The need for a communications training event could be prompted by news headlines, an
upcoming publication, a major conference, or messages that the Organisation wishes to
proactively push out to the marketplace
Each training session will have between 3 - 15 participants, depending on the aim of the session -
some will focus on information building and sharing and others on training session participants
for an immediate media opportunity.
It is foreseen to hold 12 - 15 days of training per year, spread at irregular intervals and as the need
arises, over the months February - June and September - December.
The training will include advice and recommendations related to explaining OECD work:
What makes a compelling message,
What messages will be of interest to the public and the media,
How best to tether OECD messages to broader headlines,
How best to relay those messages – including through print/broadcast interviews, news
releases, news conferences, the web, social media, and video,
Writing and speaking in clear language to a non-OECD, non-specialist, audience,
How to deliver messages in a compelling manner, and
How to build and maintain relationships with journalists.
The training will include all aspects of communicating with the public, stakeholders, and
journalists. The broadcast portion of the training will take place in the OECD studios in Paris.
The Contractor is expected to deliver, within one week after each training session, a short written
report outlining the messages which have been developed and assessing the ability of each event
participant.
Requirements for the message development contractor
The Contractor will have in-depth working knowledge of OECD’s structure and areas of expertise
covered by the programme of work and budget (as above).
The Contractor will have the experience, knowledge and expertise to develop messages which are
often related to sensitive political and diplomatic issues.
The Contractor will have experience and expertise in the role, modus operandi and requirements
of the print, broadcast, internet and social media. A specific emphasis on the intersection between
traditional and social media could be a plus. The Contractor will combine knowledge garnered
during time as a journalist/media expert with extensive experience teaching or training.

ARTICLE 5 - TENDER CONTENT
We expect courses to be designed specifically for OECD purposes. The OECD does not expect to
receive catalogues of Tenderer’s standard courses currently available submitted as an offer. The
contents of events are to be established jointly by the OECD and the selected Contractor once the
selection of events has been developed and adjusted.
Tenderers shall present offers based on the instructions below:
4.1 An overall project plan for the design and delivery of events (1 document of a maximum
total of 10 A4 sides)
The Tenderer should provide detailed method statements including, but not limited to, the
following elements;
Preparatory phase: to include method statements describing the approach and methodology
proposed for developing event content and design. For example;
How will the Tenderer manage timelines,
How the Tenderer has customised events to meet OECD needs,
The challenges anticipated by the Tenderer in delivering training to an international
organisation,
Tenderer’s experience of working with Learning Management Systems (LMSs)
(preferably Cornerstone) to plan and administer courses and willingness to integrate an
LMS into their working practices,
The proposed strategy of the Tenderer for launching courses,
How the Tenderer aims to incorporate blended learning options,
How the Tenderer plans to facilitate transfer of learning, etc.
Event delivery: to include method statements describing the approach and methodology
proposed to deliver events. For example;
How the Tenderer utilises pedagogical and training practices in the structure of
courses. For example, application of theory, incorporation of best practices, role play,
etc.,
How the Tenderer plans to manage the transition and alignment between design of
course and implementation. For example, will the person who designs the event deliver
the training, if not, how will the transition be managed?
How the Tenderer will align capacity and availability of instructors with OECD
scheduling needs. For example, will there be consistency of trainers used for separate
event sessions, etc.
Event evaluation: including method statements describing the approach and methodology
proposed to post event evaluation. For example,
How will Tenderers look to continuously improve course content and materials,
How will Tenderers maintain knowledge of OECD working environment, etc.

4.2 Event Arrangements*
Tenderers should provide:
Objectives, content and costs of training events.
A completed Annex IV “Overview of Event” for each event included in the Tender. This
document provides a summary of the approach and content for each event, including any
add-on additional component (pre and /or post event) considered relevant for the event and
event specific costs.
A completed Annex V “Detailed Breakdown of Event” for at least one event and a
maximum of three events per lot only i.e. not every event submitted. The detailed
breakdown should clearly show the content covered, the linkages to OECD core
competencies, the proposed timings allotted to each topic area, and the methodology used
to encourage the transfer of learning.
Instructors.
The proposal should include the Curriculum Vitae of the instructor(s), the designated
Programme Manager, and, if different training designer(s) including educational background,
degrees and diplomas, accreditations and certifications, professional experience in delivering
similar training events in a multicultural context and/or international organisation.
* The final design of the event may change and will be signed off by the OECD project manager
after the selection is made.
4.3 Costs
To complement the event specific costs provided in Annex IV for each event, the Tenderer should
confirm;
Travel, accommodation, and daily allowance costs (a standard travel fee, if relevant, is
preferred).
Event session cancellation rates and minimum timelines for cancellation.
Discounts applicable for the purchase of multiple events
All prices must be quoted in Euros
Prices should be fixed amounts, and remain valid for the duration of the contract. Travel and daily
allowances must be quoted as fixed amounts.

PART III: MINIMUM GENERAL CONDITIONS FOR OECD CONTRACTS
The following non-exclusive articles of the General Conditions of the anticipated Contract as well
as the document entitled “Terms of Reference” shall become an integral part of the Contract to be
signed between the OECD and the Contractor. These minimum general conditions are not
exclusive and additional conditions can be added in the final Contract. In the event of any
contradiction between the provisions of the anticipated Contract and those of any of its Annexes,
including the present and completed General Conditions, the provisions of the Contract shall
prevail.
ARTICLE 1 - SERVICES
The services supplied under the Contract (hereinafter “The Work”) shall conform to the standards
mentioned in the Terms of Reference.
It is expressly agreed that the Contractor shall perform the Work in accordance with all Standards
or, where no such standards have yet been formulated, the authoritative standards of the
profession will be the applicable norms.
ARTICLE 2 - PRICES
Prices charged by the Contractor under the Contract shall not vary from the prices quoted by the
Contractor in its Tender with the exception of any price adjustment authorised in the Contract or
in the Organisation’s request for Tender validity extension, if need be.
ARTICLE 3 - PAYMENTS AND TAXES
Payments will be made in Euros.
The Organisation is exempt from taxation; including from sales tax and value added tax (V.A.T.).
Therefore, the Contractor shall not charge any such tax to the Organisation. Upon request, the
Organisation will provide the Contractor with a certificate of this exemption. All other taxes of
any nature whatsoever are the responsibility of the Contractor.
ARTICLE 4 - DURATION
The Contractor shall perform the Work in accordance with the time schedule and the terms
specified in the Contract, this being an essential element of the Contract.
ARTICLE 5 - ACCESS TO THE PREMISES
If the Work requires at any time the presence of the Contractor and/or of the Contractor’s
employees, agents or representatives on the premises of the Organisation, they shall observe all
applicable rules of the Organisation, in particular security rules, which the Organisation may
enforce by taking any measures that it considers necessary.

Neither Party shall be liable or be deemed to be in breach of the Contract as a result of any delay
in performing, or any failure to perform its obligations, if such delay or failure is caused by force
majeure. Force majeure may only be invoked when an event is, at the same time, unforeseeable,
unavoidable and beyond the control of the party invoking it. Such events may include, but are not
restricted to, civil unrest, wars, revolutions, fires and floods, but under no circumstances shall
include public transport strikes or strikes by Contractor’s personnel. The party invoking it shall
notify the other Party of its existence as soon as possible, use reasonable endeavours to mitigate
its effects and recommence performing the Contract as soon as the force majeure ends.
ARTICLE 7 - AUTHORITY
The Contractor hereby declares having all rights and full authority to enter into this Contract and
to be in possession of all licenses, permits and property rights, in particular intellectual property
rights, necessary for the performance of this Contract.
ARTICLE 8 - LIABILITY
The Contractor shall be solely liable for and shall indemnify, defend and hold the Organisation
and its personnel harmless from and against any and all claims, losses, damages, costs or
liabilities of any nature whatsoever, including those of third parties and Contractor’s personnel,
arising directly or indirectly out of or in connection with Contractor’s performance or breach of
this Contract.
It is the responsibility of the Contractor to possess adequate insurances to cover such risks,
including any risks related to the execution of the Contract.
ARTICLE 9 - REPRESENTATIVES
Neither the Contractor nor any of Contractor’s employees, agents or representatives:
shall in any capacity be considered as members of the staff, employees or representatives of
the Organisation;
shall have any power to commit the Organisation in respect of any obligation or expenditure
whatsoever;
shall have any claim to any advantage, payment, reimbursement, exemption or service not
stipulated in this Contract. In particular and without limitation, it is understood that neither
the Contractor, nor any of Contractor’s employees, agents or representatives may in any
manner claim the benefit of the privileges and immunities enjoyed by the Organisation or by
its personnel;
shall disclose or use, in whole or in part, for any purpose whatsoever, other than that specified
in the present Contract, information or documents communicated to them, or which come to
their knowledge in the course of the performance of this Contract, including, but not limited
to, the results of the Work under the Contract. The Contractor shall ensure that the
Contractor’s employees, agents and representatives are expressly bound by and respect the
provisions of the present clause.
ARTICLE 10 - DESIGNATION OF A COORDINATOR

The Contractor shall appoint a coordinator within its personnel, to be approved by the OECD. The
coordinator shall actively cooperate with the Organisation’s representatives. Throughout the
duration of the Contract, the coordinator will consult the Organisation as often as necessary and
will attend meetings, if need be. The OECD reserves its right to ask for the replacement of this
coordinator if deemed necessary.
ARTICLE 11 - INTELLECTUAL PROPERTY
The copyright and any other intellectual property rights arising from the Work carried out in
performance of this Contract, including the intermediate and final results thereof, shall vest in the
Organisation as the Work is created, or be assigned to the Organisation, as the case may be under
any applicable legal theory.
The Contractor undertakes not to use the Work for any purpose whatsoever that is not directly
necessary to the performance of the Contract, except with the prior written consent of the
Organisation. The Contractor shall ensure that the Contractor’s employees, agents and
representatives are expressly bound by and respect the provisions of the present clause 11.
ARTICLE 12 – TRANSFER OF RIGHTS OR OBLIGATIONS
The Contractor shall not transfer to any third party any rights or obligations under this Contract, in
whole or in part, or subcontract any part of the Work, except with the prior written consent of the
Organisation.
ARTICLE 13 - TERMINATION FOR BREACH
Without prejudice to any other remedy for breach of Contract the Organisation may claim, the
Organisation reserves the right to terminate the Contract without any prior notice or indemnity:
In the event of failure by the Contractor to comply with any of its obligations under the
Contract; and/or
If the Contractor, in the judgment of the Organisation, has engaged in corrupt or fraudulent
practices in competing for or in executing the Contract.
ARTICLE 14 - TERMINATION FOR CONVENIENCE
The Organisation may, by written notice sent through registered mail with recorded delivery to
the Contractor, terminate the Contract, in whole or in part, at any time for its convenience. The
notice shall specify that termination is for the Organisation's convenience, the extent to which
Work of the Contractor under the Contract is terminated, and the date upon which such
termination becomes effective. The Work that is complete on receipt of notice by the Contractor
shall be accepted by the Organisation, at the Contract terms and prices. For the remaining, the
Organisation may elect:
To have any portion completed at the Contract terms and prices; and/or;
To cancel the remainder and pay to the Contractor the amount corresponding to the completed
work.

ARTICLE 15 - ARBITRATION CLAUSE
Any dispute arising out of the interpretation or implementation of this Contract, which cannot be
settled by mutual agreement, shall be referred for decision to an arbitrator chosen by agreement
between the Organisation and the Contractor or, failing such agreement on the choice of the
arbitrator within three months of the request for arbitration, to an arbitrator appointed by the First
President of the Court of Appeal of Paris at the request of either Party. The decision of the
arbitrator shall be final and not subject to appeal. The arbitration shall take place in Paris, France.
ARTICLE 16 - CONFIDENTIALITY
Any information on any medium whatsoever, sent to the Contractor to which the Contractor
obtains access on account of the Contract, shall be held confidential. In consequence, the
Contractor shall not disclose such information without the written prior consent of the
Organisation.
ARTICLE 17 – DURATION OF THE CONTRACT
The duration of the contract shall be determined at a later stage.
