BYLAWS

ARTICLE I – Name

Sec.1. The name of this organization shall be the North Dallas Woman’s Club of Dallas, Texas.

ARTICLE II – Objectives Sec.1. The objectives of this Club shall be to promote fellowship among its members and to foster interest in the social and civic affairs of the community. A definite service project shall be selected and supported by the Club membership. ARTICLE III – Membership

Sec.1. Membership shall be open to interested applicants. Board approval and sponsorship by two members in good standing is required.. Sec.2. Regular members on payment of dues are entitled to all rights and privileges as stated in the Bylaws. They are encouraged to support the Club by attendance at monthly luncheon meetings, to participate in service projects and

activities groups whenever possible.

ARTICLE IV - DUES

Sec. 1. The fiscal year of North Dallas Woman’s Club runs from June 1 through May 31. Annual dues are payable beginning April 1, with a cutoff date of June 1 if you desire to have your name in the yearbook.

Sec.2. The annual dues for membership are $25.00. Members moving from Dallas may have dues refunded prior to October 1. When a guest is approved for a membership beginning in January, the membership fee will be $12.50. Sec. 3. A member whose dues remain unpaid after due notice will become a delinquent member on August 1, and shall be removed from the roster. All membership privileges will be restored on receipt of dues.

ARTICLE V – Meetings

Sec. 1. Regular meetings of the Club shall be on the third Thursday, September through May.

Sec 2. There shall be a get-acquainted time at 11:00 a.m. to be followed by luncheon promptly at 11:45 a.m.

Sec. 3. The place and price for the luncheon meetings will be determined by the Executive Board. Sec.4. The Executive Board may change the regular meeting time and place when necessary.

ARTICLE VI – Yearbook

Sec.1. The Club shall compile and furnish a yearbook for distribution to Club members in August.

ARTICLE VII – Officers

Sec.1. The officers of the Club shall be the President, First Vice President, Second Vice President, Third Vice President, Recording Secretary, Corresponding Secretary and Treasurer.

ARTICLE VIII – Duties of Officers

Sec.1. The President shall preside at all meetings of the Club. She shall appoint the Chairmen of all Standing Committees, the Parliamentarian, and the Auditors. She shall be, ex officio, a member of all committees except the nominating committee and shall receive due notices of all such committee meetings. She shall act as Chairman of the Executive Board and call special meetings of said board as needed. She will not be required to pay dues during her term of office. Sec.2. The First Vice President shall preside in the absence of the President and perform any other duties pertaining to that office. She shall be Program Chairman and be in charge of all program meetings. She shall arrange for the door prize for these meetings. She shall also be responsible for arranging for the out-going president’s appreciation gift. Sec.3. The Second Vice President shall be the Reservations Chairman. She shall be responsible for the members’ luncheon reservations and the placing of the total luncheon reservations at the meeting place. Sec.4. The Third Vice President shall be the Membership Chairman. She shall be responsible for registering all members, keeping the roster and shall supply Board members with current additions. She shall be responsible for the yearbook. Sec.5. The Recording Secretary shall keep minutes of all meetings of the Club and the Executive Board. She shall report to the Club all recommendations of the Executive Board. She shall keep a copy of the bylaws and all amendments to said bylaws.

Sec.6. The Corresponding Secretary shall conduct all general correspondence of the Club and send appropriate cards. She shall notify members failing to cancel reservations prior to the designated time advising the member of the amount due and directions to send the check to the treasurer. If necessary a second letter will also be sent. . Sec.7. The Treasurer shall be custodian of the Club funds. She shall make a financial report at each meeting. She shall sign all checks.

ARTICLE IX – Executive Board

Sec.1. The Executive Board shall consist of the seven elected officers, the appointed Chairmen of Standing Committees, and the Parliamentarian. Sec.2. The Executive Board shall meet once a month or at the call of the President. Sec.3. The Executive Board shall conduct the affairs of the Club between meetings and shall fill vacancies in office except that of President. Sec.4. The majority of the Executive Board, including the President, shall constitute a quorum.

ARTICLE X – Terms of Office

Sec.1. Officers shall be elected for a term of one year. No officer shall succeed herself more than once. The term of service shall be from June 1 through May 31. Sec.2. All newly elected officers, except the Treasurer, shall enter into the duties of their respective offices after installation at the May meeting. The Treasurer will assume her duties upon completion of the audit of the books as prescribed by Art. XVII, Sec. 1.

ARTICLE XI – Nominations and Elections

Sec.1. At the February meeting the Parliamentarian will conduct the voting process to elect a nominating committee consisting of four members who are not on the board (one serving as an alternate member) shall be chosen from the membership by secret ballot. They shall serve with three members (one serving as an alternate member) of the Executive Board already elected by the Board. Five members shall draw up a slate of nominees for the office of President, First Vice President, Second Vice President, Third Vice President, Recording Secretary, Corresponding Secretary and Treasurer for the ensuing year. The committee shall elect its own chairman. The Parliamentarian will call the first meeting of the nominating committee to give instruction in the necessary

procedure for presenting a slate of officers to the club membership. Sec.2. No member of the nominating committee may serve more than two consecutive terms on the nominating committee. Sec.3. The candidate for office of the President will be selected from current or past members of the Board of Directors. Sec.4. The Nominating Committee shall submit the names of all nominees for Officers for the coming year in the April Newsletter. Sec.5. The annual election shall be held at the April meeting. Nominations may be made from the floor at this time, if permission has been granted by the nominee. Sec.6. If no nominations are made from the floor, the nominations shall be declared closed, and the slate of nominees previously presented by the nominating committee shall be voted, via voice. Sec.7. When there are two or more candidates for any office, the election for the office shall be held by secret ballot. A plurality of votes cast shall elect. Sec.8. A tie vote shall be decided by another vote of the members present. Sec.9. At the May meeting the installation of officers shall be held.

ARTICLE XII – Vacancies in Office

Sec.1. Vacancies in office, except the office of President, shall be filled by the Executive Board. In the event of a vacancy existing in the office of President, the First Vice President shall succeed to office for the unexpired term.

ARTICLE XIII – Standing Committees

Sec.1. The Standing Committees may include but shall not be limited to the following: Activities, August Coffee, Care Hot Line, Historian, Hospitality, Newsletter, Service, and Social, and such other committees as may be deemed necessary from time to time. The office of Parliamentarian shall also be under this classification. Sec.2. It shall be the duty of the Activities Chairman to coordinate the plans of all present activities groups and to aid

in organizing and directing any other such groups the Club may undertake in the future. All new activities groups must be approved by the Board. Sec.3. It shall be the duty of the Hospitality Chairman to appoint her own assistants, to provide hostesses for each meeting and to welcome members and guests. She shall be in charge of nametags. Sec.4. The Service Chairman shall be responsible for the Service Project chosen by vote of the general membership. She shall select a committee, which will be in charge of all activities pertaining to elected objectives. All service projects and fund-raisers must have membership approval. Sec.5. It shall be the duty of the Social Chairman to be responsible for special entertainment outside regular activities and meetings. The Social is to be self-sustaining. Sec.6. It shall be the duty of the Care Hot Line Chairman and her assistant to activate their callers when necessary to inform members of a death, or serious health issue of a member or her immediate family. Approval must be obtained from the member or her family before the information is shared with the membership. Sec.7. It shall be the duty of the Historian to document Club activities with photos of people and events, compiling said information into a scrapbook, which when completed will be given to the out-going President. Sec.8. It shall be the duty of the Newsletter Chairman to compile and print pertinent information regarding activities of the club in a Newsletter. The newsletter can be sent electronically for those who wish or can be mailed to those who prefer it delivered by post. Sec.9. It shall be the duty of the August Coffee Chairman to plan and implement the annual August Coffee at a chosen location. Sec.10. It shall be the duty of the Parliamentarian to advise the presiding officer on points of Parliamentary Law and also to give similar advice to the Club when they request it. She shall also call the first meeting of the nominating committee to give instructions in procedure.

ARTICLE XIV – Limits of Authority

Sec.1. An Executive Board Member, Committee Chairman or club member is NOT authorized to enter into any contract in behalf of the Club or to incur any liability in behalf of the Club

unless and until such committee or member shall have been duly authorized by the Club or its Executive Board to do so. Sec.2. All activities and special functions (social and service included) shall be self-sustaining. The Club will not underwrite any activity group or special function committee expenditures.

ARTICLE XV – Amendments of Bylaws

Sec.1. These bylaws may be amended at any regular meeting by a two-thirds vote provided notice of the proposed amendment has been given to the Club membership one meeting prior to voting.

ARTICLE XVI – Parliamentary Authority

Sec.1. Robert’s Rules of Order Revised shall be the authority for all parliamentary procedure on points not covered by these bylaws.

ARTICLE XVII - Audit

Sec.1. There shall be appointed an Auditing Committee, consisting of one member of the Executive Board, one person from the general membership, and the Treasurer-elect to audit and sign the books of the Treasurer within two weeks of the close of the fiscal year. The completion of the audit shall be reported to the Club in the August Newsletter.

STANDING RULES

IN MEMORIAM

In the event of a death of a member or her husband, a memoriam in the amount of $25.00 will be made to the club charity. If there is a death in the immediate family, a card will be sent.

MEMBERSHIP

1. A member moving away or dropping her membership should notify the Membership Chairman. 2. The membership list is to be the property of the Club and considered confidential matter and not available to other persons for any other purpose. 3. Members may bring the same in-town guest to a luncheon meeting only twice annually. 4. Members in good standing may vote in annual elections and upon any other business brought before the Club requiring a vote. To be in good standing, a member’s dues must be paid and financial obligations to the Club be paid.

5. All candidates for membership must visit two regular meetings to be eligible for membership. 6. A member may sponsor only three (3) candidates for membership each club year. 7. The NDWC Board does not formally meet in the month of December. If a membership application is submitted in the month of December, under the direction of the President, the Board will review and vote on the application by telephone or email. 8. When a guest is approved for membership starting in January, the membership fee will be $2.50 for each remaining luncheon meeting of the club year.

MEETINGS

1. Members failing to cancel reservations by 12 p.m. of the preceding Saturday will be billed for the luncheon. 2. Members making a luncheon reservation and not attending will be sent a letter from the corresponding secretary advising the member of the amount due and directions to send the check to the treasurer. If payment is not received prior to the next luncheon, a call from the reservation chairman will serve a reminder. A second letter will be sent by the corresponding secretary. If payment is not received, the member will be considered in poor standing and be dropped from the call list until reimbursement is made. 3. There shall be no announcements from the floor or sale of tickets or merchandise for other organizations or individuals. 4. Members or guests attending programs only shall be charged full luncheon fee.

ANNUAL REPORTS

1. The Treasurer shall give a complete annual report in the August newsletter.

ACTIVITIES

1. Membership in all activities shall be limited to members in good standing. 2. Each activity and Bridge group must be self-sufficient. The Club will not underwrite any activity group expenditure.

IN AND OUT BOARD LUNCHEON

Incoming and outgoing Presidents shall be in charge of planning and implementing the In-Out Board meeting and luncheon.

CANDIDATE FOR PRESIDENT The NDWC does not have a President-elect position. Guidelines for nomination of a candidate for the office of President: the candidate shall be a current or past member of the Board of Directors; the candidate shall possess the administrative and interpersonal skills to lead the club.
