Definitions or Glossary of Terms In these Terms and Conditions the following words and expressions shall have the meanings ascribed to them below: “Application form” means a document in which you provide a description of your innovation which meets the challenge, a template of which is available to download from our website. “Clinical community” means a group of clinical experts who may be commissioned by the Expert Panel to provide further guidance for the assessment of applications received. “Expert Panel” means the group of clinicians, experts, policy makers, and private sector business representatives appointed to help set NHS Innovation Challenge Prize topics, judge applications received, and agree those qualifying for the award of an NHS Innovation Challenge Prize. “Guidance Notes” means a document designed to help you develop your application for a Prize. “Intellectual Property” includes any patents, rights to inventions, copyright and related rights, trademarks, trade names and domain names, rights in get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (and rights applied for), and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist, now or in the future, in any part of the world. “Judges” means a panel of judges, which may include individual members from the Expert Panel, the Clinical Community and the Promoter. The panel of judges will make recommendations to the Secretary of State for Health, who will take the final decision as to the successful applicants. “NHS Innovation Challenge Prize for Dementia” means the prizes programme run and administered by the Promoter to enable applicants to apply for an NHS Innovation Challenge Prize for Dementia in collaboration with Janssen Healthcare Innovation. “Prize” means the total sum of prize money which will consist of variable cash sums up to a total of £150,000, and be dependent upon the impact of the innovation. Terms and Conditions

1. Definitions or Glossary of Terms

In these Terms and Conditions the following words and expressions shall have the meanings ascribed to them below:

“Application form” means a document in which you provide a description of your innovation which meets the challenge, a template of which is available to download from our website.

“Clinical community” means a group of clinical experts who may be commissioned by the Expert Panel to provide further guidance for the assessment of applications received.

“Expert Panel” means the group of clinicians, experts, policy makers, and private sector business representatives appointed to help set NHS Innovation Challenge Prize topics, judge applications received, and agree those qualifying for the award of an NHS Innovation Challenge Prize.

“Guidance Notes” means a document designed to help you develop your application for a Prize.

“Intellectual Property” includes any patents, rights to inventions, copyright and related rights, trademarks, trade names and domain names, rights in get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (and rights applied for), and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist, now or in the future, in any part of the world.

reserves the right to change the amount and the allocation of the prizes in accordance with these Terms and Conditions.

“Promoter” means The Secretary of State for Health, Janssen Healthcare Innovation, NHS England and NHS Improving Quality.

“Receiving Organisation” means the employing organisation of the Lead Participant entered on the application form.

“Selection Criteria” means the criteria used by the judges for evaluating applications, which are available to view on the website.

“Website” means the NHS Innovation Challenge Prizes website – www.nhschallengeprizes.org

“You” or “Your” or “Participant” or “Applicant” means the individual named on the application form, or user who has entered the NHS Innovation Challenge Prizes on behalf of yourself , or on behalf of yourself and a team or an organisation. For the avoidance of doubt “You”, “Participant”, “Applicant” and “Team” includes a reference to a body corporate, association, partnership and other separate legal entities.

2. General

2.1 The NHS Innovation Challenge Prize for Dementia is being run to promote, encourage and support the development of innovative practices in the care of people with dementia.

2.2 You may contact the Promoter by email: [email protected]

2.3 The Promoter reserves the right, at its sole discretion, to vary, delete or add to these Terms and Conditions at any time during the NHS Innovation Challenge Prize for Dementia programme. Any changes to these Terms and Conditions will be notified by a statement posted on the website.

3. Eligibility Criteria and Participation

3.1 The NHS Innovation Challenge Prize for Dementia is solely open to residents of England aged 18 or over.

3.2 There is no restriction on the number of applications that a participant can enter for the NHS Innovation Challenge Prize for Dementia, though each application must be submitted on a separate application form.

3.3 All participants must agree to comply with the NHS Innovation Challenge Prize for Dementia Terms and Conditions. You will be deemed to have agreed to such Terms and Conditions by entering an application form.

3.4 All application forms for the NHS Innovation Challenge Prize for Dementia must be submitted via email to [email protected] on the application form available to download from our website www.nhschallengeprizes.org. The date your email is received by the Promoter will be deemed your ‘Submission Date’, Should

there be any dispute over the submission date; the Promoter’s decision is final. The Promoter does not accept responsibility for lost or delayed entries.

3.6 The application form requires you to: (i) include a summary which you agree may be published on the website; (ii) complete the entire application form within the maximum word count for each section, (iii) submit (optionally) a maximum of three (3) files, each of which must not exceed ten megabytes (10mb) in size. You may wish to refer to the Guidance Notes before submitting your application form.

3.7 Application forms received after the challenge has been closed by the Promoter will not be accepted. The Promoter reserves the right to close a challenge a) on the closing date advertised on the website or b) once a high volume of applications have been received. All challenges which have been closed by the Promoter will be highlighted as such on the Website.

3.8 Incomplete or illegible application forms will not be accepted. Application forms which are not in accordance with these Terms and Conditions will be rejected. No responsibility is accepted by the Promoter for application forms which are lost, damaged or delayed by network, computer hardware or software failures. Proof of sending is not proof of receipt.

3.9 The Promoter’s computer record of your entry details (including your submission date) will be considered the accurate record of your NHS Innovation Challenge Prize for Dementia application form for electronically submitted records. The Judges reserve the right to reject any NHS Innovation Challenge Prize application form that they consider (in their sole discretion) to be incomplete, inaccurate, damaged or corrupted, or which does not meet the selection criteria.

3.10 You should retain a copy of all relevant documents as your NHS Innovation Challenge Prize for Dementia application form will not be returned by the Promoter.

3.11 You agree to allow the Promoter to use your name and photograph for publicity arising out of the NHS Innovation Challenge Prize for Dementia in collaboration with Janssen Healthcare Innovation.

3.12 You warrant to the Promoter that all the information in your application form is true, correct and complete and that you either own or have the necessary permissions and authorisations from the owners of any Intellectual Property Rights subsisting in your application form (including the appendices and supporting documents) to use the same. You shall indemnify the Promoter from any loss it incurs arising out of any allegation of Intellectual Property Right infringement by a third party against the Promoter as a result of the Promoter processing and/or using your application form (including the appendices and supporting documents) in connection with the NHS Innovation Challenge Prize for Dementia programme.

3.13 You take sole responsibility for protecting any Intellectual Property rights in any Intellectual Property to be disclosed as part of your application form.

3.14 As part of the NHS Innovation Challenge Prize for Dementia, personal information may be processed by the Promoter. By accepting these terms and conditions, you agree that any personal information submitted, relating to yourself or any third party, will be

used for the sole purpose of administering the NHS Innovation Challenge Prize for Dementia, and it will not be disclosed to any parties for any other reason.

3.15 You are responsible for any and all expenses and costs incurred in preparing and completing your NHS Innovation Challenge Prize for Dementia application form.

3.16 These Terms and Conditions are governed by the laws of England and Wales and you submit to the non-exclusive jurisdiction of the courts of England and Wales.

4. Awards

4.1 The award of prizes is the sole discretion of the Secretary of State for Health, with recommendations to be made to this effect by the NHS Innovation Challenge Prize for Dementia Judges. The amount of prize funding for each successful application shall be determined by the Secretary of State for Health, with recommendations to be made to this effect by the NHS Innovation Challenge Prize for Dementia Judges. The Secretary of State for Health reserves the right to not award prizes in all or any challenges. There is no right of appeal with regard to the award decisions made by the Secretary of State for Health.

4.2 No prize will exceed £150,000 and may be less than this amount.

4.3 Awards are non-transferable.

4.4 The Promoter reserves the right to award prizes to winning Participants whereby the Promoter, following advice from the Judges, can stipulate the amount of prize money that is awarded to a parent organisation, or organisations, of the Participant and the amount of money that is awarded for individual merit to the Participant. The final decision for this allocation remains with the Promoter and no right of appeal is available. Participants should expect that awards directly to individuals will only be granted in exceptional circumstances.

4.5 Winning entries submitted by a Participant on behalf of a team or organisation, will have the Award paid to the organisation employing the Lead Participant named on the application form and this named organisation will be responsible for apportioning the Award among other partners. The Promoter shall not be required to pay any Awards to any organisation other than the organisation of the Lead Participant named on the application form.

5. Judging

5.1 The successful participants will be decided by the Secretary of State for Health, at his sole discretion. The level of prize money awarded to the successful Participant(s) shall be determined by the Secretary of State for Health and will be based on the Secretary of State for Health’s view of the quality of the relevant application.

5.2 The NHS Innovation Challenge Prizes for Dementia programme may be terminated and/or the Awards may be reduced by the Secretary of State for Health if deemed that there are an insufficient number of application forms, or if the applications do not meet the selection criteria. In such event the Secretary of State for Health reserves the right

not to award any Awards and/or the right to change the amount and the allocation of the Awards is reserved.

5.3 The decision of the Secretary of State for Health will be final and no correspondence shall be entered into.

6. Liability

6.1 The Promoter does not accept any liability to any participant for any loss or damage whatsoever and howsoever arising in relation to the NHS Innovation Challenge Prize for Dementia programme.

6.2 Any tax liability will be the responsibility of the Receiving Organisation and all partners and individuals, and the Receiving Organisation and all partners and individuals must pay any and all taxes due.
