Nexteer’s journey toward being a more sustainable company includes a pledge to communicate progress about corporate sustainability goals and targets in a balanced and visible manner. This annual reporting will help us continue to improve sustainability performance each year while at the same time fulfilling our commitment to transparent public disclosure.

In 2015, we undertook a comprehensive assessment of the issues that matter most to our business and stakeholders. This materiality assessment helped us understand what to report and how to focus future business activities as they relate to our sustainability commitment. The assessment involved evaluating a list of sustainability aspects using a number of criteria, including how each one might affect business growth and performance, brand and reputation, company culture, product quality and safety, and regulatory impacts against broader social expectations and concerns raised by stakeholders.

The result of the materiality assessment formed the basis of our sustainability framework. This framework outlines our overarching commitment to sustainability and articulates five key focus areas for our efforts, each with a set of goals to drive continued sustainable performance.

Specifically, we commit to being a responsible global corporate citizen by embedding the principles of sustainability into our operations and culture. We will actively engage with our stakeholders on environmental, social, and governance matters to promote continued alignment between our sustainability commitments and the interests of our stakeholders.

Not only does it align us with the Environmental, Social, and Governance criteria of the Hong Kong Stock Exchange on which we are listed, it also offers us visibility and transparency on the world stage.

exteer believes in conducting business with integrity. In part, that means all

employees have an equal voice when raising ethical concerns, should the need ever arise.

“The business environment has become so competitive; people have their eye on profit and loss. Sometimes it’s a fuzzy line as you’re trying to make your numbers,” says Dante Benedettini, executive director of global legal at Nexteer Automotive. “And sometimes people can go over that line.”

That’s why Benedettini and his team have worked to create a clear code of business conduct and

compliance policies supported by a robust training program to educate employees on where those lines are drawn.

“When you empower an entire global employee base to spot issues and call out if they see a problem—and know before a problem exists—it really does wonders and prevents a lot of problems from ever occurring,” says Benedettini.

REVAMPING THE CODE Nexteer’s original Code of Conduct, drawn up when the company first went public in 2010, “sounded like it was written by lawyers, for lawyers,” says Benedettini. He was charged with revamping the entire program to bring it in line with new regulations and, more importantly, to make it easily accessible to and understandable by all employees worldwide.

The team benchmarked 30 different companies and identified six major elements of every successful compliance program, including:

• Code of conduct• Global set of policies• Effective training programs• Reporting channels (also

known as whistleblower channels)

• Centralized compliance website

• Standardized investigation procedures and policies

All six of these elements, newly established by Benedettini’s

team, now form the foundation of Nexteer’s revamped compliance program. Training for salaried workers began in 2015 and hourly workers begin training in 2016. Establishment and maintenance of Nexteer’s online and telephone reporting channels and its global training was outsourced to third-party vendors who specialize in these areas.

TRULY INTERNATIONAL As a multicultural and multinational company, it was important to Benedettini that the updated materials are reader-friendly in the native languages of all employees.

worker in China were to call Nexteer’s international whistleblower hotline, an operator, speaking Mandarin, could assist him or her. Alternately, if that same worker presented a violation online in writing, he or she could submit a report in Mandarin. All workers have the option of reporting anonymously.

“We reach out to all of our employees globally, regardless of where they are or what language they speak. We make sure everyone has an equal voice and that voice is heard,” says Benedettini.

A LEVEL PLAYING FIELD Acting in accordance with the law and conducting business with the highest degree of integrity keeps Nexteer on the path to sustainability.

The slogan for Nexteer’s Compliance Program is “On Track with Ethics and Compliance.” The program was designated to act as guidance for employees on how Nexteer expects them to behave while conducting business.

The new policies and procedures in Nexteer’s compliance program help to minimize risk for the organization and help employees to operate in a lawful and ethical way.

“It (the Code of Conduct) lets the employees know we are working on a level playing field. This is truly a meritocracy,” says Benedettini. “From the input that I’ve received, our employees like knowing that everybody is being held to the same rules. We expect everyone to act this way.”

In 2015, Nexteer received 3.17 billion parts from approximately 1,200 suppliers worldwide.

Seeking to be a positive influence

wherever it does business, Nexteer is committed to delivering socially and environmentally responsible products to its customers—and chooses to work with suppliers who share those same values.

C “Considering materials [that we receive] from suppliers are significant to our sales price, that makes suppliers—and good relationships with our suppliers—very important to what we do,” says Jim Corbeil, executive director of Global Supply Management at Nexteer Automotive.

A COLLABORATIVE APPROACHA few years ago, Corbeil set out to enhance relationships with global Nexteer suppliers by taking a collaborative, long-term approach. The new philosophy,

which he refers to as true supplier relationship management, is one of implied trust between the buyer and the supplier. The philosophy is taking hold.

“We want to be at a point where I’m trusting what they (the suppliers) say and they’re trusting what I’m saying. It makes for a very open relationship,” says Corbeil.

Improving buyer-supplier relationships adds tremendous value in terms of better cost competitiveness from the supplier and also other benefits such as the

supplier’s willingness to support Nexteer beyond contractual terms, communicating more openly and honestly, and willingness to invest in new technology for the future needs of Nexteer.

In return, Nexteer offers fair and equitable financial terms, resolves issues quickly and effectively, and respects and protects the supplier’s intellectual property. “It really boils down to treating people the way you want to be treated,” says Corbeil.

CLEARLY DEFINED EXPECTATIONS AND REQUIREMENTS Nexteer aims to express a clear, consistent message to all supplier partners about its requirements and expectations.

In the spirit of total transparency, Corbeil says these requirements and expectations are well documented in the Supplier Requirements Manual found on Nexteer’s website, along with official terms and conditions.

A hotline is also available through which suppliers or Nexteer employees can report any perceived issues. “People have an avenue if

they feel like something is wrong,” says Corbeil, noting Nexteer’s compliance team investigates all calls into the hotline.

EVALUATING THE NEW APPROACHIn order to assess if the steps toward improving supplier relationships are working, Corbeil enlisted the help of a leading authority on company-supplier working relations to conduct a survey of Nexteer’s global suppliers in late 2015.

What the consultant discovered: Only two of the world’s top automotive OEMs scored better than Nexteer when it comes to supplier working relationships.

One anonymous supplier responded in the survey: “Nexteer has been one of our very best customers. Fair in all dealings.”

Corbeil feels the comment validates the approach Nexteer has taken for the last four and a half years.

“We’ve achieved our major metrics, and we have a supply base that believes in what we’re saying,” he says.

We are dedicated to providing best-in-class technology, quality, and value to every customer, every day. We do this by instilling a culture of quality throughout our company and global supply chain and by expressing a clear, consistent message to our supplier partners about requirements and expectations.

hen Nexteer facilities in Saginaw, Michigan, converted two coal-fired boilers over to natural gas

in 2015, annual energy savings were estimated at US$1,300,000. Even better, the new natural gas boilers have the potential to reduce carbon emissions by 7.2 metric tonnes every hour they are in operation.

Considering 7.2 metric tonnes of CO2 is equivalent to 1.5 passenger cars driving for an entire year, the environmental benefits are significant.

This is just one example of the bold steps Nexteer is taking to minimize the company’s environmental footprint. From a sustainability standpoint, environmental initiatives encompass everything from compliance with the law and meeting customer requirements to preserving the environment, reducing waste, and

improving production processes. Essentially, “it’s about being

a good corporate citizen,” says Richard Harris, global manager of facilities, environmental, utilities, and real estate at Nexteer Automotive. For Harris and his team, that means always asking themselves, “What do we need to do in order to do the right thing?”

CERTIFIED ENVIRONMENTALLY FRIENDLY All customers and global suppliers of Nexteer aim to be respectful stewards of the environment and actively seek others who share their same philosophies. In order to bid on new jobs, automakers such as Ford, GM, FCA, BMW, and Toyota require suppliers to be ISO 14001 certified (an international set of standards used by organizations for designing and implementing an effective environmental management system).

It’s a requirement Nexteer is proud to meet at all of its global manufacturing plants. According to Kimberly Bostek, supervisor,

Certification involves annual audits and a re-certification audit every three years to ensure the organization is following all of the environmental management system policies and procedures that are in place.

THE CARBON DISCLOSURE PROJECT Yet another step toward environmental stewardship is voluntary participation in the non-profit Carbon Disclosure Project (CDP). The CDP seeks to motivate companies and cities to disclose their environmental impacts, examining management policies, long-range planning, and carbon emissions.

Nexteer completed its first full report to the CDP in 2015 after submitting a partial report the prior year. It’s a practice Bostek finds valuable. “As you go through the process, you learn where you might

have gaps or where you could improve,” she says. “Or, you may learn that what you’re doing today—and what you’ve done for many years, in the case of our company and others—is the right way.”

ENERGY-SAVING TARGETS AND PROJECTS With the long-term objective of becoming climate neutral, Nexteer’s 2016 targets for water, electric, and waste reductions are:

• Water/Electricity – 6 percent reduction from prior year (measured as a metric of

power used per standard hour of operation).

• Waste – 4 percent reduction in material going to landfills (volume of waste landfilled per standard hour of operation).

Other energy-saving and waste-reduction projects include:

• LED light conversion – Since 2012, 7,000 lights were replaced/installed with LED fixtures in the United States; Brazil; China; Mexico; Australia; and Poland, with an estimated energy savings of US$1,000,000.

• VFD upgrades – Variable frequency drives (used for cooling towers and the heating, ventilating, and air conditioning system in the United States) use only the energy they need to do the work, saving an estimated US$1,250,000 in energy expenditures annually.

Environmental initiatives are a win-win. “Better utilizing the resources we have makes us more efficient, which makes us more profitable,” says Harris. “At the same time, using fewer natural resources to conduct our business adds to the sustainability element of the world.”

Making Sure Over 12,000 Employees Return Home Safely

The scope of health and safety procedures required at Nexteer operations around the world are an evolving challenge for Don Taylor, global health, safety, medical, and security manager at Nexteer Automotive. After all, whenever you’re dealing with robotics, radiation, lasers, and industrial machines, you want your margin for error at zero.

That’s why Taylor and his team are committed to education, training, and awareness.

“It’s all about making sure we have the right health and safety culture as a company,” says Taylor. “We do that by having people speak up if they see an unsafe act or unsafe condition, and they know there will be no reprisals for raising a potential issue.”

BNexteer’s health and safety culture thrives at all levels of the organization.

TRAIN, TRAIN, AND TRAIN AGAIN Whether it’s teaching people the proper way to use a fire extinguisher, work in a confined space, or maintain safe noise levels, the health and safety training that employees receive at Nexteer is extensive. Well-trained employees

can then take this knowledge home with them, helping to improve the lives of their families and communities, too.

General programs such as Taylor’s Eyes for Safety underscore the importance of everyone’s role—from the plant floor worker

to executive office—in driving a safety-conscientious workplace. Other programs are more specific.

Take ergonomics, for example. Taylor uses a skilled ergonomics specialist who trains

workers at Nexteer facilities around the globe on how to design jobs and tailor equipment to avoid inflammation of joints, muscle strains, and other repetitive-use injuries. Employees are encouraged to submit entries into the company’s Ergonomic Cup Competition when they identify improvements of their own. Winners go on to compete at an international competition.

HONORS AND AWARDSNexteer’s safety programs are recognized around the world. During the past three years, Nexteer has earned 143 awards from the National Safety Council in recognition of its efforts. The company achieved 53 awards in 2015 alone.

Nexteer India also received the 2015 National Safety Council country award for implementing and maintaining good safety systems and practices throughout its facilities, while sites in Mexico and Brazil have also received honors from their governments.

We promote a culture of health and safety in our activities through education, training, and awareness and by complying with applicable laws, governmental regulations, and rules in the countries where we operate. We are committed to enhancing our health and safety culture for our employees and ultimately achieving an LWDC (Lost Work Day Cases) rate of zero.

ALL GO HOME SAFELYTaylor admits that he doesn’t do what he does for the awards, or to only comply with laws and regulations in the countries where the company operates. Nor is it just to reduce medical costs, workers’ compensation costs, or the costs to retrain and replace an injured employee.

It’s simpler than that. “It’s about making sure everyone goes home in

the same shape as when they came to work,” says Taylor.

“People know when they come to work at Nexteer, they’re coming to work at a company that believes in keeping them safe and in caring for them and their families,” he says.

Improving Tomorrow’s Communities–TodayNexteer employees invest their time and talents to make a difference.

n the summer of 2010, Nexteer engineers and cycling enthusiasts François Roth and Manfred Gerken pushed off on bikes from their offices in Russelsheim, Germany, headed for the Nexteer plant in Tychy, Poland—nearly 621 miles (1,000 km) away.

Arriving four days later, they joyfully donated US$4,657 (4,300 EUR) to children’s charities in both locations. Since then, the duo—along with a growing team of Nexteer cyclists—has ridden roughly 2,175 miles (3,500 km) to Nexteer locations throughout Europe, raising more than US$22,500 (20,600 EUR) for charity.

“Nexteer employees have a strong passion to do good in the communities in which they live,” says Luis Canales, director of corporate affairs at Nexteer Automotive, “not just in Europe or the United States; it’s true in every single location in which we operate.”

EMPOWERING EMPLOYEES TO MAKE A DIFFERENCECanales believes Nexteer plays an important role in creating outlets through which employees can make a difference in their communities. Whether they choose to sit on the board of a local charitable organization,

organize a fundraising event, or coach a LEGO®

robotics team for youth, Nexteer supports employees with time and resources.

“Our employees work and live in the communities where we operate,” says Canales. “We cannot have a positive working environment for employees if we are not part of the community.”

In 2015, Nexteer employees volunteered nearly 9,200 hours of time in supporting charitable efforts in their local communities. During that same time, the charitable contributions and other donations Nexteer made globally totaled approximately US$600,000.

CENTERING AROUND COMMON GOALS“From a business perspective, it just makes a lot of sense to assure that the community thrives and we do our part as a corporate citizen of that community,” says Canales, who focuses on developing collaborative relationships with organizations that share common goals.

One such goal is advancing science, technology, engineering, and math (STEM) education from early elementary school all the way through college. Armed with the right skills to tackle future industry challenges, these community members gain access to good jobs and Nexteer gains access to a skilled workforce. “These

are goals that are good for our communities and good for us,” says Canales.

To advance efforts such as these on a global scale, Nexteer partners with organizations that already have established outreach programs around the world such as Society of Automotive Engineers International. Programs are in place at facilities in the United States and Poland, and Canales hopes to implement them at other Nexteer locations soon.

Cycling enthusiasts from Nexteer facilities across Europe are channeling their passion for pedaling into a means for raising charitable funds.

Part of being a good global corporate citizen is making a positive impact in the communities where we operate. A Nexteer employee from Suzhou, China, celebrates her involvement in a Thanksgiving charity bazaar sponsored by the company. Funds raised in the event were used to provide household goods and additional clothing for area families.

Foundation in Michigan, appreciates that Nexteer is not only investing in jobs but is also investing in the organizations and activities of the community as a whole.

“Nexteer is committed to giving back to the community where it has had a presence for so many years. It was truly an honor for us to partner with them in establishing the Nexteer Steering the Future Fund,” says Johnston, referring to an endowed fund established by Nexteer in 2013.

The fund supports the community in three different ways:

• Providing scholarships to students pursuing college degrees in STEM and business fields.

• Offering competitive grants to local organizations that are reviewed and awarded by a committee that includes Nexteer employees.

• Making discretionary charitable grant dollars available on an as-needed basis to meet immediate community needs.

“Through this fund, Nexteer is able to give out broadly and involve their employees,” says Johnston.
