The Company as show n in Part 2 - Declarat ions (hereinafter called the Company), in considerat ion of thepayment of the premium, in reliance upon the statements of the Declarations made a part hereof, subject to allof the terms of this policy including the applicable limits of liability, the Company agrees w ith the NamedInsured w ith respect to those coverages indicated in Items 3 and 4 of the Declarat ions.

INSURING AGREEMENTS

LIABILITY COVERAGES

Coverage A - Bodily Injury Liability Excluding Passengers (including any and all Related Claims) - To pay onbehalf of the Insured all sums w hich the Insured shall become legally obligated to pay as damages becauseof Bodily Injury sustained by any person excluding any Passenger;

DEFENSE, SETTLEMENT AND SUPPLEMENTARY PAYMENTSCoverages A, B, C, and D

The Company shall have the right and duty to defend any suit against the Insured seeking damages onaccount of such Bodily Injury or Property Damage, even if any of the allegations of the suit are groundless,false or fraudulent, and may make such invest igat ion and sett lement of any claim or suit as it deemsexpedient, but the Company shall not be obligated to pay any claim or judgment or to defend any suit afterthe applicable limit of the Company' s liability has been exhausted by payment of judgments or sett lements.

During such time as the Company is obligated to defend a claim or claims under the provisions of thepreceding paragraph, the Company w ill pay w ith respect to such claim, in addit ion to the applicable limit ofliability:

all expenses incurred by the Company, all costs taxed against the Insured in any suit defended by theCompany and all interest on the entire amount of any judgment therein w hich accrues after entry ofthe judgment and before the Company has paid or tendered or deposited in court that part of thejudgment w hich does not exceed the limit of the Company' s liability thereon;

premiums on appeal bonds required in any such suit , premiums on bonds to release attachments in anysuch suit for an amount not in excess of the applicable limit of liability of this policy, and the cost ofbail bonds required of the Insured because of an Occurrence or violat ion of law or a regulat ion for civilaviat ion arising out of the use of the Aircraft, not to exceed $5,000. per bail bond, but the Companyshall have no obligation to apply for or furnish any such bonds;

expenses incurred by the Insured for f irst aid to others at the t ime of an accident, for Bodily Injury tow hich this policy applies;

all reasonable expenses incurred by the Insured at the Company' s request to assist the Company inthe invest igat ion or defense of the claim or suit, including actual loss of earnings up to $250. a daybecause of t ime off from w ork.

UNITED STATES ARMY, NAVY AND AIR FORCE INSURANCE REQUIREMENTSCoverages A, B, C, and D

If the Aviation Managers issue a Civil Aircraft Cert if icate of Insurance Form DD 2400, or any replacementthereof, as required by regulat ions of the U. S. Army, Navy or Air Force, then the insurance policyprovisions required by the regulat ions shall be deemed to be incorporated herein and substituted for anypolicy provisions inconsistent therew ith.

This policy applies only if :

The Bodily Injury, Property Damage or Physical Damage is caused by an Occurrence, w hile the Aircraftis w ithin the United States of America, Canada, Mexico, the Bahamas, the Caribbean Islands andCentral America or enroute betw een points therein; and

TWO OR MORE AIRCRAFTAll Coverages

When tw o or more Aircraft are insured under this policy, the terms of this policy shall apply separately toeach.

SPECIAL INSURING AGREEMENTS(APPLICABLE ONLY IF THE PURPOSE OF USE SHOWN IN ITEM 6 IS LIMITED TO PLEASURE AND BUSINESS)

TEMPORARY USE OF SUBSTITUTE AIRCRAFTCoverages A, B, C, D and E

While the Aircraft described in Item 4 of the Declarat ions is w ithdraw n from normal use because of itsbreakdow n, repair, servicing, loss or destruct ion, such insurance as is afforded under Coverages A, B, C, Dand E is extended to apply w ith respect to the use, by or on behalf of the Named Insured of any otherAircraft not ow ned in w hole or in part by the Named Insured, w hile temporarily used as a substitutetherefor.

USE OF OTHER AIRCRAFTCoverages A, B, C, D and E

If the Named Insured is one individual or, one individual and spouse, such insurance as is afforded underCoverages A, B, C, D and E w ith respect to the Aircraft described in Item 4 of the Declarations, isextended to apply w ith respect to the use, by or on behalf of the Named Insured, of any other Aircraft notow ned in w hole or in part by, or furnished for regular use to, such Named Insured and spouse. Theinsurance provided by this agreement shall apply only to the Named Insured and spouse.

AUTOMATIC INSURANCE FOR NEWLY ACQUIRED AIRCRAFTAll Coverages

If the Named Insured acquires ow nership of an Aircraft in addit ion to or replacement to the Aircraftdescribed in Item 4 of the Declarations and w ithin thirty (30) days thereafter reports such acquisit ion to theAviation Managers, then the insurance afforded by this policy shall apply to such addit ional or replacementAircraft as of the t ime of such acquisit ion, provided that the Company insured all other Aircraft ow ned inw hole or in part by the Named Insured on such acquisit ion date. Unless the Named Insured and theCompany agree otherw ise the coverages and limits of liability w ith respect to said addit ional or replacementAircraft shall be:

As respects Liability Coverage and Medical Expense Coverage

If an addit ional Aircraft, the same coverages and limits of liability shall apply as the Aircraft havingthe greatest total seat ing capacity, as described in Item 4 of the Declarat ions.

If a replacement Aircraft, the same coverages and limits of liability as the Aircraft being replaced.

As respects Physical Damage Coverage

If an addit ional Aircraft, the same coverages, insured value and deductible shall apply as theAircraft having the greatest total seating capacity, as described in Item 4 of the Declarat ions.

If a replacement Aircraft, the same coverages, insured value and deductible as the Aircraft beingreplaced.

In no event shall the Company be liable for more than the Named Insured paid for any new ly acquiredaddit ional or replacement Aircraft. The Named Insured shall pay any addit ional premium required becauseof the applicat ion of the insurance to such other Aircraft.

EXCLUSIONS

This policy does not apply:

To any Insured w hile the Aircraft is In Flight w ith the know ledge and consent of such Insured or of anyexecutive off icer, partner, or managing agent of such Insured for any unlaw ful purpose, or any purposenot so designated in the Declarat ions.

To Bodily Injury or Property Damage expected or intended from the standpoint of the Insured. Thisexclusion (b) does not apply to Bodily Injury or Property Damage result ing from the use of reasonableforce to protect persons or property, and to Bodily Injury or Property Damage result ing from efforts toprevent dangerous interference w ith the operat ion of the Aircraft.

To any Insured w hile the Aircraft is In Flight w ith the know ledge and consent of the Named Insured

if piloted by other than the pilot or pilots designated in the Declarat ions; or

if the Airw orthiness Cert if icate of the Aircraft is not in full force and effect.

Exclusion 2. (a) shall not apply w hile the Aircraft is under the care, custody or control of a Federal AviationAdministration (FAA) approved repair stat ion for the purpose of maintenance, repair or test f lights.

Exclusion 2. (b) shall not apply w hile the Aircraft is operated on a reposit ion, ferry or test f light provided aspecial permit or w aiver has been granted by a government aviat ion authority for such flights and suchflights are for the sole purpose of reinstatement or renew al of the Airw orthiness Certif icate.

ionizing radiations or contamination by radioact ivity from, or the toxic, explosive or otherhazardous propert ies of, any other radioact ive source w hatsoever.

(b) It is understood and agreed that such radioactive material or other radioact ive source in paragraph (a)and (b) above shall not include:

depleted uranium and natural uranium in any form;

radioisotopes w hich have reached the f inal stage of fabricat ion so as to be usable for anyscient if ic, medical, agricultural, commercial, educational or industrial purpose.

(c) This policy, how ever, does not cover Loss of, or destruct ion of, or damage to any property or anyconsequential loss or any legal liability of w hatsoever nature w ith respect to w hich:

the Insured under this policy is also an Insured or an addit ional insured under any other insurancepolicy, including any nuclear energy liability policy; or

any person or organization is required to maintain f inancial protect ion pursuant to legislat ion inany country; or

the Insured under this policy is, or had this policy not been issued w ould be, ent it led toindemnif icat ion from any government or agency thereof.

To claims caused by

War, invasion, acts of foreign enemies, host ilit ies (w hether w ar be declared or not), civil w ar, rebellion,revolut ion, insurrection, mart ial law , military or usurped pow er or attempts at usurpation of pow er.

Any host ile detonation of any w eapon of w ar employing atomic or nuclear f ission and/or fusion orother like reaction or radioact ive force or matter.

Strikes, riots, civil commotions or labor disturbances.

Any malicious act or act of sabotage.

Any act of one or more person, w hether or not agents of a sovereign Pow er, for polit ical or terroristpurposes and w hether the Loss or damage result ing therefrom is accidental or intent ional.

Confiscat ion, nat ionalizat ion, seizure, restraint, detent ion, appropriat ion, requisit ion for t it le or use byor under the order of any Government (w hether civil, military or de facto) or public or local authority.

Hi-jacking or any unlaw ful seizure or w rongful exercise of control of the Aircraft or Crew In Flight(including any attempt at such seizure or control) made by any person or persons on board the Aircraftacting w ithout the consent of the Insured.

Furthermore this policy does not cover claims arising w hile the Aircraft is outside the control of the Insuredby reason of any of the above perils. The Aircraft shall be deemed to have been restored to the control ofthe Insured on the safe return of the Aircraft to the Insured at an airf ield not excluded by the geographicallimits of this policy, and entirely suitable for the operat ion of the Aircraft (such safe return shall require thatthe Aircraft be parked w ith engines shut dow n and under no duress).

To an Insured under this policy w ho is also an Insured under a contract of nuclear energy liabilityinsurance issued by the Nuclear Energy Liability Insurance Associat ion or the Mutual Atomic EnergyLiability Underw riters and in effect at the t ime of the Occurrence result ing in such injury, sickness,disease, death or destruct ion; provided, such contract of nuclear energy liability insurance shall bedeemed to be in effect at the t ime of such Occurrence notw ithstanding such contract has terminatedupon exhaustion of its limit of liability;

To claims directly or indirect ly occasioned by, happening through or in consequence of:

noise (w hether audible to the human ear or not), vibrat ion, sonic boom and any phenomenaassociated therew ith,

pollut ion and contamination of any kind w hatsoever,

electrical and electromagnetic interference,

interference w ith the use of property,

unless caused by a crash or collision of Aircraft or a recorded In Flight emergency causingabnormal Aircraft operation.

With respect to any provision in the policy concerning any duty of the Company to investigate ordefend claims, such provision shall not apply and the Company shall not be required to defend:

claims excluded by paragraph (c) (1) or

a claim or claims covered by the policy w hen combined w ith any claims excluded byparagraph (c) (1) referred to below as " Combined Claims."

In respect of any Combined Claims, the Company shall (subject to proof of loss and the limits ofthe policy) reimburse the Insured for that port ion of the follow ing items, w hich may be allocatedto the claim or claims covered by the policy:

LIMIT OF THE COMPANY'S LIABILITY

ALL COVERAGES(Other Insurance)

Except w ith respect to insurance afforded by Special Insuring Agreements I and II and to insurance specif icallypurchased by the Insured to apply in excess of this policy, if there is other insurance in the Insured's name orotherw ise, against Loss, liability or expense covered by this policy, the Company shall not be liable under thispolicy for a greater proport ion of such Loss, liability or expense than the applicable limit of the Company' sliability bears to the total applicable limit of liability of all valid and collect ible insurance against such Loss,liability or expense. Insurance afforded by Special Insuring Agreements I and II shall be excess insurance overany other valid and collectible insurance available to the Insured, either as Insured under a policy applicable tothe Aircraft or otherw ise and if such other insurance shall have been w rit ten through the Aviation Managers asprimary insurance then the Company' s limits of liability under this policy shall be reduced by the applicablelimits of such other policy.

COVERAGES A, B, C AND D(Total Liability)

Regardless of the number of (1) Insureds under this policy, (2) persons or organizat ions w ho sustain BodilyInjury or Property Damage, (3) claims made or suits brought (related or otherw ise) on account of Bodily Injury orProperty Damage, or (4) Aircraft to w hich this policy applies, the Company' s liability is limited as follow s:

Coverage A. The total liability of the Company for all damages, including all Related Claims and all damages forcare and loss of services, because of Bodily Injury sustained by any person as the result of any one Occurrenceshall not exceed the limit of liability stated in the Declarations as applicable to " each person" . Subject to theabove provision respect ing " each person" , the total liability of the Company for all damages, including allRelated Claims and all damages for care and loss of services, because of Bodily Injury sustained by tw o or morepersons as the result of any one Occurrence shall not exceed the limit of liability stated in the Declarat ions asapplicable to " each Occurrence".

Coverage B. The total liability of the Company for all damages because of all Property Damage sustained byone or more persons or organizations as the result of any one Occurrence shall not exceed the limit of liabilitystated in the Declarat ions as applicable to " each Occurrence" .

Coverage C. The total liability of the Company for all damages, including all Related Claims and all damages forcare and loss of services, because of Bodily Injury sustained by any person as the result of any one Occurrenceshall not exceed the limit of liability stated in the Declarations as applicable to " each person" . Subject to theabove provision respect ing " each person" , the total liability of the Company for all damages, including allRelated Claims and all damages for care and loss of services, because of Bodily Injury sustained by tw o or morepersons as the result of any one Occurrence shall not exceed the limit of liability stated in the Declarat ions asapplicable to " each Occurrence" .

Coverage D. The total liability of the Company for all damages, including all Related Claims and all damages forcare and loss of services, because of Bodily Injury or Property Damage sustained by one or more persons ororganizat ions as the result of any one Occurrence shall not exceed the limit of liability stated in the Declarationsas applicable to " each Occurrence".

And further provided that if the Declarations are completed to show " Passenger Liability limited internally to" ,the total liability of the Company for all damages, including all Related Claims and all damages for care and lossof service because of Bodily Injury to Passengers and Crew shall not exceed:

(b) as respects tw o or more Passengers or Crew members, subject to the above provisions respect ing any onePassenger or Crew member, the amount stated in the Declarat ions as applicable to " each person"mult iplied by the total number of Passenger and Crew seats as stated in Item 4 for the Aircraft involved,but in no event shall the Company' s Liability for all Bodily Injury (including Passenger Bodily Injury) andProperty Damage exceed the limits stated in the Declarat ions as applicable to " each Occurrence" .

For the purpose of determining the limit of the Company' s liability, all Bodily Injury and Property Damage arisingout of continuous or repeated exposure to substant ially the same general condit ions shall be considered asarising out of one Occurrence.

COVERAGES A, B, C and D(Severability of Interests)

The insurance afforded applies separately to each Insured against w hom claim is made or suit is brought, exceptw ith respect to the limits of the Company' s liability.

COVERAGE E(Total Liability)

The limit of liability stated in the Declarat ions as applicable to " each person" is the limit of the Company' sliability for all expenses incurred by or on behalf of each person w ho sustains Bodily Injury in any oneOccurrence; the limit of liability stated in the Declarat ions for Coverage E as applicable to " each Occurrence" is,subject to the above provision respect ing each person, the total limit of the Company' s liability for all expensesincurred by or on behalf of tw o or more persons w ho sustain Bodily Injury in any one such Occurrence.

COVERAGES F, G and H(Total Liability)

With respect to Total Loss, the Company w ill pay the insured value of the Aircraft, as stated in theDeclarations, subject to any applicable deductible.

With respect to Partial Loss, the Company may pay for the least expensive and most reasonable means to repairthe Aircraft or may pay for the Loss in money, subject to any applicable deductible, as hereinafter provided:

the amount due under this policy shall not exceed the amount due w ere the Loss payable as a Total Loss;

any salvage value remaining shall inure to the benefit of the Company and the Named Insured shall provideclear t it le thereto;

any equipment attached to the Aircraft, even if subsequent to the effect ive date of coverage, shall beconsidered a part of the Aircraft;

there shall be no abandonment of any damaged property w ithout the consent of the Company.

With respect to any Partial Loss or Total Loss:

If the Loss is due to theft or Disappearance, the Company shall have the right to return any found stolenproperty at any t ime prior to actual payment of the claim hereunder, w ith payment for any Physical Damagesustained thereto.

DEFINITIONS

When appearing in this policy in bold face print:

" Aircraft" means the aircraft described in Item 4 of the Declarat ions (and w hen appropriate any aircraftqualifying under the provisions of Special Insuring Agreements I, II or III) including the propulsion system andequipment usually installed in the aircraft (1) w hile installed in the aircraft, (2) w hile temporarily removed fromthe aircraft and (3) w hile removed from the aircraft for replacement until such t ime as replacement by a similaritem has commenced; also tools and equipment w hich are specially designed for the aircraft and w hich areordinarily carried therein.

" Aviation Managers" means Chart is Aerospace Insurance Services, Inc., or any of its subsidiary or aff iliatedcompanies, branch off ices or authorized representat ives.

" Bodily Injury" means bodily injury, sickness, disease or mental anguish sustained by any person w hich occursduring the policy period, including death at any t ime result ing therefrom.

"Charter/Air Taxi" means used principally in the business of the Insured, including Passenger or freight carryingfor hire or rew ard and Pleasure and Business uses, but excluding instruct ion of or rental to others.

"Commercial" means used principally in the business of the Insured, including student instruct ion, Passenger orfreight carrying for hire or rew ard, rental to others for the purpose of Pleasure and Business and those usesdefined under Pleasure and Business.

"Crew" means the pilot-in-command, co-pilot, f light engineer, f light attendant or anyone else w ho is in, on, orboarding the Aircraft for assist ing in the operat ion of the Aircraft.

" Disappearance" means missing In Flight and not reported for sixty (60) days after commencing a flight.

"Betterment" means improvement w hich w ould add value to the Insured Aircraft.

" Federal Aviation Administration (FAA)" means the duly constituted authority of the United States of Americahaving jurisdict ion over civil aviation, or its duly constituted equivalent in any other country.

" In Motion" means w hile the Aircraft is moving under its ow n pow er or the momentum generated therefrom orw hile it is In Flight and, if the Aircraft is a rotorcraft , any time that the rotors are rotating or w hile it is In Flightand, if the Aircraft is a glider or balloon, any time it is being transported, tow ed or w hile it is In Flight.

" Ingestion" means damage to Aircraft turbine engines or turbine auxiliary pow er units, if a part of the Aircraft,caused by objects or substances not a part of the engine or its accessories, nor intended to be used in theengine, w hich occurs during the policy period and is the result of a single incident and of suff icient severity torequire (or w ould require if its severity w ere know n) immediate repair before further use.

" Insured" the unqualif ied w ord " Insured" w herever used in this policy w ith respect to Coverages A, B, C and D,includes not only the Named Insured but also any person w hile using or riding in the Aircraft and any person ororganizat ion legally responsible for its use, provided the actual use is w ith the express permission of the NamedInsured. Except w ith respect to the Named Insured the provisions of this paragraph do not apply:

to any employee w ith respect to Bodily Injury, sickness, disease or death of another employee of the sameemployer injured in the course of such employment;

to any person or organizat ion or to any agent or employee thereof (other than any employee of the NamedInsured w hile act ing in the course of his employment by the Named Insured):

w ho is engaged in the act ivity of instruct ion, evaluat ion, examination or cert if icat ion of any pilot orCrew Member or prospect ive pilot or Crew Member;

to any person or organizat ion operat ing the Aircraft under the terms of any rental agreement or trainingprogram w hich provides any remunerat ion to the Named Insured for the use of said Aircraft;

to the ow ner or lessor, or any agent or employee thereof, of any Aircraft w hich is the subject of theextended insurance provisions of Special Insuring Agreements.

w ho is charging a fee and/or receiving any remunerat ion or benefit for providing any type of servicew hatsoever in connection w ith the ow nership, maintenance or use of any insured Aircraft;

" Insured Contract" means:

(a) Any contract w hich requires as a prerequisite of the use of an airport or airport facility the indemnif icat ionof a military or governmental authority, except in connection w ith w ork performed for the military orgovernmental authority;

" In Flight" means, w ith respect to f ixed w ing Aircraft, the t ime commencing w ith the actual take-off run of theAircraft and continuing thereafter unt il it has completed its landing run; and if the Aircraft is a rotorcraft , fromthe time the rotors start to revolve under pow er for the purpose of f light unt il they subsequently cease torevolve after landing; and if the Aircraft is a balloon, w hile it is inf lated or being inf lated or deflated.

(b) that part of any contract or agreement pertaining to ow nership maintenance or use of Aircraft or Premisesunder w hich any Insured assumes the Tort Liability of another party to pay for Bodily Injury or PropertyDamage to a third person or organizat ion.

" Medical Expense" means expenses for necessary medical, surgical, x-ray or dental services, includingprosthet ic devices, and necessary ambulance, hospital professional nursing and funeral services.

" Loss" means Physical Damage.

" Mooring" shall mean, w hile on w ater, a w ater alight ing Aircraft is anchored or moored, or during launchingonto or hauling up therefrom (except under its ow n pow er or momentum).

" Named Insured" means the person or organizat ion named in Item 1 of the Declarat ions.

Insured Contract does not include that part of any contract or agreement:

w ith or for the benefit of any Passenger, Crew Member or their heirs;

that pertains to major alterat ion or major repairs to aircraft , aircraft parts or accessories;

" Occurrence" means an accident, including continuous or repeated exposure to condit ions, w hich results inBodily Injury or Property Damage during the policy period neither expected nor intended from the standpoint ofthe Insured. In the event of continuing or progressively deteriorat ing damage over any length of t ime, suchdamage shall be deemed to be one Occurrence, and shall be deemed to occur only w hen such damage firstcommences.

" Partial Loss" means any Physical Damage Loss w hich is not a Total Loss.

" Passenger" means any person in, on, or boarding the Aircraft for the purpose of riding or f lying therein oralight ing therefrom after a f light or attempted flight therein, including Crew member(s).

" Physical Damage" means direct and accidental physical Loss of or damage to the Aircraft, hereinafter calledLoss, but does not include loss of use or any residual depreciat ion or diminut ion in value (including loss ofguaranty or w arranty), if any, after repairs have been made.

" Pleasure and Business" means used in the business of the Insured including personal and pleasure uses butexcluding any operat ion for hire or rew ard. Cost reimbursement shall be included w ithin the definit ion ofPleasure and Business provided that such cost reimbursement is limited to:

Fuel, oil, lubricants, and other addit ives

Travel expenses of the Crew , including food, lodging, and ground transportat ion

Hangar and tie-dow n costs aw ay from the Aircraft's base of operat ion

Insurance obtained for the specif ic f light

Landing fees, airport taxes, and similar assessments

Customs, foreign permit, and similar fees directly related to the flight

" Premises" means such port ions of airports as are designated and used for the parking or storage of Aircraftexclusive of premises ow ned by, or leased for more than thirty (30) days to the Insured.

" Property Damage" , means (a) physical injury to or destruct ion of tangible property w hich occurs during thepolicy period, including loss of use thereof at any time result ing therefrom, or (b) loss of use of tangibleproperty w hich has not been physically injured or destroyed provided such loss of use is caused by anOccurrence during the policy period.

" Related Claims" means all claims for care and loss of service, loss of society and consort ium, mental anguish,emotional distress, loss of support, medical and funeral expenses, and any and all other damages from or arisingout of Bodily Injury to any person or Passenger. Notw ithstanding anything to the contrary in the definit ion ofBodily Injury, the Company' s liability and coverage for damages for both Bodily Injury and Related Claims areincluded and combined w ithin the " each person" and " each Occurrence" Limits of Liability specif ied in theDeclarations, as applicable, and there are no separate or addit ional Limits of Liability for Related Claims.

" Total Loss" means any Physical Damage Loss for w hich the " cost to repair" w hen added to the " salvagevalue" (the value of the Aircraft after Physical Damage and prior to repairs) equals or exceeds the Insured Valueof the Aircraft as set forth in Item 4 of the Declarat ions. Disappearance or theft of the entire Aircraft shall beconsidered as a Total Loss.

"Tort Liability" means a liability that w ould be imposed by law in the absence of any contract or agreement.

CONDITIONS

APPLICABLE TO COVERAGES A, B, C AND D (BODILY INJURY AND PROPERTY DAMAGE)

1. ACTION AGAINST THE COMPANY

No person or organizat ion has a right under this policy:

to join the Company as a party or otherw ise bring the Company into a suit asking for damages from anInsured;

to sue on this policy unless all of its terms have been fully complied w ith.

A person or organizat ion may sue the Company to recover on an agreed sett lement or on a final judgmentagainst an Insured obtained after an actual trial; but the Company w ill not be liable for damages that arenot payable under the terms of this policy or that are in excess of the applicable limit of insurance. Anagreed sett lement means a sett lement and release of liability signed by the Company, the Insured and theclaimant or the claimant ' s legal representat ive. Service of process may be made upon the AviationManagers on behalf of the Company. How ever, the Company does not w aive its right to commence anaction in any court of competent jurisdict ion or to seek a transfer to another court as permitted by law .

FINANCIAL RESPONSIBILITY

If this policy is cert if ied as proof of insurance under any governmental f inancial responsibility law applicableto aircraft , the Company w ill pay the minimum amounts required by that law w hich do not exceed the limitof liability of this policy. The Named Insured agrees to reimburse the Company promptly for any amountsthe Company w ould not have had to pay w ere it not for this clause.

NOTICE OF OCCURRENCE, LOSS, CLAIM OR SUIT3.

The Named Insured must see to it that the Company or its Aviation Managers are promptly not if ied inw rit ing at the nearest off ice, w hose address is listed on the back of the policy cover, of an Occurrencethat may result in a claim. Notice shall include:

part iculars suff icient enough to identify the Insured;

how , w hen and w here the Occurrence took place;

the names and addresses of any injured persons and w itnesses.

If claim is made or suit is brought against the Insured, the Named Insured must see to it that theCompany or its Aviation Managers receive prompt w rit ten notice of the claim or suit. The NamedInsured and any other Insured involved must:

immediately send the Aviation Managers copies of any demands, not ices, summonses or legalpapers received in connection w ith the claim or suit ;

authorize the Company or its Aviation Managers to obtain records and other information;

cooperate w ith the Company or its Aviation Managers in the investigat ion, sett lement or defenseof the claim or suit ;

assist the Company or its Aviation Managers, upon the Aviation Managers' request, in theenforcement of any right against any person or organizat ion w hich may be liable to the Insuredbecause of injury or damage to w hich the insurance may also apply.

SEPARATION OF INSUREDS

authorize the Aviation Managers to obtain medical reports and copies of records;

submit to physical examination by a physician selected by the Aviation Managers, w hen and asoften as the Aviation Managers may reasonably require.

APPLICABLE TO COVERAGES F, G, AND H (PHYSICAL DAMAGE)

8. APPRAISAL OF LOSS

If the Named Insured and the Company fail to agree as to the amount of Loss, each shall, upon w rit tennotice to the other, hire at its ow n expense an independent aircraft appraiser. The appraisers w ill thenagree on a know ledgeable and neutral umpire. If they cannot agree on the umpire in f if teen (15) days, aJudge of the county of the pending appraisal w ill appoint the umpire. Agreement by any tw o of thesethree shall determine the amount of Loss. The Named Insured and the Company w ill share the umpire' scost equally. But this clause shall not deprive or w aive any rights of the Company.

ACTION AGAINST THE COMPANY AND PAYMENT OF LOSS

The Company does not have to pay, and the Named Insured does not have the right to sue on this policy,unless all of its terms have been fully complied w ith and until thirty (30) days after the required proofs ofloss have been filed w ith the Company and the amount of Loss is determined as provided by the policy, norat all unless commenced w ithin tw elve (12) months after the date of the Loss.

AUTOMATIC REINSTATEMENT

In the event of Loss, w hether or not covered by this policy, the amount of insurance in respect to anyAircraft shall be reduced as of the t ime and date of Loss by the amount of such Loss and such reducedvalue shall continue until repairs are commenced w hen the amount of insurance shall be automaticallyincreased by the value of the completed repairs until the amount of insurance is fully reinstated or thepolicy has expired.

INSURED'S DUTIES WHEN LOSS OCCURS

When Loss occurs, the Insured shall:

promptly report theft and vandalism to the Aviation Managers and local police;

do nothing after the Loss to harm the Company or Aviation Managers rights of recovery against anyperson or organizat ion;

allow the Company or Aviation Managers to inspect the property;

allow the Company or Aviation Managers to inspect all aircraft records, pilot logbooks, repair andservice invoices, sales receipts and any other pert inent records until sett lement of the Loss;

11. NO BENEFIT TO BAILEE

The insurance afforded by this policy shall not inure direct ly or indirect ly to the benefit of any carrier orbailee liable for Loss to the Aircraft.

APPLICABLE TO ALL COVERAGES

ASSISTANCE AND COOPERATION OF THE INSURED

The Insured shall cooperate w ith the Company and, upon the Company' s request, shall attend hearings andtrials and shall assist in effect ing sett lements, securing and giving evidence, obtaining the attendance ofw itnesses and in the conduct of suits. The Insured shall not, except at his ow n cost, voluntarily make anypayment, assume any obligat ion or incur any expense other than for such immediate medical and surgicalrelief to others as shall be imperat ive at the t ime of an Occurrence.

12. NO RETURN PREMIUM IN THE EVENT OF TOTAL LOSS

The Company or Aviation Managers shall not be liable for any return Physical Damage premium in respectto any Aircraft on w hich a Total Loss has been paid.

If this policy is cancelled, the Aviation Managers w ill return any premium refund due. If the Companyor Aviation Managers cancel, the refund w ill be pro rata. The return premium shall be subject to Condit ion 12.

CHANGING THE POLICY

The first Named Insured show n in the Declarat ions is authorized to makechanges in the terms of this policy w ith the Aviation Managers consent. This policy' s terms can beamended or w aived only by endorsement signed and issued by the Aviation Managers and made a part ofthis policy.

17. EXAMINATION OF INSURED'S BOOKS AND RECORDS

The Company or Aviation Managers may examine and audit the Insured's books and records as they relateto this policy at any t ime during the policy period and up to three (3) years afterw ard.

FRAUD OR MISREPRESENTATION

This policy shall be void if the Named Insured has concealed or misrepresented any material fact orcircumstance concerning this insurance or the subject thereof or in case of any fraud, attempted fraud orfalse sw earing by the Named Insured touching any matter relating to this insurance or the subject thereof,w hether before or after a Loss.

The Company or Aviation Managers have the right but are not obligated to:

If the Company decides not to renew this coverage, the Aviation Managers w ill mail or deliver to the firstNamed Insured show n in the Declarat ions w ritten notice of the nonrenew al not less than thirty (30) daysbefore the expirat ion date.

22. REPRESENTATIONS

By accepting this policy, the Named Insured agrees:

the statements in the Declarat ions are accurate and complete;

those statements are based upon representat ions of the Named Insured to the Company and/orAviation Managers;

the Aviation Managers have issued this policy in reliance upon the Named Insured's representat ions.

STATE STATUTES

If the terms of this policy are in conflict w ith or inconsistent w ith the statutes of any state w here thispolicy is in effect, the Company w ill conform to those state statutes.

SUBROGATION

If the Insured has rights to recover all or part of any payment the Company has made under this policy,those rights are transferred to the Company. The Insured must do nothing after Loss to impair them. Atthe request of the Company or Aviation Managers, the Insured w ill bring suit or transfer those rights to theCompany and do w hatever else is necessary to secure such rights. The Insured shall do nothing after aLoss to prejudice such rights. This condit ion shall not apply w ith respect to Coverage E - Medical Expense.

TRANSFER OF THE NAMED INSURED'S RIGHTS AND DUTIES UNDER THIS POLICY

The Named Insured's rights and duties under this policy may not be transferred w ithout the AviationManagers w rit ten consent except in the case of the death or bankruptcy of an individual Named Insured.

If such individual Named Insured dies or is adjudged bankrupt or insolvent, his or her rights and duties w illbe transferred to the Named Insured's legal representative but only w hile acting w ithin the scope of dut iesas such. Until the Named Insured's legal representative is appointed, anyone having proper temporarycustody of the Named Insured's property w ill have such Named Insured's rights and duties but only w ithrespect to that property, but in no event for more than sixty (60) days follow ing such death oradjudication.

27. VIOLATION OF STATUTE CLAUSE

If coverage for a claim under this policy is in violat ion of any United States of America' s economic or tradesanctions, including but not limited to, sanctions administered and enforced by the U.S. TreasuryDepartment ' s Off ice of Foreign Assets Control (" OFAC" ), then coverage for that claim shall be null andvoid.

PASSENGER VOLUNTARY SETTLEMENTS

In consideration of addit ional premium of $______________________, this policy is amended as follow s:

The Company shall offer to pay on behalf of an Insured those sums requested by the Named Insured, to or forthe benefit of each covered Passenger w ho sustains Bodily Injury caused by an Occurrence arising out of theow nership, maintenance, or use of aircraft or non-owned aircraft by or on behalf of an Insured.

If the Company is not permitted by law or statute to pay on behalf of the Insured, the Company w ill indemnifythe Insured for those sums permitted by law in excess of any other valid and collectible insurance available tothe Insured.

DEFINITIONS

When used in this endorsement, the terms in italics and bold shall be defined as stated below :

Aircraft means any Aircraft specif ically scheduled and insured by this policy or any aircraft that qualif ies as aninsured temporary subst itute aircraft or any aircraft that qualif ies under the automatic attachment for new lyacquired aircraft provisions of this policy. Aircraft specif ically excludes any non-owned aircraft.

Body part(s) means a hand, foot or eye.

Loss means:

w ith respect to the severance of a hand or foot, at or above the w rist or ankle; or

the entire and irrecoverable loss of sight or an eye.

Non-owned aircraft means any Aircraft that qualif ies as an insured non-ow ned aircraft in this policy.

Permanent total disability means the inability of the injured Passenger, after tw elve (12) months of beingcontinuously totally disabled, to perform every duty pertaining to the occupation the person w as hired toperform for the rest of that person' s life.

Settlement limit means the maximum amount the Company w ill pay to or for each Passenger stated in theLimits of Liability sect ion of this endorsement.

Totally disabled means the complete inability to perform any duty pertaining to one' s occupation.

EXCLUSIONS

In addit ion to the exclusions applicable to liability coverages w ithin the policy provisions, the follow ingexclusions shall also be applicable to coverage provided by this endorsement.

This coverage shall not pay for any claim:

To or on behalf of any Crew member on any non-owned aircraft unless the Declarat ions states a settlementlimit for non-owned aircraft and for Crew members and

they are Crew members w ho routinely operate an aircraft for an Insured, but are operat ing non-ownedaircraft on behalf of an Insured at the t ime of the Occurrence.

2. Arising out of the use of a non-owned aircraft unless a dollar amount is show n in the settlement limit fornon-owned aircraft in the Limits of Liability sect ion of this endorsement.

CONDITIONS

If requested, the injured Passenger or his or her legal representat ive shall authorize the Company orAviation Managers to obtain his or her medical records.

If requested, the injured Passenger shall submit to physical examination by the physicians selected by theCompany or Aviation Managers w hen they may reasonably require before any payment is made.

All injured Passengers or their legal representat ive(s) shall execute a full release approved by the Companybefore any payment shall be made by the Company. This shall not apply to recipients of w eekly indemnitypayments.

If the injured Passenger(s) or their legal representat ive(s) rejects or does not accept an offer from theNamed Insured w ithin ninety (90) days of receipt of the offer, or if a claim is made or suit brought by theinjured Passenger or on his or her behalf , this coverage shall not apply.

The coverage provided by this endorsement applies to injuries covered by w orkers compensation,unemployment compensation or disability benefit law or under any similar law . But, the coverage providedby this endorsement may not be used by the Insured to satisfy the Insured's obligation under w orkerscompensation, unemployment compensation or disability benefit law or under any similar law s.

LIMITS OF LIABILITY

If the Bodily Injury is direct and independent of all other causes and results in death, permanent total disabilityor loss of body parts:

the Company shall offer to pay up to the settlement limit for death or permanent total disability of thePassenger;

the Company shall offer to pay up to the settlement limit for loss of tw o or more body parts; or

the Company shall offer to pay up to one-half of the settlement limit for loss of one body part.

Expense Reimbursement for Weekly Indemnity Payments:

If a Passenger becomes totally disabled due to Bodily Injury and qualif ies for a settlement limit, the Companyshall reimburse the Named Insured for payments they choose to make to the totally disabled Passenger for theloss of earnings as a result of the disability. The Company, how ever, shall only pay up to eighty percent (80%)of the average w eekly w age of the totally disabled Passenger but not exceeding the Maximum WeeklyIndemnity Limit show n in the Settlement Limits in this endorsement. Payments shall be made for the period ofcontinuous total disability up to the Maximum Indemnity Period show n in the Settlement Limits under thisendorsement. If the totally disabled Passenger or Crew member is the Named Insured's employee at the t ime ofthe Occurrence and is injured in the course and scope of that employment, the settlement limit shall be reducedby the amount of any payments that are made under this provision.

B.1. Cancellat ion for Policies in Effect Ninety (90) Days or Less

If this policy has been in effect ninety (90) days or less the Insurer may cancel this policy by mailing ordelivering to the Insured w rit ten notice of cancellat ion, accompanied by the reasons for cancellat ion, atleast:

(a) Ten (10) days before the effect ive date of cancellat ion if the Insurer cancels for nonpayment ofpremium; or

(b) Tw enty (20) days before the effect ive date of cancellat ion if the Insurer cancels for any other reason,except the Insurer may cancel immediately if there has been:

1. A material misstatement or misrepresentat ion; or2. A failure to comply w ith underw rit ing requirements established by the Insurer.

B.2. Cancellat ion for Policies in Effect for More Than Ninety (90) Days

If this policy has been in effect for more than ninety (90) days the Insurer may cancel this policy only forone or more of the follow ing reasons:

(a) Nonpayment of premium;

(b) The policy w as obtained by a material misstatement;

(c) There has been a failure to comply w ith underw rit ing requirements established by us w ithin ninety (90)days of the effectuation of coverage;

(d) There has been a substant ial change in the risk covered by the policy; or

ANY PILOT HAVING A MINIMUM OF 500 TOTAL HOURS OF FLIGHT, OR ANSON J. CREECH, OR JEWREL R.WIGFALL.

B. AS RESPECTS MULTI-ENGINE, PISTON AIRCRAFT UNDER 12,500 POUNDS GROSS TAKE-OFF WEIGHT:

ANY PILOT HAVING A MINIMUM OF 1500 TOTAL LOGGED PILOT FLYING HOURS OF WHICH AT LEAST 500HOURS WERE IN MULTI-ENGINE AIRCRAFT AND AT LEAST FIVE (5) HOURS WERE IN THE MAKE AND MODELAIRCRAFT BEING FLOWN.
