The Forward Markets Commission (FMC) and the National Multi Commodity Exchanges have launched ‘Price Dissemination Project’ through AGMARKNET and other entities in the year 2007-08. In this context, National Multi-Commodity Exchange of India Limited invites bids from established and reputed registered manufacturers of LED Price Display Boards for supply, installation, commissioning and maintenance of LED Price Display Boards.

TENDER DOCUMENT FOR SUPPLY, INSTALLATION, COMMISSIONING AND MAINTENANCE OF LED PRICE DISPLAY BOARDS

Sealed tenders are invited from established and reputed registered manufacturers of LED Price Display Boards for supply, installation, commissioning and maintenance of LED Price Display Boards.

The tender must be submitted in two separate sealed covers for technical and financial/commercial bids respectively and be super scribed as ‘Technical Bid to supply, install and commission LED Price Display Boards’ and ‘Financial/Commercial Bid to supply, install, commission and maintain LED Price Display Boards. Both the sealed covers shall be kept inside another sealed cover which should also be super scribed as ’Tender for supply, installation, commissioning and maintenance of LED Price Display Boards’.

TENDERING SYSTEM: The tenders/bids are to be submitted in two parts, i.e., Part I and Part II.

Part I titled as “TECHNICAL BID” shall contain the complete technical qualifications with terms and conditions of supply, etc. (except Price Schedule). Part II titled as “FINANCIAL/COMMERCIAL BID” shall contain the Price Schedule duly filled in the prescribed Proforma.

The TECHNICAL BID and FINANCIAL/COMMERCIAL BID shall be placed in separate sealed envelopes and will be super scribed as TECHNICAL BID and FINANCIAL/COMMERCIAL BID as the case may be. These envelopes shall also indicate the Tender No., Name and Address of the Bidder/Tenderer. Both these sealed envelopes shall be kept inside another sealed cover and shall be super scribed as ‘Tender for supply, installation, commissioning and maintenance of LED Price Display Boards’. The outer cover shall indicate the Tender No., last date and time of receiving the tenders, along with the address of purchaser, i.e., National Multi-Commodity Exchange of India Limited.

SCOPE OF WORK

i) The total number of LED Price Display Boards required initially shall be of 300 nos. and the project may eventually require 1500 boards in all. There may be additional demand in future also.

The sites for installation of LED Price Display Boards may be anywhere in India as may be decided by National Multi-Commodity Exchange of India Limited from time to time.

The hardware should be capable of storing at least 100 frames which can be displayed continuously in case of any connectivity failure between the PC and the display.

The LEDs used should be of high brightness and UV stabilized as they will be exposed to direct sunlight.

The display should have anti glare polycarbonate screen for clear viewing.

The display should be such that it should be used for either GPRS connectivity or PC connectivity depending on the Site condition.

2. SOFTWARE

1. The software supplied will need to interface and be compatible with existing Central Site software. The broad requirements are given below.

The vendor will grant a perpetual, irrevocable license to National Multi-Commodity Exchange of India Limited to use and modify the software.

The software for LED Price Display Boards will have two communication ends:

a. End 1: To Central Server b. End 2: To Ticker Board

2. Communication End 1: To Central Server

a. The software will connect to the central server over internet bandwidth to download current/latest prices.

b. The data fetching should be in the form of HTTP/FTP request.

c. The downloaded data would be processed (if needed) and sent to the ticker board over RS-485 connection.

d. Downloaded data would contain price information for all five national exchanges – National Commodity & Derivatives Exchange Limited, Multi Commodity Exchange of India Limited, National Multi-Commodity Exchange of India Limited, Indian Commodity Exchange and Ace Derivatives and Commodity Exchange Limited.

e. On or before completion of a display cycle, the said software should again make a HTTP or FTP request to Central Server for the latest price information and cycle should go on till the period LED Price Display Boards is on.

f. Once price information is successfully fetched from the Central Server, it should first dump them in local hard-disk before it sends them to the LED Price Display Board. On failure to fetch data from the Central Server, in any subsequent cycles, on the same day or on the next day, it should read from locally stored pages and send the data to the LED Price Display Board. g. The HTML page, containing price information, should have the following information:

i. Timestamp ii. No. of Exchanges iii. Price Information for all the commodities and all the exchanges.

h. The information on the LED Price Display Board should be displayed as mentioned in HTML page. It may change if the content in HTML page changes, i.e. currently we are planning to display price information from 3 national exchanges and AGMARKNET.

i. The application should be to that extent be adaptive. So that for any changes in future, no changes in the site software should be required and only change at the Central Server software

would be required.

j. The HTML page will contain character mapped data only (unicode) and not bitmapped data in order to minimize bandwidth requirements. The site software should have mapping table for displaying data on each type of board.

k. A proper solution for effective monitoring of the LED Price Display Board should be put in place and MIS reports should be generated and sent to the Project Manager – LED Price Display Boards, National Multi-Commodity Exchange of India Limited, Registered Office: 4th Floor, H.K. House, Off Ashram Road, Ahmedabad – 380 009 on a daily basis.

3. End 2: To LED Price Display Board

a. The LED Price Display Board would be connected to PC via serial port.

b. The Communication between PC and LED Price Display Board shall be: i. From PC to LED Price Display Board

1. Price Information Data 2. Ping like command to know LED Price Display Board status

ii. From LED Price Display Board to PC

3. Response to Ping like command to let the site software know whether the LED Price Display Board is functioning. 4. Buffer status. i.e. How many bytes are left in buffer

c. Serial Port configuration shall be i. Transmission Speed : 9600 bps or higher ii. Parity : No Parity iii. No of Data Bits : 8 bits (required for multilingual data) iv. Start/Stop Bits : No preference.

d. By default IBM PC and compatibles support RS-232 port and that too one in number. e. That port might have been occupied by MODEM or any other serial device. In this case, add-on daughter card for extra serial port has to be installed on the PC. f. The communication will be on RS-485 standard instead of RS-232 standard. As RS-232 can offer maximum 40 feet distance, which will be very less in most of the cases. While with RS-485 standard, you may go up to 1000 meters and that is much more than sufficient. g. The LED Price Display Board would have RS-485 port on its end.

h. On PC end, there would be RS-232 to RS-485 converter attached to it.

i. RS-485 is, by default, a half-duplex bus. It will offer you two way communications but one way at a time.

j. Respective handshaking protocols, both within the site software and the software inside the

LED Price Display Board, shall be built in order to achieve appropriate and flawless half-duplex communication.

k. The layout of the LED Price Display Board given below is only an illustration. It should be possible to change the lay out as may be required in future. It should also be possible to define whether each section is scrolling or fixed.

l. It should be possible to change the speed of scrolling.

m. The firmware will have to be custom built to handle the above features. In case of GPRS option, the software with the above capabilities must be made available on the

GPRS device itself. However, an external interface to the device may be used for configuration purpose (smartphone or PC).

3. General Specification

a. Software shall be delivered on installation CD.

b. Installable should also be freely downloadable from a URL on the internet.

c. It should run on MS Windows. (Any/All versions from XP to Windows 7; suitable operating system in case of GPRS)

d. Installation program should have selection of languages to work with. The site software shall then download only respective pages from the Central Server.

e. The installation software should also ask for State/Mandi Name (selectable) in order to uniquely identify the LED Price Display Board.

f. Following information shall be displayed on site software User Interface console:

a. First Line : First Part: Display of "Commodity Names" is fixed till the information related to the

Particular commodity. After the completion of a cycle, name of Commodity will change. In case the length of commodity name is longer than it should either adjusted or scroll.

Second Part: Scrolling Spot price information.

b. Second Line : First Part: Display of "Exchange Name" is fixed till the information related to the particular Exchange. Name of Exchange will change after completion of the information.

Second Part: Scrolling Future Price information.

a. The quote should include (but separately mentioned) cost of accessories such as Transformer based power supply, Minimum 50 meters of RS 485 data cable, 1mm metal sheet for roof and switch board with socket.

b. Bidders are requested to provide details of the entire infrastructure required and to be provided by National Multi-Commodity Exchange of India Limited for installation of the LED Price Display Boards.

c. Bidders are required to clearly specify the detailed scope of work of the bidder (supplier) and the scope of work of National Multi-Commodity Exchange of India Limited and accordingly submit their quotation

SPECIAL FINANCIAL/COMMERCIAL CONDITIONS

1. PRICE: Quotes (exclusive of all taxes) should mention basic costs of the LED Price Display Boards with one year warranty and other costs (exclusive of all taxes) such as installation and commissioning separately. The bidders are also required to quote separately for on-site comprehensive maintenance agreement for two years beyond the warranty period. The standard service level agreement for performance of AMC will be turnaround time of 4 working days on reporting of not working of any of the LED Price Display Boards. There will be no separate payment for the software.

2. Installation and commissioning costs for North Eastern states and Union Territories namely Assam, Meghalaya, Tripura, Manipur, Mizoram, Arunachal Pradesh and Nagaland may be different from other states. If it is not the same, it should be specified separately.

3. The detailed cost sheets showing the break-up of costs (direct material cost, direct labour cost, over head etc) should be enclosed along with the financial / commercial bid.

4. TERMS OF PAYMENT: 20 per cent advance payment shall be made along with the purchase order. However, it will be subject to the bidder providing by way of security, bank guarantee(s)/fixed deposits/drafts from banks for the equivalent amount (valid for at least 12 months). The balance amount will be released within 15 days from date of satisfactory installation and commissioning of the LED Price Display Boards.

5. DELIVERY SCHEDULE: The material shall be delivered within 8-12 weeks from the date of placement of Letter of Intent (LOI) on the successful bidder. However, this schedule may be changed with prior intimation to the party.

6. INSPECTION, CHECKING/TESTING: The manufacturing of the LED Price Display Board covered by the order can be subject to inspection at any time prior to dispatch but will in any case be subject to final inspection and testing within a reasonable time after its arrival at the place of delivery.

7. PERFORMANCE GUARANTEE: The supplier shall guarantee about the performance of LED Price Display Boards for a period of 12 months from the date of the commissioning certificate issued by them. During this guarantee period, the supplier shall make free replacement of any part to be replaced or due to malfunctioning of the LED Price Display Boards. The security deposit shall be withheld till the successful installation and performance of the LED Price Display Boards. The security deposit shall be returned after completion of the guarantee period. If there is any malfunctioning of the LED Price Display Boards, the security deposit shall be forfeited. The successful commissioning certificate shall be issued from person(s) or entities designated by National Multi-Commodity Exchange of India Limited and based on which the payment shall be released.

8. Repair and maintenance: The tenderer shall furnish the details of repair and maintenance facilities as would be extended by them.

9. Training: The rates quoted should be inclusive of training. The training will have to be imparted to users at the site.

10. The tenderer should have annual turnover of 2-3 times of the cost of the order to be placed (ie.300 price ticker Boards)

11. Please note that late tenders/delayed tenders or postal delayed tenders will not be considered at all.

13. SECURITY DEPOSIT: Successful tenderers shall be required to submit Security Deposit equivalent to 20 per cent of the value of the Purchase Order either in the form of Demand Draft or Bank Guarantee from a scheduled commercial bank (valid for atleast 18 months).

14. CANCELLATION: National Multi-Commodity Exchange of India Limited reserves the right to cancel in full or part of the ordered quantity during the currency of the contract without assigning any reasons. If the performance of the LED Price Display Boards is also not as per tender terms, National Multi-Commodity Exchange of India Limited shall have the right to forfeit the security deposit and cancel the contract.

15. VALIDITY: The offers submitted by the tenderers must be valid for acceptance for 90 days from the date of opening of Techno-Financial/Commercial Bids.

16. EARNEST MONEY DEPOSIT (EMD): The offer should be accompanied with an amount of Rs. 50,000/- (Rupees fifty thousand only) towards Earnest Money Deposit in the form of Bank Draft/Pay Order in favour of ‘National Multi-Commodity Exchange of India Limited’ payable at Ahmedabad. The amount deposited by way of EMD shall not bear any interest. Offers without EMD will be rejected outright. Similarly, EMD in any other form will not be accepted.

The amount towards EMD is required to be deposited/enclosed with the Technical Bid and not with the Financial/Commercial Bid.

17. National Multi-Commodity Exchange of India Limited reserves the right to cancel the tender process without assigning any reason whatsoever and at its absolute discretion.

Tenderers to please note that:

• No part payments towards EMD will be accepted.

• No adjustment of EMD against pending bill, if any, will be accepted.

• No personal cheque will be accepted towards EMD.

• EMD shall be refunded, without interest for the intervening period, to the unsuccessful bidder after finalisation of the tender.

GENERAL CONDITIONS OF TENDER ENQUIRY

1. The tender (in English language only) for supply, installation, commissioning and maintenance of LED Price Display Boards, be submitted along with detailed specifications. A technical leaflet/brochure/literature is also required to be enclosed along with list of names of offices/users to whom similar types of LED Price Display Boards have been supplied in India.

2. The tenderer may please note that the tender once submitted will not be altered in any case and should not have any scope of ambiguity, cutting or overwriting. In case of overwriting/cutting if any, it must be authenticated with signature of the tenderer.

3. No quotation will be considered which is received after the DUE DATE that is the last date and time for receiving the tenders.

4. This is an ENQUIRY and must not be treated as an ORDER.

5. Any order resulting from this enquiry shall be governed by the following terms and conditions in addition to those mentioned in the order.

6. Where counter terms and conditions have been offered by the supplier, the purchaser shall not be governed by them unless specific acceptance has been given in writing in the order by the purchaser.

7. National Multi-Commodity Exchange of India Limited has the right to reject any or all the tenders received in part or full, without assigning of any reason thereof.

8. National Multi-Commodity Exchange of India Limited has the right to cancel the enquiry or extend the due date of receipt of quotation without assigning any reason thereof.

9. Late/Delayed offers will be rejected. 10. FORCE MAJEURE CLAUSE: Neither National Multi-Commodity Exchange of India Limited (the purchaser) nor the supplier shall be held responsible or considered to be in default if the execution of the contract is delayed/interrupted due to the cause absolutely beyond their control, such as, acts of God, natural calamities, war, non-availability of the above materials, major civil commotion, fire, storms, strikes and floods. However, only these causes which continue uninterruptedly for more than 7 days are considered as being causes or force majeure. In such an event, either party shall not compensate the other for the loss that might accrue or might have accrued because of the effect of such event upon the execution of the contract. If the supplier is unable to perform the contract beyond 7 days due to the reasons attributable to force majeure conditions, National Multi-Commodity Exchange of India Limited reserves the right to make immediate arrangements for engaging another supplier(s) for the same work without being liable to the original supplier.

11. ARBITRATION: All question(s), dispute(s) or difference(s) of any kind whatsoever arising out of, or relating to the contract shall be referred within 30 days by the parties to the contract for decision to sole arbitrator, who shall be the Managing Director of National Multi-Commodity Exchange of India Limited or any other Officer of National Multi-Commodity Exchange of India Limited nominated by the said Managing Director in that behalf. In the event of such an arbitrator to whom the matter is originally referred, is transferred or vacates his office by resignation or otherwise or refuses to act or is incapable of acting for any reasons whatsoever the Managing Director shall appoint another person(s) to act as arbitrator in his place in accordance with the terms of the contract. Such person(s) shall be entitled to proceed from the stage at which his predecessor left it.

There will be no objection to any such appointment that the arbitrator appointed is an Officer of National Multi-Commodity Exchange of India Limited or that he had hand to deal with the matter to which his contract related or that in the course of his duty as such Officer he has expressed views on all or any of the matters in dispute or difference. No person other than the Managing Director or his nominee can act as arbitrator.

The venue of arbitration shall be at Ahmedabad only. The award of the arbitrator shall be final and binding on the parties.

Subject to the above, the provision of Arbitration and Conciliation Act, 1996 and the rules there under and the statutory modifications thereof shall govern such arbitration proceedings and shall be deemed to apply and be incorporated in the contract.

Any dispute, if it arises at any point of time out of arbitration, shall have jurisdiction of the Court of Ahmedabad, Gujarat.

12. APPLICABLE LAWS: The Indian laws will be applicable in all matters.

13. JURISDICTION OF THE COURT: Only the Court at Ahmedabad, Gujarat having original jurisdiction to entertain suit shall have jurisdiction to receive and decide any application/applications under the Arbitration and Conciliation Act, 1996 and no other court shall have any jurisdiction whatsoever.

14. The successful bidder is required to deposit the amount of Security Deposit or Bank Guarantee (BG) in lieu of the said Security Deposit, as per Annexure IV from a scheduled commercial bank, within 7 days of receipt of communication regarding award of the work. The Earnest Money deposited will be adjusted towards the said security deposit or refunded in case of production of BG in lieu of Security Deposit. The successful bidder is also required to submit stamped undertaking as per Annexure III. Failure to comply with the above terms within the prescribed time of seven days would result in cancellation of the award of the contract and forfeiture of the EMD.
