The Board unanimously approved to amend the Agenda. The Board unanimously approved the Amended Agenda. Secretary and Director of Operations, Cherylan Shearer, moved to approve the January 31, 2016, Special Executive Session Board of Directors Minutes and the March 2, 2016, Special Executive Session Board of Directors Minutes. Vice President and Director of Profession Development, Allen Mihecoby, CLAS, RP, discussed a replacement Technology Coordinator, the upcoming webinars, the reporting of pro bono hours, updates to the procedures, CLE topics and speakers, the status of the Committee’s Report on the State of the Paralegal Profession, and a proposal for hosting a pro bono conference at next year’s joint conference which would run concurrent with Leadership, Regulation, and Certification. Vice President and Director of Profession Development, Allen Mihecoby, CLAS, RP, moved to appoint Bonnie S. Brooks, CEDS, as the Technology Coordinator for the remaining 2016 term. Vice President and Director of Position and Issues, Lynn-Marie Reveliotis, discussed the 2016 Joint Conference, the Regulation Section of the Joint Conference, the Ad Hoc Committee’s Report of the State of Profession Update, the Ad Hoc Committee’s Report on Regulation, the creation of a Facebook™ page on Regulation, and the posting of the updated Regulation Chart to the NFPA website. She also reported on the status of the Regulation Review Committee, the Case Law Committee, the Bar Association Committee, the Ethics Board, and the Legislative Review Committee. Secretary and Director of Operations, Cherylan Shearer, introduced Greg Schultz, the Kellen Company, to provide an update on the NFPA website and putting together a new association management software package for NFPA. The recommendation from The Kellen Company is to use internet4associations™ (i4a) as the new association management software for the NFPA website. The two cost components for the new software would consist of an implementation fee with the vendor of approximately $2,500 and an annual license fee of $2,500 and staff cost of $10,000. The annual license cost would be $2,500 each subsequent year. The Kellen Company is willing to waive the $10,000 staff cost. The transition to the new software can be completed in ten (10) weeks. The Board thanks The Kellen Company for their investment to oversee this project with no cost to NFPA. The subcommittee of the Board that will be reviewing the new association management software and website will include the Secretary and Director of Operations, Cherylan Shearer, President Lisa Vessels, RP, CP, FRP, Vice President and Director of Profession Development Allen Mihecoby, CLAS, RP, Vice President and Director of Marketing, Lisa Lynch, CRP, Region II Director, Mianne L. Besser, and Vice President and Director of Membership, Yvonne DeAntoneo. Secretary and Director of Operations, Cherylan Shearer, moved that NFPA go forward with transferring to new association management software overseen by The Kellen Company with the cost of approximately $5,000 pending review and recommendation by the subcommittee of the Board. Secretary and Director of Operations, Cherylan Shearer, discussed the 2016 Annual Convention, including the two NFPA workshops which will be “Review of the ABA’s Resolution on Non-Lawyer Practice” and Thomson Reuters focusing on “Trial Technology”, review of the current NFPA contracts to update the new address of the Management Company, and discussion of the calculation of the Convention Incentive Agreement. Secretary and Director of Operations Cherylan Shearer moved that all current NFPA contracts be reviewed and updated to include the new contact information for the Management Company. RESOLVED, that all the current NFPA contracts be reviewed and updated to include the new contact information for the Management Company. A subcommittee of the Board, consisting of Region I Director, Tom Holmes, RP, Treasurer and Director of Finance MaryAnn Ivie, RP, Region V Director, Josie Estes, Board Advisor, Robert Hrouda, RP, President Lisa Vessels, RP, CP, FRP, and Secretary and Director of Operations Cherylan Shearer, will review the current NFPA Procedures on the calculation of the incentive payment to Convention Host Associations, with a proposal of changes to the Board by June 15 and approval by the Board at the Summer Board Meeting in July. Vice President and Director of Paralegal Certification, Juanita (Nita) Serrano, RP, discussed an update on the JAG Army Paralegal Certification Program, the JAG Army Limited License for electronic version of PCCE Review Manual, the Assurance of Learning Program including the application fees and JAG Army inclusion with the Assurance of Learning, the PACE update, and an update on the Certification Section from the Joint Conference. She also reported that $3,480 has been raised for the update of PACE and that she has spoken with Prometic about the PACE update. She then reported that the New York City Paralegal Association is looking for locations to have the 2017 Joint Conference. Vice President and Director of Paralegal Certification, Juanita (Nita) Serrano, RP, moved to approve Section 11 Certification Procedures of the Procedures Manual. The Board unanimously approved Section 11 Certification Procedures of the Procedures Manual. RESOLVED, that Section 11 Certification Procedures of the Procedures Manual is approved. Vice President and Director of Paralegal Certification, Juanita (Nita) Serrano, RP, moved that NFPA extend the current member rate for the PCCE Exam to students participating in the Assurance of Learning Program through their college: students registering for the exam through the Affiliate Level of the Assurance of Learning will pay the $25 application fee, and students registered by the college through the Partner Level will pay one $25 application fee per batch of registrants. She also stated that she has received a contact from someone in Maine looking for an NFPA association. She will be putting together a chart listing the states that do not have NFPA associations and will begin to reach out to them. A spreadsheet is also being prepared that will contain a list of colleges with some type of paralegal program to reach

out to students. Vice President and of Membership, Yvonne M. DeAntoneo, also stated that she will be putting together two power point presentations, doing association webinars, and that the NFPA membership benefits are being reviewed and updated. She stated that she has received good feedback on the Membership Growth page on Facebook™. Vice President and Director of Marketing, Lisa Lynch, CRP, discussed an update to the Corporate Partners Program, the National Paralegal Reporter, a similar tagline for all Board Members to utilize, and the 2016 Exhibiting Schedule. Vice President and Director of Marketing, Lisa Lynch, CRP, moved to approve the 2016 Exhibiting Schedule attached hereto. The Board unanimously approved the 2016 Exhibit Schedule as provided. RESOLVED, that the 2016 Exhibiting Schedule is approved. Treasurer and Director of Finance, MaryAnn Ivie, RP, reported that she will be soliciting members from each Region to participate in the Budget Committee. All budget requests for 2017 will need to be returned to MaryAnn by May 23, 2016. Her goal is to distribute the first draft of the budget to the Board by the middle of June. She will also be reviewing the policies and procedures to make sure that they are in line with what The Kellen Company will be doing. The 2015 tax return will be posted to the NFPA website under Members Only/Financials. A discussion was also held regarding the changing of financial institutions for NFPA. Secretary and Director of Operations Cherylan Shearer, moved to approve changing the financial institutions for NFPA. The Board unanimously approved changing the financial institutions for NFPA. RESOLVED, that the change of financial institutions for NFPA is approved. Region I Director, Thomas Holmes, RP, reported on the Spring Region I Meeting. He passed out leadership information that is contained on the NFPA website to his delegates. Region II Director, Mianne L. Besser, reported on the Spring Region II Meeting. She is seeking assistance to improve communications with the Missouri Paralegal Association and the Baton Rouge Paralegal Association. Region III Director, Barbara C. O’Shaughnessy, FRP, reported on the Spring Region III Meeting. Greater Lexington Paralegal Association will be hosting the 2017 Spring Region Meeting. She stated that Region III has had 100 percent participation with the Inside Reports. Region IV Director and Chair of the Region Directors, Donna M. Huntermark, RP, PaCP reported on the Spring Region IV Meeting. She had new delegates attending the Region Meeting. The Delaware Paralegal Association attended the Region Meting. The Delaware County Paralegal Association will have two members join NFPA as individual members. The Delaware Paralegal Association will be putting a vote to its members in June to become an association in NFPA. Region V Director, Josie Estes, reported on the Spring Region V Meeting. She reported on concerns from delegates on the Executive Session Conference Calls. The Delegates would

like a snip of information as to what the Executive Session Conference Call relates to when the announcement is made on Leaders and then a brief report on the results from the Executive Session Conference Call. Volunteers serving on the Budget Committee and Nominations Committee would like to be contacted if they are or are not on the committee. The delegates would like to see NFPA bring back the fleece vests to sell in Vermont. Board Advisor, Robert S. Hrouda, RP, discussed Debra Hindin-King serving as the Ethics/Paralegal Member on the NFPA Advisory Council for the period up to and until the 2018 Winter Board Meeting. Region III Director, Barbara C. O’Shaughnessy, FRP, moved to approve Debra Hindin-King to serve as the Ethics/Paralegal Member on the NFPA Advisory Council for the period up to and until the 2018 Winter Board Meeting. The Board unanimously approved Debra Hindin-King serving as the Ethics/Paralegal Member on the NFPA Advisory Council for the period up to and until the 2018 Winter Board Meeting. RESOLVED, that Debra Hindin-King serving as the Ethics/Paralegal Member on the NFPA Advisory Council for the period up to and until the 2018 Winter Board Meeting is approved. The meeting was adjourned at 4:47 PM CST.

PART X: NFPA Webinar CLE Guidelines

3. Group Viewing/Registration of Webinars

Fromtime to time, law firms, corporations and other employers of paralegals may wish to arrange for a"group" viewing of an NFPA webinar. For the convenience of member associations, NFPA has adoptedthe following procedures:

a) Discount. At the discretion of NFPA, a discounted rate ("Discounted Rate") may be offered forgroups with at least five (5) attendees. The Board shall set the rate and the number of

attendees required by resolution.

a. The Discounted Rate shall be a reduction in the aggregate amount owed for all

attendees at that particular viewing of the webinar. This may include attendees who

are non-members of NFPA-affiliated associations.

b) Enrollment/signup. The group requesting a viewing shall contact the VPDPD or her or his

designee. The group must select a Designated Person to serve as the contact to NFPA. The

Designated Person will be provided with a form that requests the name of the attendee,

whether the attendee is a member or non-member, if CLE is requested (and if so what type, e.g.

CA, TX, etc.).

a. This enrollment sheet shall also serve as the sign-in sheet for each individual attending

the webinar. A certification shall be required of the Designated Person that the

attendees were present for the times indicated on the sign-in sheet. Less than 100

percent attendance for any one hour webinar shall void the granting of CLE credit forthat attendee. For those webinars over one hour, the VPDPD shall advise the

Designated Person of the required time to attend.b. Once HQ/VPDPD receives the enrollment sheet, the total amount due and owing, after

the discount, shall be calculated. Payment for the webinar must be received prior to the

webinar. The enrollment sheet must be received at least fifteen (15) days prior to the

date of the webinar.

c. The Designated Person shall enroll in the NFPA webinar through the establishedprocess. The log in information for the webinar shall be sent to this person.

d. The enrollment sheet must be received by the VPDPD or HQ within five (5) days of thewebinar viewing. Anyenrollment sheet not received within that time period will render

any CLE credit null and void for all attendees.e. As soon as practicable, HQ shall confirm payment of each attendee and issue the

appropriate CLE Attendance Certificate. These certificateswill be sent directlyto theDesignated Person.

f. At the discretion of the VPDPD and to comply with jurisdictional CLE requirements,

attendees may be required to complete a survey. These surveys must also be receivedwithin five (5) days.

c) Awarding of CLE Credit. Each attendee shall be entitledto receive the NFPA CLE accreditedhours for that particular webinar, as ifshe or he had attended individually.

d) Retentionof Attendance. Pursuant to NFPA's CLE Guidelines, the attendance records of allassociations, groups, and organizations receiving NFPA credit are subject to audit for a period offive (5) years. It shall be the responsibility of the Designated Person and/or requestingorganization to maintain complete and accurate records for this time.

e) Reservation of Rightto Amend. TheVPDPD and the NFPA Board of Directors reserves the rightto amend this policywithout notice, due to changes in MCLE and other regulatory authorities.

SECTION 11: PARALEGAL CERTIFICATION PROCEDURES

SECTION 11.1 CERTIFICATION EXAM EXPENSES: Development and maintenance ofthe Paralegal Certification Exams (including PCCE and PACE) ("Exams") will be funded bytheCertification portion of the NFPA Budget and, accordingly, will be bound by the FinancialGuidelines contained in Section 18 of this Manual for persons authorized to do business onbehalfof NFPA. The Vice President and Director of Paralegal Certification will submit a budgetrequest annually to the Treasurer for the administration of the exams during the normal budgetproposal time frame.

Expenses incurred in connection with speaking engagements to NFPA member associations topublicize PCCE and PACE will be borne by the member association requesting the speakerunless the expenses have been included in the annual budget. Other expenses and costsassociated with this committee will be paid in accordance with Section 18 ofthis Manual.

SECTION 11.2 PARALEGAL CERTIFICATION STANDARDS COMMITTEE: The

Paralegal Certification Standards Committee will consist of the Vice President and Director ofParalegal Certification as the non-voting chair, and individual members who will include: twopracticing paralegals, one educator who is not an attorney, one attorney, and one consumer.Individual members of the committee will be appointed by the NFPA Board during the winterboard meeting for two-year terms of office. The terms shall be staggered with the consumermember, the educator and one of the practicing paralegals being appointed in even numberedyears and the attorney and second practicing paralegal being appointed in odd numbered years.NFPAagrees to indemnify, hold harmless, and defend the members of the Paralegal CertificationStandards Committee from any claims arising from any act or omission except those occasionedby the individual's willfulor deliberateacts.

Paralegalmember criteria:

• Must meet the character and fitness requirement ofNFPA's certification exams.• Must be a legal service advocate• Cannot simultaneously serve on NFPA's Advisory Council or Ethics Board.

11.2ADuties and Responsibilities:

(1) Review appeals from candidates who do not qualify to sit for PACE or PCCE.(2) Review appeals from Paralegals whose certification will or has been revoked.(3) Review requests for renewal extensions.

SECTION 11.3: PARALEGAL CERTIFICATION COORDINATOR - STUDY

MATERIALS

11.3A Appointment: The Coordinator will be appointedby the Board as provided for inSection 8.4.

11.3B Requirements for Appointment:

SECTION 11.6 CERTIFICATION AMBASSADOR PROGRAM

11.6A Purpose: Thepurpose of the Certification Ambassador Program is to educate paralegals,attorneys, andjudgesabout PCCEand PACE. NFPA asks thateach association appoint aCertification Ambassador - someonewhose primaryfocus will be to promote NFPA'scertification exams, PCCE and PACE, in the local area.

11.6B Who Should Be a Certification Ambassador? The Certification Ambassador role is a

leadershipposition within local member associations. While Ambassadors will not be required tobe CRPs or RPs, paralegals who have taken either the PCCE or PACE are encouraged to take onthe Certification Ambassador role in their associations. The Certification Ambassador position isa great opportunity for local associations to get someone more actively involved in a leadershiprole. It is an important position and should be filled by a person who ideally is not alreadyovertaxed with other association responsibilities.

11.6C Goals of the Certification Ambassadors:

• Educate paralegals, employers, the general public, and members of the bar associationsabout PCCE and PACE. NFPA envisions that the Certification Ambassadors will

ultimately educate attorneys, bar associations, judges, and the public about utilizingNFPA's certification exams, PCCE and PACE as criteria to evaluate paralegalprofessionals in the various stages oftheir careers.

• When possible, attend the Certification Ambassadors' Conference whether held inconjunction with the Leadership and Regulation Conferences as NFPA's JointConference or as a stand- alone conference. The goal of the conference is to provideinformation and motivation for the Certification Ambassadors. There is no fee chargedfor the conference and the only cost to local associations should be the travel expenses ofthe Certification Ambassador.

• Each Certification Ambassador sets his or her own goals. However, NFPA encouragesCertification Ambassadors to:

Plan one PCCE and one PACE Review Seminar each year (association keepsproceeds);

Organize and mentor one or two study groups for PCCE and/or PACE peryear

Speak to paralegals or members of the barat three to five firm, corporation orbar association luncheons or meetings per year

Make announcements or presentations about PCCE and PACE atlocal association programs and member events

(4) The Paralegal Certification Coordinator-Public Relations assists the Paralegal CertificationCoordinator - Study Materials in promoting PCCE and PACE to paralegal educationalinstitutions

(5) Respond to e-mail requests for additional information regarding PCCE and PACE that do notmeet the common responses given by Management Company.

(6) AssistManagement Company, Vice President and Director of Marketing, Vice President andDirector of Paralegal Certification and the NFPA Board of Directors in developing marketingstrategies by doingthe necessary researchrequired.

(7) Work with the Bar Association Coordinator to develop quarterly articles regarding theimportance of paralegal certification, and specifically PCCE and PACE for bar journals. Thethrust of the articles must be written based on "what's in it for me" from the attorney/employerperspective.

(8) Develop quarterly articles for publication in local member association paralegal newsletters.The thrust of the articles must be written based on "what's in it for me" from the paralegalperspective. Work with the Paralegal Certification Coordinator - Certification Ambassadors toensure that these articles are distributed in a copy-ready format to the Certification Ambassadors.

(9) Develop quarterly articles for the National Paralegal Reporter for association highlights onactivities the local associations have been doing to promote PCCE and PACE or in developmentof unique educational tools such as seminarsand studygroups.

(10) Develop quarterly articles for the National Paralegal Reporter on developments withrespect to employer's support of paralegal certification, PCCE and PACE and paralegal successstories with respect to PCCE and PACE. These should not be the same articles that go to thelocal association newsletters.

NFPA authorizes the Certification Standards Committee to grant "Inactive" status for anyPACE Registered Paralegal or CORE Registered Paralegal in good standing for a periodof up tofour (4) years upon submission of a written request showing good cause. The Certification Standards Committee will reactive the RP or CRP status of an inactive RPor CRP upon receipt of a renewal providing documentation of compliance requiremetns andpayment ofthe appropriate renewal fee(s), received at least sixty (60) days prior to the expiration ofthe inactive period.

SECTION 11.12 RP EMERITUS STATUS

1. NFPA authorizes "Emeritus" status for any PACE Registered Paralegal who meets thefollowing requirements:

a) Is an active RP, in good standing at the time the request for RP Emeritus status isrequested; or has already retired due to age, circumstance or illness and at the time ofhis/her retirement was an RP in good standing; AND

b) Completesan Applicationfor RP Emeritus Status;AND

c) Submitsan application fee often dollars ($10.00).

2. If the Application for RP Emeritus Status [Form #11.9-1] is approved by the PACE StandardsCommittee, the RP, will use the designation of "RP Emeritus." All RPs having been granted theuse of the RP Emeritus status will cease from using the "RP" or "PACE Registered Paralegal"credentials unless/until they are reactivated as active RPs pursuant to the criteria in paragraph 3below.

3. The designation "RP Emeritus" is intended only for paralegals who have retired or left thelegal profession. No active paralegal should use the title of RP Emeritus. If a paralegal who hasbeen granted "RP Emeritus" status returns to work as a paralegal following retirement, he/shecan apply for reactivation as a PACE Registered Paralegal [Form 11.9-2].

a) In the event an RP Emeritus returns to work following retirement, that person mustmeet all current RP CLE requirements prior to the reactivation request, i.e., obtain twelve(12) hours of NFPA approved CLE, including one (1) hour of ethics. CLE must havebeen taken no longer than two (2) years prior to the date of the reactivation request. Proofof CLE must be submitted with the reactivation request. All reactivation requests must beapproved by the PACE Standards Committee.

b) An applicantseekingreactivationmust pay a $50 reactivation fee to NFPA.

4. Any PACE Registered Paralegal who has retired prior to October, 18, 2007, due to age,circumstance or illness shall be eligible to apply for "RP Emeritus" status on a retroactive basis,provided they met the requirements outlined above prior to his/her retirement.

5. The intent of "PACE Registered Paralegal - Emeritus" status is to honor retirement as a lifeevent which occurs due to age, circumstance, or illness. "Emeritus" status should be granted tosupport those RP's who attained this professional distinction, supported NFPA and PACE andwho maintained their credentials over the years. Providing an "Emeritus" status for PACERegistered Paralegals allows a retiring PACE Registered Paralegal to retain the professionalcredential they obtained during their career, without being mandated to maintain CLErequirements afterretirement from activepractice.

SECTION 11.13 Suspension

The Certification Standards Committee shall suspend the RP credential for a period of sixty (60)days based upon any of the following:

A. Failure to file a Registration Statement with NFPA Headquarters;B. Failure to meet CLE requirements; orC. Failure to provide evidence of continuing education.

The Certification Standards Committee will provide written notice (via e-mail) to the RP of theaction taken, effective date and time period of action, termination of rights to RP credential,requirements for reinstatement, consequence of failure to meet requirements, andappeal procedure.

SECTION 11.14 Revocation

The Certification Standards Committee shall revoke the RP credential based upon any of thefollowing:

1. RPs knowingly making a false statement or misrepresentation deemed material to theapplication or registration statement; or

2. RPs knowingly and intentionally disclosing any or all test questions; or

3. RPs suspension, termination, or revocation ofa certification, registration, or license topractice by a professional organization, court, disciplinary boardor agency in anyjurisdiction; or

4. RPs conviction ofa felony or comparable crime as defined by an individual state that doesnot have a felony designation; or

5. RPs becoming subject to a second suspension pursuant to Section 6 of the Manual.

The Certification Standards Committee will provide written notice to the RP (via e-mail) of thepending action, grounds for pending action, effective date of action, right to respond to allegations(60 days, in writing, with supporting documents), and deliberation schedule.

The Certification Standards Committee shall consider all responses to notice of intention to revokethe RP credential within sixty (60) days of receipt of response to allegations. After suchconsideration, the Certification Standards Committee will again provide written notice to the RP(via e-mail). The RP credential will not be revoked and removed from all RP public lists until suchtime as the RP has been afforded every opportunity to appeal.

SECTION 11.15 Assurance of Learning

The Assurance of Learning (AoL) Program has two levels of participation (1) Affiliate Programand (2) Partner Program.

TheAoLProgram shall be openonly to AAfPE member, ABA accredited paralegalprogramsand the JAG and/or MilitaryParalegals. There shall be no chargeto the school for participation.

The AoL program offers schools a valuable means to trackandreport outcomes for graduates;Demonstrate graduates acquired knowledge required for entryinto the progression; andEvaluate the effectiveness ofparalegal curriculum

Affiliate Program:

SECTION 11.16 PACE AND PCCE APPLICATION AUDITS

b. Once a year, or upon demand, the Vice President & Director of Certificationwill request seven applications and supporting documents of candidateseligible to sit for PACE.

c. Once a year, or upon demand, the Vice President & Director of Certificationwill request seven applications and supporting documents of candidateseligible to sit for PCCE

d. The Standards Committee will contact the following entities:

1. Employers to verify dates and capacity of employment.2. References to verify substantive legal nature of paralegal

experience.3. Educational institutions to verify authenticity of diplomas and/or

certificates.

4. Refer to the Standards Committee any apparent impropriety.

e. The Standards Committee will provide a written report delineating theresults of the audits conducted.
