SUBJECT AND MANNER OF SALE 1.1. The National Development Company (NDC) offers for sale its unserviceable motor vehicles located at the NDC Building, 116 Tordesillas Street, Salcedo Village, Makati City, hereunder listed as follows: A. Toyota Corolla, herein referred to as Vehicle A. -1600cc -Plate No. SFW 879; B. Nissan Urvan, herein referred to as Vehicle B. -2700cc -Plate No. SGH 695; C. Nissan Cefiro, herein referred to as Vehicle C. -2000cc -Plate No. SHP 101; D. Nissan Cefiro, herein referred to as Vehicle D. -2000cc -Plate No. ZAS 157; The said vehicles are more particularly described in Annexes “A-1” to “A-8. 1.2. The sale of the vehicles shall be through public bidding, strictly in CASH and on an “AS-IS-WHERE-IS” basis. 1.3. The bidding is open to all interested parties. 1.4. The evaluation of the bids and the award of the sale shall be subject to applicable laws, including but not limited to Commission on Audit (COA) rules and regulations.

BIDDING GUIDELINES, TERMS AND CONDITIONS FOR THE SALE OF FOUR (4) UNITS OF THE NATIONAL DEVELOPMENT COMPANY’S (NDC)

UNSERVICEABLE VEHICLES ON AN “AS-IS-WHERE-IS” BASIS

1. SUBJECT AND MANNER OF SALE

1.1. The National Development Company (NDC) offers for sale its unserviceable motor vehicles located at the NDC Building, 116 Tordesillas Street, Salcedo Village, Makati City, hereunder listed as follows:

A. Toyota Corolla, herein referred to as Vehicle A.

-1600cc -Plate No. SFW 879;

B. Nissan Urvan, herein referred to as Vehicle B.

-2700cc -Plate No. SGH 695;

C. Nissan Cefiro, herein referred to as Vehicle C. -2000cc -Plate No. SHP 101;

D. Nissan Cefiro, herein referred to as Vehicle D. -2000cc -Plate No. ZAS 157;

The said vehicles are more particularly described in Annexes “A-1” to “A-8”.

1.2. The sale of the vehicles shall be through public bidding, strictly in CASH and on an “AS-IS-WHERE-IS” basis.

1.3. The bidding is open to all interested parties.

1.4. The evaluation of the bids and the award of the sale shall be subject to applicable laws, including but not limited to Commission on Audit (COA) rules and regulations.

2. MINIMUM BID PRICE 2.1 The minimum bid price for the vehicles is as follows:

3. PREPARATION OF BIDS

3.1 All interested parties must register with:

116 Tordesillas Street, Salcedo Village, Makati City Tel. No. 8404838 loc. 232 3.2 The bidder shall accomplish his Bid Tender in the form prescribed in

Annex B.

3.3 The bidder shall accomplish, preferably in typewritten format, the attached Bid Tender (Annex “B”) in triplicate, properly signed and dropped in the designated box at the 7thth Floor, NDC Building, 116 Tordesillas Street, Salcedo Village, Makati City on or before the time scheduled for the opening of the bids, sealed and addressed properly as follows:

3.4 Erasures or interlineations should be avoided or duly initialed by

the bidder.

3.5 Unsigned bids and, if applicable, bids without bid bonds at the time of the opening of bids are considered defective bids; hence, will automatically be disqualified.

3.6 Authorized Representative must submit a duly notarized Special

Power of Attorney (SPA) expressly authorizing their participation in the disposal proceedings and their acceptance of the terms and conditions thereof.

4. BID BOND

4.1 A bid bond equivalent to ten percent (10%) of the total bid price

shall accompany the bid tender at the time of the opening of bids. 4.2 The bid bond should be in the form of cash, cashier’s or manager’s

check acquired from a reputable bank within the area where bidding is to be held.

4.3 An acknowledgement receipt shall be issued by NDC to

acknowledge receipt of the bid bond. Bid bonds of the losing bidders shall be returned immediately.

4.4 The occurrence of any of the following events shall cause the forfeiture of the bid bond in favor of NDC:

(a) Failure of the winning bidder to pay the balance of the purchase price within five (5) days from receipt of the Notice of Award;

(b) Failure or refusal of the winning bidder to accept unconditionally the award or to comply with the terms of the award;

(c) Withdrawal of the bid, whether conditional or otherwise, after submission thereof, subject to the provisions of Section 5 hereof;

(d) Material misrepresentation and/or breach of warranty made in the Bid Tender or any of its required attachments; and

(e) Violation of, and/or failure to comply with any of the terms and conditions provided in these Bidding Guidelines or any of its addenda and/or amendments.

5. WITHDRAWAL OF BIDS

5.1 A bidder who wishes to withdraw his bid tender before the time of the opening of the bids must inform the NDC Disposal Committee of his intention in writing. His bid shall be returned unopened during the time of the bidding.

5.2 After the opening of bids, no bidder shall be allowed to withdraw

his tender.

6. PRE-BID CONFERENCE

6.1 All queries/clarifications on the sale of the vehicles will be addressed at the pre-bid conference to be held on May 21, 2014, 2:00 PM at the ABB Hall, NDC Building, 116 Tordesillas Street, Salcedo Village, Makati City.

7. OPENING OF BIDS

7.1 All bids must be sealed, addressed and delivered to:

7.2 The bidder shall submit the sealed envelope by dropping the same in the sealed and locked bid box marked and provided for the purpose.

7.3 Bids should be submitted on May 28, 2014 from 8:00 am to 12:00 noon (NDC Building Clock). No bids shall be accepted after 12:00 noon of May 23, 2014.

The NDC Disposal Committee shall open all bids at 2:00 PM (NDC Building Clock) on May 28, 2014 at the ABB Hall of the NDC Building, 116 Tordesillas Street, Salcedo Village, Makati City.

For bidders based outside of Metro Manila, bids may be sent through a courier and must be received by the NDC Disposal Committee on or before 12:00 noon of May 28, 2014.

7.4 All bids shall be opened at the date, time and place specified in these Bidding Guidelines under the direction of the NDC Disposal Committee and in the presence of COA Representatives. Bidders or their duly authorized representatives may witness the proceedings.

8. BIDDER'S RESPONSIBILITY & DUE DILIGENCE

8.1 The bidder shall be solely responsible for examining with appropriate care these Bidding Guidelines and the official bid forms, including any addenda or amendments issued during the bidding period. The bidder shall likewise be responsible for informing himself, with respect to any and all conditions pertaining to the four (4) units of NDC’s unserviceable vehicles located at the NDC Building, which may, in any manner, affect the bid price or the nature of the bidder's proposal. Failure of the bidder to so examine and inform himself shall be his sole risk and no relief for error or omission shall be given by NDC. The delivery or release by NDC to the bidders of any information regarding the four (4) units of NDC’s unserviceable vehicles located at the NDC Building shall not give rise to any warranty with respect to any such data or information and the bidder shall not be relieved of his obligation to make the aforesaid examinations and verifications and to conduct his own due diligence exercise.

8.2 No error by omission or misstatement in these Bidding Guidelines as prepared by NDC and the Annexes hereto shall invalidate the bid procedures undertaken and the Contract executed with the winning bidder pursuant thereto. Neither the error, the omission or misstatement in these Bidding Guidelines, including the Annexes hereto, shall entitle the winning bidder to any compensation whatsoever, or reduction in the sale price or release him of his obligations under the Contract, the Bidding Guidelines and the Annexes hereto.

8.3 Interested bidders may conduct their due diligence on the four (4) units of NDC’s unserviceable vehicles located at the NDC Building from May 14 to May 22, 2014 (9:00 am – 4:00 pm) and May 28, 2014 (8:00 am – 10:00 am) upon coordination with the NDC Disposal Committee Secretariat.

8.4 Any and all expenses incurred for the inspection of the four (4) units of NDC’s unserviceable vehicles located at the NDC Building including the cost of preparation of bids shall be for the sole account of the bidder.

8.5 By submitting his bid, the bidder shall be deemed to have waived any right he may have to seek and obtain a writ of injunction or of prohibition or of a restraining order or any other form of coercive, judicial, administrative or other relief against NDC and any of its officers, employees and representatives, to prevent, restrain or in any manner forestall, hinder or render inconvenient the holding of the bidding or re-bidding, including but not limited to the negotiation and award of the sale of the four (4) units of NDC’s unserviceable vehicles located at the NDC Building to the winning bidder/s and the transfer of possession and ownership of the same.

9. UNSUCCESSFUL BIDDING

9.1 If the sale through public bidding is unsuccessful, a re-bidding shall be scheduled. Bidding may be declared unsuccessful in any of the following cases:

(a) There is no bidder;

(b) Only one (1) bidder submitted his Bid;

(c) All bidders failed to comply with the terms and conditions

prescribed in these Bidding Guidelines;

(d) Complying bidders failed to meet the minimum bid price.

10. AWARDING OF BIDS

10.1 NDC, after receiving the approval of the Head of Agency, shall issue a Notice of Award to the winning bidder.

10.2 When two or more complying bidders made identical offers, public

auction viva voce between those who made identical bids shall be resorted to at a price not less than the offered bids.

10.2 The winning bidder shall be required, among others:

(a) to render full payment of the bid price in cash, cashier's or manager's check issued by a commercial bank in Metro Manila payable and acceptable to NDC within five (5) days from receipt of the Notice of Award;

(b) to comply with all conditions which may be required by NDC prior to the execution of the transfer documents in favor of the winning bidder; and

10.3 The winning bidder/s shall, at his expense, take possession of the

four (4) units of NDC’s unserviceable vehicles located at the NDC Building after full payment of the purchase price and within 30 days from receipt of the Notice of Award. From that point in time, NDC shall not be held liable for any damage to the property.

11. EXECUTION OF CONTRACT

11.1 NDC and the winning bidder shall execute a Deed of Absolute Sale upon NDC’s receipt of the full payment of the bid price (less bidder’s bid bond applied as part of the payment) to be paid thereon as provided for in Section 9.3a which shall be within five (5) days from the bidder's receipt of the Notice of Award.
