MLS Ops Meeting 10-9-14 – Discussion Items: Property Ownership field for IDX feeds: Ms. Chard, I hope all is well. We're excited to be one of the newer brokerages in Cincinnati and want to let you know that Bob Halko has been a great help as we have gotten our RETS feed set up. Bob recommended that I reach out to you regarding some obstacles that we are bumping into while building some back office software for our agents. We were recently granted access to RETS to build out a custom software package for our agents - this is strictly a non-public software implementation that will be used internally so that agents can pull comps and run reports using some methods that we've developed internally. Anyway, we have been informed that some of the fields have been disabled in RETS and I'd like to see if there is anything you can do to help us get access to those fields. While it would be terrific if we could access all of the excluded fields, we would be happy if we could at least access "Property Ownership". The main reason we're asking about that field is that it is currently available for "export" from the standard MLS export function, but isn't available in the RETS data, which seems odd! It doesn't make any sense why they would exclude Property Ownership from the RETS data when it is available on the MLS Export feature. Maybe it's just because no one has asked in awhile. Coming Soon I am writing to strongly encourage you to add a status to MLS of “Coming Soon.” I believe this will help to level the playing field for all buyers and agents and will contribute to the long term viability of the MLS. My reasoning is that in many, if not all situations, Sellers are not totally ready for their home to be listed in MLS when they call an agent to talk about listing their home. Sometimes they need only days to get it ready but often it can be months. In order to meet the MLS guide lines, we currently have two options: 1. Wait to list the house until the seller is ready and risk having the owner sell it on their own. 2. List it and put a note on the listing form to MLS that it can’t be shown. In either situation the agent who went on the listing appointment and often others in their office, or agents who happen to talk with the agent are aware of the listing. This can lead to a showing and often a contract and all of the other agents and more importantly their buyers are not privy to the property until it appears in the MLS “Sold Before Sent.” This scenario is not in the best interest of Sellers because they are not fully exposed to the market. I would suggest that if a property is listed, even if it can’t be shown that it appear in the MLS. Generating advances anticipation of a new listing is almost always good for the seller and this does not negate the fact that a Seller can choose to never have their property in MLS. Even though we now can put a “Coming Soon” sign in the yard, which I have done on a listing I have, and take names of those who happen to see it, this does not open it up to the entire MLS. I have had several calls from agents who were embarrassed when their clients happen to drive by the property and called them and they knew nothing about the listing. The status of “Coming Soon” would allow all agents to know about the property so they could advise the listing agent if they had an interested buyer. The agent should take names and if something happens and the agent/homeowner decides to show it to someone before it appears as active, the agent should call all of the people who have shown interest and get the property in the MLS immediately. Based on the Code of Ethics, if a listing agent has told another agent who has someone interested in the property that cannot show it, they should not show it to one person without alerting all who have expressed interest that they can view the property. Currently, I don’t think agents see gathering names but deciding at some point to let only certain people into the property i.e. their own clients, people who have called on the sign or from the internet, as a code violation. This is an educational issue. Professional Standards can do many different things to make our membership aware that if agents request a showing on a property and are told they cannot see it, only to find the selling agent shows it to others and gets an accepted contract, that the listing agent has possibly committed an ethics violation. Obviously, there is nothing an agent can do, if the Seller wants to show to a select buyer as long as the agent informs the seller that they have the names of other people who are interested and that showing the property to only a selected number of people may not be in their best interest. I would suggest that an agent in this situation, for their protection, get a written acknowledgement from the seller that they realize this may not be in their best interest. The issue of showing the property to selected buyers/agents could also be addressed in the Listing Contract. If we added a section in the Listing Contract about “Coming Soon” with an anticipated “Active” date, like we have in the one sheet page for MLS, we could explain that the property will not be shown to people who call until all agents/prospective buyers have an opportunity to see it. An explanation as to why this might not be in their best interest would make the likelihood of a discussion occurring between the agent and Seller more likely. I am sure some agents are violating the code or at least the spirit of the code. Some scenarios I have seen are:
• An agent calls a listing agent about a property they have heard is coming available and are told it can’t be shown but the agent will let them know when it can be shown. Even with continued follow-up by the buyer’s agent, the property shows up in MLS, “Sold Before Sent.” • A buyer’s agent calls a listing broker and is told a property cannot be shown but when the agent’s buyer calls the listing agent sets a showing. A case can probably be made that a complaint should be bought against these agents. Knowledge of someone violating the code is often hard to prove and agents often see lodging a complaint as something they do not want to do because of the time involved or in order to protect their own reputations. I do believe most agents want to be ethical but in the excitement of getting both sides of a transaction or quickly selling a listing, they do not see anything wrong with the way they are handling these situations. Jim, I think Peg Ritenour’s statistics on the number of sales in California and other markets that are not going through the MLS is very scary trend for the viability of the MLS. We must do everything we can to keep the MLS as the ultimate source for finding properties. The fact that Zillow now has a status of “Coming Soon” is one indication that this is a smart marketing idea. When an agent has to call a buyer and tell them a property was “Sold Before Sent” the Buyers are often angry, frustrated and think the MLS doesn’t work. At the same time Sellers are hurt because their property does not get full exposure to the market. I think this is one easy change that could help alleviate this problem. I hope you and the MLS will consider this change. I would be happy to talk to you, or MLS Staff or the MLS Committee members about this.
Rising trend of “coming soon” signage & “pocket listings” is raising legal, ethical questions

If you drive around many residential neighborhoods in Ohio you may notice a relatively new marketing technique used by some brokerages: “Coming Soon” signs. The use of such signs has been questioned by cooperating REALTORS and their buyers who want to see a property that appears to be for sale, but are told it’s not ready to be shown, only to find out that the property is in contract a few days later.
Another practice that has raised eyebrows is the increase in what has been referred to as “pocket listings.” This is a slang term used to refer to listings that are held by the listing brokerage, not submitted to the Multiple Listing Service (MLS) or made available to cooperating REALTORS to show. In some cases the listing is held back for a portion of the listing term and in other cases for the entire length of the listing.
Are such practices legal? Are they ethical? In most situations they are. However in other situations such practices may not only run afoul of the National Association of REALTORS’ Code of Ethics and the MLS rules, they may also violate the license law and the fiduciary duties owed to a seller.
Let’s look first at the “Coming Soon” sign. Certainly there is no law that prohibits this type of signage and in many cases they are appropriate. The reasons why such signs are used can vary, but generally such signs are utilized by listing REALTORS and sellers who want to generate some “buzz” or interest in the listing by starting the marketing process although the property is not yet in a condition where it is ready to be shown. Such situations commonly include REO properties when repairs are still being made, investment property that is being renovated or homes where the seller still needs to do a lot of purging and cleaning before it is ready to be shown.
As to the appropriateness of marketing such properties, there are several factors that need to be considered. First, does the brokerage/agent placing the “Coming Soon” sign on the property actually have it listed? If it’s not listed, is it legal to place such a sign on the property?
Despite what most REALTORS believe, Ohio license law does not require a licensee to have a signed listing before advertising a property or placing a sign on it. Instead, all that is needed is the owner’s consent. Of course to establish that such consent was given, it is recommended that this be obtained in writing from the seller, however that consent does not have to be in the form of a listing.
REALTORS who advertise a property without benefit of a listing agreement also need to make sure they do not misrepresent to others that they have the property listed. When other agents or their buyer clients see the “Coming Soon” sign they may question whether the property is in fact listed. Certainly if asked this by other REALTORS, the REALTOR marketing the property cannot misrepresent that the property is listed if it is not. Doing so could be found to be a knowing misrepresentation that could subject the agent to disciplinary action by the Ohio Real Estate Commission.
In most cases, however, a REALTOR using a “Coming Soon” sign does have the property listed. If the brokerage is a participant in an MLS, the MLS rules require listings to be submitted to the MLS within a certain number of days or hours (three days or 72 hours is common). If the owner does not want his property submitted to the MLS or will not permit showings, the listing REALTOR must be sure to follow the MLS requirements to document the seller’s instructions. As these requirements can vary, it is crucial for listing agents to check their MLS rules and to comply with them.
As stated above, one of the most common complaints about “Coming Soon” signs is that the listing agent will not allow other REALTORS to show the property because it is not in “showing” condition, but will show the listing to his own buyers and may even write an offer for them. Other REALTORS and their buyers who were refused access to the property are understandably upset when they later see it in the MLS in a “pending” status or see a sold sign on the property.
Listing agents who represent to other REALTORS or buyers that the property is not available to be shown but show it to their own buyers could face both ethical and legal challenges. First, it may be alleged that the agent violated Standard of Practice 3-8 of the NAR Code of Ethics, which provides that “REALTORS shall not misrepresent the availability of access to show…a listed property.” Such a complaint would be handled through the Professional Standards process at the Local Board/Association of REALTORS.
A similar allegation could also be filed with the Ohio Division of Real Estate and Professional Licensing. And if it is proven that the listing agent lied about the availability of the property to be shown, the agent could possibly be disciplined by the Ohio Real Estate Commission for making a knowing misrepresentation or for misconduct.
The second trend that has occurred in the last year has been an increase in “pocket” listings. Also referred to as an “office exclusives,” these are listings that are not submitted to the MLS and the listing brokerage generally does not offer cooperat ion or compensation to other brokerages. Instead, all showings and negotiations are handled exclusively through the listing REALTOR. Such listings have historically been entered into in situations where the seller wishes to limit access to his property based on privacy or security concerns, and for this reason, only wants the listing agent to handle the sale.
Such listings are not a new phenomenon, but have they have gone from a rarity in the marketplace to something occurring more frequently, making some question if they are truly the result of an increase in security and privacy concerns or are instead motivated by the listing REALTOR’s desire to retain the entire commission.
While this type of listing isn’t illegal per se, potential ethical, legal, and MLS issues may be involved. First, Article 3 of the NAR Code of Ethics provides that “REALTORS shall cooperate with other brokers except when cooperation is not in the client’s best interest.” Standard of Practice 3-10 clarifies that “The duty to cooperate established in Article 3 relates to the obligation to share information on listed property, and to make property available to other brokers for showing to prospective purchasers/tenants when it is in the best interests of sellers/landlords.”
The basis for these provisions in the Code of Ethics is a belief that cooperation among REALTORS increases the exposure of a listing in the marketplace and that such broad exposure will not only expand the pool of potential buyers, but will also result in better offers for the seller. Thus, offering such cooperation to other REALTORS is presumed to be in the seller’s best interests. For this reason, listing REALTORS who do not offer such cooperation must be able to establish that they are acting in this seller’s best interests to avoid a violation of the Code of Ethics.
Beyond these ethical considerations, a REALTOR’s fiduciary duties also require him to act in the seller’s best interests. Of course the determination as to what is in the seller’s best interests ultimately lies with the seller. However it is important that the seller has all of the necessary information in order to make an informed decision about how the sale of his property will be handled. Thus, before a seller agrees to a pocket listing, a listing REALTOR should explain the expanded market exposure that is gained by placing a property in the MLS and the benefits of offering cooperation. Such an explanation will allow the seller to make an informed decision as to whether it is in his best interests to keep his property out of the MLS and to limit showings to those handled exclusively by the listing brokerage. By obtaining such informed consent, the listing REALTOR can avoid a potential civil claim by the seller that the reduced exposure of his property resulted in a lower sales price.
Finally, as with “Coming Soon” signage, REALTORS taking such pocket listings must also be sure to follow local MLS rules regarding submission of listings and to provide any necessary documentation to the MLS to establish that the listing is not being submitted per the seller’s instructions.
In conclusion, while both “Coming Soon” signs and pocket listing are not illegal, there are ethical and legal issues involved, as well as MLS rules that must be followed by REALTORS. And most importantly, when representing a property owner in the sale of their home, the client’s best interests must be a REALTOR’s primary focus.

Off-MLS Properties - MLS Q & A
Q. What does MLS expect of me if I have a Pocket Listing or Coming Soon property? MLS likes to refer to all properties not listed in the MLS as “Off-MLS” property. This covers listed, unlisted, withheld, pocket, coming soon. A.
1. If the property is not contractually listed, MLS has no involvement. There is no contract and therefore, will not be in the MLS. 2. If the property is contractually listed, the same rules apply as any other listing. Paperwork must be submitted to the MLS within 3 business days – preferably, the New Listing Validation Sheet. The paperwork must have the seller’s agreement that the listing will be withheld from the MLS.
Q. If it is not being entered in the MLS, why do we have to submit paperwork? A. NAR and Local policy mandates all listings (SF thru 4 Family) must be submitted to the MLS as a condition for participation in the MLS. It is one of many checks and balances to ensure the integrity of the MLS and MLS membership is maintained.
Section 12.1 of the Cincinnati MLS Rules and Regulations and Page 102 of the NAR Handbook. Q. If I have a pocket or coming soon property (contractually listed), but being withheld from the MLS, may I advertise in other mediums? A. The MLS cannot prohibit the listing broker from advertising the property in other mediums. However, it is highly recommended to acquire written permission from the seller. Includes, but is not limited to: Sign in the yard, Zillow, Trulia, Craigslist, Facebook. Q. If I have a pocket or coming soon property (NOT contractually listed), may I advertise in other mediums? A. Sounds crazy – right? The MLS cannot prohibit the listing broker from advertising the property in other mediums. However, it is highly recommended to acquire written permission from the seller. Includes, but is not limited to: Sign in the yard, Zillow, Trulia, Craigslist, Facebook. Note: I am not sure how this passes the License Law section 4735.18(A)(21) and NAR Code of Ethics. (21) Having published advertising, whether printed, radio, display, or of any other nature, which was misleading or inaccurate in any material particular, or in any way having misrepresented any properties, terms, values, policies, or services of the business conducted; NAR Code of Ethics – Article 12 REALTORS® shall be honest and truthful in their real estate communications and shall present a true picture in their advertising, marketing, and other representations. In marketing properties, REALTORS® use advertising to inform the public about listings and to induce interest in them. REALTORS® are obligated to present a “true picture” in their advertising and in all representations to the public. A “true picture” is truthful, accurate advertising, and nothing less.
Q. If I have a listing being withheld from the MLS and decide to enter it later, do I need to inform the MLS? A. Yes. The original paperwork had the seller’s agreement to have the listing withheld. The MLS needs paperwork indicating the sellers now agree to have it submitted – preferably, the same Validation sheet with the Witheld portion crossed out/initialed and the Granted portion checked/initialed. That assists us in tying the 2 activities together.
Q. If I enter the listing at a later date, what is the effective List Date (date of entry or date of the signed contract)? A. The date of the signed contract. Q. If I show a property that is not in the MLS, but is contractually listed, am I guaranteed commission? A. NO. MLS is the vehicle used for offering unconditional compensation with cooperating brokers. If it is not listed in the MLS, there is no standard offering of compensation. If you are involved in an Off-MLS transaction, you must get a signed compensation agreement between brokers. Q. If I sell an Off-MLS property, can I report the sale in MLS? A. Yes. The MLS encourages the reporting of the sale to gather the data for comps and market statistics.

Explanation of Terms
Agent ID - Each agent has a unique user ID per MLS and per office. Since it is possible for some agents to hold more than one agent ID, the ID is included for the purpose of distinction.
Publisher labeled "Organic" - an instance when the consumer was taken to the property page hosted by ListHub by a means other than one of the publishers, such as when the consumer searches for a specificproperty address in a search engine and is taken directly to the property page.
Click-Throughs (Visits) - occurs when a consumer is redirected from a publisher website to a property page chosen by the company.
Inquiries - an event where the consumer starts an email interaction with the broker or agent using a link on the website. This would result in the broker/agent receiving an email with a return email address for theconsumer. Includes the number of times a consumer clicked on "Click to view phone number" or called the listing broker or agents via a mobile app.
Listing Count - the number of active listings that each agent has on the date of the report or the number of active listings in a property category on the date of the report. The Listing Count may include properties thatare no longer active but were at some point active during the time period of the report.
Listing Inventory - the total active listings that are being pulled from the MLS each month.
Not Applicable - this indicates that the website does not include the feature that would generate metrics in this category. For example, some websites do not have a property detail page for each listing, and thereforethe reports would not display "views" for that site.
Not Provided - this indicates that the website does not provide this category of data for inclusion in the reports.
Performance Rank - unique algorithms determine the performance of listings within certain property categories as well as the performance of listings for each agent. This algorithm factors in the number of listings,the number of views, visits/click-throughs, and the number of inquiries.
Property Views - occurs when a consumer clicks on the thumbnail view of a property to view more details, while still on the publisher website.
- indicates that the traffic reported by the site includes traffic from mobile applications.
