2.Toyota has 90 days from the final execution of this Consent Judgment to accept or reject Art Allen as a qualifiedtransferee.

3.Butch Carter, as owner of the CG Group, LLC and dealer principal of Toyota of Bastrop, will tender Toyota ofBastrop’s motor vehicle dealer license in 90 days from final execution of this Consent Judgment, regardless of Toyota’sacceptance or rejection of Art Allen as a proposed qualified transferee.

4.Butch Carter and Toyota of Bastrop reserve and retain limited protest rights only as to whether Toyota unfairly orunreasonably rejected Art Allen as a qualified transferee. Specifically, Butch Carter and Toyota of Bastrop specifically waivethe right to protest or appeal the revocation of Toyota of Bastrop’s dealer license 90 days from the final execution of thisConsent Judgment.

5.The Commission shall dismiss Docket No. 2014-014 upon the revocation of Toyota of Bastrop’s license pursuantto the terms of this Consent Judgment, or upon Toyota of Bastrop’s tender of its dealer license, whichever comes first.

The Executive Director presented to the Commission Members the below attached Internet research regarding GilesAutomotive giving away cash to “Acadiana Local Heroes.” The Executive Director pointed out the cash giveawayis link to advertising of the Giles’ dealership names. A brief discussion ensued after the Commission Membersreviewed the attachment. Commissioner Duhon made a motion that Giles Automotive’s cash give away event wasnot to a non-profitable charity, 501C.3, and would be in violation of §735 of the Rules and Regulations.Commission Duhon continued the motion by adding the cash could be given to a 501C charity. CommissionerLeBlanc seconded this motion.

At this time, the Executive Director advised the Commission Members Commissioner Tarver had expressedconcerns regarding several advertising campaigns being utilized at this time. The Chairman opened the floor forCommissioner Tarver who brought up the issues regarding advertising of “supplier’s pricing” and manufacturer’sadvertisement on vehicle lease price, copies of examples of these types of advertising are below. CommissionerTarver stated he feels the advertising of “supplier’s price” is in violation of §757. Fleet Prices: A. Terms such as“fleet prices,” “fleet sales,” suppliers prices,” or other terms implying that retail individual customers will beafforded the same price and/or discount as multi-purchase commercial businesses shall not be used in advertising.the “invoice” from manufacturer. After a brief discussion, Commissioner Tarver made a motion to that advertisingwith “supplier’s pricing” is misleading and not in compliance with Louisiana Administrative Code Title 46. PartV. Subpart 1. Chapter 5. § 757 Fleet Prices. Commissioner LeBlanc seconded this motion. The motion passed.Commissioners Duhon, Guidry and Hargroder voted against the motion.

Commissioner Tarver the information below regarding an ad that was being aired on TV, explaining this was anexample of his complaint regarding the setting of a lease payment, which requires dealer participation. A discussionensued. During the discussion, questions arose as to whether or not §739 or §741 of the Rules and Regulationspertain to this matter or whether new rules would need to be promulgated. Commissioner Hicks made a motion totable this matter until such time as commission staff and counsel has researched this matter and report back to theCommission.

§739. Manufacturer and Distributor Rebates

A. It is unlawful for a manufacturer or distributor to advertise any offer of a rebate, refund, discount, or other financialinducement or incentive, which is either payable to or for the benefit of the purchaser or which reduces the amount to be paidfor the vehicle, whether the amount is the vehicle purchase price, the interest or finance charge expense, or any other costaccruing to the purchaser if any portion of such rebate, refund, discount, or other financial incentive or inducement is paid orfinanced or in any manner contributed to by the dealer selling the vehicle, unless the advertisement discloses that the dealer'scontribution may affect the final negotiated price of the vehicle. With respect to interest or finance charge expense programs,an advertisement shall disclose that participating dealers contribute to the reduction of the financing rate and that the dealer'scontribution may affect the final negotiated price of the vehicle.

§741. Rebate and Financing Rate Advertising by Dealers

A. It is unlawful for a dealer to advertise an offer of a manufacturer's or distributor's rebate, discount, or other financialinducement or incentive if the dealer contributes to the manufacturer's or distributor's program unless such advertisingdiscloses that the dealer's contribution may affect the final negotiated price of the vehicle. With respect to interest or financecharge expense programs, if a participating dealer contributes to the reduction of a financing rate, then a disclosure must statethat the dealer's contribution may affect the final negotiated price of the vehicle.

The Executive Director presented the commission with copies of the following legislative bills which if passedwould affect the Louisiana Motor Vehicle Law and/or be of interest to the Commission.

The Executive Director and Counselor McCranie advised the Commission Members Senate Bill No. 318 had beenamended in the House Commerce Committee and passed the House unanimously since previously reported at theMarch Commission meeting. In response to an inquiry Counselor McCranie reported the bill would have to go backto the Senate for concurrence.

WARRANTIES. Provides relative to the performance of warranty repairs. (8/1/14)

AN ACT

To amend and reenact R.S. 32:1261(A)(1)(t), relative to warranty repairs; to provide relative to unauthorized acts; to providefor exemptions; to provide for certain terms and conditions; and to provide for related matters.

Be it enacted by the Legislature of Louisiana:

Section 1. R.S. 32:1261(A)(1)(t) is hereby amended and reenacted to read as follows:

§1261. Unauthorized acts

A. It shall be a violation of this Chapter:

(1) For a manufacturer, a distributor, a wholesaler, distributor branch, factory branch, converter or officer, agent, or otherrepresentative thereof:

(t) To operate a satellite warranty and repair center, to authorize a person to perform warranty repairs who is not a motorvehicle dealer, or to authorize a motor vehicle dealer to operate a satellite warranty and repair center within the community orterritory of a same-line or make motor vehicle dealer. This Subparagraph shall not apply to recreational any of the following:

(I) Recreational product manufacturers.

(ii) Emergency service of a vehicle.

(iii) A fleet owner or governmental entity that is authorized to perform warranty repairs on vehicles with a grossvehicle weight rating of twelve thousand pounds or more owned by the fleet owner or governmental entity.

(aa) Those with a gross vehicle weight rating of twelve thousand pounds or more.

(bb) Those designed for the movement of property, freight, or goods in intrastate or interstate commerce.

(cc) Those designed for use in utility installation, maintenance, and repair.

(iv) The dealer that sold the motor vehicles listed in Item (iii) of this Subparagraph to the fleet owner orgovernmental entity may and a manufacturer that authorized the fleet owner or governmental entity to performwarranty repairs on the motor vehicles described in Item (iii) of this Subparagraph shall give notification of theauthorization to the dealer located in the same community or territory where the fleet owner or governmental entityintends to perform the authorized warranty repairs. The notification shall include the type of warranty repairsauthorized by the manufacturer.

(v) A fleet owner or governmental entity performing warranty repairs to the motor vehicles listed in Item (iii) of

this Subparagraph shall meet the same requirements for special tools, equipment, and technician certification thatare required of a franchise dealer that is authorized to make the same warranty repairs on the same makes and modelsof motor vehicles being repaired by a fleet owner or governmental entity.

(vi) A fleet owner or governmental entity authorized to perform warranty repairs to the motor vehicles listed inItem(iii) of this Subparagraph shall not make repairs to the internal drive train or the after-treatment exhaust systemof such motor vehicles.

(vii) For the purposes of Items (iii) through (vii) of this Subparagraph, "fleet owner or governmental entity" shallmean a person who or unit of government that owns or leases for its own use or a renting or leasing company thatrents to a third party ten or more of the motor vehicles listed in Item (iii) of this Subparagraph.

DIGESTGary Smith (SB 318)

Present law provides that it is a violation of law for a manufacturer, a distributor, a wholesaler, distributor branch, factorybranch, converter or officer, agent, or other representative thereof to operate a satellite warranty and repair center, to authorizea person to perform warranty repairs who is not a motor vehicle dealer, or to authorize a motor vehicle dealer to operate asatellite warranty and repair center within the community or territory of a same-line or make motor vehicle dealer. Present lawmakes an exemption for recreational product manufacturer.

Proposed law retains present law and adds two exemptions as follows:

(1) Emergency service of a vehicle.

(2) A fleet owner or governmental entity that is authorized to perform warranty repairs on vehicles with a gross vehicle weightrating of twelve thousand pounds or more owned by the fleet owner or governmental entity. Notification by the sellingdealer or the fleet owner or governmental entity to do so and the program information by manufacturer shall be givento such dealer located in the same community or territory of the fleet owner or governmental entity.

Proposed law defines "fleet owner or governmental entity" as a person or unit of government who owns or leases for its ownuse or a renting or leasing company who rents to a third party, 10 or more motor vehicles with a gross vehicle weight ratingof 12,000 lbs or more manufactured or sold by the manufacturer or distributor who authorizes the warranty repairs to beperformed.

Proposed law provides that warranty repairs that are subject to the provisions of law shall meet the same requirements forspecial tools and equipment required for the makes and models being repaired and technician certification as are required fora franchise dealer and shall not include repairs to the internal drive train or the after-treatment exhaust system.

Effective August 1, 2014.

Summary of Amendments Adopted by Senate

Committee Amendments Proposed by Senate Committee on Commerce, Consumer Protection, and International Affairs tothe original bill

1. Changes the exemption for vehicles from emergency service of motor vehicles with certain characteristics to emergencyservice of a vehicle.

2. Requires notification by the selling dealer or the fleet owner or governmental entity to do so and the program informationby manufacturer shall be given to such dealer located in the same community or territory of the fleet owner or governmentalentity.

3. Removes the provision that requires warranty repairs to meet the same requirements for facilities as are required for afranchise dealer.

4. Adds that warranty repairs shall meet the same requirements for special tools and equipment required for the makes andmodels being repaired as are required for a franchise dealer.

5. Limits the types of repairs that can be made on vehicles owned or leased by a fleet owner or governmental entity.

The Executive Director reported HB 945, which would have exempted certain persons who engage in the sale rolease of certain trailers from certain definitions in the law pertaining to motor vehicles and similar products had notmoved since last reported.

The Executive Director reported SB 139, which provides relative to marine products, and the definition andinclusion of “watercrafts”, was now Act 111 and would be effective August 1, 2014.

To amend and reenact R.S. 32:1252(71) and 1270.1(1)(k) and to enact R.S. 32:1252(72) and 1270(G), relative to marineproducts; to provide for definitions; to provide relative to unauthorized acts; to provide for exemptions; to provide for certainterms and conditions; and to provide for related matters.

Be it enacted by the Legislature of Louisiana:

Section 1. R.S. 32:1252(71) and 1270.1(1)(k) are hereby amended and reenacted and R.S. 32:1252(72) and 1270(G) arehereby enacted to read as follows:

§1252. Definitions

The following words, terms, and phrases, when used in this Chapter, shall have the meanings respectively ascribed to themin this Section, except where the context clearly indicates a different meaning:

(71) "Watercraft" means any contrivance used or designated for navigation on water, including but not limited to apersonal watercraft as defined in R.S. 34:855.2.

(72) "Wrecker" means any motor vehicle equipped with a boom or booms, winches, slings, tilt beds, or similar equipmentdesigned for towing or recovery of vehicles and other objects which cannot operate under their own power or for some reasonmust be transported by means of towing.

§1270. Establishment of new marine dealerships or relocations; protests; procedure

G. The provisions of this Section shall not apply when the marine products consist of a trolling motor, boat trailer orwatercraft trailer.

§1270.1. Unauthorized acts; marine products

It shall be a violation of this Part:

(1) For a manufacturer, a distributor, a wholesaler, distributor branch, or factory branch of marine products or any officer, agent,or other representative thereof:

(k) To fail to designate and provide to the commission in writing the community or territory assigned to a licensee. Theprovisions of this Subparagraph shall not apply when the marine products consist of a trolling motor, boat trailer orwatercraft trailer.

Present law provides for definitions.

Proposed law retains present law and adds the definition of "watercraft" to mean any contrivance used or designated fornavigation on water, including but not limited to a personal watercraft as defined by law.

Present law provides for the establishment of a new marine dealership.

Proposed law exempts from present law marine products consisting of trolling motors, or boat trailers or watercraft trailers.

Present law provides that it is a violation of law for a manufacturer, a distributor, a wholesaler, distributor branch, or factorybranch of marine products or any officer, agent, or other representative thereof to fail to designate and provide to thecommission in writing the community or territory assigned to a licensee.

Proposed law exempts from present law marine products consisting of trolling motors, or boat trailers or watercraft trailers.

Effective August 1, 2014.

AN ACT

To amend and reenact R.S. 32:1261(A)(1)(m) and 1270.20(1)(m) and to repeal R.S. 32:1270.1(1)(j) and 1270.11(1)(I), relativeto the Louisiana Motor Vehicle Commission; to provide relative to unauthorized acts of a manufacturer, a distributor, awholesaler, distributor branch, or factory branch of motor vehicles, marine products, motorcycles and all-terrain vehicles, andrecreational vehicles or any officer, agent or representative thereof; and to provide for related matters.

Be it enacted by the Legislature of Louisiana:

Section 1. R.S. 32:1261(A)(1)(m) and 1270.20(1)(m) are hereby amended and reenacted to read as follows:

§1261. Unauthorized acts

A. It shall be a violation of this Chapter:

(1) For a manufacturer, a distributor, a wholesaler, distributor branch, factory branch, converter or officer, agent, or otherrepresentative thereof:

(m) To fail to compensate its dealers for the work and services they are required to perform in connection with the dealer'sdelivery and preparation obligations according to the terms of compensation that shall be filed with the commission on or beforeOctober first of each year. The commission shall find the compensation to be reasonable or the manufacturer shall remedyany deficiencies.

§1270.20. Unauthorized acts; recreational vehicles

It shall be a violation of this Chapter:

(1) For a manufacturer, a distributor, a wholesaler, factory branch, or officer, agent, or other representative thereof:

(m) To fail to compensate its recreational vehicle dealers for the work and services they are required to perform in connectionwith the recreational vehicle dealer's delivery and preparation obligations according to the terms of compensation that shallbe filed with the commission on or before October first of each year. The commission shall find the compensation to bereasonable or the manufacturer shall remedy any deficiencies.

Section 2. R.S. 32:1270.1(1)(j) and 1270.11(1)(I) are hereby repealed.

Present law provides for the regulations of new cars, marine products, motorcycles and all-terrain vehicles and recreationalvehicles by the La. Motor Vehicle Commission (commission).

Present law provides that it is a violation for a manufacturer, a distributor, a wholesaler, distributor branch, or facility branchof new cars, marine products, motorcycles and all-terrain vehicles, recreational vehicles or any officer, agent, or representativethereof to fail to compensate its dealers for the work and services that are required to be performed in connection with thedealer's delivery and preparation of obligations according to the terms of compensation that shall be filed with the commissionon or before October first of each year. Proposed law repeals present law as it relates to marine products and motorcycles and all-terrain vehicles.

For violation of Count 4, that being, Motorcycle Acquisition and Investment Company, LLC DBA Big Easy Scooters sold and/oroffered to sell fifty-two (52) new Lance scooters and twenty-two (22) Pierspeed scooters since 2010 prior to being licensed asa franchised recreational product dealer by the Louisiana Motor Vehicle Commission to sell said scooters, in the amount of$3,700.00 [representing a fine of one-hundred dollars per scooter or $7,400.00 with $3,700.00 of the $7,400.00 suspended].

IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that Motorcycle Acquisition and Investment Company,LLC DBA Big Easy Scooters, 1134 St. Charles Avenue, New Orleans, Louisiana 70130, in addition to the fine assessed above,pay the cost of the pre-hearing conference to the Louisiana Motor Vehicle Commission in the amount of THREE HUNDRED($300.00) DOLLARS.
