NOTICE TO BIDDERS

The Palisades Park Conservancy seeks bids for a design/build restoration of Hamilton Point

Carraige road at Minnewaska State Park Preserve.

Sealed bids for Contract , Hamilton Point Carriage road Restoration Minnewaska State Park

Preserve, Town of Rochester and Gardiner, Ulster County, New York will be received by Palisades

Parks Conservancy. The Palisades Parks Conservancy Administration Building Bear Mountain, NY

10911 at the, Administration Building, Bear Mountain, New York until 2:00 P.M., E.D.S.T., on

Friday , June 28, 2013 when they will be publicly opened and read. Each bid must be prepared

and submitted in accordance with the Instructions to Bidders.

Funding for this project comes in part through an Environmental Protection Fund grant

administered by the New York State Office of Parks, Recreation and Historic Preservation (OPRHP).

Under Article 15A, Executive Law, the State of New York is committed to providing Minority and

Women Owned Business Enterprises (MWBE) equal opportunity to participate in government

contracts. The following goals have been set for this project: a total 20% of the grant value for MBE’s

and for WBE’s. All bidders will be required to furnish an Equal Employment Opportunity (EEO)

Policy Statement and a MWBE Utilization Plan with their bids. Should the bidder not satisfy the stated

goals, a Waiver Request Form must be submitted with the Utilization Plan.

The bidder may be required to be bound by Section 316 of the Executive Law which provides

for the resolution and arbitration of complaints and violations of these requirements.

This contract is subject Article 8 Prevailing Wage Act. Wage schedules for this project may be

Minnewaska State Park Preserve

Hamilton Point Carriage Road Restoration

With the desire to raise increased awareness of the Commission and its work to protect

open space and offer recreation and education programs as well as to improve our facilities,

the Palisades Parks Conservancy was created with the following mission: "This

corporation is established exclusively for charitable objectives to receive and maintain

funds and apply such funds for the improvement of and activities in the Palisades Interstate

Park Commission, and for the purposes of promoting and expanding the preservation of

natural, historical, and cultural resources in the Park for the benefit of the public."

The Palisades Park Conservancy seeks bids for a design/build restoration of 15,500 linear

feet of the deteriorated Hamilton Point carriage road at Minnewaska State Park Preserve.

Collaborations are acceptable and encouraged to ensure the appropriate skill set is retained.

Restoration and maintenance of the Minnewaska State Park Preserve carriage roads is an

important undertaking that will ensure the preservation of historic pieces of this country’s

heritage for future generations. The carriage roads offer patrons easy access to the majestic

scenery surrounding the lakes, steep ravines, and scenic lookouts. The intention of the

carriage roads was and still is to be both aesthetically pleasing and functional, while

providing a safe and comfortable journey to previously inaccessible and rugged terrain.

When possible, attention should be paid to traditional material selection and established

specifications with regard to road width, overhead clearance, drainage, etc. Original

practices of aesthetic forestry should guide vista-clearing, tree-cutting, plant removal and

other aspects of forest maintenance. Finally, utmost concern must be given to the

protection of habitats and the unique variety of plant and animal species in the park

preserve. Modern engineering principles and knowledge can be implemented during

design and construction so that the existing carriage roads maintain the look and feel of

century old technology and construction practices but in reality are made of contemporary

materials installed by with current machinery. Generalized designs and standards for

historic carriage roads in the Shawangunks have been developed by the Palisades Interstate

Park Commission and would be the basis of the work. Please review the attached

specifications.

1. Background

Minnewaska State Park Preserve is in the townships of Shawangunk, Rochester,

Wawarsing, Gardiner in Ulster County. Minnewaska State Park Preserve is located in the

Palisades Region which is administered jointly by the Palisades Interstate Park

Commission (PIPC) and the Office of Parks Recreation and Historic Preservation

(OPRHP). The purpose of this project is to restore 15,500 linear feet of Hamilton Point

Carriage road that provide access to trails and support stewardship activities. The Palisades

Park Conservancy proposes plans to restore the listed carriage roads, totaling 2.94 miles, to

provide for safe and attractive patron access to destinations and trailheads, and to support

emergency services and stewardship activities. The Palisades Park Conservancy proposes

hiring design/build contractors to restore the specified carriage road to historical standards

utilizing 21st century technology. These roads are necessary for providing pedestrian access

and linkages to other major trail systems and parks, emergency services, ecological

stewardship and fire management, and are integral to the enjoyment and protection of the

Park Preserve. This project will improve significantly washed out, rocky and uneven

carriage road surfaces and will make popular destinations at the Park Preserve more

accessible to hikers, bikers and equestrians of all ages and abilities.

The carriage roads at Minnewaska State Park Preserve were built in the early 20th

century

to facilitate enjoyment of the outdoors, and now serve as multi-purpose trails and are also

used for stewardship and fire management, patrolling, and search and rescue. Based on the

inventory of the roads at Minnewaska State Park Preserve and our analysis of needs, The

Palisades Park Conservancy proposes to hire contractors to restore the sections of road

which are the highest priority for restoration. The work would include repair of drainage

and culverts, reconstruction of roadbeds that have been eroded and reconstruction of road

surfaces.

2. Criteria For Selection

Selection will be based on cost. However, bidders must meet the following Qualifications:

Expertise working on historic carriage roads or other broken stone road construction

techniques. Two years minimum experience required.

Experience working in areas with sensitive ecological resources. Two years minimum

experience required.

Experience working in recreational settings. Two years minimum experience required.

3. Project Timeline

The project must be completed by the end of May 2014construction season. Detailed

scheduling of the project will be negotiated between the selected Consultant and The Palisades

Park Conservancy. The date for initiation of the contract as well as the overall contract

performance period will be negotiated based upon the tentative project timeline listed below:

Park Manager Eric Humphrey. Preregistration for site visit is required, please call 845-

255-0752 to register. Access to work site is limited, please limit the number of

company personnel. Prebid site visit is tentatively scheduled for Wednesday, June 19,

2013 at 10AM.

E. Methodology

The carriage roads at Minnewaska State Park Preserve are “broken stone roads” comprised

of two to three distinct layers of stone with largest forming the foundation of the road and

the finest at the surface. The foundation and base course materials are well defined for each

system, consisting of angular, locking stone of a specified size. Built between the 1870’s to

early 20th century, the roads have held up remarkably well over the years with minimal

maintenance required. However, the pace of deterioration is accelerating, endangering the

integrity of the roads, compromising recreational opportunities, safety, and threatening a

national historic resource.

All work is to be completed as detailed in the attached specification sheets

8. Construction and Repair Details Introduction

Figure 1 – Typical Carriage Road Reconstruction Cross Section Use this detail to construct a new carriage road section or to reconstruct an existing roadway typically rated with conditions 1 or 2. Carriage roads in need of new construction or reconstruction shall be done so according to Figure 1. All organic material including top soil, leaves, wood, and other debris shall be removed prior to placement of the roadway aggregate layers. Unwanted material removed during this process shall be transported to a suitable waste location in the event of future use. A preliminary drainage plan should be laid out in the field to determine the location of any proposed drainage ditches or culverts. Utilize the details in this section for each element of need identified. Please refer to Detail 1 in Appendix D.

Use this detail to resurface or rehabilitate a carriage road section typically rated with conditions 3 or 4. Remove all organic material including top soil, leaves, wood, and other debris prior to placement of the roadway aggregate layers. Unwanted material removed during this process shall be transported to a suitable waste location in the event of future use. The existing drainage plan should be evaluated in the field to determine if changes are warranted and if drainage issues are the cause of the need for resurfacing. Utilize the details in this section for each element of need identified.

Ledge rock may be encountered in isolated areas where the surfaced roadway may need to narrow slightly for a relatively short distance. In these areas it may not be warranted to remove or avoid the rock. Each location should be assessed on a case by case basis taking into consideration safety, drainage patterns, user comments, maintenance intervals, historic

implications, cost, and other factors. Please refer to Detail 2 in Appendix D.

Figure 3 – Typical Carriage Road Section on Ledge Rock Use this detail to construct carriage road section over ledge rock. Various sections of the roadway system cross and include ledge rock as an existing roadway surface. Since blasting and mechanical removal along large sections is not practical and often steep grades preclude the incorporation of a stabilized surface, many of these locations will likely remain as ledge rock locations. However, there are also areas that can be reasonably re-surfaced with the recommended carriage road crushed stone courses. Please refer to Detail 3 in Appendix D. Construction Notes:

Not recommended where grades exceed 5% (1’ vertical to 20’ horizontal) or where the ledge rock is worn smooth.

Conglomerate shot rock may be difficult to obtain to protect the edge of the roadway from erosion, so foundation course crusher run may be utilized.

Consider using soil and vegetation as shown in the detail on the ditch side if vegetation growth is sustainable.

It is important to provide a sufficient quantity of soil to hold moisture and moderate temperatures for most vegetation, if providing sufficient soil is not practical, then armor the roadway courses with 2” to 4” conglomerate stone or foundation course.

Be careful not to over-compact or over-vibrate since this will separate the fines from the stone and cause movement along the rock surface below. It is recommended that compaction only take place after all courses are installed.

Figure 4 – Roadway Wash-Out Repair Details Use this detail when dealing with problematic wash-out areas. Many carriage roads within the park are in need of re-grading, the addition of top course, or both top and middle courses. Application of different carriage road layers shall be completed as shown in this figure. A vibratory roller shall be used to compact the different layers of material placed on the carriage roads. Please refer to Detail 4 in Appendix D. Construction Notes:

make necessary adjustments to prevent further material erosion.

Placement of geo-grid shall precede placement of aggregate layers. Securely anchor geo-grid in place with soil staples.

After top course placement adjacent shoulders and side slopes shall be regarded to promote flow of runoff into ditches or onto side slopes promoting sheet flow

When seasonal runoff is directed towards the carriage road a few options are available. In lower flow areas, it will be effective to armor the existing edge of roadway and ditch and guide the runoff to an existing culvert. The ditch armoring will reduce the flow velocity all protect the roadway edge and ditch side slopes. In higher flow areas, the installation of a new culvert should be considered. Please refer to Detail 5 in Appendix D Construction Notes:

Place geotextile stabilization fabric and stone armoring along the existing ditch.

Install new cross-culvert, along the same flow path as the seasonal runoff channel when redirecting runoff is not practical.

Use native stone or similar whenever feasible.

Figures 6A and 6B – Stone Head Wall Repair and Bypass Dead End Section Use this detail when repairing stone headwalls or when energy dissipation and flow re-direction to a culvert will help reduce erosion in the ditch or roadside. As the road network becomes increasingly efficient in conveying storm water to the ditch lines, it will be important to address the higher flows with energy dissipation and the reduction of bypass flows that can develop into unexpected negative consequences. Stone headwalls are the preferred over any other type of headwall along the carriage road system and should be utilized and repaired whenever possible. When stone filling is needed as an apron the use of existing natural stone or conglomerate shot rock is preferred and in no case should traditional rip-rap be employed for use. During significant rain events storm water can bypass culvert headwalls that are constructed perpendicular to the drainage ditch they were designed to receive runoff from. Most of the culverts along the carriage road system are constructed in this manner as their intention was usually to intercept and convey runoff from the surrounding terrain under the roadway and to points beyond. The existing bypass locations can become severely eroded by just one storm event. These areas are easily identifiable as the erosion path will tell the tale. The “dead end” details on Figures 6A and 6B will provide the energy dissipation and redirection to significantly minimize this erosion and direct the higher flows to the intended culvert. Please refer to Details 6A and 6 B in Appendix D

Figure 7 – Pipe Culvert Installation (Non-Rock) Use this detail when installing a new pipe culvert or replacing an existing pipe culvert. New culvert installation shall be performed at various locations throughout the carriage road. Existing culvert pipes slated for removal and new installations shall be placed according to this detail. Excavate existing material, in the proposed culvert location, to form a trench with side slopes tapering out to reduce the possibility soil caving into the trench.

A minimum embedment depth to the top of the culvert pipe should be 1 foot (12”)

Install culvert pipe on a level bed of granular material such as top or middle course.

Backfill around the installed culvert pipe with excavated material no larger than 3 inches in diameter, discarding large rocks and other debris that may encourage voids and uneven compaction. Place and compact backfill in 6 inch lifts to facilitate proper compaction and reduce the possibility of settlement.

Restore pavement section according to Figure 1 or to match existing section if thicker.

Figure 8 and 8A – Install Cross Culvert where Excavation is not Practical Use this detail to construct a culvert in locations that cannot be excavated such as on ledge rock or where ledge rock is close to the surface. Conditions exist where a new cross culvert would be beneficial to reduce erosion and control storm water runoff. Since underlying conditions are not always known and rock will be encountered more often than not, this detail shows the construction of a culvert on existing ledge rock or in other areas where excavation is not practical. Since this design involves raising the roadway approximately 20” above the existing elevations it can consume a large quantity of materials. For this reason, it should be implemented after other more economical methods are considered. Please refer to Details 8 and 8A in Appendix D. Construction Notes:

Maintaining the six foot (6’) long flat approaches to the top slab (or stone) is important to the longevity of the culvert.

If a pipe is not installed within the culvert at this time, play it safe by making sure there is a minimum of 15” of clearance from side to side and top to bottom to add a pipe in the future if desired.

Block dimensions will vary slightly from supplier to supplier.

Be sure to purchase at least four (4) ½ size blocks so the joints can be staggered (running bond) between the two courses.

Concrete block can have either two (2) or three (3) open cores. The two core blocks, as shown in the detail, will use slightly more concrete (0.25 cubic feet per block) to fill than three-core blocks at 0.22 cubic feet per block.

For a 20’ long culvert, the following is a basic list of materials necessary to construct this structure. It is recommended that all material be transported to the potential sites prior to installation activities.

Figure 9 - Culvert Stone Details Use this detail to construct stone culverts in locations where natural materials are reasonably available. Prior to the existence of manufactured piping some culverts were constructed out of the material at hand, such as angled stones. A once common building solution can still be effective during today’s construction due its ability to blend into the natural environment and characteristics of the existing carriage roads. When constructed properly stone culverts can be as efficient and last as long as traditional manufactured culvert pipes. Implementation of stone culverts in lieu of corrugated metal and plastic pipes shall be at the discretion of the Park Managers and is considered a preferred method of historic preservation and aesthetics. Please refer to Detail 9 in Appendix D

Retaining walls are significant pieces of infrastructure along the Minnewaska carriage roads. As no two walls are the same, many walls are less than four feet in height and may only require minor repositioning of their elements, however, there are much taller walls that will require an in-depth evaluation and assessment. In either case, each wall should receive an evaluation on an individual basis by a Professional Engineer licensed to practice engineering in the State of New York prior to any attempt at rehabilitation or reconstruction.

Overhanging branches and vegetation can negatively affect the experience of park users when traveling along the carriage roads. Continuous inspection and maintenance of all carriage roads shall be completed so that unwanted vegetation remains in check. Please refer to Detail 12 in Appendix D. Construction Notes:

All vegetation shall be trimmed according to acceptable horticulture practices.

A 3 foot minimum lateral clear area shall be provided for adjacent to all carriage roads.

Chippings of removed wood can be placed onto trucks for stockpiling or deposited adjacent to the carriage roads.

It is recommended to remove fallen leaves from the shoulders, fore slopes, and ditch bottoms at the conclusion of each growing season. This is an important part of maintaining designed drainage flows and a reduction in culvert clogging.

Large trees slated for removal shall be inspected for possible resale to sawmills

9. General Procedures

Bridges Work proposed for a bridge should be designed and sealed by a licensed professional engineer. Construction or modification of bridges is to be designated by the Park Manager or Director. Repairs to bridges shall be made based on the guidance and recommendations of a NYS licensed professional engineer.

Shoulders Shoulder sloping should be directed away from the edges of carriage roads as depicted in the construction figures. High spots along the shoulders shall be removed so as to direct runoff to the ditch or side slope. Useful excavated material shall be stockpiled at convenient locations for future use.

Ditch / Swale Reshaping Drainage ditches and swales are to be reshaped in order to facilitate proper drainage. Sufficient depth shall be excavated to so that overtopping does not occur. Excavated material shall not be dumped adjacent to the carriage roads but removed and stockpiled at a convenient location for future use. See Figures for proper ditch section or match to existing ditch. Rock outcroppings and other debris within ditch and swale lines restrict or prohibit the flow of runoff. Removal of such items shall be accomplished so that the existing ditch section is maintained along each carriage roadway. Excavation of rock material shall be completed with machine mounted jack hammers or if desired and approved by licensed professionals using controlled explosives. The proposed ditch sections shall conform to those shown on the various Figures.

Armoring: Ditch fore slopes exposed to faster moving water with a history of erosion shall be protected with natural or conglomerate shot stone laid over a geotextile slope protection material (NYSDOT Item 207.23).

Materials The foundation and base course materials are well defined for each system, consisting of angular, locking stone of a specified sized range. The surfacing course is comprised of finer screened aggregates or crushed stone that can be spread and shaped. Locally quarried conglomerate mix was used for the foundation course and shale historically for surfacing. The shale offers a good initial surface when applied, but breaks down relatively quickly resulting in rutting, erosion and loss of surface material and road shape. Historically, the local sourcing of shale from quarry sites in proximity to the carriage roads made it an easily available and cost effective surfacing material, despite its durability limitations.

A. Surface Course To create a durable surface material that binds well and minimized migration of surface material a relationship of proper aggregate size and binding fines needs to be established. Testing and experience in other rehabilitated systems has determined that a mix consisting of the following gradations, in which the maximum aggregate size is ½” and up to 16% of the material are clay sized binding fines has proven to be durable and easily maintained.

Crushed Stone with the following gradation Sieve Designation Percent Passing 1/2" 100% 3/8” 90-100% No. 4 60-81% No. 8 44-60% No. 40 20-33% No. 200 10-16% Since local shale has historically been used on the road system and it is economically available, it may become necessary to add shale to the proposed top course mix even though the addition of shale will likely reduce the durability of the road surface. A maximum volume of 10% shale to 90% top course is preferable.

The surface course must be approved prior to installation B. Middle Course Mixes consisting of the following gradations shall be applied for the middlecourse. Crushed Stone with the following gradation Sieve Designation Percent Passing 1” 100% 1/2" 30 - 100% 1/4” 0-30% No. 10 0-15% No. 20 0-5% A more readily identifiable method to find the stone with the above gradation would be to assign a NYSDOT item number. This item number is recognizable to most stone quarries that supply products to NYSDOT projects. Quarries who supply aggregate to these types of projects have already been approved by the state to be acceptable suppliers.

Surfacing - Assessment Condition 4 to 5 Where the foundation course is stable and some surfacing material is in place, maintenance should be focused on periodic reshaping and/or replenishing the road surface to ensure that the road surface is stable and sheds water. (The road surface material should be durable and long lasting and allow for the periodic shaping described below.) This surface course should be a maximum of 2 ½” compacted depth with a minimum allowable thickness of 1 ½”.

b. Regrading and Resurfacing - Assessment Condition 3 to 4 In areas where the crown has been lost, and in areas of new/reconstruction, the existing/supplemented road base should be shaped to reflect the crown section prior to application of the new surface material. After shaping of the underlying material, grade stakes should be set every 50 feet to establish final centerline and edge of travel way grades. Uniform application of surfacing material is important to establishing a firm and durable carriage road. Experienced operators with 5 ton dump trucks can place material as noted above or a narrow road paver such as the Volvo PF410 (used for projects such as bikeways) can be used to apply the material to consistent thickness. The newly applied material should be shaped with a short (6’ max) grade blade adjusted for a one inch (1”) per foot crown or cross slope. The material is then hydrated using a water truck and rolled with a two ton (min.) vibratory roller as described above.

c. Reconstruction - Assessment Condition 1 to 2 For those sections of road in which the broken stone foundation has been exposed surface reconstruction will be required Reconstruction will employ the same material and operations as resurfacing, with attention paid to the condition and grade of the base material. The base (and if required, foundation) should be properly graded and compacted at the appropriate depth to receive the surface course, as detailed in Section III B-2.

Drainage System Management 1. Road Shape As noted above, a properly maintained crown or cross slope is essential to shedding water off the road surface.

2. Ditches Located outside the travel-way ditches serve to receive water from the road surface and the adjacent landscape and channel it to an outlet away from the road structure. Due to the narrowness of the roads, the Minnewaska carriage road system has little if no vegetated shoulder, the road often edge tapering directly to the ditch and/or embankment. Ditches should be maintained at a minimum depth of 12”, measured from the edge of the road to the bottom of the ditch. Ideally the bottom of the ditch should be below the elevation of the road base to enable the road foundation to drain. The side slopes of the ditch should not exceed 3:1 except in ledge cut or where site constraints such as large trees prevent proper shaping. It is desirable to maintain a trapezoidal (flat bottom) section

where ever possible to reduce the velocity of water flow. In all instances, ditches should be kept clear of all shrub and tree growth. An adjustable ditching bucket will allow proper shaping of side slopes 13and should be used wherever possible. A standard small excavating bucket can be used for tight locations with care taken to not sculpt vertical sides to the ditches. Maintaining a grass surface in the ditches will help control the rate of runoff, minimizing erosion and washout of road surfacing material. On account of the shaded conditions on most of the roads, and the desire to limit mowing, a shade tolerant (greater fescue content) conservation / erosion control mix should be used. In vegetating ditches, erosion control re-vegetation mats containing a natural mulch fiber matrix (such as North American Green S75) should be used to keep runoff from washing out seed and newly applied soil mix. This material can be used in ditches and on embankments where cut or fill slopes exceed 4:1. In locations where the ditches have gradients steeper than 5% and drain larger watersheds, runoff can scour channels in the ditch. This scouring action can promote the transport of sediments into bodies of water. In these instances, it is advisable to line the bottom of the ditch with angular stone material (shot stone) with a size range of 4 to 6 inches. Consideration should be given to the appearance and placement of the stone in the ditch. In areas where roadside ditches are inadequate to handle runoff from large areas and/or steeply sloping hillsides, crown ditches or mid slope swales may be installed to intercept run-off before it reaches the road side ditches. By reducing the volume and velocity of run-off before it reaches the roadside ditch and directing water to existing outlet structures, the potential of ditch and road embankment erosion may be significantly reduced.

Seeding and Plantings Grasses and plantings should be native species to the Catskill region in order to reduce or eliminate the possibility of introducing an invasive species. A natural seed mix can suffice as the mix of choice which can be purchased locally. However, for larger excavation and embankment areas an annual rye can be used to stabilize the soil while other plants seed in.

All seeds and plantings must be certified weed free and have specs approved prior to

installation.

Vegetation Management Vegetation defines and characterizes the majority of the carriage road experience. Management of the vegetative resources bordering the roads is essential to ensuring the enjoyment and viability of the road system. Clearing of vegetation for drainage, light, views, and firebreaks is an essential part of the carriage road maintenance regime.

1. Road Corridor a. Height - Maintain a minimum height of clear of obstructions of 12 feet, with 15 feet recommended. This will provide adequate room for movement of maintenance vehicles and not offer obstructions for winter activities under deep snow conditions. b. Width – A zone clear of shrub and tree growth would be maintained to the back of the ditch line with vegetation 4” Diameter Brest Height (DBH) or less thinned to approximately 20 feet from center line of road. This will aid in keeping vegetation from growing into and obscuring the ditch lines, undermining retaining walls and will allow more sunlight onto road surface. Removal of woody vegetation from adjacent to the ditch line will allow the ditch to be more easily kept clear of vegetation by seasonal mowing. In locations where steep embankments border the road, vegetation that is serving to stabilize the embankments should remain in place. Young (replacement) growth outside of the ditch line should be retained in these locations. intended experience of the landscape being revealed when moving through it. Selective removal of shrub masses will reduce this tunnel effect and by opening internal vistas along the road sight lines for safety will be improved. Removed material should be chipped and blown into the adjacent woods. Material too large to chip should be cut into workable sections and removed from site. Vegetation Removals After identifying and recording the vista locations and field of view, trees should be marked for clearing or pruning. Most all vistas within the system are from highpoints or elevated cut/fill road sections, looking over a downward sloping gradient. Trees have typically grown up from below and in from the sides narrowing the vistas to brief vegetative openings. As the carriage roads are experienced through movement, a more appropriate and attractive solution is to create a feathered or tapered opening in which vegetation is selectively and progressively removed or limbed within the field of view leading to the cleared primary vista point. This feathering will reveal the primary vista as it is approached and slowly close it moving away. Selective clearing within the field of view will help frame the vista, feature specimen trees and where appropriate, enhance the three dimensional aspects of the vista by retaining middle ground vegetation. Vegetation is thinned progressively to the vista point and specimen trees are featured to help frame the view.

Park Preserve management must approve the removal of unwanted vegetation near vistas by

contractors. The initial effort includes removal and pruning of trees growing on down sloping grades, for mid-ground and background vegetation, and maintenance / enhancement of low growing shrub layer (such as huckleberry) in foreground. a. Tree Removal – Trees growing on down sloping grades should be cut as close the ground as possible and logs cut into manageable sizes and removed. Slash should be chipped on site. b. Pruning – Selective limb pruning can be highly effective in framing views while retaining specimen vegetation. This is especially true of trees in the foreground (close the vista point) that can be limbed to allow views beneath a shading crown. Trees on the edges of the field of the view can be selectively pruned and/or thinned and to promote greater transparency. c. Foreground Vegetation Management– Removal or pruning of woody vegetation over 3 feet in height is necessary in the viewing area or foreground. Growth of low growing native grasses or vegetation such as huckleberry and sweet fern should be encouraged. The height should be maintained through biannual mowing or trimming. Along stretches of carriage road where continuous vistas are possible due to elevation and orientation of the road, selective clearing should be done periodically to open and maintain these long range views

Become familiar with restrictions and regulations relating to the Facility. Existing restrictions and regulations will not be considered as grounds for any additional cost over the Contract sum. Assume the risk of encountering any subsurface or other latent physical condition which can be reasonably anticipated on the basis of documentary information provided by the Office and from inspection and examination of the site. Interpretations of Contract Documents by Facility Personnel are not binding. RESOLUTION OF DISCREPANCIES AND AMBIGUITIES Direct all questions regarding the intent or meaning of the drawings or specifications to the contact person identified on the cover of the Contract Documents. Such an inquiry may be telephoned or submitted in writing. The reply to such an inquiry, when deemed necessary, will be communicated by Addendum to all persons who have obtained drawings and specifications. Pre-bid inquiries answered by means other than Addenda will not be binding. PREPARATION OF BIDS Bidders shall submit lump sum bids on the official form furnished by the Office. Make no changes of any kind in the bid form phraseology, or anywhere on the bid form. Fill in all blank spaces legibly and in ink. All amounts shall be given in full in both writing and also in figures. In case of a discrepancy between the amount written in words and that given in figures, the amount written in words is binding. Make no erasures on the bid form. If a mistake is made, use a new bid form. New forms may be obtained at the address shown on the Notice to Bidders. When the Contract Documents require alternate price quotations, indicate the amounts to be added to or deducted from the base bid. If the work is to be performed at no change in cost, indicate the word "NONE". Any bid which fails to indicate a sum or the word "NONE", will be held to be informal and may be rejected.

Sign the bid form in the space provided. An officer or a principal of a corporation or a partnership signing for the bidder shall print or type the legal name of the person, partnership or corporation on the line provided and place his or her signature after "SIGN BID HERE". The same procedure shall apply to the bid of a joint venture by two or more firms, except that the signature and title of an officer or a principal of each member firm of the joint venture shall be required. Note in the spaces provided on the bid form, the Addenda, by numbers and dates, which have been received. If no Addenda have been received, insert the word "NONE". ADDRESS OF PROSPECTIVE BIDDER Use street address in addition to a Post Office Box address (if any). SUBMISSION OF BID Submit Bid Form, if required in the Notice to Bidders, in a sealed envelope. MODIFICATION OF BID Bid modifications by amendment may be considered on condition that: 1. The amendment arrives before the time set for the bid opening. 2. The amendment is in writing and signed by the bidder. 3. The bid, as amended, conforms in all respects with the Contract Documents. WITHDRAWAL OF BID A bid may be withdrawn at any time prior to the time specified for opening. A bidder may after opening, request the withdrawal of the bid on the ground of mistake. Upon prompt written application, the Commissioner or the Commissioner's representative may conduct a hearing. A bid may be withdrawn if, before any detrimental change of position by the State has occurred, the bidder establishes that:

1. a verifiable error occurred in the computation of the bid, and 2. absent the mistake the bid would have been substantially higher, and 3. if directed to proceed with the Contract at the price set forth in the bid, the bidder would

suffer a substantial loss on the contract. Each element must be proven by clear and convincing evidence in order to justify withdrawal. The judgment of the Commissioner or the Commissioner's representative shall be final and conclusive. Should the judgment be against allowing withdrawal, then the failure of the Contractor to proceed would be cause for forfeiture of his bid bond. DISQUALIFICATION OF BIDDERS The Conservancy reserves the right to disqualify bids, before or after opening, upon evidence of collusion with intent to defraud or other illegal practices upon the part of the bidder. OPENING OF BIDS Bids will be opened as announced in the Notice to Bidders. Bidders or their authorized agents are invited to attend. AWARD OF CONTRACT The Contract may be awarded to the lowest responsible and reliable bidder as will best promote public interest. If alternates are included in the bidding documents, the Office reserves the right to accept or reject any or all alternates. The lowest bid will be determined by the sum of the base bid and the accepted alternates. If alternate base bids are indicated in the bidding documents, the low bid will be determined by the lowest amount bid for any of the alternate base bids. The Office reserves the right to reject any or all bids, and advertise for new bids, if in its opinion the best interest of the Office will hereby be promoted. In the event that all bids are rejected, each bidder will be so notified. No later than 45 days after the bid opening, the Office shall accept bids or reject all bids. Written notification of acceptance with the final Contract shall be mailed or delivered to the selected bidder. If the selected bidder fails to execute and return the Contract with the bidder's Performance and Labor and Material Bonds, if required in the Notice to Bidders, and Certificate of Insurance, within ten days of receipt of notification, the Office shall have the right to reject the bid and select another. In this case, the Bid Security of the first bidder shall be forfeit. INFORMALITIES Any bid which fails to conform to the requirements of the Bidding and Contract Documents may be rejected.

EQUAL EMPLOYMENT OPPORTUNITY If the value of this contract exceeds $25,000, no later than seven days after being notified of the award of the contract, the Bidder shall submit, an Equal Employment Opportunity Policy Statement on a form to be provided by the Office, as described in detail in Article 25 of the General Conditions. NYS OFFICE OF PARKS RECREATION AND HISTORIC PRESERVATION

MINORITY AND WOMEN’S BUSINESS REQUIREMENTS To Prospective Bidders: Consistent with New York State Office of Parks, Recreation and Historic Preservation (OPRHP) commitment, and in accordance with Article 15-A of the New York State Executive Law, contractors are required to ensure that good faith efforts are made to include meaningful participation by Minority and Women-Owned Businesses (MWBE) in the OPRHP construction program. The requirements apply to all “State” funded contracts. Funding for this project comes in part through an Environmental Protection Fund grant. The intent of the program is to encourage and assist in developing business relationships between Prime Contractors and M&WBE subcontractors and suppliers. Contractors must be diligent and creative in order to develop a Utilization Plan that complies with the program. By submission of this Utilization Plan, the Contractor commits to the value included in the plan for participation by Minority and Women-owned businesses. OPRHP will review the plan and notify the Contractor of any deficiencies contained in the plan. A copy of the Utilization Plan will be returned to the Contractor after acceptance. OPRHP may require the Contractor to provide documentation of the efforts made by a Contractor to develop this plan.

The Contractor, by bidding on this project acknowledges understanding and support of this

policy and pledges to fully cooperate with the Palisades Parks Conservancy in meeting State

requirements set forth in these bidding and contract documents.

Minority and Women Owned Business Enterprise (MWBEs) on this project the State has set the following goals for the participation of certified minority and women owned business:

For many projects, it is necessary to include the cooperation of principal subcontractors for a meaningful utilization plan. In the selection of principal subcontractors, the Prime Contractor should consider subcontractors who demonstrate efforts to assist with program requirements, Although responsibility for program compliance is with the Prime contractor, the Contract Documents require that all subcontractors also comply with the contract provisions. An inability to meet goals when subcontractor cooperation is not present does not excuse the Prime Contractor from the responsibility.

Firms must be certified by New York State as a Minority or Women-Owned Business to comply

with program requirements. Certified firms are included in a Directory of Certified Minority and Women-Owned Business Enterprises. This Directory is provided on the Internet and the address is: http://www.esd.ny.gov/MWBE.html. You may contact the Empire State Development Corporation at (518) 292-5250. Following are suggestions for good faith efforts that will be helpful for contractors both during and after the bidding period. activity. A letter of explanation and documentation of efforts shall accompany an M&WBE

Suggestions for Good Faith Efforts

1. Contractors should use up-to-date resources for identifying MWBEs. A

Directory of Certified Minority and Women Owned Business Enterprises is located on the Internet at http://nylovesmwbe.ny.gov/index.htm or contact the OPRHP’s Minority/Women’s Business Compliance Specialist at (518) 473-8993 for assistance concerning the directory.

2. Direct solicitation to MWBEs tends to be one of the more successful efforts.

This effort can open lines of communication with otherwise unfamiliar contractors, as well as expedite the plan processes.

3. Efforts should be made to make plans available to MWBEs as access to plans

and specifications is sometimes difficult for MWBE contractor who do not have membership in associations with plan rooms. Contact OPRHP should you need assistance.

4. Major trade subcontractors should be included in plan development, Goal

attainment is most successful when there is cooperation from major subcontractors to provide opportunities for MWBEs on portions of work they intent to subcontract or in the purchase of materials and equipment.

5. For major projects, the division of work may be too large for many small

subcontractors to handle. Contractors should be creative by providing, where practical, opportunities for smaller portions of work.

6. Contractors should recognize the difficulty some MWBEs may experience in

obtaining bonding. Contractors can be supportive by giving consideration to waiving or modifying bonding requirements through the scope of work.

7. All contractors are aware of the need for prompt payments. Contractors are

required to comply with prompt payment – section. Even so, this may present a hardship for MWBEs regular progress payments, assistance with supplier credit and other creative financing methods may be beneficial.

We hope these suggestions are helpful in optimizing the potential benefits from

your efforts. Please be sure to maintain records of efforts during plan

development. Such documentation may be required to support plan

GENERAL CONDITIONS ARTICLE 1 - THE CONTRACT DOCUMENTS 1.1 The Contract Documents consist of the Agreement, the General Conditions, the Supplementary Conditions, the Drawings and Specifications, Addenda issued prior to the receipt of bids and all subsequent modifications and changes issued pursuant to the General Conditions. 1.2 The Contract Documents form the Contract. The Contract represents the entire and integrated agreement between the parties and supersedes all prior negotiations, representations and agreements, either written or oral, including Bidding Documents. 1.3 The Contract may not be modified except in accordance with the General Conditions. 2.9 The term "Project" means Work at the same site carried out pursuant to one or more sets of Contract Documents. 2.10 The term "days" shall mean calendar days unless otherwise specified. 2.11 The term "site" means the area within the Contract Limit Lines, or adjacent areas designated in writing by the Director's Representative. 2.12 The term "physical completion" means the date upon which the Contractor and the Director's Representative agree that all deficiencies noted on the final inspection have been corrected and which is evidenced by the issuance of the Physical Completion Report. 2.13 The term "provide" means furnish and install, complete, in place and ready for operation and use. 2.14 The term "liquidated damages" means the total amount of money to be assessed against the Contractor for delay in completion of the Contract. The total amount of such damages shall not exceed the product of the amount per day stipulated in the Contract times the number of days delay in completion. 2.15 The term "designated payment office" shall be the contact person identified on the cover of the Contract Documents. ARTICLE 3 - INTERPRETATION OF CONTRACT DOCUMENTS 3.1 The Contract Documents are complementary, and what is called for by one shall be as binding as if called for by all. It is not intended to include work not properly inferable from the Contract Documents. 3.2 Upon his or her own initiative or the Contractor's written request, the Director's Representative may issue written interpretation or drawings necessary for the proper execution or progress of the work which interpretation shall be consistent with and reasonably inferable from the Contract Documents. 3.3 The language of the Contract Documents is directed at the Contractor unless specifically stated otherwise. 3.4 The organization of the Specifications into divisions, sections and articles, and the arrangement of Drawings shall not control the Contractor in dividing the Work among subcontractors or in establishing the extent of Work to be performed by any trade. ARTICLE 4 - SHOP DRAWINGS, PRODUCT DATA AND SAMPLES 4.1 Shop drawings are original drawings prepared by the Contractor or any subcontractor,

supplier or distributor which illustrate a portion of the Work, showing fabrication, layout, fitting or erection details. 4.2 Product data are manufacturer's catalog sheets, brochures, standard diagrams, illustrations, schedules, performance charts, test data, standard schematic drawings, specifications and installation instructions. 4.3 Samples are physical examples submitted by the Contractor of materials, equipment or workmanship to establish a standard which the Contractor is required to meet. 4.4 The Contractor and the Director shall adhere to the submittal and scheduling requirements for shop drawings, product data and samples set out in the Detailed Specifications. 4.5 The Contractor shall approve shop drawings, product data and samples before submitting them. 4.6 By approving and submitting shop drawings and samples, the Contractor represents that the Contractor has determined and verified all field measurements, field construction criteria, materials, catalog numbers and similar data and that he or she has checked and coordinated each shop drawing and sample with the requirements of the Contract Documents. 4.7 The Director's approval of shop drawings, product data and samples shall not relieve the Contractor of responsibility for any deviation from the requirements of the Contract Documents unless the Contractor has informed the Director of the deviation in a separate writing at the time of submission and received written approval of the specific deviations. The Director's approval shall not relieve the Contractor from responsibility for errors or omissions in the shop drawings, product data or samples. 4.8 No portion of the Work requiring shop drawings, product data or sample submission shall be commenced until the appropriate submission has been approved by the Director. 4.9 Any portions of the Work requiring shop drawings, product data and samples shall be installed in accordance with the approved shop drawings, product data and samples. ARTICLE 5 - MATERIALS AND LABOR 5.1 All materials, equipment and articles used permanently in the Work which become the property of the State shall be new unless specifically stated otherwise. 5.2 Whenever any product is specified by the name, trade name, make, model or catalog number of any manufacturer or supplier, the intent is not to limit competition, but to establish a standard of quality which the Director has determined is necessary. The words "or equal" shall be deemed inserted in each instance. The Contractor may use any product equal to that named in the Contract Documents which is approved by the Director and which meets the requirements of the Contract Documents provided the Contractor gives timely notice of his or her intent in accordance

with the submittal and scheduling requirements of the Detailed Specifications. 5.3 The Contractor shall have the burden of proving at the Contractor's own cost and expense to the satisfaction of the Director that the proposed product is equal to the named product. The Director may establish criteria for product approval. The Director shall determine in his or her absolute discretion whether a proposed product is to be approved. 5.4 If the Contractor fails to comply with the provisions of this Article, or if the Director determines that the proposed product is not equal to that named, the Contractor shall supply the product named. 5.5 The Contractor shall have and make no claim for the extension of time or for damages because the Director requires a reasonable period of time to consider a product proposed by the Contractor or because the Director disapproves such a product. 5.6 Where optional materials or methods are specified, or where "or equal" submissions are approved, the Contractor shall make all adjustments to contingent work necessary to accommodate the option he or she selects. 5.7 Royalties and patents: The Contractor shall pay all royalties and license fees. The Contractor shall defend all suits or claims for infringement of any patent rights and shall save the State harmless from loss on account thereof, except that the State shall be responsible for all such loss when a particular design, process or the product of a particular manufacturer or manufacturers is specified. 5.8 Domestic Steel: The Contractor agrees that, if the value of this Contract exceeds $100,000, all structural steel, reinforcing steel and other major steel items to be incorporated in the Work of this Contract shall be produced and made in whole or substantial part in the United States, its territories or possessions. ARTICLE 6 - CONTRACTOR'S SUPERVISION 6.1 The Contractor shall designate in writing a competent supervisor for the Work to represent the Contractor at the site at all times with authority to act for the Contractor. All directions given the Contractor's Representative shall be as binding as if given to the Contractor. 6.2 Should the Director deem any employee of the Contractor incompetent or negligent or for any cause unfit for his or her duty, the Contractor shall dismiss such employee and he or she shall not again be employed on the Work. ARTICLE 7 - PREVAILING WAGE RATE NOTIFICATIONS 7.1 In addition to any other provisions of this Contract in relation to prevailing wage rates, the Contractor shall be responsible for the certain notifications.

7.2 The Contractor shall post, in a location designated by the Office, a copy of the New York State Department of Labor schedules of prevailing wages and supplements for this Project, a copy of all re-determinations of such schedules for the Project, all other notices required by law to be posted at the Site, the Department of Labor notice that this Project is a public work project on which each worker is entitled to receive the prevailing wages and supplements for the occupation at which he or she is working, and all other notices which the Office directs the Contractor to post. The Contractor shall provide a surface for such notices which is satisfactory to the Office. The Contractor shall maintain such notices in a legible manner and shall replace any notice or schedule which is damaged, defaced, illegible or removed for any reason. The Contractor shall post such notices before commencing any Work on the Site and shall maintain such notices until all Work on the Site is complete. 7.3 The Contractor shall distribute to each worker for this Contract a notice, in a form provided by the Office, that this project is a public work project on which each worker is entitled to receive the prevailing wage and supplements for the occupation at which he or she is working. Worker includes employees of Contractor and all Subcontractors and all employees of suppliers entering the site. Such notice shall be distributed to each worker before he or she starts performing any work on this Contract. At the time of distribution, the Contractor shall have each worker sign a statement, in a form provided by the Office, certifying that the worker has received the notice required by this section, which signed statement shall be maintained with the payroll records required by section 24.1. ARTICLE 8 - USE OF PREMISES 8.1 If the premises are occupied, the Contractor, the Contractor's subcontractors and their employees shall comply with the regulations governing access to, operation of, and conduct while in or on the premises and shall perform the Work in such a manner as not to unreasonably interrupt or interfere with the conduct of business. 8.2 Any request received by the Contractor to change the Work or its sequence shall be referred to the Director's Representative for determination. 8.3 The Contractor, the Contractor's subcontractors and their employees shall not have access to or be admitted into any area of the premises outside the site except with the written permission of the Director's Representative. ARTICLE 9 - PERMITS AND COMPLIANCE 9.1 The Contractor shall obtain, maintain and pay for all permits and licenses legally required and shall give all notices, pay all fees and comply with all laws, rules and regulations applicable to the Work at no additional cost.

ARTICLE 10 - INSPECTION AND ACCEPTANCE 10.1 The Director's Representative will inspect and test the Work at reasonable times at the site, unless the Director determines to make an inspection or test at the place of production, manufacture or shipment. Such inspection or test shall be conclusive as to whether the material and workmanship inspected or tested conforms to the requirements of the Contract. Such inspection or test shall not relieve the Contractor of responsibility for damage to or loss of the material prior to acceptance, nor in any way affect the continuing rights of the Director to reject the completed Work. 10.2 The Contractor shall, without charge, promptly correct any Work the Director finds does not conform to the Contract Documents unless in the public interest the Director consents to accept such Work with an appropriate adjustment in the Contract price. The Contractor shall promptly remove rejected material from the premises. 10.3 If the Contractor does not promptly correct rejected Work including the work of other contractors destroyed or damaged by removal, replacement, or correction, the Director may (1) correct such Work and charge the cost thereof to the Contractor; or (2) terminate the Contract in accordance with Article 13 of General Conditions. 10.4 The Contractor shall furnish promptly, without additional charge, all facilities, labor and material reasonably needed to perform in a safe and convenient manner such inspection and test as the Director requires. 10.5 The Contractor shall keep the Director informed of the progress of the Work and particularly when the Contractor intends to cover Work not yet inspected or tested. All inspection and tests by the Director shall be performed in such manner as not to unreasonably delay the Work. The Contractor shall be charged with any additional cost of inspection when the work is not ready at the time specified by the Director for inspection. 10.6 Should the Director determine at any time before acceptance of the entire Work to examine Work already completed by removing, uncovering or testing the same, the Contractor shall, on request, promptly furnish all necessary facilities, labor and materials to conduct such inspection, examination or test. If such Work is found to be defective or nonconforming in any material respect, the Contractor shall defray all the expenses of such examination and satisfactory reconstruction. If the Work is found to meet the requirements of the Contract Documents, the Director shall compensate the Contractor for additional services involved in such examination and reconstruction and if completion of the Work has been delayed thereby, the Director shall, in addition, grant the Contractor a suitable extension of time. 10.7 No previous inspection or certificates of payment shall relieve the Contractor from the obligation to perform the Work in accordance with the Contract Documents. The final payment shall not relieve the Contractor of the responsibility for failing to comply with the Contract Documents. 10.8 The Contractor shall remedy all defects, paying the cost of any damage to other Work resulting therefrom, which shall appear within a period of one year from the date of physical completion.

ARTICLE 11 - ORDERS ON CONTRACT (CHANGE ORDERS) 11.1 The Office may make changes by altering, adding to or deducting from the Work, and adjusting the Contract price accordingly. All change Work shall be executed in conformity with the terms and conditions of the Contract Documents unless otherwise provided in the Order on Contract. Any change in the Contract sum or time for completion shall be adjusted prior to issuing the Order on Contract. 11.2 No written or oral instructions shall be construed as directing a change in the Work unless in the form of an Order on Contract signed by the Office and the Contractor. The Order on Contract shall describe or enumerate the Work to be performed and state the price to be added to or deducted from the Contract sum. If the extent or cost of the Work is not determinable until after the change Work is performed, the Order on Contract shall specify the method for determining the cost and extent of the changed Work when completed. If the Contractor disagrees as to any element of the Order on Contract, the Contractor shall indicate the disagreement in writing on the face of the Order on Contract and promptly proceed in accordance with the Order on Contract. 11.3 If the Contractor is directed to perform Work for which the Contractor believes he or she is entitled to an Order of Contract, the Contractor shall give the Director prompt written notice and await instructions before preceding to execute such Work. The Director may order the Contractor to execute the Work and proceed under the Disputes Clause. 11.4 The value of any Order on Contract shall be determined by one or more of the following methods: (a) By acceptance of prices negotiated or established based on estimated cost plus

overhead and profit as applicable. (b) By prices specifically named in the Specifications or Bid Form. (c) By acceptance of agreed unit prices based on estimated cost plus overhead and

profit as applicable. (d) By estimate of the actual cost of labor and materials plus overhead and profit, cost

to be determined as the work progresses. (e) By actual cost of labor and materials plus overhead and profit, cost to be

determined as the work progresses. (f) By estimate of the value as deducible from the approved detailed estimate. 11.5 Overhead shall be defined as an allowance to compensate for all costs, charges and expenses, direct or indirect, except for the actual cost of labor and material as defined by

paragraph 11.6. Overhead shall be considered to include, but not be limited to insurance (other than as mentioned in paragraph 11.6), bond or bonds, field and office supervisors and assistants above the level of foreman, use of small tools and minor equipment, incidental job burdens, general office expense, etc. 11.6 Actual cost of labor and material shall be defined as the amount paid for the following costs, to the extent determined reasonable and necessary: (a) Cost of materials delivered to the job site for incorporation into the Contract Work.

The value of any material removed and disposed of by the Contractor shall be a credit to the Office.

(b) Wages paid to workers and foremen and wage supplements paid to labor

organizations in accordance with current labor agreements. (c) Premiums or taxes paid by the Contractor for worker's compensation insurance,

unemployment insurance, FICA tax and other payroll taxes as required by law, net of actual and anticipated refunds and rebates.

(d) Sales taxes paid as required by law. (e) Allowance for use of construction equipment (exclusive of hand tools and minor

equipment), as approved for use by the Director's Representative. (i) Rented equipment will be paid for at the actual rental cost. (ii) Gasoline, oil and grease required for operation and maintenance will be

paid for at the actual cost. (iii) When, in the opinion of the Contractor, and as approved by the Director's

Representative, suitable equipment is not available on the site, the moving of said equipment to and from the site will be paid for at actual cost.

(iv) Self-owned equipment, including equipment rented from controlled or affiliated companies. The rate on self-owned equipment used for periods of under five days will be an hourly rate established by taking any published rate which is mutually acceptable to the Contractor and the Director's Representative and determining an hourly rate on the basis of 22 days per month and eight hours per day. Equipment used for periods of five days or more will be billed at a rate equal to 45% of the monthly rate. In the alternative, the Director's Representative may approve for reimbursement a rate representing the allocable costs of ownership.

11.7 Regardless of the method used to determine the value of any Order on Contract, the Contractor will be required to submit evidence satisfactory to the Director to substantiate each and every item that constitutes his or her proposal of the value of the change. The amounts allowed for overhead and profit shall not exceed the applicable percentages as established in the two following paragraphs.

11.8 If the work is done directly by the Contractor, overhead in an amount of 10% may be added if method (a), (c), (d) or (e) is used, and to the cost of the labor and materials plus overhead there may be added 10% for profit. The percentages for overhead and profit may vary according to the nature, extent and complexity of the Work involved, but in no case shall exceed the percentages set forth in this paragraph and in paragraph 11.9. No percentages for overhead and profit will be allowed on payroll taxes or on the premium portion of overhead pay. 11.9 If the Work is done by a subcontractor, subcontractor's overhead in the amount of 5% may be added to cost of labor and materials if method (a), (c), (d) or (e) is used and to the cost of labor and materials plus overhead there may be added 10% for the subcontractor's profit. To this amount there may be added 10% for the Contractor's combined overhead and profit. No percentage for overhead and profit will be allowed on payroll taxes or on the premium portion of overtime pay. However, to the extent that the aggregate dollar value of Orders on Contract exceeds $75,000, the 10% overhead applied to total costs of labor and materials incurred by the prime Contractor shall be reduced to 5%. In addition, on all individual Orders on Contract in excess of $75,000, the overhead shall be no more than 5% of the total actual cost of labor and materials incurred by the Contractor, and the combined Contractor's overhead and profit allowance applied to subcontract billings shall be no more than 5%. 11.10 The Director shall determine by which of the foregoing methods of value of any changes shall be computed. 11.11 In computing the value of an Order on Contract which involves additions and deductions of Work and the added Work exceeds the omitted Work, overhead and profit shall be computed on the amount by which the cost of additional labor and material exceeds the cost of the omitted labor and material, except no additional overhead and profit shall be allowed on value of work determined by method (b) or (f). 11.12 In computing the value of an Order on Contract which involves deductions and additions of Work and the omitted work exceeds the added Work, the Contractor will be allowed to retain the overhead and profit on the amount by which the omitted Work exceeds the added Work, except that no overhead and profit shall be retained on value of Work determined by method (b) or (f). 11.13 The Contractor may retain overhead and profit on an Order on Contract which involves deductions only, except that no overhead and profit shall be considered on value of Work determined by method (b) or (f). ARTICLE 12 - SITE CONDITIONS 12.1 Except as otherwise provided in this Agreement, the Contractor assumes responsibility for any loss or damage arising out of any unforeseen obstructions or difficulties that may be encountered during performance of the Contract, including damages caused or occasioned by relying on the records, reports or information furnished by the Office. If the Contractor encounters subsurface or other latent physical conditions at the site which differ substantially from those shown,

described or indicated in such information provided by the Office and which could not have been reasonably anticipated from that information and from the Contractor's own inspection and examination of the site, he or she shall give immediate written notice to the Director before any such condition is disturbed. The Director shall promptly investigate and, if he or she determines that the conditions substantially differ from those which should have been reasonably anticipated, shall make such changes in the Drawings and Specifications as may be required. If necessary, the Contract sum and completion date shall be adjusted to reflect any increase or decrease in the cost of, or time required for, performance of the Contract. ARTICLE 13 - SCHEDULING 13.1 The Contractor shall deliver to the Director in the detail and form and at the time the Director shall require it, information concerning the Contractor's operations and proposed operations upon the Project all in accordance with the Detailed Specifications. 13.2 During the term of this Agreement, the Director may require any Contractor to modify any schedule which the Contractor has submitted either before or after it is approved so that: (a) The Work or the project may be properly progressed. (b) Changes in the Work or the Work of other contractors are properly reflected in the

Contractor's schedules. ARTICLE 14 - TIME OF COMPLETION AND TERMINATION FOR CAUSE 14.1 All time limits stated in the Contract are of the essence of the Contract. 14.2 Termination for Cause. If in the judgment of the Director, the Contractor fails or refuses to prosecute the Work in accordance with the Contract, or is failing to complete the Work within the time provided by the Contract, the Director may terminate the Contract by written notice. In such event, the Director shall order the surety to complete the Work. If the surety fails or refuses to complete the Work, the Director may take over the Work and prosecute it to completion by contract publicly let or otherwise, and may take possession of and utilize in completing the Work, such of the Contractor's materials, equipment and plant as may be on the site of the Work. Whether or not the right to terminate is exercised, the Contractor and the surety shall be liable for any damage to the State resulting from the Contractor's failure or refusal to complete the Work in accordance with the Contract or his or her failure to complete the Work within the time provided by the Contract. 14.3 If the Director terminates the Contract, damages shall consist of liquidated damages, if any, until the Work is physically completed, plus any increased costs occasioned the Office in completing the Work. 14.4 If the Director does not terminate the Contract, the damages shall consist of liquidated damages, if any, until the Work is physically completed.

14.5 The Contract shall not be so terminated nor the Contractor charged with resulting damage if: (a) The delay in the completion of the Work arises from unforeseeable causes beyond

the control and without the fault or negligence of the Contractor including, but not restricted to, acts of God, acts of the public enemy, acts of State in either its sovereign or contractual capacity, acts of another Contractor in the performance of a contract with the Office, fires, floods, epidemics, quarantine restrictions, strikes, freight embargoes, unusually severe weather, or delays of subcontractors or suppliers arising from unforeseeable causes beyond the control and without the fault or negligence of both the Contractor and such subcontractors or suppliers; and

(b) The Contractor shall notify the Director in writing of the causes of delay within ten

days from when the Contractor knew or ought to have known of any such delay. 14.6 The Director will ascertain the facts and the extent of the delay and extend the time for completing the Work when, in the Director's judgment, the findings of fact justify such an extension, and his or her findings of fact shall be final and conclusive on the parties, subject only to appeal as provided in these General Conditions. 14.7 If after notice of termination of the Contract, it is determined for any reason that the Contractor was not in default or that the delay was excusable, the rights and obligations of the parties shall be the same as if the notice of termination had been issued pursuant to the termination for convenience clause. 14.8 The rights and remedies of the Office provided in this clause are in addition to any other rights and remedies provided by law or under this Contract, provided that damages for delay incurred by the Contractor shall be as specified in paragraphs 14.3 and 14.4. 14.9 The Office reserves the right to terminate this contract in the event it is found that the certification filed by the Contractor in accordance with New York State Finance Law § 139-k was intentionally false or intentionally incomplete. Upon such finding, the Office may exercise its termination right by providing written notification to the Contractor in accordance with the written notification terms of this contract. ARTICLE 15 - TERMINATION OF CONTRACTOR'S EMPLOYMENT FOR THE CONVENIENCE OF THE STATE OF NEW YORK. 15.1 The Director may terminate this Contract whenever in the Director's judgment the public interest so requires by delivering to the Contractor a notice of termination specifying the extent to which performance of Work under the Contract is terminated and the date upon which such termination becomes effective. Upon receipt of the notice of termination, the Contractor shall act promptly to minimize the expenses resulting from such termination. The Office shall pay the Contractor the sum of:

(a) The costs actually incurred up to the effective date of such termination, (b) The cost of settling and paying claims arising out of the termination of Work under

subcontracts or orders exclusive of the amounts paid or payable on account of supplies or materials delivered or services furnished by the subcontractor prior to the effective date of the Notice of Termination of Work under this Contract, which amounts shall be included in the cost on account of which payment is made under (a) above, and

(c) The rate of profit and overhead on (a) and (b) as prescribed by this Contract for

Orders on Contract provided, however, that if it appears that the Contractor would have sustained a loss on the entire Contract had it been completed, no profit shall be included or allowed under this subparagraph and an appropriate adjustment shall be made reducing the amount of the settlement to reflect the indicated rate of loss.

15.2 In no event shall the Contractor's compensation exceed the total Contract amount. 15.3 The detailed estimate or amount of progress payments made to the Contractor prior to the day termination was effective shall not be conclusive evidence of costs incurred, but progress payments shall be offset against any payment which the Office makes to the Contractor as a result of such termination. ARTICLE 16 - SUSPENSION OF WORK 16.1 The Director may order the Contractor in writing to suspend, delay, or interrupt performance of all or any part of the Work for a reasonable period of time as the Director, in his or her sole discretion, may determine. The order shall contain the reason or reasons for issuance which may include but shall not be limited to the following: latent field conditions, substantial program revisions, civil unrest, acts of God. 16.2 Upon receipt of a suspension order, the Contractor shall, as soon as practicable, cease performance of the Work as ordered and take immediate affirmative measures to protect such Work from loss or damage. 16.3 The Contractor specifically agrees that a suspension, interruption or delay of the performance of the Work pursuant to this Article shall not increase the cost of performance of the Work of this contract. 16.4 A suspension order issued by the Director pursuant to this Article shall have a duration not to exceed 30 calendar days. If the Contractor is not directed to resume performance of the Work affected by said suspension order prior to the expiration of 30 calendar days, the Contract shall be automatically terminated for the convenience of the Office and the Contractor shall be reimbursed as provided by Article 14.

ARTICLE 17 - DISPUTES 17.1 The Contractor specifically agrees to submit, in the first instance, any dispute relating to the performance of this Contract to the Director, who shall reduce his or her decision to writing and furnish a copy thereof to the Contractor. The Contractor must request such decision in writing no more than 15 days after he or she knew or ought to have known of the facts which are the basis of the dispute. The decision of the Director shall be final and conclusive unless within 20 days from the date of receipt of such copy the Contractor serves upon the Commissioner a written appeal. Upon appeal, the decision of the Commissioner, or his or her duly authorized representative, shall be final and conclusive unless the decision is fraudulent or capricious or arbitrary or so grossly erroneous as necessarily to imply bad faith or is not supported by substantial evidence. In connection with any appeal proceeding under this clause, the Contractor shall be afforded an opportunity to be heard and to offer evidence in support of his appeal. Pending final determination of a dispute hereunder, the Contractor shall proceed diligently with the performance of the contract in accordance with the Director's decision. Nothing in this Contract shall be construed as making final the decision of any administrative official upon a question of law. ARTICLE 18 - SUBCONTRACTORS 18.1 Before any part of the Contract shall be sublet, the Contractor shall submit to the Director in writing the name of each proposed subcontractor and supplier and obtain the Director's written consent to such subcontractor and supplier. The names shall be submitted in ample time to permit acceptance or rejection of each proposed subcontractor by the Director without causing delay in the work of the Project. 18.2 All subcontractors having a subcontract whose value exceeds $10,000 are required to submit to the Office a duly executed New York State Uniform Contracting Questionnaire as an aid in determining such subcontractor's responsibility and reliability for award of the subcontract. If the subcontractor has submitted a Uniform Questionnaire to the Office within 12 months of the award of the contract, a new Questionnaire need not be submitted as long as the information on the previous one remains unchanged and accurate. In this case the subcontractor shall submit an Affidavit of No Change. If the subcontractor has submitted a Uniform Questionnaire to another State agency within the last 12 months, it may submit a certified copy of that form to the Office along with an Affidavit of No Change. 18.3 The Contractor's use of subcontractors shall not diminish the Contractor's obligations to complete the work in accordance with the Contract. Each Contractor shall control and coordinate the work of his or her subcontractors. 18.4 The Contractor shall be responsible for informing the subcontractors of all the terms, conditions and requirements of the Contract Documents including, but not limited to the General Conditions and the Detailed Specifications.

ARTICLE 19 - COORDINATION OF SEPARATE CONTRACTS 19.1 The Office may award other contracts related to the work. In that event, the Contractor shall coordinate his or her Work with the work of other contractors in such manner as the Office may direct. All contractors shall exchange working drawings and examine them and report any interferences or objections to the Director, in order to avoid delays. Each contractor shall control and coordinate the work of his or her subcontractors, if any. The Office shall approve or require the modification of the work schedules of all contractors to the end that the Project may be progressed as expeditiously as the case permits. 19.2 If any part of the Work depends for proper execution or results upon the work of any other contractor, the Contractor shall inspect and promptly report in writing to the Director's Representative any defects in such work. The failure to inspect and report shall constitute an acceptance of the other contractor's work as fit and proper for the reception of the Contractor's Work. 19.3 The Director's Representative shall issue appropriate directions and take such other measures to coordinate and progress the Work as may be reserved to the Office in the Contract, and which an ordinarily reasonable project owner in similar circumstances would be expected to take. However, the Office shall not be liable for mere errors in judgment as to the best course of action to adopt among the alternatives available in any given instance. 19.4 The award of more than one contract for the Project requires sequential or otherwise interrelated contractor operations, and will involve inherent delays in the progress of any individual contractor's work. Accordingly, the Office cannot guarantee the unimpeded operations of any contractor. The Contractor acknowledges these conditions, and understands that he or she shall bear the risk of all ordinary delays caused by the presence or operations of other contractors engaged upon the project, and ordinary delays attendant upon any Office approved construction schedule. Should a contractor sustain damage through any act or omission of any other contractor, the contractor shall have no claim against the Office. 19.5 The Office shall not be liable for ordinary delays in any case nor for extraordinary delays which occur by reason of any contractor's failure to comply with directions of the Office or because of the neglect, failure or inability of any contractor to perform his or her work efficiently. 19.6 Any claim for extraordinary delay caused by an allegedly unreasonable or arbitrary act, or failure to act, by the Director in the exercise of his or her responsibility for supervision and coordination of the Work, shall be waived, released and discharged unless the Contractor whose work is impeded or delayed thereby, shall give notice in writing to the Director as promptly as possible and in sufficient time to permit the Director to investigate appropriate instructions. 19.7 The neglect or refusal of a Contractor to comply with supervisory directions issued by the Director's Representative pursuant to his or her responsibility for supervision of the Work shall constitute a failure to progress the work diligently in accordance with the Contract requirements and shall justify withholding payments otherwise due, or termination of the Contract. 19.8 The Contractor shall indemnify the Office for damages recovered against the Office by

another contractor to the extent that any such claim or judgment is the proximate result of the Contractor's failure to progress the work in accordance with Contract requirements. ARTICLE 20 - RESPONSIBILITY FOR DAMAGE 20.1 The Contractor shall faithfully perform and complete all of the work required by the Contract, and has full responsibility for the following risks: (a) Loss or damage, direct or indirect; to the Work including the building or structure in

which the Work is being performed, or any other construction in progress, whether being performed by any other contractor or by the Office, or to any plant, equipment, tools, materials or property furnished, used, installed, or received by the Director under this Contract or any other contract. The Contractor shall bear all such risk of loss or damage, until all of the Work covered by the Contract has been finally accepted. In the event of such loss or damage, the Contractor shall forthwith repair, replace, and make good any such loss or damage without additional costs.

(b) Injury to persons (including death resulting therefrom), or damage to property

caused by an occurrence arising out of the performance of this Contract for which the Contractor may be legally liable under the laws of torts.

20.2 The Contractor, however, shall not be responsible for damages resulting from faulty design or from willful acts of Office officials or employees or from negligence resulting solely from acts or omissions of the Office. Nothing herein shall vest in third parties any right of action beyond such as may legally exist irrespective of this Article. 20.3 The Contractor shall indemnify and save harmless the State of New York and the Office from suits, actions, damages and costs of every name and description relating to the performance of this Contract during its prosecution and until the acceptance thereof, and the Office may retain such monies from the amount due the Contractor as may be necessary to satisfy any claim for damages recovered against the State. The Contractor's obligations under this paragraph shall not be deemed waived by the failure of the Office to retain the whole or any part of such monies due the Contractor, nor shall such obligation be deemed limited or discharged by the enumeration or procurement of any insurance for liability for damages imposed by law upon the Contractor, subcontractor or the State. 20.4 The Contractor agrees to make no claim for damages in the performance of the Contract occasioned by any act or omission to act of the Office or its representatives, and agrees that any such claim shall be fully compensated for by an extension of time to complete performance of the Work as provided herein. ARTICLE 21 - INSURANCE 21.1 General Requirements.

(a) All insurance policies required under this Contract shall be issued by insurance companies authorized to conduct business under the laws of the State of New York, shall be written for the benefit of the State of New York and for the Contractor as their interests may appear, and shall run until all work required by the Contract has been accepted. Policies expiring on a fixed date before final acceptance must be renewed not less than 30 days before such expiration date. No policy shall be changed by endorsement without the knowledge and consent of the Director's Representative, and, in particular, any notice of cancellation by the insurer shall not be effective until 30 days after the said notice is actually received by the Director's Representative. Any notice shall be addressed to the Director's Representative and shall be mailed via certified or registered mail.

(b) Before commencing the Work, the Contractor shall furnish to the Director's

Representative a certificate or certificates of insurance on forms provided by the Office showing that the Contractor has complied with this clause, which certificate or certificates shall provide that the policies shall not be changed or cancelled until thirty (30) days written notice has been given to the Director's Representative. In addition, for policies expiring on a fixed date before final acceptance, certificates of insurance showing their renewal must be filed not less than 30 days before such expiration date.

21.2 Liability Insurance. (a) The Contractor shall procure insurance for liability for damages imposed by law, of

kinds and in amounts satisfactory to the Office, covering all operations under the Contract whether performed by the Contractor or by subcontractors.

(b) Unless otherwise specifically provided for in the Detailed Specifications the

amounts of such insurance shall be no less than $1,000,000 combined (bodily injury and property damage) single limit per occurrence and $2,000,000 combined in the aggregate.

(c) Coverage shall include the following: (i) Contractor's Liability Insurance (including contractual liability) and

Contractor's Protective Liability issued to protect the Contractor from any suits, actions, damages and costs of every name and description, with respect to all Work performed by the Contractor and his or her subcontractors under the agreement;

(ii) Owners Protective Liability Insurance issued to protect The People of the

State of New York and the Office of Parks, Recreation and Historic Preservation and their officers and employees, with respect to all operations under the agreement by the Contractor or by his or her subcontractors, including omissions and supervisory acts of the Office; and

(iii) Completed Operations/Products Liability Insurance covering liability for damages arising between the date of final cessation of the Work and the date of final acceptance of the Work by The Office.

21.3 Builder's Risk Insurance. (a) Unless otherwise provided for in the Detailed Specifications the Contractor shall

maintain builder's risk insurance for the completed value of the contract on the All Risk Form.

(b) In case the Office shall occupy all or any part of any building or buildings included in

the Contract prior to the issuance of the final certificate, the Contractor shall notify the fire insurance company or companies. Such occupancy by the Office shall not require consent of the insurer nor shall the insurer require any rate adjustment as a result of such occupancy.

21.4 Worker's Compensation. The Contractor shall provide and maintain Worker's Compensation insurance as specified in Appendix A. ARTICLE 22 - OCCUPANCY PRIOR TO COMPLETION AND ACCEPTANCE 22.1 The Office shall have the right to take possession of or use any completed or partially completed part of the Work. Such possession or use shall not be deemed an acceptance of any Work not completed in accordance with the Contract. While the Office is in such possession, the Contractor, notwithstanding the provisions of the clause of this contract entitled "Responsibility For Damage" shall be relieved of the responsibility for loss or damage to the Work other than that resulting from the Contractor's fault or negligence. If such prior possession or use by the Office delays the progress of the Work or causes add expense to Contractor, adjustment in the Contract price or the time of completion will be made and the Contract shall be modified in writing accordingly. ARTICLE 23 - PAYMENT 23.1 The Contractor shall submit monthly, or at more frequent intervals if permitted in writing by the Director, a requisition for a progress payment for Work performed and materials furnished to the date of the requisition, less any amount previously paid to the Contractor. Except as otherwise provided by this Contract, the Director shall approve and pay the requisition for the progress payment less an amount necessary to satisfy any claims, liens or judgments against the Contractor which have not been suitably discharged and less any amount authorized by law to be retained. The requisition shall be in such form and supported by such evidence as the Director may reasonably require. 23.2 All requisitions for payments shall be submitted to the designated payment office (see paragraph 2.15 of the Contract Documents). The designated payment office shall notify the Contractor of any defect in any requisition within twenty days of the receipt of such requisition and

shall complete the review and audit of each complete requisition within forty-five days of receipt thereof. 23.3 The Director may refuse to approve the requisition or a portion of it if in the Director's judgment the Contractor is failing or refusing to prosecute the Work in accordance with the Contract. 23.4 Payment will be made for approved materials not yet incorporated in the Work in accordance with the Detailed Estimate. Requisitions which require payment for materials shall be accompanied by a notarized statement certifying that the materials for which payment is requisitioned are the Contractor's property and have been suitably stored and insured. The Contractor shall have full continuing responsibility to insure and protect such materials and maintain them in proper condition to fulfill Contract requirements when installed. 23.5 When the Work is substantially completed, the Contractor shall submit to the Director a requisition for payment of the remaining amount of the Contract balance. Upon receipt of such requisition the Director shall, except as otherwise provided by this Contract, approve and pay the remaining amount of the Contract balance less two times the value of any remaining items to be completed and an amount necessary to satisfy any claims, liens or judgments against the Contractor which have not been suitably discharged. As the remaining items of Work are satisfactorily completed or corrected, the Director shall pay, upon receipt of a requisition, for these remaining items less an mount necessary to satisfy any claims, liens or judgments against the Contractor which have not been suitably discharged. 23.6 The final certificate will not be issued until all the labor and material required by the Contract has been furnished and completed, all disputes relating to the performance of the Contract considered and disposed of and all accounts for extra work and materials and allowances for omissions have been rendered and considered. 23.7 The final certificate will constitute the acceptance of the Work by the Office except as to Work thereafter found to be defective. The date of such certificate shall be regarded as the date of acceptance of the Work. 23.8 No payment will be made to a foreign Contractor until the Contractor furnishes satisfactory proof that he or she has paid all taxes required of foreign Contractors under the provisions of the Tax Law. A foreign Contractor as used in this paragraph shall mean a Contractor denominated "foreign" by the Tax Law. 23.9 The acceptance by the Contractor, or by anyone claiming by or through him or her, of the final payment shall constitute and operate as a release to the State from any and all claims of any liability to the Contractor for anything theretofore done or furnished for or relating to or arising out of the work done thereunder, and for any prior act, neglect, or default on the part of the State or any of its officers, agents, or employees unless the Contractor serves a detailed and verified statement of claim upon the Office not later than 40 days after the mailing of such final payment. Such statement shall specify the items and details upon which the claim will be based and any such claim shall be limited to such items. Should the Contractor refuse to accept the final payment as tendered by the Comptroller, it shall constitute a waiver of any right to interest thereon.

ARTICLE 24-AUDITS AND RECORDS 24.1 The Contractor shall maintain on the site the original certified payrolls or certified transcripts thereof, subscribed and affirmed by the Contractor as true under the penalties of perjury, showing the hours and days worked by each worker, laborer or mechanic, the occupation at which he or she worked, the hourly wage rate paid and the supplements paid or provided. The Contractor shall maintain with the payrolls or transcripts thereof, the statements signed by each worker pursuant to section 7.3 of the General Conditions. 24.2 The Director, the Comptroller and their representatives who are employees of the State of New York shall have the right to examine all books, records, documents, and other data of the Contractor, subcontractors, materialmen or suppliers relating to the bidding, pricing or performance of this Contract or any change or modification thereto for the purpose of evaluating the accuracy, completeness, and currency of the cost or pricing data submitted. This right of examination shall extend to all documents necessary to permit adequate evaluation of the cost or pricing data submitted along with the computations and projections used therein. 24.3 The above materials shall be made available at the office of the Contractor, subcontractors, materialmen or suppliers at all reasonable times for inspection, audit or reproduction until the expiration of three years from the date of the final certificate for the Contract. 24.4 If this Contract is completely or partially terminated, the records relating to the Work terminated shall be made available for a period of three years from the date of any resulting final settlement. 24.5 Records which relate to the Disputes Clause of this Contract or litigation or the settlement of claims arising out of the performance of this Contract shall be made available until the disposal of such appeals, litigation or claims. 24.6 The Contractor shall insert a clause containing all of the provisions of paragraphs 24.1 to 24.4 inclusive in all subcontracts or purchase orders issued hereunder. 24.7 The Contractor shall make available to the Director, upon written request, all records required to be kept by Article 3-A of the Lien Law. The failure to provide said records upon the receipt of the written request shall bar any recovery for claimed extra or additional costs under this Contract. ARTICLE 25 - EQUAL EMPLOYMENT OPPORTUNITY - The following provisions apply to the contract if its value exceeds $25,000. 25.1 The Contractor and its subcontractors shall undertake or continue existing programs of affirmative action to ensure that minority group members and women are afforded equal employment opportunities without discrimination because of race, creed, color, national origin, sex, age, disability

For these purposes, affirmative action shall apply in the areas of recruitment, employment, job assignment, promotion, upgrading, demotion, transfer, layoff, or termination and rates of pay or other forms of compensation. 25.2 The Contractor shall submit an Equal Employment Opportunity (EEO) policy statement to the Office as directed in the Instructions to Bidders. 25.3 The Contractor's EEO policy statement shall contain, but not necessarily be limited to, and the Contractor, as a precondition to entering into a valid and binding State contract, shall, during the performance of the contract, agree to, the following: (a) The Contractor will not discriminate against any employee or applicant for

employment because of race, creed, color, national origin, sex, age, disability or marital status, will undertake or continue existing programs of affirmative action to ensure that minority group members and women are afforded equal employment opportunities without discrimination, and shall make and document its conscientious and active efforts to employ and utilize minority group members and women in its work force on State contracts.

(b) The Contractor shall state in all solicitations or advertisements for employees that,

in the performance of this contract, all qualified applicants will be afforded equal employment opportunities without discrimination because of race, creed, color, national origin, sex, age, or disability or marital status.

(c) At the request of the Office, the Contractor shall request each employment agency,

labor union, or authorized representative of workers with which it has a collective bargaining or other agreement or understanding, to furnish a written statement that such employment agency, labor union, or representative will not discriminate on the basis of race, creed, color, national origin, sex, age, disability or marital status and that such union or representative will affirmatively cooperate in the implementation of the Contractor's obligations herein.

25.4 On a schedule to be determined by the Office, and in a form and manner required by the Office, the Contractor shall submit to the Office work force utilization reports of the work force actually utilized on this contract, broken down by specified ethnic background, gender, and Federal Occupational Categories or other appropriate categories specified by the Office. 25.5 The Contractor shall include the language of paragraphs 25.1 through 25.6 in every subcontract in such a manner that the requirements of the provisions will be binding upon each subcontractor as to work in connection with this contract, including the requirement that subcontractors shall undertake or continue existing programs of affirmative action to ensure that minority group members and women are afforded equal employment opportunities without discrimination, and, when requested, provide to the Contractor information on the ethnic background, gender, and Federal Occupational Categories of the employees to be utilized on this contract.
