Solutions for Small and Midsize Customers
Q: What is the Microsoft® Open Value program?
A: The Microsoft® Open Value licensing program is for small and midsize organizations with five or more
desktop PCs that want simplified license management and better control of their licensed product costs and
investment. It offers a convenient and affordable way to use and manage Microsoft licensed products under a
single licensing agreement. Open Value provides flexibility to acquire licenses or add product licenses as
needed. Additional cost savings are available when standardizing desktop PCs licensed organization-wide.
Q: What options are available under the Open Value program?
A: Organizations can choose from several options that are available to meet the needs of a wide range of
customers, including:
Open Value Organization-Wide Option: Open Value Organization-Wide offers predictable annual payments,
low long-term costs, and a simple way to manage licenses. You agree to acquire licenses and Microsoft®
Software Assurance for the selected licensed product for all of an organization and affiliates’ qualified desktop
PCs. An annual desktop PC price, based on the count of qualified desktop PCs, allows customers to run any
licensed product version on any desktop PC.
Organization-Wide is also attractive if customers want to standardize licensed products throughout their
organization. Standardization helps to increase security, reduce support costs, and enable Organization-Wide
solutions that require a common technology platform. The single platform option allows customers to
customize their desktop PCs as they choose with components from an operating system, the Microsoft Office
suites, and Client Access License (CAL) product pools, plus additional software products customers choose to
add in the agreement.
An additional price level, level C, is available in some countries to organizations with the Open Value
Organization-Wide or Open Value Subscription option that order licenses for at least 250 qualified desktop PCs
through their initial purchase order.
Open Value Subscription Option: Customers may choose to subscribe to, rather than acquire, Microsoft
software. Microsoft Open Value Subscription provides the lowest up-front costs with the flexibility to reduce
total licensing costs in years when desktop PC count declines. Typical subscription customers are looking to
build or maintain an information technology infrastructure on a standard platform of products to respond
rapidly to a changing business environment. Open Value Subscription is only available on the
Organization-Wide option.
With Open Value Subscription, customers pay a single price per desktop PC to deploy Microsoft technology
across your organization during the term of the agreement.

Open Value Non Organization-Wide Option: Customers that need licenses for servers, or for just some of their
desktop PCs, can open a Non Organization-Wide agreement. Customers can take advantage of spreading
annual payments for the licenses plus new product versions and the other benefits that come with Software
Assurance. Customers who do not wish to standardize their desktop PCs can obtain all licenses through
Open Value and manage all those Microsoft licenses through a single agreement.
Organization-Wide Option
Q: What are the advantages of the Open Value Organization-Wide option?
A: Open Value Organization-Wide offers the simplest way to track licenses. Rather than counting individual
licenses, customers count their desktop PCs and pay a single price per desktop PC for the platform components
that they have selected.
License costs of the platform products ordered through Open Value Organization-Wide can also be
substantially lower than the same licensed products ordered through Open Value (Non Organization-Wide).
In some countries, there is an additional price level for organizations with the Open Value
Organization-Wide option or Open Value Subscription that order licenses for at least 250 qualified desktop
PCs through their initial purchase order.
Open Value Organization-Wide is attractive to customers that want to standardize their desktop platform.
Standardization helps increase security, reduce support costs, and enable cross-organization solutions that
require a common technology platform such as line-of-business applications, business intelligence solutions,
or secure communications with integrated information rights management.
Q: How many licenses are required for Open Value Organization-Wide or Open Value Subscription?
A: Your customer will need to acquire at least one of the following licenses for each qualified desktop PC in
their organization:
Microsoft Office: Microsoft Office Professional Plus 2010
Operating Systems: Windows® 7 Professional Plus Upgrade
Client Access License (CAL) Suites: The Enterprise CAL Suite, Core CAL Suite, or the Small Business Server CAL

After purchasing at least one of these licenses in any or all of the product pools for each qualified desktop PC in
their organization, your customer may add additional licenses for individual desktop PCs, as needed. For
example, they may choose to standardize all desktop PCs on Office Professional Plus 2010. They may then
purchase Microsoft Office Visio® Professional (or any other Microsoft licensed product available through
Volume Licensing) for individual desktop PCs, as needed.

Q: What are the benefits of Open Value for the customer?
A:
Licensing Simplicity. Customers can place an order and start using licensed products immediately through a
flexible pay-as-you-go model, helping to eliminate the need for forecasting. Once an order is placed, a single
authorization identification number is issued that can be reused and shared with qualified affiliates for the
duration of the two-year agreement helping to reduce procurement costs and simplify the purchasing process.
Licensing Flexibility. Open Value provides customers with a single platform option, which allows them to
choose components from the Windows operating system upgrade, the Microsoft Office system, and CALs
under a single platform, rather than being required to choose between the Small Business or Desktop
Professional platform.
Customers also have the option to choose Microsoft’s latest offerings in midsize business solutions with
Windows Essential Business Server. For organizations that want to include Microsoft Enterprise solutions in
their Open Value agreement, Office Enterprise, the Enterprise CAL, and the Microsoft Desktop Optimization
Pack are available.
Licensing Manageability. Manage licenses easily and conveniently through online tracking tools. With the
Microsoft Volume Licensing Service Center (VLSC), customers can electronically manage license orders,
review purchase history, download volume license keys for software product installation, track compliance,
and receive order confirmation information.
Licensing Affordability. Stretch software procurement budgets farther in comparison to retail purchase
options. With a simple one-time transaction, customers can pay for what they need when they need it,
giving them the flexibility to manage their software license needs.
Q: How can Open Value help customers better manage software license costs?
A:
Open Value offers volume pricing for licensed products, which allows your customers to acquire licenses for
less than the cost of full packaged product (FPP). Microsoft offers even better Open Value pricing to small
and mid-sized organizations that choose the Open Value Organization-Wide platform option.
Open Value can also help minimize up-front costs and free up IT resources by spreading license payments

Open Value: Selling
Q: What is the ideal customer profile for Open Value?
A: Open Value is the ideal Microsoft Volume Licensing program for small and midsized organizations that are
interested in having one agreement for the entire organization, keeping their technology investments current,
and spreading licensing payments annually. Look for the following customer profiles:
Need to simplify license tracking—Look for customers who have retail, original equipment manufacturer
(OEM), and/or multiple volume licensing agreements across departments or affiliates as they often find
value in consolidating to a single Open Value agreement to ease their license tracking.
Want to run the latest software versions—Look for customers who want or need to keep their software
current. These customers understand the value of running the latest software versions but often find it a

payments annually and move to a licensing model that automatically keeps licensed products up to date can

Pricing
Q: How does a customer qualify for the Open level C pricing in Open Value?
A: Customers who purchase licenses Organization-Wide for 250 desktops or more in the Open Value program
under Open Value Organization-Wide or Open Value Subscription are eligible for price level C in the
Open Value program.
Open Level C is not available in Open Value for Government. Special pricing is available for qualified

Q: How do partners set customer pricing?
A: Partners receive price quotes from their distributor and are free to set prices according to the competitive
conditions in their market. Partners can use LicenseWise, an online tool that helps you put together product,

Transitioning from Other Open Program Options
Q: How is Open Value different than Open License?
A: The key differences for Open Value are:
Product platform options are available for Organization-Wide agreements. For Open Value Subscription and
Open Value Organization-Wide, customers have the additional choice to standardize licensed products on

A two-tier distribution model where the partner maintains control over the relationship with the customer.
The reseller will order licenses from their distributor and resell them to their customer, each setting their

Middle East, and Africa (EMEA), both Open Value and Open License have the same channel model.
Open Value includes Software Assurance and the associated benefits and tools, while it is an add-on to

Q: Can my customer mix Office Standard and Office Professional Plus on an Open Value
Subscription agreement?
A: Open Value Subscription customers have a choice to standardize on either Microsoft Office Standard 2010
or Microsoft Office Professional Plus 2010 or to have no Office edition. To realize any standardization savings,
the platform products (Microsoft Office, operating system, and CAL) must be standardized for all desktop PCs
company-wide for these agreements. Standardizing provides customers with reduced license cost and
management time as installation, support, and training across the organization are easier with one, fixed set of
products on each desktop PC to manage.

Q: What parties are required to sign the Open Value agreement?
A: Only the customer and Microsoft sign the agreement.
Q: What is the process to place an additional Open Value order?
A: The reselling partner places the order with the distributor and provides the customer with an Open Value
agreement number. The distributor places the order with Microsoft and invoices the reselling partner. The
reselling partner invoices the customer.
Q: Can my customer include affiliates in other countries?
A: Affiliates in other countries may be able to be included on your customer’s agreement. See
www.microsoft.com/licensing/programs/open/openregional.mspx to determine which countries are able to
include affiliates on a centralized Open Value agreement. Including affiliates on a single Open Value agreement
can help centralize purchasing and reduce random purchase orders from remote offices.
Q: Can my customer add affiliates to their Open Value agreement after it has been accepted by Microsoft?
A: When the Open Value agreement is prepared on eAgreements, the customer choice option is entered:
Exclude all affiliates
Include all affiliates that are specified
Include all affiliates that are specified plus all future affiliates
Customers who choose the third option must include all future affiliates during the term of the agreement.
Open Value provides no other means for adding affiliates. If affiliates that did not participate in an Open Value
agreement wish to do so later, consider entering into a new Open Value agreement for those affiliates.
Q: Does my customer need to include all offices in all cities or countries on an Open Value agreement?
A: If the offices are part of the organization entering the Open Value agreement, they must be included in
the order.
If the offices are not part of the organization entering the Open Value agreement, the customer has the option
to indicate which affiliates are included in their agreement when entering the Open Value agreement. The
customer can include as many, or as few, affiliates as they like. For the affiliates they indicate, all of the
―qualifying desktop PCs‖ for those affiliates must be included on the agreement.

Q: How do we correct entry errors on the eAgreement?
A: If the error is in the customer e-mail address and you have submitted the eAgreement, the customer will not
receive the acceptance e-mail; the eAgreement cannot be changed and you will need to create a new
eAgreement with a new agreement number that must be submitted with a purchase order to the distributor.
If the error is for any other customer or reseller information, contact your distributor, and they can have the
Microsoft operations center correct the error.
Q: What do we do if the customer rejects the eAgreement?
A: If a customer rejects the eAgreement, then the purchase order—if it has been placed already—must be
cancelled. The reseller or distributor can enter a new agreement into eAgreements to reflect the customers’
changes—for example, the choice of Organization-Wide platform products or the set of affiliates that will use
the agreement.
Product Licensing
Q: How can Open Value simplify license tracking?
A:
Open Value offers customers with multiple Open agreements the chance to consolidate into a single
Open Value agreement and track licenses online using the Microsoft Volume Licensing Service Center
(VLSC) at https://licensing.microsoft.com.
For customers that need to run different versions of a licensed product, Open Value provides the flexibility
to use a mix of versions of licensed products, rather than having to track each specific license version.
Customers with the Open Value Organization-Wide option simply need to count the number of qualified
desktop PCs in their organization and pay per desktop PC for their licenses. Customers can add additional
desktop PCs at any time and pay for them during the month of installation (or at the anniversary for the
Open Value Subscription option).
The Open Value Organization-Wide option provides even simpler license tracking through a single custom
platform license that includes the Microsoft Office system, operating system, and CAL options.
The Open Value Subscription option allows customers to pay an annual fee based on the number of
qualified desktop PCs in their organization.
— During the term of their agreement, Open Value Subscription customers may add new qualified
desktop PCs throughout the year, even temporarily, without any additional payment at the time of
deployment. At the beginning of the next year of the agreement, customers have the opportunity to

Q: Can Open Value agreements be extended to affiliates in other countries?

Q: What media do Open Value customers receive?
A: Open Value customers receive Volume Licensing media kits (software on CD or DVD) for the initial order of
any product ordered through their Open Value agreement. If a new version of a previously licensed product is
ordered, the customer automatically receives the corresponding media kit. Licensed product media can also be
downloaded through the VLSC at https://licensing.microsoft.com.
Q: How do customers get the most from Software Assurance during the term of their agreement?
A: Customers can access and begin using their Software Assurance benefits within a few days of placing their
Open Value order. As soon as a customer has received the welcome kit letter from Microsoft, they can visit the
VLSC at https://licensing.microsoft.com to activate and begin using their Software Assurance benefits. Note that
a Windows Live ID is needed to access VLSC. Customers who do not have a Windows Live ID can get one from

Q: My Open Value Subscription customer with the Microsoft Office Professional Plus 2010 component needs
several Windows upgrades for their organization, but not for the whole organization. How do I order the
Windows upgrades for them?
A: The Open Value Subscription agreement notes that licenses for platform products—Microsoft Office
Professional Plus, Windows 7 Professional, or Core CAL (or Windows Small Business Server CAL)—can be
purchased for all qualified desktop PCs in the organization.
The customer may purchase the licenses as needed through another licensing program, including Open Value
(non-Organization-Wide), but not through the Open Value Subscription option.
Q: If customers normally upgrade to the latest operating system only when purchasing new computers, why
should they license Windows through Open Value?
A: Many customers replace hardware in phases over a period of several years. To maintain a standardized
desktop PC platform, they downgrade new desktop PCs to the previous operating system version until their
hardware refresh is complete. The Open Value license enables customers to run any version of licensed
software whereas the original equipment manufacturer (OEM) license only authorizes customers to run the
specific version that was provided with the hardware.
The upgrade license through Open Value allows your customers to take advantage of the latest security,
manageability, and performance benefits of the latest Windows version on all computers in their organization,
without having to wait through the entire refresh cycle after a release to be at the new standard.

Q: When customers acquire a Windows 7 Professional Upgrade license through Open Value, can they transfer
this license to a new computer?
A: If the customer currently has an original Windows 7 desktop operating system license and acquires a
Windows 7 Professional Upgrade license through Open Value, the Windows upgrade license may be transferred
to a new desktop PC.
An original Windows operating system license is required before purchasing a Windows 7 Professional
Upgrade license.
An original Windows 7 desktop license can only be acquired preinstalled on a new computer (OEM license)
or through retail stores (FPP license).
Microsoft does not offer a full Windows 7 desktop operating system license through Open Value.
Q: What is the process for placing Open Value orders?
A: Open Value orders are placed similarly to Open License orders; however, the customer details are entered
into an electronic tool by the distributor and the customer must electronically sign the agreement. Complete

Q: How do I select the correct part number in my purchase order?
A: Every Open Value part number contains the following elements:

The number of licenses cannot be smaller than the total number of licenses ordered with spread payments
through the agreement.
For platform products, the number of licenses ordered with up-front payment plus the number of licenses
ordered with spread payments must be at least the same as the number of qualified desktop PCs.
Open Value Subscription: The customer must place a purchase order before the first and second anniversary
of the agreement for the actual number of qualified desktop PCs for the platform products they chose and
for the actual number of copies for additional products previously ordered and put in use in the last 30 days,
if any.
The annual purchase order must be placed by the distributor no later than 30 days after the anniversary date. If
later than 30 days, Microsoft has the right to terminate the agreement. License rights obtained through the
Open Value agreement will then be void.
Q: When starting the agreement, when can the reseller’s purchase order be placed with the distributor?
A: The reseller’s initial purchase order for an Open Value agreement can be placed after the agreement has
been entered into eAgreements. If it is not placed within 30 days after completion of the agreement, the
agreement will be cancelled, and the reseller will need to have a new agreement signed by the customer.
Q: When a customer wishes to add licenses with expiring Software Assurance coverage obtained through
Open License or Open Volume into an existing Open Value agreement, what is the process?
A: Open Value Organization-Wide customers can order Software Assurance for platform products at the start of
the agreement and at any time for additional products. Ordering Software Assurance for platform products
after the agreement start date is not allowed. Software Assurance must be obtained through Open Value for all
qualified desktop PCs at the start of the agreement, even if the customer is already covered by Software
Assurance for the software through another agreement.
Open Value Subscription does not offer Software Assurance–only part numbers.
