This rider is herewith attached to and made a part of the Contract dated
__________________________________
between TERWILLIKER, LTD. f/s/o MICHAEL FEINSTEIN (Hereinafter called Artist) and
____________________________________________________ (Hereinafter called Purchaser).
All terms and provisions hereinafter and herein before set forth are part of one and the same
contract.
Artist agrees to furnish and Purchaser agrees to accept for the engagement herein the services of
TERWILLIKER, LTD. f/s/o MICHAEL FEINSTEIN upon all the following terms and
conditions:
1. PLACE OF ENGAGEMENT and DATE:
2. SCALING AND ADVERTISING
The Artist has complete right of approval on all ticket prices for the engagement. In the event
that the Purchaser and Artist agree to certain discounting of tickets or deductions from the full
net gross ticket prices, (i.e. commissions paid for group sales, theater parties, industrial
discounts, credit card percentage charges, ticketron charges or any and all other discounts or
deductions from the full net gross ticket prices), the exact understanding must be agreed to in
writing.
The engagement will be announced, tickets put on sale and the group sales representatives
commence selling groups as soon as the contracts are fully executed or Purchaser receives
authorization from the Artist's representative. The Purchaser further agrees that the full
advertising campaign in all media will commence at least six weeks prior to the engagement.
There shall be no variance from this policy unless agreed to in writing by the Artist.
The Purchaser and Artist agree that commencing five weeks before the date of the performance,
the Purchaser will have available on a weekly basis for the Artist or Artist's representative, exact
information on the number of tickets sold and the advance. Two weeks ahead of the
performance, this information will be available as needed by Artist.

3 . BILLING
Purchaser agrees that the appearance and billing of any act(s) on the same bill as Artist will be
subject to Artist's approval.
Artist shall have the sole and complete control of the form and manner of billing and starring
credits in all advertising, publicity releases, tickets, table cards, promotional materials, marquees,
billboards, programs and any other media of exploitation and advertising or publicity employed
by the Purchaser. The correct billing is as follows:

4. PRODUCTION AND TECHNICAL REQUIREMENTS
A. PERSONNEL
The Purchaser will provide, at minimum, a house technical crew as follows: Stage
Manager, four (4) Stage hands/carpenters, House Sound Engineer, Monitor Engineer (if
requested by Artist's Production Manager), 3 (three) Electrician for Load in. Show call: 2
(two) follow spot operators, Light board operator, House sound Engineer, Monitor
Engineer (if requested by Artist's Production Manager), 3 (three) stage hands, and a hair
and make up person. This person should be at the venue 2 hours prior to top of show.
B. SOUND
A professional sound augmentation system capable of providing clear, undistorted,
evenly distributed sound throughout the audience area. This system must comply with
Artist's specifications. House and monitor system must be approved in advance with
Artist's Production Manager. See Addendum B.
C. LIGHTING
A professional lighting system with at least two (2) follow spots. Lighting system must
be approved in advance with Artist's Production Manager. See Addendum C.

D. PIANOS
Purchaser will provide, at no cost to Artist, one (1) Ebony Steinway Model D- 9’ Concert
Grand Piano. Please contact Steinway National at 212-332-0129 or email at
[email protected] for information on Steinway Pianos. Since Artist endorses
Steinway pianos, Steinway will arrange for the performance piano for Artist through their
office. The piano must be in excellent condition, tuned to A-440 the day of the show,
prior to rehearsal and again prior to the performance. Please Note: In the program
credits, include 'MICHAEL FEINSTEIN PLAYS THE STEINWAY PIANO'. If there is
more than one act during the concert, please have the piano tuner on stand by during the
intermission to do a check up.

In addition, the Purchaser will provide a piano in the Artist's dressing room. If placement
of the piano in the dressing room is physically unfeasible, then the piano must be
installed in a reasonably private space backstage, which is both readily accessible to the
Artist and sonically isolated from the audience. If this is impossible, Purchaser must
supply an 88-key weighted keyboard with amplifier and speakers for Artist's dressing
room. (Roland RD-500, Kurzweil PC88MX, Yamaha P-300 with scissor frame stand,
sustain pedal and all cabling, keyboard bench, Peavey KB-300 or equivalent)
E. PRODUCTION
Purchaser further agrees that Artist has sole and exclusive control over the production,
presentation, content and performance of Artist's show. Artist has the right to "hands on
policy" of mixing house sound, stage monitor and lights. The Artist or House has the
right to "monitor" levels that shall be mutually agreed upon between Purchaser and
Artist.
F. REHEARSAL
Purchaser agrees to furnish Artist, at Purchaser’s sole cost and expense, with a rehearsal
of a minimum three (3) hours duration the day of the performance, with all musicians

and technical staff present. This rehearsal will only be for Michael Feinstein selection of
music. NO other music will be rehearsed without prior advance.
G. MUSICIANS
Purchaser must pay for three (3) local union scales for musicians. Artist’s conductor will
have approval over lead trumpet, rhythm bass and guitar
H. BIG BAND MUSIC
For all symphony engagements, Purchaser will be responsible for shipping costs for
Artist’s music, to be coordinated with Artist’s librarian
5. ACCOMMODATIONS AND TRANSPORTATION
Purchaser shall provide and pay for, at no cost to Artist, the following:
A. HOTELS
A two (2) bedroom suite (consisting of living room and two separate bedrooms – non-
smoking) and twenty One (21) single rooms at a 5 Star hotel to be approved by Artist, to
be available one day prior to the opening, as well as day of performance The two (2)
bedroom suite to have Grand or Vertical piano, both of which will be available upon
arrival for hotel stay.
***IT IS ESSENTIAL THAT HOTEL ROOM WINDOWS CAN BE OPENED TO
FRESH AIR***
If possible, Artist would like to stay at a hotel that has a gym or workout facility available at no
cost to the guest and 24-hour room service.

B. INTERNAL TRANSPORATION
A smoke-free SUV with driver to meet Artist at the airport, be available to Artist for
duration of engagement, including, but not limited to, taking the Artist back and forth to
the place of engagement and returning Artist to the airport at the end of the engagement.
In addition, Purchaser will provide transportation for Artist’s staff to and from the airport,
hotel and place of engagement.
C. AIR TRANSPORTATION
Purchaser to provide two (2) first class round trip tickets and four (4) coach round-trip
unrestricted airline ticket, from a point specified by Artist, or the cash equivalent, as
determined by Artist. No airline tickets shall be prchased prior to Artist approval of
itenery.
D. INTERNATIONAL TRAVEL
In the event that the place of performance is outside the continental limits of
the United States, Purchaser agrees to procure at his own expense for the
Artist and party the necessary visas, work permits and other documents of
any nature whatsoever necessary or usually obtained to enable Artist to
render its services hereunder. Also, Purchaser shall be responsible for, and
identify and hold Artist harmless from and against, all local and municipal
and country or government taxes, fees or levies on all income earned by
Artist, or Artist’s employees while in the country or countries covered by
this contract.
6. SECURITY
A. Purchaser shall guarantee proper security at all times to ensure the safety of
Artist, Artist’s crew, auxiliary personnel, instruments, and all equipment,
clothing, and personal property, from the beginning of the load in to
completion of the load out. Security protection shall commence upon arrival
of Artist’s equipment at the venue and continue until the removal of all of
Artist’s equipment. Purchaser (s) shall be financially responsible for loss due
to lack of security.

B. Purchaser shall provide at all times the following minimum of identifiable
security personnel to secure Artist and Artist’s crew free access to, and
safety in and around venue, and all work areas:
One guard at each backstage entrance upon Artist’s arrival.
One guard to secure Artist’s vehicle.
C. Purchaser agrees to supply an “All Area” access identification system (
cloth, stick on passes, wristband, etc.). A total amount of such identification
needed for Artist and Artist’s crew shall be made available to Artist’s tour
manager upon arrival of Artist and Artist’s equipment.
D. Purchaser agrees that except for authorized personnel of Artist, no one is
allowed back stage or has dressing room access without an access pass
authorized by Artist’s road manager. In the event the Artist has specific
laminates or passes, Purchaser will still have security passes available for in
house, support, etc. Artist’s road manager shall authorize all in house,
support, etc. passes.
E. If dressing rooms have locking devices on the doors, please give keys or
codes to road manager upon his arrival. Please provide a key or code to
doors leading to the house from the stage so that crew may enter and exit
freely.

7. DRESSING ROOM REQUIREMENTS

All dressing rooms must be heated and cooled, have adequate electrical outlets and
appropriate lighting.
All dressing rooms must have clean private toilets, hot and cold running water, and
a full length mirror.
All dressing rooms should have adequate clean comfortable furniture to facilitate
the traveling party.
All dressing rooms must be free of any chemical, paint or odor prior to the
crew arrival

Mr. Feinstein does not eat wheat, but he also does not eat nor desire items that are specifically Gluten
Free. He does not want Gluten Free cookies, pretzels or other items labeled as being gluten free (many
gluten free items contain eggs and other things unacceptable for vegans). He does eat other vegan
products made with all other grains, except for Wheat. He is not Gluten intolerant.
The Purchaser will provide in Artist's room, no later than 1 hour prior to sound check/rehearsal time, the
following items:

A. Hot water for tea in a pot. Hot pot preferred. Drip through unit will not work (Which has
NEVER BEEN USED FOR COFFEE – to be replenished 60 minutes before show time
and as needed by Artist. A electric kettle works best.
B. A selection of HERBAL teas. (Non-caffeinated – must say ‘herbal’ on the package.)
C. "ThroatCoat" tea and "Emergen C Original - Lemon-Lime Flavor (Whole Foods sells these).
D. Manuka Honey 16+ or higher
E. Six WHOLE lemons.
F. A sharp knife/ Cutting Board
G. Spoons.
H. Eight (8) tea cups.
I. Eight (8) drinking glasses.
J. Small to mid size refridge in dressing room

K. Napkins
L. A selection of fresh RIPE WHOLE fruits. (Citrus, bananas, kiwis, peaches and nectarines,
grapes (red and green) preferred. Please make sure fruit is ripe and at room temperature.)

The Purchaser will attach a sign to the dressing room door reading, "Michael
Feinstein - Please Do Not Disturb." Artist must have control of heating/air
conditioning of the dressing room. Artist must have control of sound level of
intercom speaker in the dressing room. Must have intercom speakers in Artist's
dressing room.
**Please have an up right piano in the dressing room. If one is not available, please
have a weighted 88 note keyboard with amp in room. This will need to be
advanced in advance by production manager.**
Purchaser shall supply at his sole cost and expense after each performance of the
engagement four (4) To-Go packaged dinners of the following: (This will be
advanced by production manager). Please have several near by restaurant menus
that cater to vegetarian and vegan cuisine so that orders maybe placed and picked
up or delivered before sound check, rehearsal or after show. Please advance with
production manager for a buy-out in lieu of to- go meals. This can be done for
$35.00 each person per show night and will need to be paid day of show in cash.
NOTE: The dinners are to be fat-free, dairy-free and fried-free (i.e. cheese, etc.)
Producer may arrange dinners with the hotel to be delivered to Mr.
Feinstein's suite upon his arrival after the show. Please note that Mr.

Feinstein is a Vegan- allergic to wheat. The vegan meals should be
prepared with NO animal products (butter or wheat). Taste is always a
factor in the meal so please feel free to use spices and seasoning so that the
entrée’s are not bland. Please NO eggplant. PLEASE ADVICE WITH
PRODUCTION MANAGER

Dinner should be a hot meal with a selection of a fish or chicken or meat and a
pasta, salad and desert. (to be advanced) PLEASE NOTE THERE ARE VEGANS
also in the band and Mr. Feinstien is a VEGAN
SCHEDULE:
Lunch for the crew should be set up by 12:00 PM. Lunch for the band should be
set up by 2:00 PM day of show. Dinner should be set up by 6:00 PM day of show.

Purchaser agrees to procure and pay for, at its own expense, prior to the date of the engagement
provided for in this agreement, all the necessary licenses for the performance of the musical
compositions that may be performed by the Artist at the engagement provided for in this
agreement, including, but not limited to, any and all clearances and licenses for the Composers,
Authors and Publishers Association of place of engagement and Purchaser agrees to indemnify
and hold harmless Artist from any and all claims of any nature arising out of Purchaser's failure
to procure the aforesaid licenses and clearances with respect to the said musical compositions.
This paragraph includes ASCAP, BMI, or their corresponding foreign performing rights
societies.
9. COMPLIMENTARY TICKETS
Purchaser agrees to provide Artist thirty (30) complimentary "house location" tickets and twenty
(20) house seats to be purchased for each show. With respect to engagements involving a "cover
charge," the Purchaser agrees to provide Artist with a complimentary table for eight (8) for each
show in the best location in the room.
10. METHOD OF PAYMENT

All payments shall be made in the form of certified or cashier’s check.
Purchaser further agrees to furnish Artist, at the close of each business day of the engagement
hereunder, a written box office statement, certified as true and correct, showing the total gross
receipts from each such day. Artist and Artist's representative shall have the right to check at any
time, records with respect thereto, concerning the engagement and Artist shall have the right to
have a representative present in the box office if Artist so desires.
At the time of settlement, the Purchaser agrees to furnish the Artist with three (3) complete sets
of tickets manifests, box office statements, settlement sheets and any other documents relating to
the settlement.

If this agreement does not include a percentage participation by Artist, it is understood and
agreed that said non-participation is in reliance on the fact that admission (or potential gross as
stated on the face of the contract) has been truly and correctly represented by Purchaser. If at
any time the actual gross exceeds the amount stated in this contract, the parties shall negotiate
additional compensation for Artist in an amount directly related to the actual figures.
11. MERCHANDISING
Artist shall have the right to sell souvenir programs, photographs, records and any and all types
of merchandise, including, without limitation, articles of clothing (e.g. T-Shirts, hats, etc.),
posters, stickers, etc. with the Artist's staff in connection with and at the place of engagement
hereunder, and the receipt therefrom shall belong exclusively to Artist without Purchaser or any
other party having any right or interest therein. Purchaser covenants and agrees that no other
merchandise, souvenir or otherwise, shall be sold during this engagement hereunder, without
Artist's written consent.
12. SEATING
No tickets shall be sold for seats located to the rear of the stage where the stage or equipment on
stage is obstructing normal eye level viewing of Artist's performance, unless the location of the
seat is clearly indicated on the ticket and such ticket bears a legend substantially in the form of
"impaired vision."
No discrimination by reason of race, religion, sex, age or country of national origin shall be
permitted or authorized by Purchaser in connection with the sale or admission to or seating or
accommodation at the engagement.
13. ADVERTISING
If Purchaser utilizes an advertising agency, Purchaser must pay all advertising agency fees and
only net advertising invoices will be allowed for settlement unless otherwise agreed by Artist's
representative in writing.
14. PUBLICITY

Any and all publicity for the engagement shall be coordinated through the Artist's Publicist.
Purchaser agrees not to commit Artist to any personal appearances, interviews or any other type
of promotional appearance without consent.
15. PRINTED MATERIAL
All printed program material must be approved by Mr. Feinstein’s management prior to printing.
In addition, Mr. Feinstein’s website must be mentioned in program material. It should state:
“For further information about Mr. Feinstein, please visit www.michaelfeinstein.com.”
16. COLLATERAL USE
No portion of the performance(s) hereunder may be recorded, filmed, taped, broadcast or
mechanically reproduced in any form for the purpose of reproducing such performance(s)
without prior written consent from Artist or Artist's representative. If any such unauthorized
recording is discovered during the Artist's performance, Artist shall have the right to withhold
the performance hereunder without prejudice to his rights hereunder. Purchaser agrees that there
will be no signs, place-cards, banners or other commercial advertising material on or near the
stage during the performance(s) nor shall Artist's appearance be sponsored by or in any other
way tied with any commercial product or company without consent from Artist or Artist's
representative. Purchaser further agrees that Artist's name will not be used in association,
directly or indirectly, with any product or service without Artist's prior written consent.
Purchaser is enjoined from selling or distributing any merchandise bearing the name and likeness
of Artist, any phonograph recordings or any other souvenir material at the performance(s)
hereunder without Artist's written consent. A DAT/ CDR recording, for Artist's personal
archive, will be made of every performance and presented to Artist or his representative after the
show.
17. DEFAULT OF PURCHASER
If, before the date of any scheduled performance, it is found that the Purchaser has not performed
fully its obligations, under any other agreement with any party for another engagement or that of
the financial credit of the Purchaser has been impaired, Artist may cancel this agreement. In the
event that the Purchaser does not perform fully all of its obligations herein, Artist shall have the
option to perform or refuse to perform hereunder and in either event, Purchaser shall be liable to
Artist for damages in addition to the compensation provided herein.
18. LIABILITIES

Purchaser agrees to indemnify and hold harmless Artist and all those acting for and through
Artist from and against any claims, costs, damages, liabilities and judgments arising out of or
connected with any claims by a third party which is inconsistent with any of the warranties,
representations or obligations of Purchaser hereunder or otherwise in connection with the
performance(s) described herein, including without limitation any claims for personal injury or
property damage or otherwise brought by or on behalf of any third party. Without limitation of
the foregoing, except as otherwise specifically set forth herein, Purchaser hereby assumes full
liability and responsibility for the payment of any and all costs, expenses, charges, claims, losses,
liabilities and damages related to or based upon the performance(s) described herein.
19. INSURANCE
Purchaser shall maintain comprehensive General Liability Insurance in the amount required by
the venue, (but in no event with a limit of less than $1,000,000.00 combined single limit for
bodily injury and property damage), including- without limitation, coverage for liability as the
result of the installation and/or operation of the equipment provided by Artist and shall furnish
Artist with a Certificate of Insurance evidencing same at least two (2) weeks prior to the
performance(s). Said Insurance coverage shall be in full force and in effect at all times when
Artist and his representative are at the venue.
20. CANCELLATION
Purchaser agrees that the Artist has the right to cancel the engagement hereunder at Artist's sole
discretion, without any liability whatsoever, by giving Purchaser written notice thereof at least
thirty (30) days prior to the commencement date of the engagement hereunder if Artist shall be
called upon to render services in connection with foreign concert tours, theatrical, motion
picture(s), television, a legitimate stage play, an in-concert Broadway engagement or an out-of-
New York City engagement of the in-concert Broadway show, the preparation, rehearsals of
actual date(s) of which conflicts in whole or in part of the engagement hereunder.
Having made reasonable efforts to avoid as such, Artist reserves the right to cancel the described
engagement in order to accommodate commitments related to television, film, or theater
projects, provided (30) days written notice; Artist shall not be held responsible, nor shall any
reimbursements be made, for any and all expenses incurred by Purchaser in case of such a
cancellation. Artist shall make best reasonable efforts to reschedule the described engagement,
but shall not incur any such obligation. This agreement supersedes and negates any other
agreements to the contrary made prior to or within this contract, and shall only be amended by an
additional written agreement between both parties.
21. INCLEMENT WEATHER

In the event of rain or weather conditions which might interfere with the performance(s) of Artist
hereunder, the parties shall mutually determine whether or not the performance(s) should
proceed. However, in the event, if the performance(s) is not held by reason of such weather
conditions, Purchaser agrees to pay Artist the full amount provided for the contract.

23. FORCE MAJEURE

Artist's obligations to furnish the entertainment unit referred to herein are subject to the detention
and prevention by Act of God, riots, strikes, labor difficulties, epidemics and acts or order of any
public authority or any cause, similar or dissimilar, beyond the Artist's control. Purchaser's
obligations to this contract are likewise limited by the same conditions. In the event of
destruction of this facility by fire or national or local calamity, or any unforeseen circumstances,
including strikes or local lockouts, neither Artist nor Purchaser shall be held responsible for any
damages caused thereby.
24. ASSIGNMENT TO OUTSIDE PURCHASER
Purchaser shall not have the right to assign this agreement or any provision thereof. Nothing
herein contained shall ever be construed as to constitute the parties hereto as partnership or joint-
venture or that Artist shall be liable in whole or in part for any obligation that may be incurred by
the Purchaser in Purchaser's carrying out any of the provisions hereof or otherwise. The person
executing this agreement on Purchaser's behalf warrants his authority to do so.
25. MODIFICATION OF AGREEMENT
This agreement may not be changed, modified or altered except by an instrument in writing
signed by the parties. In the case of any conflict of terms, the terms contained in this Rider shall
prevail. This agreement shall be construed in accordance with the laws of the State of California,
applicable to agreements to be entered into the wholly performed therein. Nothing in this
agreement shall require the commission of any act contrary to law or to any rule of regulation of
any union, guild or similar body having jurisdiction over the performances hereunder or any
element thereof and wherever there is any conflict between any provision of this agreement shall
be curtailed, modified or limited only to the extent necessary to eliminate such conflict.
26. ANTICIPATORY BREACH CLAUSE
If on or before the date of any scheduled performance hereunder, the financial standing or credit
of Purchaser has been impaired or is unsatisfactory, Artist shall have the right to demand
payment forthwith of the guaranteed compensation specified above, and if Purchaser fails or
refuses to make such payment forthwith, Artist shall then have the right to cancel this agreement.
In the event of such cancellation, Artist shall have no further obligation to Purchaser hereunder,
and shall retain any monies theretofore paid to Artist by Purchaser.
This constitutes the sole, complete and binding agreements between the parties hereto:
