MEMORANDUM OF ASSOCIATION

RULES & REGULATIONS OF THE INSTITUTE

1 NAME OF THE INSTITUTE:

The name of the institute will be “Q.B Training Institute of Green

Sciences/ Q.B Institute of Green Sciences”

2. HEAD OFFICE:-

Qadir Bakhsh Farms, Near Gatwala Forest Park, Faisalabad, Punjab,

Pakistan.

3. AIMS AND OBJECTS:-

The aims and Objects of the Institute, for which the same is

established, are as under:-

i. To provide sound education to the all communities of institute

irrespective of their race, religions, cast or creed in general and

to prepare those to become mature and responsible citizens of

the country through the all round physical intellectual,

academic, mental and spiritual development based on values

derived from the life.

ii. To educate the masses in the country regarding agricultural

sciences and environmental conservation with a view to

changing their attitudes towards positive, sensible and

responsible actions towards nature.

iii. To spread awareness by extension education services regarding

agricultural sciences, horticulture and environmental

conservation and to provide career counseling service

specifically regarding to agricultural sciences. To aware the

community about the vitality of agriculture and horticulture

sector in Pakistan, so they will choose it as a profession in the

future and to be an entrepreneur.

iv. To arrange and manage the training sessions/institutions in

sustainable agriculture, conservation of environment and youth

development.

v. To promote organic farming, agricultural entrepreneurship and

healthy lifestyle.

vi. To promote literacy, cultural and other social activities of

Awareness Programs, Adult Education Classes, Lectures, Essay

Competitions, Exhibitions, Symposium, Gatherings/Meetings,

Cultural programs, Press Conference and Seminars.

vii. To establish and manage various kinds of Educational,

Vocational, Industrial, Agricultural, Environmental, Research

and framing Institutions to introduce and develop the

professional courses and also to arrange/provide all kinds of

educational facilities to the students, scholars, trainees and to

other needy candidates.

viii. To establish, and to then develop such out of school activity

centers for the children of the under privilege class/section of

the institute where they could have the benefits and joy of

participating in sports, games artistic activities, like clay and

woodwork, music, dance, painting and also organize

educational trips based on agricultural tourism.

ix. To institute scholarships and help to deserving students and to

institute and award prizes, in recognition of excellence in

academic performance of students.

x. To follow the ideology of great men and National Leaders who

scarified their lives for the causes of a depressed, deprived and

other community/backward classes, minority groups and for

other needy people.

xi. To provide free/concessional horticultural training education to

the brilliant, poor, helpless and needy children/students and

provide guidance to develop their own business.

xii. To engage, employ or hire appropriate staff, workers, legal, or

other professionals, attorneys, managers and Agents for the

work and the furtherance of the aims and objects of the institute

and to pay their wages, salaries stipends or fees.

xiii. To receive financial assistance (in the shape of a loan, funds or

otherwise) from Government, Non-Government organizations,

banks or any other legal entity or individual on reasonable

terms and conditions.

xiv. To borrow or receive money (with interest or without interest)

and upon such terms and condition as are approved by the

Board of Directors of the Institute.

xv. To accept donations, grants, presents and other offerings (in the

shape of movable or immovable properties) and the same will

be utilized in the promotion of the aims and objects of the

Institute.

xvi. To raise funds and resource for the attainment of any of the

aims and objects of the institute by all lawful means, including

investment of the funds, donation, fund – raising campaigns,

cultural programs, sale of literature, property development, rent

of the building etc.

xvii. To conduct research in agriculture and other allied discipline

with different subjects relating to agriculture.

xviii. To arrange and organize social, cultural, educational and

community welfare programs/activities from time to time.

xix. To publish books, charts, illustrations, journals, magazine,

periodicals, newspapers, newsletters and other publications on

agriculture and different allied subjects in different languages.

xx. To conduct coaching classes for preparation of the various

competitive examinations.

xxi. To erect, construct, after maintaining, sell/lease, mortgage,

transfer, improve, manage and/or develop all or any part of the

property/ building of the institute for the attainment of aims and

objects of the institute.

xxii. To purchase/acquire land for different establishments and to

construct buildings/Mosque thereon for the cause of the

institute.

xxiii. To purchase, construct the building, hostels, houses or

structures and/or modify, renovate the building or alter such

existing buildings as may be necessary for the purpose of the

institute and to maintain such building in good condition.

xxiv. To purchase or hire permanently or temporarily and vehicle or

vehicles for transportations of the students/trainee and staff

members and those buildings in good conditions.

xxv. To do or perform any other act which may be incidental or

completive to the attainment of any of the objects of the

institute.

xxvi. To arrange and organize Religions Functions in a peaceful

manner from time to time.

xxvii. To approach concerned authorities regarding the solution of the

problems of the institute.

xxviii. To provide social-economic help/assistance to poor and needy

people with education and training or by financially.

xxix. To arrange activities for the safety of wild animals, and to make

improvement in the safety of the wild animals and to show

mercy towards them.

xxx. To arouse the general public towards environmental

conservation and to adopt the sustainable simple lifestyle.

3.1 ANCILLARY OBJECTS:-

1. To receive and collect any gift subscriptions and donation either in

cash or in any kind of acquired by any other lawful ways and means

and spend the same in fulfillment of all or in any of the aims and

objects of the institute. The income and property(s) of the institute

will be applied solely for the promotion and fulfillment of the aims

and objects of the institute provided if any donor intends that the

contributions, donations or subscriptions will be applied to attain any

particular objects of the institute such contributions donations and

subscriptions will be spent towards the promotions of that particular

objects only.

2. To acquire by purchase, take on lease, hire or buy a gift and hold any

movable or immovable properties of any rights or privileges that may

be deemed necessary or useful for the advancement of the objects of

the institute.

3. The income earnings, movable and immovable properties of the

institute will be solely utilized and applied towards the promotion of

its aims and objects only as set forth in the Memorandum of

Association and profit on thereof will be paid or transferred directly or

indirectly by way of dividends, bonus, profit or in any manner

whatsoever to the present. No member of staff of the institute will

have any personal claim on any movable or immovable properties of

the institute or make any profits whatsoever by virtue of his

membership.

4. BOARD OF DIRECTORS.

The names, addresses, occupations and designations of the present

members of the Board of Directors to whom the management of the institute

is entrusted are as follows:-

RULES AND REGULATIONS OF “THE INSTITUTE”

1. MEMBERSHIP:-

The membership of the institute is open to any person or persons who

has attained the age of maturity and fulfills the terms and conditions of the

institute without discrimination of the religion, caste, colour or creed but

subject to the approval of the Board of Directors. If the membership is

refused to a certain person or persons the reason of refusal will be

commentated to the concerned person.

2. SUBSCRIPTIONS:-

(i) The life member will pay the amount of Rs.5,000/- in lump-sum to the

Institute.

(ii) The Hon’ble Members will pay Rs.1000/- per year.

(iii) The ordinary member will have to pay Rs.1000/- per year.

(iv) The internee in case of an internship will pay Rs.5000/- except poor

and needy.

(v) The Board of Directors/Board of Directors reserves the rights of

half/full concession in all kinds of the subscriptions/dues on the merit

within the institute.

(vi) Any membership would be approved by the signature of Director

Finance.

(vii) Membership of the institute will not be transferable.

3. TERMINATION OF MEMBERSHIP:-

The Board of Directors will have the powers to expel a member of the

institute on the following terms and conditions:

a) Nonpayment of subscriptions continuously for three months from the

due date.

b) On his/her written resignation.

The reason of termination of the membership will be communicated

to the member concerned.

4. APPEALS:-

All the appeals should be referred to the General Body of the institute. The

decision of the General Body will be final. The reason of rejection will be

communicated to the member concerned.

5. RE-ADMISSION:-

In case a member is expelled by the General Body the same can be

re-admitted provided the member concerned pays all upto date dues, the

decision of the General Body will be final this clause is applicable to the

clause 3(a,b).

6. BANK ACCOUNT:-

The bank account of the institute will be operated by the Director

General and Director Finance.

8. GENERAL BODY:-

All the members of the Institute will consist of the General Body.

9. FUNCTIONS OF THE GENERAL BODY:-

a) To consider any business brought forward by the Board of Directors.

b) The meetings of the General Body will be held as and when necessary

on a specified date and place at the time of need only, for the

wellbeing of the Institute.

c) Not less than 15 days prior notice will be given to the members

before the date of general body meetings enclosing the agenda

specifying the time, date, place and the quorum will be 1/3rd.

d) Not less than 24 hours prior notice will be given to the members in

case of emergent meeting.

10. SOURCES OF INCOME:-

i) Membership fee.

ii) Subscriptions/Event Attendance Registration dues.

iii) Donations and special contributions.

The income of the Institute received from all sources will be utilized only for

the promotion of the aims and objects.

11. BOARD OF DIRECTORS:-

The strength of the Board of Directors will not be less than 8, and not more

than 30. The meetings of the Board of Directors will be held as and when

necessary, for which 15 days clear notice will be required and the quorum

will be 1/3rd.

12. ELECTION AND QUORUM:-

The General Body at its annual meeting will elect its office bearers and

members after two years by show of hands or by secret ballot papers.

However, the same may be nominated, unanimously, with one third

majority, in the interest of the Insitute. The quorum of the General Body and

the Board of Directors will be 1/3rd.

13. FUNCTIONS OF THE BOARD OF DIRECTORS:-

a) To arrange finance if required from other Bank(s). Institutions or

Individuals on reasonable terms and conditions and the Board of

Directors as a whole will be liable for its return.

b) The Board of Directors will make plans for the future programs of the

institute.

c) To publish literature and to propagate the system to approach the

public pertaining to the upliftment of the status of the institute.

d) To appoint, terminate and fix the duties of any staff.

e) The Board of Directors will meet at least once in three months.

f) To accept, donations, charities, loans, grants properties, etc. from

public, other associations, Agencies, Govt. Department in the interest

and for the promotion of aims and objectives of the institute.

14. MANAGEMENT OF FUNDS:-

All the income of the institute will be deposited in the Nationalized or any

other scheduled bank and will be spent for the betterment of the institute.

14.a) REGISTER OF MEMBERS:-

The institute will maintain at its Registered office, a Register of its members

and will enter therein the following particulars:-

a) The names and addresses of the institute’s members.

b) The date on which the member was admitted.

c) The date on which a member ceased on such membership.

d) All the other important information if needed occasionally.

14.b) RIGHTS AND PRIVILEGES OF THE MEMBERS:-

All and every member of the institute:-

a) Will have one vote at every meeting.

b) Will be entitled to participate in the meeting, and the gathering of the

institute.

c) Will have right to inspect the books of accounts, minutes of

proceedings of the General Body meeting working day during

business hours and giving reasonable notice.

d) Will be bound by the Rules and Regulations and/or bylaws which may

be framed time to time.

e) To administer the oath of the office and loyalty of the institute and/or

to its constitution, to the Patron.

14.c) FILLING UP CASUAL VACANCIES:-

The casual vacancies may be filled up by the resolution passed by both the

Board of Directors/Board of Directors and the General Body till the further

election will be held by the institute.

15. POWERS AND DUTIES OF THE OFFICE BEARERS:-

PATRON/CHAIRPERSON:-

a) He will supervise all works and activities done by other office bearers

of the Institute.

b) He will be the head of the Institute, and preside over the meetings of

the General Body and the Board of Directors. He will have the right of

casting of votes in case of a tie.

c) He will also possess the solely authority to give special half/full

concession in all subscriptions and dues within Institute on the merit

for the betterment of the Institute’s cause.

DIRECTOR GENERAL:-

He will supervise all works and activities done by other office bearers of the

Institute and responsible to answer only Patron/Chairperson.

ASST. DIRECTOR:-

a) To convene all the meeting of the Association;

b) To attend to all the correspondence;

c) To maintain a complete and proper record of the Association and

regulations framed there under;

d) To attend a register of membership and minutes book;

e) To submit a report on the working of the Association as and when

required;

g) To transact such other business as may be deemed necessary and

entrusted to him by the Board of Directors.

DIRECTOR FINANCE:-

He/she will keep accounts of all receipts and expenditure of the

institute and to furnish the necessary information to the Board of Directors

from time to time. He is sanctioned to keep the balance amount will be

deposited in the Nationalized Bank. The account of payment and wages to

the specified staff will be under the Director Finance.

DIRECTOR R&D:-

He/she will be responsible to conduct or arrange research and

development projects in the interest of the institute.

DIRECTOR ACADEMICS:-

He/she will responsible to make curriculum, training courses,

planning study courses, syllabus and exams.

DIRECTOR, OUTREACH & TOURISM

He/she will responsible to arrange public activities, meetings, events,

seminars, symposiums, conferences and tours.

DIRECTOR H.R:-

He/she will responsible to generate the media briefings, reports, ads,

promotional material and to hire the required staff in the interest of the

institute.

16. AUDIT:-

The account of the Institute will be audited at least once in a year by a

qualified auditor appointed by the Board of Directors.

17. FINANCIAL YEAR:-

The financial year of the Institute will start from the 1st day of April to 31st

day of March every year.

18. TENURE:-

The Tenure of the Board of Directors will be two years or can be extended

on merit.

19. AMENDMENT:-

Any amendment to the Memorandum of Institute and Rules and Regulations

of the Institute can be done for the betterment of the institute.

20. ALTERATIONS, EXTENTION OR ABRIDGEMENT:

The Board of Directors, when deems it advisable to alter, extend or abridge

or to amalgamate such institute, may submit the proposition to the members

in a written or printed report and may convene a special meeting, for which

10 days’ notice is necessary. The proposition will have effect only if it is

agreed by the votes of three fifth of the members delivered in person or by

proxy and confirmed by the votes of three fifths of the members present at a

second special meeting convened by the Board of Directors at an interval of

one month after the former meeting

21. LEGAL PROCEEDINGS:-

The Institute may sue or be sued in the name of the Patron/Chairperson as

per laws by the Govt. of Pakistan.

22. BY LAWS & REGULATIONS:

These will be framed by the Board of Directors from time to time in view of

new developments and the same will be got approved by the General Body.

23. ENFORCEMENT OF JUDGEMENT AGAINST THE

INSTITUTE:-

Any judgment of the court will be recovered against the property of the

institute only and not against the property, movable or immovable of a

person or officer named on behalf of the Association.

24. DISSOLUTION:-

If the Institute would need to be dissolved it will be dissolved as per voting

by the Board of Directors and Board of Directors.
