NOW THEREFORE, for and in consideration of the lforegoing premises, the parties heretohave agreed to enter into this Memorandum of Agreement under lhe following terms andconditions:

Article I$COPE OF WORK

The parties hereby undertake to perform the Project entitled: "Development ofQuality Management System Certifiable to ISO 9001:2008 for the Philippine HealthInsurance Corporation," more particularly described in the Project Proposal attached heretoand made an integral part hereof as Annex "A".

Afticle llUNDERTAKINGS OF DAP

DAP shall perform, with due diligence and efficiency, the following undertakings:

Create a project management team who will coordinate with the Organization andSystems Development office (OSDO) of PHILHEALTH within the duration of theproject.

Ensure the availability of resource speakers/technical experts, facilitators andsecretariat and necessary docurnrents during the conduct of training/meetings andother related activities.

Ensure the availability of technical experts who will provide guidance/assistance inestablishing the PHILHEALTH QMS.

Ensure the transfer of technology listed in ltem No. 6 below.

Submit documentation reports upon completion of each project deliverable, as wellas, progress reports as may be necessary to ensure proper monitoring of theproject implementation. The Consultant shall include in the training documentationreports the effectiveness of the training courses undertaken.

Ensure the implementation of the following:

. Conduct a Gap Analysis activity to asserss the extent oforganization's scope of services intended to be included forCertification:

Conduct an executive briefing on the requirements of ISO 9001:2008;

Conduct comprehensive awareness and training on documentation forcounterpart personnel who wilil work with the Service Provider in thedevelopment, establishment, nnaintenance arnd improvement of anISO 9001 :2008-based Quality Management System;

iv. Processes needed by the organization to ensure effectiveplanning, operation and control of its processes

Assess the acgeptability and completeness of documents, records,practices and policies that melet the minimum requirements of ISO9001:2008 and give appropriate advice for imprrovement;

Conduct internal audit training with value-added auditingmethodologies and skills,

Guide the organization in the conduct of its internal quality audit;

Conduct Basilc Quality and Productivity lmprovement Approachestraining to complement the QMS implementation;

Guide the orgqnization in the conduct of its Management Review toreview the effectiveness of the implemented rnanagement system;

Provide guidance in crafting the Terms of lReference necessary tochoose an indlependent Certific;ation Body who will do the assessmentof the organization's conformance to the requlrements of ISO9001:2008; and,

Guide and assess the organization's readiness for Certification auditincluding handling of findings, if any.

Article lllUNDERTAKINGS OF PHILHEALTH

PHILHEALTH shall perform, with due diligence and e'fficiency, the followingundertakings:

1. ldentify/create an office/committee/secretariaVleam who will be responsible in themanagement of PHILHEALTH |SO-QMS projerot and who will coordinate all relatedactivities with DAP. Likewise, $uch committee shall be responsible in organizing/scheduling all PHILHEALTH ISO-QMS-related activities to ensure smooth andefficient project implementation.

Article VPERFORMITNCE SECURITY

To guarantee the faithful performance by DAP of its obligations under thisAgreement; it shall post a performance securrity prior to the signing of the contract.

The performance security shall be in an amount equal to the percentage of the totalcontract price in accordance to the following r;chedule:

Article VlCONFIDENTIALII'Y

Each party undertakes not to divulge at any tinne to any third person any confidentialinformation relating to the other, except upon prior vuritten consent of the other or whererequired under the law or regulation or by' a valid order of a court or other governmentalauthority with competent jurisdiction.

Article VllLIABILITY

The DAP shall not be liable to PHII-HEALTH for loss or damage to PHILHEALTH'sproperty unless due to the gross negligenrce or breach of this Alyreement, The DAP shall notbe liable to PHILHEALTH for any indlreot, special or consequential loss arising out of or inconnection with the provision of goods and the services pursuant to this Agreement and thetotal liability of DAP for any loss of PHILI'IIEALTH arising out of or in connection with thisAgreement in respect of any event shall not exceed ther charges payable by PHILHEALTH toDAP for the Project.

Article VlllINTELLECTUAL, PROPERT'Y RIGHTS

All materials and work provided by DAP shall belong excllusiverly to DAP and shall notbe used for any purpose other than to implement thir; Agreemrent, Any use, reproduction,publication, sale or distribution of these materials and rar'ork shall be subject to the prior writtenconsent of DAP and such other terms as DAF shall reqruire. Any original work created arisingout of or in connection with this Agreement shall belong to DAiP, except where the originalwork uses any data or material belonging to PHILHEALTH, in which case, the work shall beowned by PHILHEALTH.

Article lXINDEMNITY

Either party shall indemnify and hold the other party fret; and harmless from any andall claims or causes of action of third parties arising from a negligent or othenruise wrongful act,or omission of the other party, its employees or representatives.

Article XWARRANTIES AN D REPREIiENTATIONS

Each party warrants and represents to the other that:

Its representative is authorized to sign this Agreement anrd to bind the entity herepresents.

All approvals necessary to negotiate, conclude, and perform this Agreement have beenobtained and that this Agreement is a binding covenant upon hinn/it.

It is legally capacitated to contnact this Agreement and to perfrorm its obligations underthis Agreement, and that it is uncler no legarl disability to rcontract or perform thisAgreement.

4. lt recognizes that the other party consented to this Agreement in reliance on theauthority of its signatory and its financial and le1;al capacity and willingness to contractand perform this Agreement.

Anticle XlEFFECTIVITY

This Agreement shall become effective upon execution tlhereof and shall be valid andsubsisting until the final and satisfactory fulfilllment by the parties; provided, however, that thereshall be flexibility in the project duration as long as ther specified project deliverables agreedupon by the parties are met.

Atticle XllREVISION OR AMENDMENT

1. Any revision, amendment or modifi,cation of this Agreement shall require the writtenconsent of the parties hereto.

2. lf changes under this section shoukl result in arn increase or decrease in the servicesoriginally provided and scheduled, an equivalent adjustment on the contract price, timeor both shall subsequently be agreed upon in writing by both pailes.

Afticle XlllFORCE MAJEURE

No party shall be liable to the ottr'rer for the delary or non-performance of its obligationsunder this Agreement arising from any cause or causes beyond its reasonable control,including, without limitation, any of the follorrving: act o1' God, government act, war, fire, flood,explosion or civil commotion.

Atticle XIVTERMINATION

The parties may terminate this Agreennent upon mutual written consent.

The following events shall entitfie the party not in breach to terrminate this Agreementwithin 30 days upon written notice:

(1) Failure on the part of PI.{II-HEALTH to pay all sumsr due to DAP under theterms of this Agreement;

(2) Failure on the part of DAF to remedy any breach of its obligations hereunderwithin fifteen (15) days following written notice lkom I'Hll-HEALTH specithe breach with full particulars; and,

(3) Any serious and persistent breach by either party of any provision of thisAgreement.

Affcle XVDISPUTE SETTLEMHNT / ARBITRI\TION and VENUE

All disputes and controversies arising out of in connection with this Agreement, or forbreach of any provision hereof, which cannot be solved by the herrein c;ontracting parties, shallbe settled through Arbitration in accordancel with Presiidential Decree No. 242, in relation toSections 66, Chapter XlV, Book lV of the Administrative Code of 1987, in conjunction withSection 10, Chapter 3 Book Vll, of the sanne code.

The venue of any legal action arising out of this Agreement shall be brought to theproper court in Pasig City.

Article XVIMISCELLAN E:0US PRO\/ISl0NS

Separability. lf any part of this Agrerement is d,eclared unenforceable or void, the restof the Agreement shall nevertheless remain in full force and eff ct.

Waiver. No failure, omission or delay of any of llhe parties in exercising any of its right,privileges and remedies hereunder shall operate as a waiver thereof. No waiver ordeparture from the terms of this Agreement shrall be valid unless made in writing andsigned by the party's authorized representative. Such waiver shall be effective only inthe specific instance and for the purpose for whiich it is girren.

Assignment. The benefit of this Agreement may not be, assigned in whole or in partby a party without the prior written consent of the other.

Binding Effect. This Agreement shall be binding on the parties and their respectivesuccessors-in-inte rest.
