To the Board members of the Melbourne-Tillman Water Control District,

My company, MJH Consulting, is honored to work with the Melbourne-Tillman Board in order to meet the needs of the citizens and tax payers of Brevard County. The Melbourne-Tillman Water Control District has served an important function to our community and our state and we recognize this water management system is essential to control erosion, flooding and excessive water drainage in our area.

I served the citizens of Brevard in the Florida legislature from 2000-2012 in both the House and Senate. In my career I have chaired committees on taxation, local government, state administration and criminal justice. I concluded my career as President of the Florida Senate where I led the Senate budget process as well as setting its legislative agenda. That experience allowed me to gain intimate knowledge of all aspects of the legislative and budgetary process in Tallahassee.

Today, I lead MJH Consulting where I represent a variety of companies across our state in the fields of education, transportation, agriculture, communications, motorsports, energy, and gaming.

The legislative changes the District seeks are a Special Act of the legislature and require specific public notices as detailed in the Florida Constitution. The Senate and House also require special rules for such matters as well. Local state Representatives and Senators are needed as sponsors for this legislation and I will secure those individual sponsors for the District.

My scope of work would also include working with the Brevard County Commission to secure additional funding to meet the increased workload placed on Melbourne Tillman due to changes in the law, especially concerning water quality.

My proposal for consulting the state of Florida legislature and executive branch as well as other needed local entities for the next twenty-four months is $2,500 per month. I bill on a monthly basis and I do NOT bill for additional expenses such as travel, lobbying registration, copies, mileage etc.

governance and operations. We are looked upon as special district expetis by legislators and legislative staff and are often called upon to educate the Legislature about special districts. Over the years, LL W has passed and defeated numerous general bills relating to special districts on behalf of FASD.

LL W also regularly serves as legislative counsel (e.g. lobbyist) to individual special districts when they have legislative lobbying needs. Each session, we represent several individual districts who need to make legislative revisions to their charters. For instance, during the 2018 Session we represented five individual special districts who needed to pass local bills to amend their chmiers; LL W passed all five bills. We also passed a local bill for a county and defeated a local bill for an individual special district. Our extensive experience with local bills, pmiicularly for special districts, has led to LL W being considered the foremost expetis on local bills at the Capitol.

The following represents the terms and conditions of representation by LL W on this matter:

1. Services. LL W will provide advice and representation to the Melbourne-Tillman Water Control District (the District) in seeking legislation before the 2019 Florida Legislature to revise the District's charter. I will be the shareholder in charge of this matter and will be primarily responsible for providing and supervising the legal services required. I will be responsible for ensuring that this matter is staffed in a manner adequate and appropriate to the requirements of the representation. At this time, I anticipate that Teny Lewis, Lori Killinger, and Natalie Kato will be substantially involved in this matter. We will use our best judgment to determine the amount of time, who is to perform specific tasks and work, and the nature of the services to be performed in your best interests.

2. Professional Fees. The fee for these services shall be a flat fee of $36,000.00. The fee shall be paid in monthly installments of$3,000.00 begim1ing July 1, 2018 and ending June 30,2019.

3. Costs and Expenses. The firm charges for costs and expenses incuned on your behalf for this representation.

4. Billing and Payment. LL W will bill you on a monthly basis for professional services rendered and expenses incuned in connection with this matter, less any retainer amounts applied against these services and expenses. You agree to pay the amount of each statement in full within thi1iy (30) days of the billing date. Should you question or dispute any items or any statement, you agree to notify us in writing of any such question or dispute within fifteen (15) days of the billing date, and we will assume you do not have any dispute if we do not hear from you in that time.

5. Default. In the event any suit or action is brought to enforce the provisions of this agreement in any administrative or judicial proceeding, the prevailing party shall be entitled to an award of reasonable attorneys' fees and costs incurred in such proceedings, including appeals.

6. Client Documents. During the course of your matter, you may be required to provide to us documents such as tax records, expense records, bank records, deeds, etc. We will hold these records, in our office, during the pendency of your action and for five (5) months thereafter. At the conclusion of your matter, we will contact you and make arrangements for the return of the records

you provided. It is your responsibility to secure the return of your records. We will retain the balance of your file for an appropriate time period. If arrangements are not made for the return of your records within six (6) years following the conclusion of your matter, they will be destroyed according to the guidelines set out in our Records Retention Policy.

Thank you for discussing the needs of the District with me regarding changes to the District' s special act. As we discussed, I have represented local governments for the past 23 years in Tallahassee. I have drafted, negotiated, and helped ensure passage of hundreds of local bills to assist special districts, cities, and counties.

As I draft this proposal, I just provided a two hour educational course on intergovernmental duties and cooperation to the Ce1tified District Manager Program at the Florida Association of Special Districts. As a proud graduate of Brevard County public schools, my law firm and I are pleased to provide you with the following proposal for services:

I. SCOPE. Ramba Law Group would assist in negotiating amendments to the special acts of the Melbourne-Tillman Water Control District to assist in streamlining operations and remove barriers to efficient operation of the District. These amendments to the District' s governing acts would be approved by the Board, and submitted to the members of the Brevard County Legislative Delegation for filing as a local bill before the 2019 Legislative Session. Ramba Law Group would assist in the drafting, filing, lobbying, and passage of said legislation.

2. FEES. You will be charged $2,000.00 per month, plus reasonable out-of-pocket expenses, beginning July I, 2018, and ending June 30, 2019.
