• Cabinets shall be fabricated of LFQ (min) steel. Externalparts are to be made with a polyurethane based powdercoated A60 galvanealed, while internal parts are to be builtfrom G90 galvanized steel. Units shall pass 500 hour saltspray test as described in ASTM B-117.

• Coils are to be tested at 500 PSI for operation at 400 PSIguage. All water coils have air vents.

• Fan wheel bearings shall be self aligning, sealedcartridge, permanently lubricated ball bearings thatprovide dependable fan operation for an average life of200,000 hours (belt drive only)

• Variable pitch motor sheaves.

®Terms and Conditions of SaleThe following terms and conditions apply to and gov-ern the sale of the air handling equipment and partsmanufactured by both the MagicAire and Continen-tal VAV divisions of United Electric Company, L.P.(“United Electric”).

EXCLUSIVE TERMS OF SALE - United Electric quotesand sells its goods on the expressed condition that thebuyer assents to the terms and conditions set forthhereon, regardless of any inconsistent or additionalterms that may be embodied in any purchase order.United Electric’s sale of its goods is expressly condi-tional on, and the buyer’s acceptance and receipt ofthe goods shall constitute the buyer’s assent to, suchterms and conditions.

ACCEPTANCE - All orders are subject to Credit andSales Department approval and acceptance. UnitedElectric reserves the right, among other remedies, toterminate or suspend further delivery against an orderin the event the buyer fails to pay any portion of theorder when it becomes due. Should buyer’s financialcondition become unsatisfactory to United Electric,cash payments or satisfactory security may be requiredby United Electric for further deliveries or for goodsalready delivered.

CANCELLATION - Buyer shall not cancel the order with-out prior written consent of United Electric. In the eventbuyer cancels the order with the prior written consentof United Electric after the buyer’s offer to purchase isreceived and acknowledged in writing, United Electricshall be entitled to receive from the buyer UnitedElectric’s cost plus a reasonable allowance for over-head and profit. Furthermore, for goods released forproduction but prevented by buyer from shipping uponcompletion or by the acknowledged shipping date,whichever is later, United Electric may, at its option, inaddition to all other remedies, invoice buyer to be pay-able within 30 days and store the goods at buyer’s soleexpense.

DELIVERIES - Any stated shipping date of the goods isUnited Electric’s best estimate based upon the volumeof orders for the goods United Electric has received orexpects to receive at the time it receives buyer’s order.UNITED ELECTRIC MAKES NO GUARANTEE OF SHIP-MENT BY THE ESTIMATED DATE AND SHALL HAVENO LIABILITY OR OTHER OBLIGATION, INCLUDING,BUT NOT LIMITED TO INCIDENTAL OR CONSEQUEN-TIAL DAMAGES THE BUYER OR ANY THIRD PARTYMAY INCUR, FOR ITS FAILURE TO SHIP BY SUCHDATE, REGARDLESS OF CAUSE.

SHIPMENTS - United Electric shall not be bound todeliver any goods for which buyer has not given ship-ping instructions. ALL PRODUCTS ARE SOLD F.O.B.UNITED ELECTRIC’S PLANT. TITLE TO GOODSPASSES TO THE BUYER UPON DELIVERY BY UNITEDELECTRIC TO THE FREIGHT LINE. All goods areshipped at buyer’s risk. Buyer should examine ship-ments carefully for loss or damage and should havesame noted by transportation agent on the freight billupon accepting delivery. In the event of concealeddamage, buyer has 15 days from receipt of the goodsin which to call the freight line for an inspection.

In either case, the equipment cannot be returned toUnited Electric until after a freight inspection has beencompleted. In absence of shipping instructions, UnitedElectric shall use its own discretion in choice of car-r i e r .

TAXES - Sales, use, consumption, storage or othertaxes, if applicable, shall be paid by the buyer.

RETURN GOODS - New and unused goods returnedfor credit will not be accepted unless a Return GoodsAuthorization number has been issued by United Elec-tric. Goods must be securely packed to reach UnitedElectric without damage and properly identified withthe Return Goods Authorization number. RGA num-bers are valid for only 30 days after issuance. A mini-mum 20% fee will be charged on all stock productscleared for return that can be returned to stock afterinspection. Build-to-order products manufactured andshipped cannot be returned and a 100% cancellationfee applies to any order that has been released forproduction but has not shipped. All goods must bereturned freight prepaid by the buyer.

ALL PRODUCTS LIMITED WARRANTY - United Elec-tric warrants that its goods will be free from defects inmaterial and workmanship under normal use and main-tenance for a period of one year from the date of origi-nal installation or 18 months from the date of ship-ment or whichever comes first. A new or rebuilt partto replace any defective part will be provided withoutcharge, PROVIDED the defective part is returned toUnited Electric. The replacement part assumes theunused portion of the warranty.

THIS WARRANTY DOES NOT INCLUDE LABOR or othercosts incurred for identifying, repairing, removing, in-stalling, shipping, servicing, or handling of either de-fective parts or replacement parts.

UNITED ELECTRIC WILL NOT BE RESPONSIBLE FOR:1. Normal maintenance.2. Damage or repairs required as a consequence offaulty installation or application by others.3. Failure to start due to voltage conditions, blownfuses, open circuit breakers, or other damages due tothe inadequacy or interruption of electrical service.4. Damage or repairs required as a consequence ofany misapplication, abuse, improper servicing, unau-thorized alteration, or improper operation.5. Damage as a result of floods, winds, fires, light-ning, accidents, corrosive atmosphere, or other con-ditions beyond the control of United Electric.6. Parts not supplied or designated by United Electric7. United Electric products installed outside the UnitedStates and Canada.

BUYER’S EXCLUSIVE REMEDY - The buyer’s accep-tance of the goods shall confirm the buyer’s reviewand acceptance of United Electric’s All Products Lim-ited Warranty, notwithstanding any other written or oral

warranty of the goods that may be given to the buyer.THE BUYER’S EXCLUSIVE REMEDY AGAINST UNITEDELECTRIC SHALL BE LIMITED TO UNITED ELECTRIC’SALL PRODUCTS LIMITED WARRANTY. NO OTHERREMEDY, INCLUDING, BUT NOT LIMITED TO, RECOV-ERY FOR INCIDENTAL OR CONSEQUENTIAL DAM-AGES FOR LOST PROFITS, LOST SALES, INJURY TOPERSON OR PROPERTY, OR ANY OTHER INCIDEN-TAL OR CONSEQUENTIAL LOSS, SHALL BE AVAIL-ABLE TO THE BUYER.

FIELD MODIFICATIONS - Should the installing contrac-tor believe that the goods do not meet the requirementsof the original submittal or do not operate accordingto the submittal, the buyer should immediately con-tact the selling distributor or authorized United Elec-tric representative as outlined in the All Products Lim-ited Warranty section. Upon United Electric’s accep-tance of responsibility to make modifications to thegoods, United Electric will, at its sole discretion, eitherdirect the contractor to make the modifications, sendits own field service technicians to make the modifica-tions, or engage another contractor to make the modi-fications. If United Electric directs the installing con-tractor to make the modifications, United Electric willissue a Field Repair Order (FRO) specifying the workto be done and the price to be paid. DO NOT BEGINANY MODIFICATIONS WITHOUT AN FRO NUMBER.United Electric will not be responsible for any costsincurred in modifying the goods, unless it has approvedthe modifications in advance.

EXCUSE OF PERFORMANCE - United Electric shall notbe liable for its failure to perform due to causes be-yond its reasonable control, including but not limitedto strikes, fire, war, acts of God, whether such eventsoccur at or about United Electric’s plant or at the plantof its suppliers.

CASH DISCOUNT AND TERMS - Unless otherwisespecified, a 1% discount may be taken if paid withinten (10) days after invoice date. Net due thirty (30)days from date of invoice. United Electric may charge1-1/2% each month on all sums more than 30 dayspast due, the first such charge to accrue on the 61stday after date of invoice.

MISCELLANEOUS - THESE TERMS AND CONDITIONSFOR THE SALE OF THE GOODS SHALL BE CONSTRUEDACCORDING TO THE LAWS OF THE STATE OF TEXAS.ALL SUMS DUE UNITED ELECTRIC FOR THE SALE OFITS GOODS ARE PAYABLE, AND ALL MATTERS ARIS-ING PURSUANT TO SUCH SALE ARE PERFORMABLE,IN WICHITA COUNTY, TEXAS. The terms and condi-tions stated hereon constitute the full understandingbetween United Electric and the buyer, and no terms,conditions, understanding or agreement purporting tomodify or vary these terms shall be binding unless here-after made in writing and signed by United Electric andthe buyer.

United Electric has a policy of continuous productimprovement, and reserves the right to change de-sign and specification without notice. United Elec-tric has no system design or application responsibil-ity to buyer or any third party.
