INFORMASI HARGA SAHAMPTPN-XIII sebagai Badan Usaha Milik Negara (BUMN) Non-Listed mempunyai modal dasar Perseroan ditetapkansebesar Rp.1.500.000.000.000,- (satu trilyun lima ratus milyar rupiah), terbagi atas 1.500.000 (satu juta lima ratus ribu) lembar saham, masing-masing saham dengan nilai nominal sebesar Rp. 1.000.000,- (satu juta rupiah). Dari Modal dasar tersebut telah ditempatkan sebanyak 460.000 (empat ratus enam puluh ribu) lembar saham atau seluruhnya sebesar Rp. 460.000.000.000,- (empat ratus enam puluh milyar

rupiah).

INFORMASI MENGENAI OBLIGASI

PTPN-XIII belum pernah menerbitkan obligasi.

INFORMATION ON SHARE PRICESAs a non-listed State Owned Enterprise, PTPN-XIII has a basic authorized capital of Rp.1.500.000.000.000,- (one trillion and five hundred billions rupiah), comprises of 1.500.000 (one million and five hundred thousand) shares with the nominal value of Rp.1.000.000,- (one million rupiah) per share. Of the above capital, as many as 460.000 (four hundred and sixty thousand) shares equal to Rp.460,000,000,000.- (four hundred and sixty billions

rupiah) have been fully paid.

Tahun 2008 adalah tahun yang penuh dengan peluang sekaligus juga penuh gejolak akibat ketidakpastian lingkungan eksternal bisnis. Pada semester awal, perusahaan mendapat berkah berupa tingginya harga jual produk perkebunan. Namun, di penghujung tahun 2008, situasi menjadi terbalik. Krisis finansial global yang berdampak pada jatuhnya harga jual dan menurunnya demand komoditi utama perkebunan dipastikan berpengaruh nyata terhadap kinerja perusahaan.

Ditengah krisis yang melanda bisnis perkebunan, PTPN-XIII masih dapat mengukir prestasi di atas perolehan tahun 2007. Prestasi yang dicapai tahun 2008 adalah:

Nilai penjualan bertumbuh sebesar 25,26 % Laba bersih bertumbuh sebesar 49,01% Kinerja perusahaan predikat SEHAT (AA) dengan skor 89,00 pada skala 0 - 100.

Mengantisipasi berbagai perubahan situasi eksternal, Dewan Komisaris selaku pengawas telah mengkaji strategi dan kebijakan bisnis PTPN-XIII, yang diformulasikan dalam Road Map dan Rencana Jangka Panjang (RJP) 2009-2013. Demikian pula, Dewan Komisaris telah melakukan pembahasan RKAP 2009 sekaligus juga memberikan panduan dan masukan kepada Direksi terkait tindakan tanggap darurat krisis.

Selain itu, Dewan Komisaris menyarankan agar ke depan PTPN-XIII membangun jaringan distribusi di setiap unit usaha dan membangun Asosiasi Petani Karet mengingat hasil usaha PTPN-XIII sangat dipengaruhi kondisi eksternal dan disisi lain luasan areal Kebun Inti lebih kecil dibandingkan dengan luasan Kebun Plasma. Hal ini juga dimaksudkan agar PTPN-XIII mampu meraih keuntungan lebih besar dalam jangka panjang melalui trading yang akan melayani internal PTPN-XIII dan petani di sekitar kebun sehingga mampu bersaing dengan tata niaga swasta.

Dewan Komisaris memandang bahwa terdapat tiga permasalahan strategis yang perlu menjadi perhatian manajemen, yakni; produktivitas, hubungan antara inti dan plasma, serta pengembangan industri hilir. Terkait dengan hal tersebut, Dewan Komisaris mendukung sepenuhnya strategi dan kebijakan yang telah dilakukan oleh PTPN-XIII, yaitu; peningkatan kualitas asset produksi (pabrik, kebun dan infrastruktur), efisiensi disegala unit usaha, pemantapan sistem dan prosedur pengelolaan kebun dengan kemitraan Pola Satu Manajemen (PSM) untuk Kebun Plasma, serta pengembangan industri hilir bermitra dengan BUMN maupun swasta dengan tetap memperhatikan aspek kehati-hatian.

The year 2008 had been a year of full of opportunities and of challenges as the result of business external uncertainty. In the early semester, the corporation had been blessed with high price of commodities mainly palm and rubber products. However, through the end of year 2008 there had been quite a turn-around as consequence of external changes mainly global financial crisis lowering the price as well as the demand of the main commodities and hence surely affecting the corporate performance.

Eventhough the crisis affecting the commodities business, PTPN-XIII still managed to improve its performance by acquiring profits obtained higher than that of year 2007. The 2008 achievements were as follows:

Sales revenue increasing as much as 25.26% Nett profit increasing as much as 49.01% Corporate performance was rated as HEALTHY (AA) having a score of 89.00 on the scale of 0 -100.

In anticipation of the external changes, the Board of Commissioners studied the strategies and business policies of PTPN-XIII formulated in the Road Map and Long Term Plan (RJP) 2009-2013. The Board of Commissioners had already discussed the RKAP 2009, and provided guidance as well as inputs to the Board of Directors regarding the contingency action plan.

Besides, the Board of Commissioners had also given suggestions that PTPN-XIII provided distribution network in each work unit. The commissioner also suggested to establish the Farmer Rubber Association considering that the success of PTPN-XIII is mainly influenced by external condition i.e Plasma Estate whereby the acreage of the plasma is larger than Nucleus Estate. This also means that PTPN-XIII could increase substantial profit in the long run thorough trades in which PTPN-XIII serves not only PTPN-XIII internally but also the farmers within the vicinity of the estates which in turn enabling to compete with other private palm companies.

The Board of Commisioners had emphasized that there were 3 (three) main problems to pay full attention by the management namely: productivity, the relation between nucleus and plasma and the development of down-stream industry. In line with the problems, the Board of Commisioners fully supported the strategies and policies duly implemented by the PTPN-XIII, e.g. improvement of production, quality assets (mills, estates and infrastructures), effieciency in the estates and factories, establishment of system and procedure of the management of estates under One Management Sytem (OMS) for plasma estates, as well as development of down-stream industries sharing with other State Owned Enterprise or private companies.

Sejalan dengan tugas dan perannya, Dewan Komisaris telah melakukan pertemuan (meeting) rutin 12 kali setahun, pertemuan insidentil sesuai kebutuhan, dan telah melaksanakan pertemuan/rapat gabungan dengan Direksi PTPN-XIII secara rutin sebanyak 6 kali, yaitu : rapat pembahasan RKAP, Evaluasi Triwulan I, Triwulan II, Triwulan III, Triwulan IV, Laporan Keuangan Tahunan (Pra RUPS).

Dalam menjalankan tugas, Komisaris dibantu oleh Komite Audit untuk menilai pelaksanaan kegiatan serta hasil audit yang dilakukan oleh Satuan Pengawas Intern (SPI) maupun Auditor Eksternal (KAP). Komite Audit telah memberikan rekomendasi penyempurnaan sistem pengendalian dan review management serta melakukan identifikasi hal-hal yang memerlukan perhatian Komisaris terkait dengan pengawasan manajemen perusahaan. Atas peran dan pelaksanaan tugas yang penuh tanggung jawab dari Komite Audit, Dewan Komisaris menyampaikan ucapan terimakasih.

Semester 2 tahun 2008, menjadi akhir masa jabatan Dewan Komisaris lama, yaitu. Ir. Achmad Mangga Barani, MM selaku Komisaris Utama, dan May Jend (Purn) Drs. Mudji Hardjadi, Drs. Yuni Suryanto, Ak., MBA, Pdt. DR. Barnabas Simin, S.Th dan Herman Hidayat, SH selaku anggota. Sebagai gantinya, telah ditetapkan Dewan Komisaris baru yang susunannya terdiri atas DR. Ir. Agus Pakpahan, APU selaku Komisaris Utama, dan May Jend (Purn) Adang Sonjaja, Drs. Revrisond Baswir, MBA, Thadeus Yus, SH, MPA dan Hamzah Tawil, S.Ag, MS selaku anggota. Atas nama Dewan Komisaris baru, saya menyampaikan terima kasih yang sebesar-besarnya kepada Dewan Komisaris lama atas dedikasi yang telah diberikan kepada PTPN-XIII.

Akhirnya, kami menyampaikan apresiasi dan penghargaan yang setinggi-tingginya kepada Direksi dan seluruh Karyawan PTPN-XIII. Tanpa komitmen, kerja keras, dan profesionalisme mereka semua, prestasi 2008 yang menggembirakan ini tidak akan terwujud. Kami berkeyakinan bahwa melalui optimisme, harmoni, kapasitas dan kompetensi yang dimilikinya, PTPN-XIII akan mampu melewati masa-masa sulit ini dan tetap berpotensi untuk terus berkembang sekaligus mewujudkan visinya di tahun-tahun mendatang. In line with his duty and roles, the Board of Commissioners had conducted a rountine 12 meeting annually, occasional meeting as needed as well as 6 (six) joint meetings with the Board of Directors of PTPN-XIII to discuss RKAP, evaluation of First, Second, Third and Fourth Trimester, Annual Financial Report and Pre-Annual Shareholders General Meeting.

In carrying out the duty, the Board of Commissioners was assisted by a Committee Audit in evaluating the implementation of activities and audit results conducted by both the Internal Auditing Unit and External Auditor. The Audit Committee had provided recommendation for improvement and management review system and identified matters that require attentions of the Commissioners to monitor and control the corporate management. The Board of Commissioners hereby thanks the Audit Committee for its proper and responsible manners in performing its duties.

The 2nd (second) semester of 2008 was the end of former Board of Commissioners respectively Ir. Achmad Mangga Barani, MM in his capacity as President Commissioner, and May Jend (Purn) Drs. Mudji Hardjadi, Drs. Yuni Suryanto, Ak., MBA, Pdt. DR. Barnabas Simin, S.Th and Herman Hidayat, SH respectively as members. Finally, we also would like to extend our highest appreciation to the Board of Directors and all employees and workers of PTPN-XIII since without all of their hard work, participation and professionalism, none of the great and enlivening achievements would have been possible in the year 2008. We have a strong and firm belief that through optimism, harmony, capacity and competency, PTPN-XIII will manage the difficult time and has the potency to develop and able to realize the vision of the company in the coming years. Para Pemegang Saham yang Terhormat,

PTPN-XIII masih mampu mencatat kinerja yang cukup memuaskan di tahun 2008, tahun dimana krisis finansial global yang berdampak pada jatuhnya harga komoditi utama perkebunan mulai berlangsung.

Penjualan berhasil meningkat cukup signifikan, yakni mencapai Rp.2.517,17 milyar meningkat sebesar 25,26% dari penjualan 2007 sebesar Rp.2.009,52 milyar. Seiring dengan peningkatan tersebut, laba bersih yang berhasil dibukukan adalah sebesar Rp.210,99 milyar, atau meningkat 49,01% dibandingkan tahun 2007 yang sebesar Rp.141.59 milyar. Demikian pula, nilai Imbal Hasil Aktiva (ROA) mengalami kenaikan, dari 14,98% pada tahun 2007 menjadi 15,38% pada tahun 2008.

Secara keseluruhan, pada tahun 2008 PTPN-XIII berhasil meningkatkan produktivitas dibandingkan tahun 2007; Tandan Buah Segar (TBS) sebanyak 9,84%, Minyak sawit 8,19%, Inti Sawit 5,94%. Demikian pula, produktivitas karet meningkat 0,98% dari tahun 2007.

Meskipun terjadi peningkatan produksi maupun produktivitas, beberapa hambatan eksternal belum dapat teratasi sepenuhnya, di antaranya adalah adanya pencurian TBS secara sporadis, persaingan dengan pihak swasta dalam peraihan TBS maupun bokar, serta belum terpenuhinya standar mutu bahan baku TBS yang bersumber dari Kebun Plasma. Demikian pula, curah hujan yang tinggi di beberapa wilayah kebun menyebabkan terkendalanya perbaikan jalan produksi dan koleksi sehingga menurunkan peraihan produksi TBS dan lateks.

Sepanjang tahun 2008, PTPN-XIII secara konsisten dan terus-menerus telah melakukan perbaikan-perbaikan disegala bidang sebagai wujud implementasi dari tiga kebijakan strategis yang telah diluncurkan mulai tahun 2007, meliputi:1). Peningkatan Kualitas Asset Produksi, 2). Penataan dan Pembenahan Organisasi, SDM dan Budaya kerja, serta 3). Pengembangan Usaha.

Dear Shareholders,

PTPN-XIII still managed to have a satisfactory performance eventhough the year 2008 was marked by global financial crisis and hence decreasing the commodity price.

There was a significant increase in sales of Rp.2,517.17 billion (2008) which was 25.26% higher than that of Rp.2,009.52 billion (2007). This in turned out, the company gained the nett profit of Rp. 210.99 billions or an increase of 49.01% compared to Rp.141.59 billions in the year 2007. The Return On Assets (ROA) also increased from 14.98% in 2007 to 15.38% in 2008.

As a whole, PTPN-XIII managed to increase productivity in 2008 compared to that of 2007 whereby increasing 9.84% for Fresh Fruit Bunch (FFB), 8.19% for CPO and 5.94% for Kernel. The rubber productivity increased of 0.98% compared to the year 2007.

In spite of increases the productivity, some external constraints could not be fully overcome such as sporadic theft of FFB, competition with private companies regarding the collection of FFB and rubber material as well as the inability of plasma estates to fulfill the requirements standard quality of FFB. High rainfalls in some estates had created additional problems i.e., to repaire and improve the production and collection roads otherwise reducing the collection of FFB and latex production.

Throughout the year 2008, PTPN-XIII had consistently and continiuously undertaken various improvements in all sectors as the realization of 3 (three) Company Strategic Policies launched in 2007 covering the following: 1). Improvement of Production Assets Quality, 2). Reorganizing the organization, Human Resources and

Work System, and 3). Business Development.

Peningkatan Kualitas Asset Produksi difokuskan pada upaya-upaya yang dapat langsung berdampak terhadap pening-katan produksi, seperti peremajaan tanaman kelapa sawit dan karet secara bertahap, penerapan sepenuhnya Soil Building (melalui pemanfaatan limbah cair dan padat), best practise of estate, perbaikan di semua PMS untuk meningkatkan kinerjanya, pengadaan alat-alat berat bagi kebun maupun pabrik yang membutuhkan, melaksanakan pemeliharaan rutin dan rancang ulang (redesign) sarana jalan maupun jembatan di areal TU, melaksanakan Pilot Project untuk meningkatkan jalan produksi dan penghubung dengan menggunakan Nextbase Road System (NRS), membangun sarana perumahan di unit kerja yang memerlukan.

Penataan dan Pembenahan Organisasi, SDM dan Budaya kerja dilakukan dengan cara menata organisasi serta pejabat yang menduduki posisinya, disesuaikan dengan kondisi lingkungan usaha dan geografi Perusahaan; pemberdayaan Distrik; memantapkan pelaksanaan Pola Satu Manajemen untuk mengelola Plasma; serta pelatihan SDM yang diarahkan untuk membentuk karakter yang lebih baik. Pada tahun 2008 Direksi telah mengangkat 4 orang Manajer untuk Kebun Plasma unit kerja baru yang terpisah dari Kebun Inti. Untuk memenuhi kebutuhan karyawan pimpinan yang sebagian besar akan ditempatkan di manajemen Kebun Plasma, maka dilakukan promosi karyawan pelaksana yang telah memenuhi persyaratan dan rekrutmen sarjana (S-1 dan S-2) dari luar sejumlah 33 orang.

Pengembangan Usaha diarahkan pada pengembangan Horisontal dan Vertikal yang lebih progresif. Di tahun 2008, secara horisontal PTPN-XIII telah melaksanakan pembangunan kebun kelapa sawit baru di Sangata, Kalimantan Timur berikut sarana dan prasarananya. Selain itu mempersiapkan pembangunan 2 (dua) Pabrik Minyak Kelapa Sawit (PMS) di Kembayan (kapasitas 30 ton/jam) dan di Pelaihari (kapasitas 30 ton/jam). Secara vertikal perusahaan sedang membangun 1 (satu) unit Pabrik Biodiesel di PMS Samuntai (Kalimantan Timur) dan 1 (satu) di PMS Parindu, Kalimantan Barat, masing-masing kapasitas 6.000 liter biodiesel/hari. Diharapkan pemakaian energi berbasis BBM dapat lebih dihemat dan secara bertahap operasional pabrik dapat mulai dialihkan ke energi terbarukan.

Sementara itu, menghadapi krisis finansial global, PTPN-XIII telah dan akan melakukan berbagai upaya yang mencerminkan tanggap darurat, antara lain dengan cara menekan biaya-biaya overhead dan eksploitasi yang tidak langsung berpengaruh kepada peningkatan produksi serta mengupayakan agar cashflow tidak terganggu.

Ditengah pertumbuhan perekonomian dunia yang cenderung melambat, kami menyadari bahwa begitu tinggi harapan Pemegang Saham ke depan untuk menjadikan PTPN-XIII berdaya saing tinggi, berkembang dan tumbuh berkelanjutan. Sebagai upaya untuk memenuhi harapan tersebut, kami telah mempersiapkan Rencana Jangka Panjang (RJP) perusahaan tahun 2009-2013.

Improvement of Production Assets Quality was focused on efforts that may have direct impact to increase the production by means of: 1) gradual rejuvenation of palm and rubber trees, 2) complete application of soil building (by utilizing liquid as well as solid waste), 3) implementing best practise of estate, 4) improvements all palm oil mills to increase their performance, 5) procurements of heavy duty machineries both for the estates and mills, 6) routine maintenance, 7) redesign of all roads and bridges within the TU areas, 8) Pilot Project to improve the production and connecting roads by applying Nextbase Road System (NRS), and 9) construction of housing facilities for the necessary work unit.

Restructuring the organization, Human Resources and Work System were carried out by 1) structuring the organizationas well as the level, and positions of human resources to adapt the conditions, work environment and company location; 2) empowerment of district; 3) affirming the application of One Roof Management System (ORMS) in the managing plasma estates, 4) training of human resources to form better characters. In 2008, the Directors have appointed 4 Managers focussed on managing the new Plasma Estates solely. In order to cover the need for junior, middle and senior managerial level placed in Plasma Estates management, the company had done outsourcing recruitment of graduates and undergraduates (S1&S2 degree) as well as promotion of employees to fulfill the requirement for such positions.

Business Development was directed towards a more progressive development both horizontally and vertically. Horizontally, PTPN-XIII has started to carry out the establishment of new palm oil estate at Sangata in East Kalimantan complete with its facilities and infrastructures since 2008. In addition, it has been prepared for construction of 2 (two) Palm Oil Mills i.e., at Kembayan (capacity of 30 tons/hour) and at Pelaihari(capacity of 30 tons/hour). Vertically, this company was about to complete the constructing 1(one) unit of biodiesel factory at Semuntai Palm Oil Mill(East Kalimantan) and 1 (one) Parindu Palm Oil Mill in West Kalimantan with a production capacity of 6,000 litres of biodiesel per day respectively. It is expected that the use of energy of cheap biofuel-renewable energy base would reduce the use of solar as fuel hence increasing the efficiency of operation of the mills in the future.

To face the global financial crisis, PTPN-XIII had done the contingency plan such as reducing the overhead and other exploitation costs that do not have any direct impacts with the production , and to maintain a stable cashflow.

Though the world economic growth slow down, we realized that the shareholders expectation was very high in which PTPN-XIII should have a highly competitive, more development and constantly growing company. To do that we have prepared the companys Long Term Plan for the years of 2009-2013.

RJP tersebut menggambarkan arah dan kinerja perusahaan dalam kurun waktu 5 (lima) tahun mendatang, yang penyusunannya mengacu pada perkembangan kondisi eksternal, kapabilitas internal serta asumsi-asumsi yang wajar.

Selama lima tahun ke depan, PTPN-XIII akan melakukan ekspansi melalui perluasan Kebun Inti dan Kebun Plasma kelapa sawit/karet sehingga mencapai skala ekonomi yang optimal. Perusahaan juga akan membangun usaha patungan industri hilir berbasis CPO/PKO dan karet, mengembangkan tanaman pangan, membangun diversifikasi usaha kehutanan dan pertambangan batubara, serta industri pendukung (pabrik pupuk) bermitra dengan BUMN/PTPN lain atau swasta. Unit usaha Pelaihari akan diarahkan menjadi model industri terintegrasi berbasis kelapa sawit berikut produk hilirnya sehingga memberikan nilai tambah yang tinggi. Kegiatan Penelitian and Pengembangan serta Inovasi and masa kreatif akan semakin diintensifkan dan diarahkan pada peningkatan produktifitas tanaman, efisiensi pabrik serta sumber energi yang dapat diperbaharui sehingga akan berdampak langsung terhadap kinerja perusahaan baik jangka pendek maupun panjang. Dengan demikian perusahaan akan mampu menghasilkan produk dengan pencapaian tingkat efisiensi tinggi.

PTPN-XIII memiliki komitmen yang kuat pada standar Good Corporate Governance (GCG) dengan memastikan terlaksananya prinsip transparansi, akuntabilitas, bertangggung jawab, kemandirian dan kesetaraan yang selalu dievaluasi dan diukur setiap tahunnya. Perseroan menyadari bahwa penerapan GCG bukan hanya sekedar kepatuhan terhadap peraturan semata, namun juga merupakan bagian yang tak terpisahkan dari seluruh kegiatan usaha PTPN-XIII yang berakar pada nilai-nilai dan budaya perusahaan. Pengenalan penerapan GCG sebagai budaya perusahaan bukan hanya di lingkup internal PTPN-XIII, tetapi juga berlaku terhadap para mitra bisnis.

Pada tahun 2008 penerapan GCG di perusahaan telah dievaluasi pelaksanaannya oleh badan independen yaitu BPKP Perwakilan Kalimantan Barat memperoleh nilai 81,35 dengan predikat BAIK mengalami peningkatan dibandingkan tahun 2007 yang memperoleh nilai 80,97 dengan predikat BAIK.

Selain itu, guna menunjang kegiatan operasi maupun Investasinya, Perusahaan yang dibantu oleh BPKP Perwakilan Kalimantan Barat telah membentuk Komite Risiko sehingga ke depan setiap kegiatan akan melalui analisa risiko untuk meyakinkan bahwa semua kemungkinan sudah dapat diantisipasi.

Sejak awal berdirinya, misi PTPN-XIII bukan hanya mencetak laba semata, namun juga bermanfaat bagi pemegang saham, karyawan, pekebun, petani, masyarakat dan lingkungan. Berawal dari dedikasi yang tulus, tanggung jawab sosial perusahaan (CSR) dilakukan untuk membangun dan memelihara kemitraan antara Perseroan dan seluruh pemangku kepentingan secara berkesinambungan.

The plan describes the directions and performance of the company for the next 5 years based on the study of external conditions, internal capabilities and reasonable assumptions.

In the next 5 (five) years, PTPN-XIII plans to expand its activities through expansion of both its Nucleus and Plasma Estates of palm/rubber for the purpose of reaching an optimum economic scale. The company will also establish joint-venture CPO/PKO and rubber based industry, develop holticulture plants, construct diversification of forest and coal mining as well as supporting industry (fertilizers factory) sharing with other state-owned enterprises/PTPNs or private companies. The Pelaihari Work Unit will serve as a model of palm based integrated industry with its downstream products so as to provide high added value. Research and Development as well as Innovation and Creative events will be more intensified and orientated towards increasing plants productivity, improving factory/mill efficiency and as a renewable source of energy that may have direct influence on the performance of the company both in short as well as long terms. It is expected that in this way, the company enables itself to produce highly efficient products.

PTPN-XIII is strongly committed to practice the Good Corporate Governance (GCG) by ensuring the application of principles of transparency, accountability, responsibly, independency and equality. This has been carried out by annual evaluation. The company understands that the application of GCG does not serve only as complete adhrence to the laws but also constitutes as an integrated and inseparable part of the whole PTPN-XIII activities which reflects corporate values and system. The introduction of GCG application as corporate culture is disseminated not only throughout PTPN-XIII environment but also the business partners.

During the year 2008, West Kalimantan Finance and Development Audit Board had evaluated the implementation of GCG by the company. This independent body had given a score of 81.35 points and labelled as GOOD which was slightly better than that that of 80.97 points in 2007.

In addition, the company together with the West Kalimantan Finance and Development Audit Committee had formed a cooperation on a Risk Committee in support of cooperation and investment. This cooperation means that in the future any activities shall go through risk analyses to ensure that all risk possibilities have been well anticipated.

Since the establishment, the PTPN-XIII mission is not only concern with the profits but also to be beneficial to the shareholders, employees, plantation workers, farmers, community and its surroundings. Based on the sincere dedication, the Corporate Social Responsibility aims to develope and maintain the partnership between the Corporate and stakeholders in a sustainable way.

Untuk hal tersebut, PTPN-XIII turut berpartisipasi member-dayakan dan mengembangkan kegiatan dan pertumbuhan ekonomi, perluasan lapangan kerja, kesempatan berusaha, dan pemberdayaan masyarakat dan lingkungan melalui Program Kemitraan dan Bina Lingkungan.

Program Kemitraan merupakan program untuk membina pengusaha kecil/koperasi setempat. Dana yang telah dikucurkan/dipinjamkan pada tahun 2008 sebesar Rp.2,668 milyar sedangkan jumlah akumulasinya (1996 s/d 2008) adalah sebesar Rp.11,984 milyar.

Program Bina Lingkungan merupakan upaya peningkatan taraf hidup masyarakat di sekitar unit usaha melalui pembangunan sarana sosial seperti pembangunan sarana ibadah, pembuatan sumur bor untuk sarana air bersih, sarana pendidikan, perbaikan jalan dan jembatan. Dana yang telah dikeluarkan pada tahun 2008 mencapai Rp 3,034 milyar sedangkan jumlah akumulasinya (1996 s/d 2008) sebesar Rp. 12,140 milyar.

Pada semester II tahun 2008, kami telah melepas Dewan Komisaris lama yang telah berkiprah di PTPN-XIII selama kurang lebih 5 tahun. Terima kasih dan penghargaan yang tinggi kami sampaikan atas jasa-jasa mereka bagi perseroan. Kami juga mengucapkan selamat datang kepada Dewan Komisaris yang baru. Meskipun baru beberapa bulan mereka mengemban amanah, mereka telah berhasil melanjutkan kebijakan Dewan Komisaris terdahulu sekaligus juga memberikan kontribusi positif bagi kemajuan PTPN-XIII di tahun 2008.

The partnership program had also enhanced the local small enterprises and cooperatives. The funds duly spent/lent during the year 2008 had reached an amount of Rp.2.668 billions and since 1996 until 2008 the amount has reached Rp.11.984 billions.

The Community Development Program had been carried out to enhance the living quality of the community around the plantations/work units through construction of social facilities such as praying houses, artesis wells, education facilities, road and bridge repairs. The funds duly spent during the year 2008 had reached an amount of Rp.3.034 billions and since 1996 until 2008 the amount had reached Rp.12.140 billions.

In the second semester of 2008, the former Board of Commissioners who have served PTPN-XIII for 5 years had to step down and we accordingly would like to express our high appreciation for their services. On the other hand, we also would like to welcome the new Board of Commissioners whom in spite of their joining the company for just few months, they have managed to continue the policies of the former Board of Commissioners and contributed positively for the progress of PTPN-XIII in the year 2008.

RIWAYAT SINGKAT PERUSAHAAN Perusahaan perseroan (Persero) PT.Perkebunan Nusantara XIII (Persero) disingkat PTPN-XIII, merupakan hasil penggabungan dari Proyek Pengembangan 8 (delapan) PTP yaitu VI, VII, XII, XIII, XVIII, XXIV-V, XXVI dan XXIX yang semuanya berlokasi di Kalimantan.

PTPN-XIII dibentuk berlandaskan pada Peraturan Pemerintah (PP) No.18 tahun 1996 dan Akte Notaris Harun Kamil, SH No.46 tanggal 11 Maret 1996 dan telah disahkan oleh Menteri Kehakiman R.I melalui keputusan No. C2-8341.IIT.01.01.TII.96 tanggal 8 Agustus 1996 serta tambahan Berita Negara R.I No. 81. Modal Dasar Perseroan sebesar Rp. 460.000.000.000,- serta Modal Ditempatkan dan Disetor sebesar Rp. 460.000.000.000.

Dalam rangka membangun landasan yang kokoh bagi pertumbuhan bisnisnya, maka pada tahun 2002 telah di-adakan perubahan Anggaran Dasar Perseroan sesuai dengan Akte Notaris Sri Rahayu Hadi Prasetyo, SH No. 05 tanggal 7 Oktober 2002 dan telah disahkan oleh Menteri Hukum dan Hak Asasi Manusia No. C-20948 HT.01.04.Th.2002 tanggal 28 Oktober 2002 dan tambahan Berita Negara R.I No. 24.

Sejalan dengan visi dan misi perusahaan, pada tahun 2008 PTPN-XIII kembali melakukan perubahan Anggaran Dasar Perseroan sesuai dengan Akte Notaris P. Sutrisno A. Tampubolon No. 16 tanggal 12 Agustus 2008 dan telah disahkan oleh Menteri Hukum dan Hak Asasi Manusia Nomor AHU-55430.AH.01.02.Tahun 2008 tanggal 26 Agustus 2008 dan tambahan Berita Negara R.I. No. 87 tanggal 28 Oktober 2008

BIDANG USAHA UTAMA Memasuki usianya yang ke-12 tahun, PTPN-XIII tetap fokus pada bisnis agroindustri sebagai bisnis utama dengan komoditas andalannya berupa Kelapa Sawit dan Karet. Bidang usaha Kelapa Sawit meliputi pengelolaan kebun Kelapa Sawit Inti dan Plasma berikut Pabrik Minyak Sawit (PMS), dengan produk utama berupa Minyak Sawit dan Inti Sawit. Bidang usaha Karet meliputi pengelolaan Kebun Karet Inti dan Plasma dengan produk utama berupa SIR 20 dan RSS. Sejalan dengan Visi dan Misi Perusahaan, saat ini PTPN-XIII tengah merambah segmen lain yang prospektif yaitu dengan mendirikan pabrik pengolahan Biodisel sebanyak 2 (dua) unit masing-masing kapasitas 6.000 liter biodiesel/hari.

COMPANY IN BRIEFPT. Perkebunan Nusantara XIII (Persero) abbreviated as PTPN-XIII, was established in 1996 being the results of a merger among 8 (eight) PTP project developments namely PTP VI, VII. XII, XIII, XVIII, XIV-V, XXVI and XXIX located in West Kalimantan.

PTPN-XIII was established under the Government Regulation No.18 Year 1996 and Notary Deed of Harun Kamil, SH No.46 on March 11, 1996 and legalized by the Minister of Justice of the Republic of Indonesia No.C2-8341.IIT.O1.O1.TII.96 on August 8, 1996 and published in the State Gazette of Republic of Indonesia No.81. The authorized capital was Rp.460,000,000,000,- while the issued and fully paid capital was Rp.460,000,000,000,-.

To develop a strong base of its business growth, the company made some changes of the Companys Articles of Association of Sri Rahayu Prasetyo Hadi Prasetyo, SHs Notary Deed No.5 of October 7, 2002 which was further legalized by the Minister of Justice of the Republic of Indonesia No.C-20948.01.04 on October 28, 2002 and published in the State Gazette of Republic of Indonesia No.24.

In line with the vision and mission, PTPN-XIII has again made some alterations to the Companys Articles of Association as per Notary Deed of P. CORE BUSINESS SECTOR Entering its 12th Anniversary, PTPN-XIII still focuses on agro-industry as its core business and has palm oil and rubber as its mainstay. This Palm Oil business covers the management of palm oil plantation both nucleus and plasma estates along with Palm Oil Mills the main product of which are palm oil and Kernel while the rubber business covers the management of rubber plantation both nucleus and plasma estates producing SIR 20 and RSS. Along with the companys visin and misin, currently PTPN-XIII is undertaking other prospective business segment by constructing 2 units of biodiesel factories which is capable of producing 6,000 litres of biodiesel/day respectively.

Jumlah Karyawan Dan Deskripsi Pengembangan KompetensinyaPTPN-XIII melakukan pendekatan di bidang sumber daya manusia didasarkan kepada prinsip bahwa sumber daya manusia merupakan asset terpenting untuk masa depan perusahaan. Oleh karena itu Bagian Pengembangan Sumber Daya Manusia (PSDM) berusaha untuk menyiapkan karyawan menjadi karyawan unggul dalam sikap, pengetahuan dan keahlian. Bagian PSDM juga mengembangkan dan menjalankan sistem yang tepat untuk meningkatkan kepuasan kerja karyawan, memacu produktivitas dan mengelola karyawan secara efektif.

Pada akhir tahun 2008, formasi tenaga kerja PTPN-XIII tercatat sebanyak 14.283 orang terdiri dari; 5 orang Dewan Komisaris, 5 orang Dewan Direksi, 12.368 orang Karyawan Tetap, 1.581 orang Karyawan Tidak Tetap dan pensiun 324 orang. Dari jumlah tersebut, 46 orang menempati posisi Manajer Menengah Atas (MMA), 81 orang menempati posisi Manajer Menengah Madya (MMM), 365 orang menempati posisi Manajer Menengah Pratama (MMP), 11.876 orang pada tingkat karyawan pelaksana.

Total Number Of Employees And Description Of Competency DevelopmentPTPN-XIII believes that human resources is one of the most important company asset in the future. Hence, the Human Resources Development (HRD) Department attempts to create reliable employees either in attitudes, knowledge or expertise. HRD also develops and performs an appropriate system to improve employees work satisfaction, increase their productivity and manage them effectively.

By the end of 2008, PTPN-XIII employees were recorded as many as 14,283 of 5 members of Board of Commissioners, 5 members of Board of consisting Directors, 12,368 permanent employees, 1,581 non-permanent employees and 324 employees were already retired. Of the above total number of employees, there were 46 persons of senior management, 81 persons of middle management, 365 persons of junior management while the other 11,876 persons were of non-staff employees.

Pembinaan Kompetensi KaryawanPengembangan sumber daya manusia merupakan prioritas utama bagi PTPN-XIII untuk mendukung strategi baru perusahaan. Sepanjang tahun, PTPN-XIII terus mengem-bangkan pendekatan pengelolaan kompetensi sumber daya manusia ke arah yang lebih baik yang meliputi antara lain penyesuaian metodologi dalam mengidentifikasi dan mengembangkan kompetensi. Dengan pendekatan baru yang lebih baik ini, PTPN-XIII memiliki peta kompetensi yang lebih sempurna guna membangun program pengembangan sumber daya manusia yang fokus dan efektif.

Kegiatan pengembangan budaya perusahaan dilaksanakan melalui pelaksanaan program pengembangan sumber daya manusia yang handal, yang secara khusus dirancang untuk menyegarkan kembali pemahaman karyawan mengenai nilai-nilai budaya PTPN-XIII, melalui program pelatihan yang menggunakan proses pembelajaran berbasis pengalaman, dengan didukung oleh proses diskusi interaktif. Dengan demikian, peserta pelatihan tidak hanya memahami konsep yang mendasari nilai-nilai budaya perusahaan yang di-terapkan, namun juga memahami aspek penerapannya dalam kegiatan kerja sehari-hari.

Pada tahun 2008 telah dilakukan pembinaan dan pengembangan karyawan melalui latihan, kursus dan seminar untuk 2.833 orang turun dibandingkan tahun 2007 sebanyak 3.481 orang, tetapi biaya yang dikeluarkan meningkat 60,34% dari tahun 2007 karena kualitas pelatihan meningkat seperti tabel dibawah ini :

Development Of Employee CompetenceHuman resources development is of primary importance to support the new company strategy. Throughout the year 2007, PTPN-XIII continued developing and improving the management of competence of human resource covering methodology adjustment in identifying and developing their competences. In this way, PTPN-XIII owned a better mapping of competence that can be used as a base to develop the programs of human resource which are more focus and effectively.

The activities on developing corporate culture was managed through a reliable human resource developments. In this circumstances, the developments were specifically designed to refresh the company employees understanding of PTPN-XIII culture through experience based learning training programs supported by interactive discussion processes. In this circumstances, the training participants would gain a comprehensive understanding not only the concepts underlying the company culture and values but also the aspect of implementation in the daily activities.

In 2008, the company had carried out activities regarding employees development and enhancement through trainings, courses and seminars. The attendants decreased from 3,481 persons in 2007 to 2,833 in 2008, However, the cost of training was increased by 60.34% as consequency of quality of training improvement as shown in the table below:

KOMPOSISI PEMEGANG SAHAM Sebagai Perusahaan Negara, sahamnya 100% (seratus persen) dimiliki oleh Pemerintah Republik Indonesia. PTPN-XIII dikembangkan untuk ikut melaksanakan dan menunjang kebijakan maupun program Pemerintah di bidang ekonomi dan pembangunan nasional, khususnya di sektor pertanian sub sektor perkebunan. Direksi dan anggota Komisaris tidak memiliki saham di PTPN-XIII dan di anak perusahaannya

ANAK PERUSAHAAN DAN PERUSAHAAN ASOSIASI Saat ini PTPN-XIII memilki 1 (satu) Perusahaan Asosiasi yaitu PT Perkebunan Agrintara berkedudukan di Jakarta dengan kepemilikan saham sebesar 15%. Perusahaan tersebut memiliki tinggal 1 (satu) unit usaha industri hilir karet yang berlokasi di Purwakarta memproduksi belt conveyor, karet gelang, resipren, rubber roll yang mulai beroperasi secara komersialpada 1 Januari 1997.

KRONOLOGIS PENCATATAN SAHAMStatus PTPN-XIII adalah BUMN kategori non-listed sehingga belum tercatat pada Bursa Efek.

AKUNTAN PERSEROAN Laporan Keuangan PTPN-XIII Tahun buku 2008 diaudit oleh Kantor Akuntan Publik (KAP) Husni Mucharam dan Rasidi (HMR). PTPN-XIII mempergunakan jasa Kantor Akuntan Publik Husni Mucharam dan Rasidi (HMR) telah berjalan 3 (tiga) periode. Besarnya Fee Audit Rp. 480.000.000,- (termasuk PPN 10 %).

SHAREHOLDERS COMPOSITION As a state-owned company whose shares 100% owned by the Government of Republic of Indonesia, PTPN-XIII is aimed at carrying out and supporting government programs in economic field and national development particularly in the agricultural sector, i.e., plantations.

SUBSIDIARY AND ASSOCIATION COMPANIESPresently, PTPN-XIII owns an associated company so called PT.Perkebunan Agrintara which is located in Jakarta with 15% of shares ownership. This company, which officially started its commercial operation in January 1, 1997, runs a downstream rubber industry at Purwakarta producing conveyor belts, rubber bracelets, resipren, rubber rolls.

COMPANY ACCOUNTANTThe PTPN-XIII Financial Report of 2008 Year-book was audited by Public Accountant Office of Husni Mucharam and Rasidi. PTPN-XIII has paid the audit fee of this Public Accountant Office for 3 (three) periods of Rp. 480,000,000.- (including 10% VAT).

Lahir di Sumedang, Jawa Barat pada tanggal 29 Januari 1956. Lulus dan meraih gelar Sarjana Kehutanan pada tahun 1978 dari Institut Pertanian Bogor, Gelar Magister Sains (Jurusan Ekonomi Pertanian) tahun 1981 dari Institut yang sama dan gelar Doktor diperoleh tahun 1988 dari Michigan State University. Pengalaman karir diantaranya adalah sebagai Deputy Pertanian di Bapenas, Direktur Jenderal Perkebunan Departemen Pertanian tahun 2000 2003. Peneliti Utama bidang Sosial Ekonomi, selain itu aktif mempublikasikan karya ilmiah hasil penelitian lebih dari 100 judul. Deputi Bidang Usaha Agro Industri, Kehutanan, Kertas, Percetakan dan Penerbitan Kementerian BUMN. Sejak Oktober 2008 sampai dengan sekarang menjabat sebagai Komisaris Utama PTPN-XIII.

He was born in Sumedang, West Java on January 29, 1956. He graduated from Bogor Agricultural Institute (IPB) and obtained Ir in Forestry in 1978. He continued to study at the same institut and obtaining a Magister Sains in Agricultural Economics in 1981. He pursued Doctor of Philosophy (Ph.D) of Michigan State University in 1988. He ever served the position as an Agricultural Deputy at National Development Body and as a Director General of Farms in the Department of Agriculture from 2000 to 2003. He also served as a Major Researcher in Social Economics and actively published more than 100 titles of books relating to his research and also as a Deputy on Agro-industry, and incharge of matters regarding Forestry, Paper, Printing and Publication of State Owned Enterprises Ministry. He has been appointed the position as the President Commissioner of PTPN-XIII since October 2008.

He was born in Subang, West Java on September 29, 1951. He graduated from Military Academy in 1975 and began his carrer as an army officer in 1976. As a two-star General, he held the position as Expert Staff of Minister of Defence on Security Matters in 2007. He has been appointed as a member of the Commissioners of PTPN-XIII since October 2008.

Lahir di Pekanbaru, Sumatera Selatan pada tanggal 28 Februari 1958. Meraih gelar Sarjana Ekonomi Jurusan Akuntansi dari UGM tahun 1983, Magister Bisnis Administrasi bidang General Business dari Western Michigan University, Amerika Serikat tahun 1991, saat ini sedang mengikuti program S3 dalam bidang ilmu ekonomi, Universitas Airlangga, Surabaya. Mengikuti Local Goverment Financial Management Training, Institute of Local Goverment Studies, University of Birmingham, Inggris tahun 1994. Pengalaman kerja sebagai Dosen Fakultas Ekonomi UGM, Anggota Komite Kebijakan Publik Kementerian Negara BUMN RI, Kepala Pusat Studi Ekonomi Kerakyatan UGM, Staf Ahli Menteri Negara Urusan HAM Bidang Ekonomi. Sejak Oktober 2008 sampai dengan sekarang menjabat sebagai Anggota Komisaris PTPN-XIII.

He was born in Pekanbaru, South Sumatera, on February 28,1958. He graduated from UGM and obtained Drs in Economics, Accounting Department, 1983. He continued study at Western Michigan University, United States of America in 1991 and obtained a Masters degree in Business Administration (Majoring in General Business). Currently, he is a Ph. D student in Economics at Airlangga University, Surabaya. He attended the Local Government Financial Management Training, Institute of Local Government Studies, University of Birmingham, England in 1994. He is a lecturer of the Faculty of Economics at UGM. A member of Public Policy Committee for the Ministry of Indonesias State Owned Enterprises. An Expert Staff of State Minister for Basic Human Rights on Economics. He has been appointed as a member of the Commissioners of PTPN-XIII.

Lahir di Subang, Jawa Barat pada tanggal 29 September 1951, Lulusan AKABRI tahun 1975. Pengalaman karir diantaranya sebagai Anggota TNI AD sejak tahun 1976. Pada tahun 2007 menjabat sebagai Staf Ahli Menhan Bidang Keamanan dengan pangkat Mayor Jenderal. Sejak Oktober 2008 sampai sekarang menjabat sebagai Anggota Komisaris PTPN-XIII.

Lahir di Padang Tikar, Kalimantan Barat, pada tanggal 07 November 1976. Meraih gelar Sarjana Agama dari Universitas Islam Indonesia tahun 1998 dan gelar MS dari Universitas Tanjungpura tahun 2003. Pengalaman kerja di mulai pada Tahun 1999 sebagai Anggota DPRD Kabupaten Pontianak, Dosen Luar Biasa di STAIN Pontianak. Sejak Oktober 2008 sebagai Anggota Komisaris PTPN-XIII.

He was born at Padang Tikar, West Kalimantan, on November 7, 1976. He graduated from Indonesia Islamic University and obtained S. Ag in 1998. He continued study at Tanjungpura University and obtained Masters degree (MS) in 2003. In 1999, He was a member of Pontianak Regency Parliament. He was also Non-Permanent Lecturer of State Islamic Higher Learning Institute in Pontianak. He has been appointed as a member of the Commissioners of PTPN-XIII since October 2008.

Lahir di Angan Limau, Kalimantan Barat, pada tanggal 22 Agustus 1957. Meraih gelar Sarjana Hukum Tata Negara dari Universitas Tanjungpura tahun 1985 dan gelar MPA diperoleh dari Indiana University Bloomington diperoleh pada tahun 1990. Pengalaman kerja sebagai Dosen program Pascasarjana Fakultas Hukum (MH) dan Manajemen (MM) Universitas Tanjungpura, Ketua Umum Dewan Adat Dayak Kalimantan Barat. Koordinator Program Kerjasama Uni Eropa Pemerintah Indonesia Bidang Kehutanan di Kalimantan Barat. Sejak Oktober 2008 sampai dengan sekarang menjabat sebagai Anggota Komisaris PTPN-XIII.

He was born at Angan Limau, West Kalimantant, on August 22, 1957. He graduated from Tanjungpura University and held SH in 1985. He also pursued an MPA degree from Indiana University Bloomington in 1990. He is a lecturer for post-graduate programs in Faculty of Law and Faculty of Economics at Tanjungpura University. In addition, he is also the Chairman of Dayak Cultures West Kalimantan and as the Coordinator of Cooperation Program between Uni-European and Indonesian Government in the forestry sector in West Kalimantan. He has been appointed as a member of the Commissioners of PTPN-XIII.

Lulus dan meraih gelar Sarjana Pertanian dari Institut Pertanian Bogor dan gelar Magister Bisnis Administrasi dari Sekolah Tinggi Manajemen Prasetya Mulya Jakarta. Pengalaman karir diantaranya menjadi Direktur Produksi PTPN XIV, Direktur SDM & Umum PTPN XIV, Direktur Produksi PTPN-XIII, dan sejak April 2007 sampai dengan saat ini menjabat sebagai Direktur Utama PTPN-XIII.

Ir. Baim RachmanDirektur Produksi I Production DirectorLahir di Ciamis, Jawa Barat pada tanggal 21 Juni 1952. Lulus dan meraih gelar Sarjana Pertanian dari Universitas Tanjungpura Pontianak. Pengalaman karir diantaranya menjadi Manajer Kebun Longkali, Manajer Distrik Kalimantan Timur dan sejak April 2007 sampai dengan saat ini menjabat sebagai Direktur Produksi PTPN-XIII.

He was born in Cianjur, West Java, on February 25, 1959. He was graduated from Bogor Agricultural Institute (IPB) and pursued Master degree (MBA) from Business Administration of Prasetya Mulya, Jakarta. He was previously the Production Director of PTPN XIV, and then HR & General Affairs of PTPN XIV. He was also Production Director of PTPN-XIII prior to be appointed as the President Director of PTPN-XIII since April 2007.

Lulus dan meraih gelar Sarjana Muda Akuntansi dari Akademi Akuntansi YKPN Yogyakarta dan Sarjana Administrasi Niaga dari STI Lembaga Administrasi YUPMI, Medan. Pengalaman karir diantaranya sebagai Kepala Bagian Pemasaran PTPN-XIII, Direktur Pemasaran PTPN-XIII dan sejak April 2007 sampai dengan saat ini menjabat sebagai Direktur Keuangan dan Pemasaran PTPN-XIII.

He was born in Perbulan, North Sumatera on April 19, 1957. He was graduated from Akademi Akutansi YKPN Yogyakarta and obtained a Bachelor. He continued study at the STIE Lembaga Administrasi YUPMI, Medan and obtained S-1 in Business Administration. He was previously the Head of Marketing Department of PTPN-XIII, Marketing Director of PTPN-XIII and appointed as Finance and Marketing Director since April, 2007.

Lulus dan meraih gelar Sarjana dari Institut Teknologi Surabaya (ITS) gelar Magister Manajemen dari Institut Manajemen Prasetya Mulya Jakarta. Pengalaman karir diantaranya sebagai Pj. Kepala Urusan Mesin & Instalasi Bagian Pengkajian, Manajer PMS Gunung Meliau PTPN-XIII dan sejak April 2007 sampai dengan saat ini menjabat sebagai Direktur SDM & Umum PTPN-XIII.

He was born in Sanggau, West Kalimantan on June 9, 1954. He was a graduated from Technology Institute of 10 November, Surabaya and obtained Ir in Machineries. He continued study at the Management Institute of Prasetya Mulya, Jakarta and obtained Master degree in Management. He was previously the Caretaker of Machinery and Installation of Research Department, and as the Manager of PMS Gunung Meliau PTPN-XIII prior to appointed as Human Resource and General Affairs Director since April, 2007.

Pengalaman karir diantaranya sebagai Manajer Proyek Joint Venture KujangIB PT. Rekayasa Industri, Direktur PT. Bakrie Rekin Bio Energy, VP Portofolio PT. Rekayasa Industri, VP Corporate Strategy PT. Rekayasa Industri dan sejak April 2007 sampai dengan saat ini menjabat sebagai Direktur Perencanaan dan Pengembangan PTPN-XIII.

He was born in Tasikmalaya, West Java on August 14, 1955. He was graduated from Bandung Institute of Technology ITB) and obtained Ir in Chemical Engineering. He continued study at the Prasetya Mulya Jakarta and obtained Master degree in Management. He was the Project Manager of a joint venture company between Kujang and IB PT. Rekayasa Industry, Director of PT.Bakrie Rekin Bio Energy, VP Portofolio PT.Rekayasa Industri, VP corporate secretary of PT.Rekayasa Industri and appointed as Planning and Development Director of PTPN-XIII since April, 2007.

TINJAUAN KINERJA TAHUN 2008Perubahan lingkungan eksternal berupa resesi global sedikit banyak akan berdampak negatif terhadap kondisi perekonomian di Indonesia, yang diperkirakan akan berlangsung hingga dua tahun ke depan. Kondisi ini di satu sisi merupakan ancaman bagi perusahaan, namun di sisi lain merupakan peluang apabila bisa disiasati dengan cerdik. Sektor agribisnis yang bertumpu pada Resource Base Industry terbukti telah mampu memposisikan diri sebagai salah satu penopang pertumbuhan perekonomian negara di tengah krisis multidimensi yang terjadi pada tahun 1997.

KONDISI MAKRO EKONOMI 2008Tingginya harga minyak sepanjang kuartal 1-3 tahun 2008, yang diikuti dengan kenaikan harga BBM telah mendorong melambungnya harga bahan barang dan jasa, serta kenaikan ongkos angkut per kg TBS. Sementara itu, seiring dengan meningkatnya harga CPO sepanjang semester 1 tahun 2008, harga pembelian TBS juga mengalami peningkatan dikarenakan kenaikan harga jual minyak dan inti sawit.

Menjelang kuartal 4 tahun 2008, situasi berbalik. Krisis finansial global yang mengakibatkan perekonomian melambat di berbagai negara besar, membuat harga minyak dunia anjlok. Demikian pula, volume import ke Negara tersebut juga mengalami penurunan, termasuk impor produk perkebunan. Turunnya permintaan dan meningkatnya produksi berdampak pada tingginya Stock dan akhirnya hargapun menjadi jatuh. Sebagai contoh, harga CPO tertinggi terjadi pada sepanjang bulan Januari 2008 Juli 2008 yang bertengger di atas USD 1.000/ton, kemudian mulai turun pada bulan Agustus 2008 sehingga menjadi USD 885/Ton dan berita terakhir perdagangan CPO di Malaysia untuk kontrak bulan Februari 2009 dipatok pada harga RM 1.571 atau sekitar USD 450/ton.

OVERVIEW ON 2008 PERFORMANCE The changes of external conditions in the form of global recession should be admitted to have, whether slightly or markedly, brought about negative implication on Indonesias economy which is predicted to prolong for the next 2 years. This condition on one hand threatened companys existence but on the other hand it generated opportunities when the company was able smartly prepared a tactic or an proper strategic planning. The agrobisnis sector rest on Resource Base Industry proved the performance of the company at the position as one of the crutches of states economic growth in the multi-dimensional crisis in the year 1997.

2008 MACRO ECONOMIC CONDITIONThe high price of oil price during the 1st through and the 3rd quarters of 2008 followed by the increased of fuel had made the prices of commodities and services sky-rocketing and also an increase of FFB transport in term of a kilo. Meanwhile, along with the increase of CPO price in the 1st semester of 2008, the purchase price of FFB increased due to the increase of palm oil and Kernel purchase price.

However, in the 4th quarter of 2008, there had been a turn-around. The global financial crises that causes economic slow-down in major countries had made the world fuel price took a deep plunge. Consequently, the volume of import to those countries decreased including
