SPECIFICATION CHANGESClaridge reserves the right to institute changes to material,parts, or design as well as to discontinue models, options,and/or parts without any prior notice. Prices subject to changewithout notice.

ORDERSAll orders must be submitted in writing by US Mail, Fax, orE-mail. It is the Buyer's sole responsibility to check orders andtheir corresponding acknowledgments for accuracy. Minimumorder of $25.

ACKNOWLEDGMENTS & LEAD TIMESUpon credit approval, orders will be manufactured and invoicedbased upon the information on the acknowledgment. It is theBuyer's responsibility to notify Claridge of any acknowledgmentdiscrepancies. Actual shipment dates may differ fromacknowledged dates due to lack of credit approval. If an orderis subject to a credit hold, it will be scheduled for shipmentonly after it is released from credit hold.

ON-TIME SHIPPINGCONNECT orders for custom or made-to-order products areacknowledged within 72 hours of receipt of order, subject tocredit approval.

CPR (CLARIDGE PRIORITY RESPONSE)Claridge offers three levels of CPR: (1) CPR Urgent – a guaranteethat the order will ship within one week once Buyer agrees toCPR terms; (2) CPR Express – a guarantee that the order willship within two weeks once CPR terms are accepted; and(3) CPR Standard – a guarantee that the order will ship withinthree weeks once terms are accepted. If Buyer's order isshipped late, Claridge pays a 10% penalty for every day theorder ships late – up to total cost of the material.

CHANGE ORDERSClaridge reserves the right to apply additional charges to theinvoice for orders revised after manufacturing has begun. Allchanges must be in writing.

TERMSFor credit approved customers, all merchandise will be in-voiced when shipped, with standard terms of net 30 Days. TheBuyer agrees that Claridge shall have the right to assess inter-est charges of 1.5% per month on invoices not paid and re-ceived by Claridge within terms. The Buyer further agrees thatClaridge has the right to change terms, suspend shipments, orrefuse orders from any delinquent account.

SECURITYThe Buyer agrees that Claridge maintains a security interest inall merchandise sold by it to the Buyer until all monies havebeen paid to Claridge for said merchandise.

CANCELLATIONAll orders are considered firm and cannot be cancelled exceptby consent from Claridge. Claridge reserves the right to assessa Cancellation Fee of no more than 25%, or as negotiated, forany order cancelled by the Buyer.

FREIGHT POLICYEvery effort will be made to ship in accordance with customerrequested freight carriers. Claridge is not responsible fordamage in shipment when product is shipped on a third partyor collect basis. In the event of visible freight damage, notedamage on the freight bill and notify the carrier at once forinspection. Note that carriers require reports of damage within15 days. Failure to report visible damage or loss is theconsignee’s responsibility. Concealed damage identified after15 days from receipt is sole responsibility of Consignee.

SHIP DATES & DELAYSIf Claridge cannot ship products as scheduled due to causesbeyond their reasonable control (force majeure), the ship datewill be extended to compensate for the delay as determinedby Claridge.

REDELIVERY OF FREIGHTTwo weeks notice is required when redelivery of merchandisewill be required, or the actual cost for freight, restocking andrehandling, and storage, if applicable, will be billed to thecustomer.

RETURNSMany Claridge products are made-to-order and may not bereturned. Claridge reserves the right to refuse return ofcustom-made or specialty merchandise. All approved returnsmust be prepaid by the Buyer and are subject to a restockingcharge of no greater than 25%. Merchandise must be returnedunused, and properly packaged in original shipping carton.

WARRANTYClaridge porcelain enamel steel markerboard and chalkboardwriting surfaces are guaranteed for the Life of the Building.Other product in Price Book carries a one year guaranteeagainst defects in materials and workmanship.

MATERIAL DISCLAIMERSlight color variations may occur on surface materials. Claridgecannot be held responsible for reasonable variances.
