In the wake of a painful, economicallychallenging 2009,manyMichigan law firmmanaging partners said they came into2010 with an attitude of being “cautiouslyoptimistic.”Based on the activity each saw through-

out the year, that appeared to have beenthe right approach.There weren’t any layoffs or practice

group dissolutions among the 63 largestlaw firms, and no new associate classesfaced deferral.Toward the year’s end,many reported pos-

itive shifts in work among once-cool practicesectors, such as real estate transactions,commercial contracts and loan originations.Yet, tremors of 2009’s angst could still

be felt.Rex E. Schlaybaugh Jr., chairman and

CEO of Dykema Gossett PLLC, toldMichi-

gan Lawyers Weekly that economic trendsstill show overall demand for legal servic-es is going to be pretty flat.“The clients’ willingness to accept pric-

ing increases will be limited, and it willput a huge pressure on law firms to runtheir business more efficiently than everbefore,” he said.Dykema was ranked fifth among the

firms on Lawyers Weekly’s 2011 list of“Largest Law Firms.” The list chron-icles activity from Jan. 1, 2010, toJan. 1, 2011, amongMichigan firmsthat have 20 or more attorneys.Not everyone viewed

2009’s challenges asa bad thing.Lawrence J.

Murphy,man-aging part-ner at No.7-ranked

Varnum LLP, said that his firm’s 2009 re-ductions in operating costs, in addition toreassessing strategic considerations fornew business development and deliveryof services, helped in 2010.“We got better at it as a result of the im-

pact of 2009,” he said. “As a general practicefirm, we are, in some ways, the

canary in the mineshaft —you can almost look in-ternally to see howthe economy is per-forming externally.”But Michael W.

Hartmann, manag-ing partner at No. 1-ranked Miller, Can-field, Paddock and

Stone, P.L.C., said thatstrategy only goes so far.“You have to match yourworkforce to the demand as

closely as possible on a long-term basis.Everyone tries to figure out how it’s going tolook two or three years out and try to planfor it,” he explained.“But the last three years in the U.S. has

shown it’s a tricky business. In this world,things change pretty quickly, and you haveto adapt pretty quickly,” Hartmann said.“Law firms have concluded that; I don’tthink you can assume what you did twoyears ago will work two years from now. Lawfirms have to adapt like clients do — andclients don’t get [much time] to adapt.”

Sectors that saw sizzleIn surveying practice sectors, it’s clear that

Michigan firms adapted to sudden-ly hot fields in 2010, even re-turning to ones that cooledoff just a few years ago.The most activity was

reported in intellectualproperty, regulatoryand restructuring mat-ters for financial institu-tions, labor and employ-ment and health care.At No. 19-ranked Howard &

Howard Attorneys, PLLC, credi-tors’ rights, bankruptcy andloan workouts were strong formost of the year.Firm president and CEO Mark

A. Davis said that such workslowed down near year’s end, asbanks that had worked throughtroubled loans and clients’ finan-cial difficulties are comingthrough to the other side.No. 2-ranked Honig-

man Miller Schwartzand Cohn LLP had a lotto celebrate in its“record year” 2010. Notonly was its real estatetax appeals group ro-bust, it also identified“up-market” areas, suchas private equity and finan-cial institutions in corporatematters.And it wasn’t just Michi-gan that felt it, said firm CEO andchairman David Foltyn.

“We’ve found that we were able to sell ourservices all around the country to businessesthat are comparing us to Chicago and NewYork firms,” he said. “By those standards, ourvalue proposition is extraordinary.”So much so, he added, that in the latest

SNL Financial rankings in terms of nation-al deals for financial institutions, Honigmanranked No. 1.The 2009 amendments to the state’s

foreclosure-by-advertisement statute —where borrowers must come up with a loanmodification plan before the lenderforecloses on a principal residence — playeda strong part in Trott &Trott P.C.moving upfive spots to rank at No. 14 on the “LargestLaw Firms” list.

“We’re having a lot of one-on-one meet-ings with borrowers to try to help themavoid foreclosure, which has been avery productive and rewarding effortfor our attorneys,” said DavidA.Trott,president and managing partner.

The firm added 17 attor-neys in 2010 because ofthe surge in that activ-ity, Trott said, addingthat coming intothe new year, “Weknew we’d havesome [additions],but we didn’t an-ticipate as manyas we received.”Dykema’s Schlay-

baugh said that thefirm’s financial institu-tions practice spent part of2010 gearing up for impli-cations of the passage ofDodd-FrankWall StreetReform and ConsumerProtection Act.“Obviously that re-

quires a huge invest-ment, and we expectthat a lot of our clientswill be dealing with howto respond to it,” he said.

“When you have any newma-jor overhaul, there will be lots of

work that will come out of it as ourclients try to figure out the landscape.”

Schlaybaugh said that besides its automo-tive and energy sectors doing brisk business,expansion of national health care regulationhas given Dykema an uptick in activity.Craig A. Mutch, managing member at No.

15-ranked Miller, Johnson, Snell & Cum-miskey, P.L.C., also reported good numbers inthe firm’s hospital practice group, whichdeals with everything from employment toreimbursement.“The nice thing about hospitals is, they

need to be here, unlike manufacturingplants that can pick up and go to Mexico orChina,” he said. “And we’ve made a signifi-cant effort to cultivate that work.”Justin G. Klimko, president and manag-

ing shareholder at No. 9-ranked ButzelLong, reported strong activity in the firm’sbanking and restructuring, white-collar

crime and internal investigations,international antitrust litiga-tion and automotive groups.As with 2008-09, he citedslowness in the real estatemarket and an uneveneconomic landscape fortransactions as hurtingpoints for most of 2010.“The values got to the

point where people weren’twilling to make deals, and

sellers just weren’t willing tosell,” Klimko said.

Keeping a good balanceMany firms, like No. 10-ranked Bodman

PLC, had internal transitioning to balancethings out among hot and cool.“We are not so specialized here that we don’t

kind of pick up in other areas when one area isslower,” said Ralph E. McDowell, chairman ofthe firm’s executive committee. “There are sev-eral people here who do a variety of things,such as a real estate attorney whokeeps busy with foreclosures andother types of actions, andwhen that slows down willmove toward sales, merg-ers and acquisitions, andfinancing as those pick up.“You don’t have a shift

of people in and out of thereal estate group, butmore a shifting of whatthey’re working on.”That was the same thinking

for Howard & Howard; in 2010, at-torneys there who traditionally did loan doc-umentation work for banks were doing loanworkouts for them instead.Plunkett Cooney, ranked No. 8 on the list,

had general litigation attorneys steppinginto busier areas such as creditors’ rightsand insurance coverage.

Managing partner Henry B. Cooney saidthe firm was struggling a bit with workers’compensation, but added “that’s really a func-tion because our work force is shrinking; as astate and as a region in southeast Michigan,there are fewer workers for fewer claims.”Mark E.Morley, managing attorney at No.

21-ranked SecrestWardle Lynch HamptonTruex & Morley, PC, said its municipalpractice was up, as was litigation inemployment and fraud.Tort law cas-es were still cool, such as premisesliability, based on recent MichiganSupreme Court decisions andchanges to the high court itself.In terms of geographic expansion,

WilliamT. Burgess, CEO at No.3-ranked DickinsonWrightPLLC, reported thatgrowth in IP and gam-ing law in Las Vegasprompted the firm toopen an office there.It also merged withAylesworth LLP tomake its Torontooutpost, which waspreviously limited tosmall gaming and cor-porate law matters, afull-service office.Bodman added an affiliate

office in Dallas, with three attorneysin banking, real estate and litigation. It alsoaffiliated with a California firm to allow fora banking practice — and presence — on theWest Coast.Butzel Long, meanwhile, pulled out of the

Florida market. Klimko said it vacated itsPalm Beach and Boca Raton offices becauseadditional investment was being asked of theaffiliated law firm there, “and we decided thatthat just wasn’t part of our business strategy.”Its New York City office was at risk, too,

he added.“We had the right strategy at sort of the

wrong time; we implemented it just as themarket was turning south,” Klimko said.“But we’re still committed to that office, andhave done restructuring there … and it’sstarting to show us profit.”

Mostly stable rostersOnly a handful of firms on the list had

double-digit growth and reductions in num-ber of attorneys compared to 2009’s numbers.Schlaybaugh said Dykema’s reporting 20

fewer attorneys in 2010 was based on bothattrition — such as retirement and change

of job — and a general slow-down in hiring that start-ed in 2009. He addedthat the firm did nothave to defer its fallclass of associatesas it did in 2009because of a slow-down in work.Miller Canfield’s

Hartmann said thatwhile attrition did fac-

tor into his firm’s 25-few-er-attorneys figure for 2010,he explained that the firmemployed a more careful as-sessment for this year’ssurvey as to what it consid-ered a full-time attorney.“We sure didn’t lay off

25 people,” he said. “Therewere no programmed layoffslast year at all.”Most notable has been Butzel

Long’s 28-attorney decline reportedat the end of the 2010 calendar year.

It’s not the first time the firm has posted sucha decrease; over a four-year period, ButzelLong’s ranks have thinned by 67 attorneys.“Any law firm is going to have some out-

ward flow of attorneys for personal reasons,etc.,” Klimko explained, “and the thing weweren’t really doing over the last couple ofyears was aggressively replacing them.“There’s been a pretty significant amount of

rationalization, if you will, of attorney sizes”nationally, and Butzel Long was no exception.No. 3-ranked Warner Norcross & Judd

LLP’s figures were steady, staying at thesame 219 as the year prior. But managingpartner Douglas E. Wagner said that therewas a difference: more lateral recruitment.“There are advantages to that,” he said,

“the principal one being you can react tomarket conditions more quickly. When

you’re hiring a law student, you’re projectingout two or three years as to what your needsare going to be, but in a lateral market, youcan fill a need within a few months.”Foltyn at Honigman said that sometimes

the talent can come before the need, as 20lateral lawyers — many of whomcame from out of state — wereadded to the firm in 2010.“Our philosophy has al-

ways been, if someone top-notch becomes available,we want them, becauseyou don’t get top lawyersevery day who want tolive in Michigan,” he said.And John J. Hern Jr.,

CEO at No. 6-ranked ClarkHill PLC, said that client-dri-ven needs in the firm’s IP, corpo-rate, automotive, government and public af-fairs groups accounted for a 10-attorneyincrease over 2009.

New science of billingCollecting among large Michigan firms

wasn’t as much an ordeal in 2010 as it wasthe year before, but alternative billingarrangements were still prominent.Citing national statistics, Cooney at Plun-

kett Cooney said it’s common for 15 to 20percent of clients to opt for them.“With some clients, it’s a good business de-

velopment tool, because it goes back to thesame thing with budgets — clients wantmore predictability with their legal expens-es,” he said.That’s not to say it’s always easy to im-

plement.Despite Honigman taking strong action

in investing time and money in developing aproject management support system, Foltynlamented, “I think most CEOs and generalcounsel would tell you, people are still tryingto figure out alternative fees. Clients arestill trying to figure out how it works, andlawyers are still far behind in project man-aging and predictability.”With many clients still feeling the effects of

a harsh economic time, Robert C. Shaver, pres-ident at No. 23-ranked Rhoades McKee PC,said it’s necessary for firms to do their best.

Besides making plans for, say, one client’sbilling to not exceed a certain amount permonth, he said his firm has employed use ofblended fees, where the hourly rate is re-duced but a success fee is “backloaded.”“If there’s a concession of sorts on the one

hand with a backloaded success fee, the goal isnot just to produce a bill at a later date that’sless for the client,” Shaver said. “We’re trying

to be rewarded and be compensated forthe services we’ve performed.”

Other firms took hardstances, such as not advanc-ing as many costs, or imple-menting policies on howmuch clients could run upreceivables before the firmwould turn off the services.Then there’s the D-word.“At the end of the day,” said

Howard & Howard’s Davis,“what clients [say] most is, ‘Gimme

a discount.’ ‘What’s your hourly rate?Gimme a discount.’ ‘The more volume I giveyou, the more discount I want.’”That’s been difficult for his firm,Davis said,

because in 2010 it already had a low hourlyrate compared to other firms.“What will be interesting is,

now that these clients arestarting to do tremendous-ly well again, are they go-ing to go away from ‘Iwant the discount,’ or isthis going to be a fact oflife on a going-forwardbasis? I’m really curiousto see how this plays out.”Clark Hill’s Hern, who re-

ported that demand for alter-native billing arrange-

ments grew substantially for thefirm in 2010, agreed.

“There’s probably goodreason to think that con-stant pressure on priceand fees will continue, Ithink, [because] clientshave become more so-phisticated purchasers,”he said.

Value and cost controlOnce billing arrangements

are made, it’s a matter of coming upwith what’s expected from the firm — andit’s not always what the firm itself expects.Murphy at Varnum said one thing that’s

been apparent in the past few years “is thatclients are increasingly demanding thattheir law firms provide value as defined bythe clients, not as defined by their lawyers.”Cooney said it could just be a matter of

moving a case or a transaction along in a time-ly manner. Other times, he added, it’s a clientasking for a budget, the firm giving the client

a projection on what the matter going to cost,then bringing it in at or below budget.“Five, 10 years ago,” Cooney said, “the idea

of having a litigation or transactional budgetdidn’t exist, at least not very much. It certain-ly exists today, and we see that quite a bit.”He added that such measures will be “part

and parcel” of what lawyers need to do inmaintaining business.However,Morley at SecrestWardle said it

can prove to be a positive, making a largefirm stronger.“It requires us to be good stewards of our

time, our dollars and the staff we assign todifferent cases,” he said. “[B]usiness is allabout change … and we’ve always looked atchange as an opportunity to distinguish our-selves from the crowd.”Yet, there still can be pitfalls.Miller Johnson’s Mutch said a common

billing arrangement is an extension — a re-quest that’s a fine line for a large firm to walk.“There are so many factors that go in,” he

said. “If you have a client who pays theirbills on a regular basis and in a timely fash-ion versus one who pays at the end of theyear, just the time delay is a discount in andof itself. You have to make a lot of decisionsas to whether it makes sense and how reli-able they are, because we need a constantflow of money to pay our bills.”Mutch added that the percentage a firm

collects goes down significantly every 30days and “if you get to 120 days or more,you’re looking at a 30-40 percent chanceyou’re going to collect on that.”And that affects a firm’s own cost control.Besides postponing expansion of its office

space, Rhoades McKee’s Shaver said his firmlooked aggressively at its health insurancebenefits, and restructured them to accom-modate the law firm’s needs.“We really securitize all of our business

decisions … but we haven’t been thrifty,” hesaid. “We’re not cutting corners, because thatstuff comes back to bite you.”Burgess at Dickinson Wright noted that

his firm was very vigilant in terms of healthcare costs, but it was effectively carryingthrough their cost-control strategy that hadbeen established in the prior two years.“So for us, it was staying the course.”

Satisfying conclusionsAnd it appeared that the course would be

changing again — or, more specifically, re-turning a bit to what was seen in the yearsprior to the 2008 economic meltdown.“We’re seeing some signs of [economic

resurgence] through our clients and the typeof work we’re getting,” said Varnum’s Mur-phy. “Even as we get into 2011, there seemsto be a softening in bankruptcy and work-outs, and the type and nature of the corpo-rate work suggests more deals are beingstruck or loans are being made. That is agood thing.”Wagner said there was a reversal of sorts

forWarner Norcross.He said that 2009 foundthe firm extremely busy with auto suppliersin the first half of the year, then slower in thetail end. But 2010 was mostly flat in the firstthree quarters, until things ramped up in thefourth quarter in mergers and acquisitions,real estate and commercial lending — fieldsthat were devastated in 2008-09.Dickinson Wright’s Burgess saw some

hope, too, in that “transactions in Michiganwere slower for a portion of 2010, but re-bounded quite nicely.”Morley at Secrest Wardle said that 2010

was a good test for any large-firm attorneyin terms of the business of law.“When businesses in Michigan are faced

with very competitive times, you maybe looka little harder [at the bottom line] than youdo when things are seemingly going tremen-dously in the upward mode,” he said. “Youlook closer to make sure every dollar is spentwisely and that there’s a reason for your in-vestment in a particular area, and you getsomething out of it.“I think you’re more careful about con-

stantly reviewing and evaluating whethercertain systems you have in place are work-ing,” Morley added. “We did that, and I thinkit enabled us to control where we were fi-nancially, and also take advantage of themodest but encouraging uptick in business.”Being cautiously optimistic didn’t hurt

either.
