TERMS & CONDITIONS 1 General1.1 These Conditions apply to the provision of a service (“the Service”) by the Provider as defined in the Lamahat Budget Estimate (“the Budget Estimate”), or, where the Provider is not so defined, by Lamahat registered to you (“the Client”) as detailed in the Budget Estimate. No waivers, alterations or modifications of these Conditions shall be valid unless made in writing and signed by both parties to the Contract.

1.2 The Budget Estimate and all other Budget Estimates or offers given or made by Lamahat are, unless Lamahat decides at any time to extend such period, open for acceptance by the Client for a period of 30 days only from their date. The Budget Estimate and all other Budget Estimates and offers are given or made subject to the availability of goods, materials and any other items required to give effect to Lamahat’s obligations under the Contract.

2 Definitions and Interpretation2.1 In these Conditions:‘Conditions’ means the standard terms and conditions of supply set out in this document and includes (i) any special terms and conditions agreed in writing between the Client and Lamahat and (ii) any supplementary terms and conditions contained in the Budget Estimate;

‘Confidential Information’ means all information designated as such by either Lamahat or the Client which relates to the business, products, developments, trade secrets, know-how, personnel, customers, and suppliers of either party or information which may reasonably be regarded as confidential information of the disclosing party including without limitation all proposals, drafts and interim work and the content of any ‘pitches’ for work prepared by Lamahat for the Client under this Contract or any other contract;

‘Contract’ means the contract between Lamahat and the Client for the supply of the Service;

‘Force Majeure’ means any Act of God, explosion, flood, tempest, lightning strike, fire, accident, war or threat of war, sabotage, insurrection, civil disturbance or requisition, acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority, import or export regulations or embargoes, strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of Lamahat or of a third party), difficulties in obtaining raw materials, labour, fuel, parts or machinery or power failure or breakdown in machinery;

‘Intellectual Property’ means copyright including without limitation any literary, artistic, musical or dramatic work within the meaning of the Copyright, Designs and Patents Act 1998 or any amending or supervening legislation, and all related rights, patents, trade marks (registered and unregistered), rights to extract or re-use data from a database, design rights, registered designs, applications for any of the foregoing, rights in and to domain names and any other intellectual property;

‘Payment Schedule’ means the list of interim stages in delivery of the Service and relative interim charges as defined within the Budget Estimate; and

‘Sign-Off’ means such authorisations as Lamahat requests the Client to provide for work prepared by Lamahat during the delivery of the Service including but not limited to approval of proofs, copy, artwork, drafts and design concepts.

3 Basis of supply of the service3.1 The Service shall be provided in accordance with the Budget Estimate and otherwise in accordance with other published literature of Lamahat relating to the Service from time to time, including without limitation any guidance issued to the Client by Lamahat with material requiring Sign-Off, subject to these Conditions.

3.2 Lamahat may at any time without prior notification make any changes to the Service which are necessary to comply with any applicable safety or other statutory requirements, or which do not materially affect the nature or quality of the Service, or which are required as a result of changes to services being provided by any third party. 3.3 The Contract price is based on information available and the conditions pertaining at the time the Budget Estimate is issued and on the assumption that the Client shall provide Sign-Offs within the time limits prescribed by Lamahat. Should additional services of an unforeseen nature be required or extra services be requested whether as a consequence of a delay in Sign-Off or otherwise, authorisation will be obtained from the Client, agent or nominee normally responsible in such matters. Such additional or extra services will not be held to have formed part of this contract but will be the subject of a separate contract on the same terms and conditions.

3.4 Where on the instructions of the Client any work is created by Lamahat or any services are supplied by Lamahat to the Client Lamahat shall be entitled to be paid in full in espect of creation of the work or the supply of such services irrespective of whether such work or services results in the production of completed material or whether any use is made of material or services provided.

4 Ownership of Physical Media4.1 Subject to clauses 4.2 and 4.3, ownership of physical media including without limitation any paper, film, exhibition stand, computer disks/media and photographic paper, or any other physical goods delivered to the Client under the Contract shall pass to the Client upon payment in full of all sums due to Lamahat under such Contract and under all contracts between Lamahat and the Client for which payment is then due. The risk of damage to or destruction of any such physical media delivered by Lamahat to the Client shall pass to the Client upon delivery.

4.2 Ownership of physical media comprising any preliminary or interim work created, commissioned or otherwise acquired by Lamahat in connection with the implementation of any contract between Lamahat and the Client shall remain with Lamahat and the Client shall have no right there to.

4.3 Nothing in clauses 4.1 and 4.2 shall confer any right of ownership in any Intellectual Property created by Lamahat or any third party in the execution of this Contract or any other contract between Lamahat and the Client.

5 Intellectual Property5.1 Ownership of all Intellectual Property in any work created, commissioned or otherwise acquired by Lamahat in implementation of any contract between Lamahat and the Client shall remain with Lamahat, with Lamahat’s suppliers or with the originator there of as the case may be.

5.2 So far as it is able to do so, Lamahat hereby grants a non-exclusive, non-transferable, worldwide licence to the Client to use such Intellectual Property as is created by Lamahat in the delivery of the Service for the purposes set out in the Budget Estimate, such licence to take effect from the date of payment in full of all sums due to Lamahat under the Contract and under all contracts between Lamahat and the Client for which payment is then due.

5.3 Where work is commissioned or acquired by Lamahat from third parties in the implementation of the Contract (“Third Party Work”) the Client shall comply with any conditions imposed by any such third party in respect of any Intellectual Property subsisting in Third Party Work including without limitation any restrictions as to use of Third Party Work. The Client shall indemnify Lamahat against any loss, injury or expense suffered by Lamahat as a result of any claim for infringement of rights in any Third Party Work supplied by Lamahat to the Client.

5.4 The acquisition by the Client of any Intellectual Property rights in Third Party Work shall be the subject of separate negotiations between the Client and the relevant third party.

6 Payment6.1 Subject to clause 6.2, Lamahat shall supply the Service in return for the price specified in the Budget Estimate and any additional sums which are agreed between Lamahat and the Client.

6.2 All prices quoted are, in the absence of specific written agreement to the contrary, estimated only. Any alteration to estimated prices arising from increases in wage rates, prices of materials or services or the need to use alternative sources of supply arising after the submission of the Budget Estimate and before completion of the work may be chargedto the Client.

Lamahat reserves the right to make a surcharge where the Client requires work to be executed by Lamahat or its sub-contractors or suppliers as a matter of urgency.

6.3 All charges quoted to the Client are exclusive of any Value Added Tax, for which the Client shall be additionally liable at the applicable rate from time to time.

6.4 Lamahat shall be entitled to issue interim invoices to the Client at the periods (if any) specified in the Payment Schedule upon completion of the relative interim stage of the delivery of the Service.

6.5 The Client shall pay Lamahat’s invoices (together with any applicable Value Added Tax and outlays without any set-off or other deduction) within 30 days of the receipt thereof, and if payment of any sum is not made within such period, Lamahat shall be entitled at its option, and without prejudice to any other rights competent to it in respect of such non-payment, to take either or both of the following steps, namely:-(i) to charge interest on the amount outstanding from the end of such 30 day period until the date of actual payment at a daily rate equivalent to 2% per month over the base lending rate current from time to time of the Bank Muscat.

(ii) to suspend performance of the Contract under which such sum is due, and of any other contract between Lamahat and the Client, until payment in full shall have been made.

6.6 The time of payment of all sums due to Lamahat under the Contract shall be of the essence of the Contract.

7 Warranties and Liability7.1 Subject to the conditions set out below, Lamahat warrants to the Client that the Service will be provided using reasonable care and skill and, as far as material and reasonably possible, in accordance with the Budget Estimate.

7.2 Where Lamahat supplies to the Client in connection with the provision of the Service any goods supplied by a third party, Lamahat does not give any warranty, guarantee or other undertaking as to their quality, fitness for purpose or otherwise, but shall, where possible and upon the Client’s request, assign to the Client the benefit of any warranty, guarantee or indemnity given by the person supplying such goods to Lamahat.

7.3 Lamahat shall be under no liability in respect of any defect in the Service arising from any information supplied by the Client which is incorrect, arising as a result of any fault or delay of the Client including without limitation any failure of the Client to provide Sign-Offs within the time limits prescribed by Lamahat, or arising from any defects in any materials or other services supplied by any third party.

7.4 Any dates quoted for completion of the Service are, in the absence of specific written agreement to the contrary, estimated only and not guaranteed and Lamahat shall not be liable for any delay in completion of the Service howsoever caused. Time for delivery shall not be of the essence of the Contract unless previously agreed by Lamahat in writing. The Client shall provide Lamahat with such particulars and instructions, including but not limited to Sign-Offs, as is reasonably necessary in order to allow work to be completed by any estimated completion date.

7.5 Where any valid claim is made by the Client in accordance with the provisions hereof in respect of the Service, Lamahat shall be entitled to re-execute the Service (or such part of the Service in question) or, at the Lamahat’s sole discretion, refund to the Client the price of the Service (or the appropriate proportion thereof), but, unless otherwise provided by statute, Lamahat shall have no further liability to the Client.

7.6 Except in respect of death or personal injury caused by Lamahat’s negligence, Lamahat shall not be liable to the Client by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the contract, for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for compensation whatsoever (whether caused by the negligence of Lamahat, its employees or agents or otherwise) which arise out of or in connection with the provision of the Service except as expressly provided in these Conditions.

7.7 Except in respect of death or personal injury caused by Lamahat’s negligence and except as otherwise specifically provided by law, the entire liability of Lamahat under or in connection with the contract shall not exceed the amount of Lamahat’s price for the Service.

8 Breach8.1 In the event that:- (i) the Client makes default in or commits any breach of its obligations to Lamahat hereunder; or(ii) the Client commits an act of bankruptcy, becomes apparently insolvent, makes an arrangement or composition with creditors or (being a company) has a receiver, administrator or liquidator appointed or any proceedings have commenced relating to the insolvency or possible insolvency of the Client; or(iii) the Client threatens to cease to trade or if serious doubt arises as to the Client’s solvency; or (iv) any diligence, distress, execution or other process shall be levied or enforced against any property of the Client;then in such case Lamahat shall immediately become entitled (without prejudice to its other claims and rights under this contract, without the requirement to give prior notice to the Client and without liability to the Client whatsoever) to terminate the contract.

9 Confidentiality9.1 Each party will keep confidential any Confidential Information disclosed to itby the other. Neither party will disclose any Confidential Information to any third party, save to its agents, advisers or to an employee who needs to have access to such Confidential Information in connection with the performance of any obligations under the Contract provided that the disclosing party will be responsible for ensuring that any person to whom it makes any such disclosure complies with this clause 9.

10 Termination10.1 Lamahat shall be entitled to terminate the Contract at any time by giving not less than fourteen days notice to the Client.

10.2 Either party may (without prejudice to any other remedy of such party) at any time terminate the Contract by giving written notice to the other if the other commits any breach of these Conditions and (if capable of remedy) fails to remedy the breach within 14 days after being required by written notice to do so.

11 Miscellaneous11.1 Lamahat may perform any of its obligations or exercise any of its rights hereunder by itself or where applicable through any other company which is a member of its group, provided that any act or omission of any such other company shall be deemed to be the act or omission of Lamahat.

11.2 Each of the clauses of these Conditions and every part hereof shall be separate and severable to the extent that if one clause or part thereof shall be unenforceable the other clauses and other parts of the clause respectively shall remain effective.

11.3 No waiver by Lamahat of any breach of the Contract by the Client shall be considered as a waiver of any subsequent breach of the same or any other provision.

11.4 Lamahat shall not be deemed to have breached the terms of the contract or otherwise be liable to the Client for any refund or otherwise for any delay in performance or non-performance of any of its obligations to the extent that such delay or non-performance is due to Force Majeure or other cause beyond Lamahat’s reasonable control.

11.5 The Client warrants that any information, including Confidential Information, provided by it to Lamahat for the purpose of providing the Service will not infringe the copyright or other rights of any third party and the Client shall indemnify Lamahat against any loss, damages, costs, expenses or other claims arising from any such infringement.

11.6 During the continuation of the Contract, and for six months after the date of completion of the Service or the termination of the Contract (whichever is the later) the Client shall not canvas or solicit the services of Lamahats employees whether on a part-time, consultancy or permanent basis, nor offer full time employment to all or any of them without the prior written consent of Lamahat and subject to payment of a recruitment fee to Lamahat calculated at the rate of fifteen per cent of the annual commencing salary of the person or persons concerned.

11.7 Lamahat may assign the Contract with the Client or sub-contract the whole, or any part thereof to any person, firm or company. Unless otherwise agreed in writing, the Client may not assign either the benefit or the burden of any contract with Lamahat

11.8 Any notice required or permitted to be given by either party to the other under these Conditions shall be in writing addressed to the other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this provision to the party giving the notice.

11.9 These Conditions shall be governed by the laws of Oman and Lamahat and the Client agree to submit themselves to the non exclusive jurisdiction of the Oman courts.
