• Development of 258 Rental Apartment Units (multi-family)
in Downtown Houston, Texas
• total Cost of the project: $43MM
• Construction financing already approved: $29MM
• equity being raised from investor: $13.7MM
• length of time for construction: 24 — 28 months
• exit strategy: Refinancing based on the value of the project at
approx. 90 days of completion, which will allow to return all the equity
back to the investor and repayment of construction loan between
month 24 and 28 of the project
• The investor will receive “preferred stock” with the indicated projected
Cash Flow (see attachment)
• The investor will obtain REAL guaranties through the “preferred stock”
• At Closing, the financing of the project will be in place and ready to be executed,
the construction company will personally guarantee the construction loan

• Start receiving cash-flow (payments) on month 14 (see attachment)
• Receive total investment back between months 24 and 28
• After receiving total investment back, investor will receive additional cash
flow portion as shown in the Cash Flow Attachment
• Between month 28 and 50, the project will generate an additional dividend
of approximately $12.4MM for the holders of “preferred stock”
• The protected revenue to the investor is of approx. 97.5% of the equity
invested in 50 months
• The projected IRR is above 22% annualized
