PENDAHULUANPemisahan kepemilikan dan pengelolaan pe-rusahaan1 menjadi isu yang penting bagi me-kanisme Corporate Governance terlebih lebih berkaitan dengan permasalahan keagenan. Da-lam pengertian teori keagenan, pemilik perusa-haan (prinsipal) memberikan kewenangan pada pengelola (agent) untuk mengurus jalannya pe-rusahaan serta mengambil keputusan untuk dan atas nama pemilik. Diasumsikan bahwa manusia akan memaksimalkan kepentingannya sendiri dan adanya informasi asimetrik, memungkink-an agen tidak melakukan tindakan yang terbaik bagi kepentingan prinsipal. Informasi asimetrik memungkinkan agen bertindak untuk keun-tungan sendiri, dengan mengorbankan kepent-ingan pemilik. Prilaku agen yang melakukan tindakan untuk memaksimumkan kepentin-gan sendiri menjadi bagian penting yang harus dikendalikan. Dalam hal ini mekanisme Good Corporate Governance menjadi isu yang penting bagi manajemen modern karena secara normatif mampu menciptakan nilai perusahaan melalui kinerja yang berkesinambungan sebagai hasil dari pelaksanaan operasional manajemen secara tepat (Global Association of Risk Professionals, 2005: 173).
Prowsen (1998) mengemukakan bahwa cor-porate governance merupakan mekanisme untuk menjamin direksi dan manajer (atau insider) ber-tindak yang terbaik untuk kepentingan investor (creditor dan shareholder). Pendapat serupa juga dikemukakan oleh Shleifer dan Vishny (1997), Keasey dan Wright (1997) yang menjelaskan bahwa pada dasarnya corporate governance adalah prinsip untuk meningkatkan kinerja perusahaan melalui supervisi atau monitoring kinerja mana-jemen dan menjamin akuntabilitas manajemen terhadap shareholder dan stakeholder lain dengan mendasarkan pada kerangka aturan yang ada.
Krisis ekonomi yang melanda Indonesia pada tahun 1998 disinyalir terjadi karena prak-tek tata kelola perusahaan yang tidak berjalan dengan baik. Kondisi-kondisi obyektif yang re-latif sama di negara-negara Asia, seperti halnya hubungan yang erat antara pemerintah dan pe-laku bisnis, konglomerasi dan monopoli, protek-si, dan intervensi pasar membuat negara-negara tersebut tidak siap memasuki era globalisasi dan pasar bebas (Tjager et al., 2003).
Setiawan (2003, 2004) dan Sugiarto (2008) dalam penelitiannya mengungkap adanya per-soalan moral hazard dalam penentuan kebijakan struktur modal di Indonesia sebelum masa kri-sis. Masalah moral hazard merupakan masalah keagenan yang berhubungan erat dengan adanya informasi asimetrik. Walaupun peneli-tian Setiawan (2003, 2004) dan Sugiarto (2008) berkaitan dengan kebijakan struktur modal,

hasil dari penelitian tersebut jika dikaji secara mendalam berkaitan dengan masalah corporate governance karena mempergunakan variabel struktur kepemilikan. Temuannya menyatakan bahwa persoalan struktur kepemilikan dan in-formasi yang asimetrik berkaitan erat dengan persoalan corporate governance. Temuan tersebut sejalan dengan berbagai temuan penelitian yang dilakukan oleh Husnan (2001), dan dikuatkan oleh temuan-temuan penelitian Holm dan Scoler (2008), Cai, Liu dan Qian (2009).
Temuan penelitian Sugiarto (2008) mem-perkuat temuan La Porta et al (1999), Claessens, Djankov, Fan & Lang (2002), Facio & Lang (2002), Anderson & Reeb (2003a), Mroczkowski & Tanewski (2005) serta Harijono (2005) yang me-nyatakan kepemilikan keluarga lazim ditemui pada perusahaan-perusahaan terbuka disamp-ing pada perusahaan privat dan mayoritas luas dari perusahaan terbuka dikendalikan oleh ke-luarga. Temuan Sugiarto (2008) juga konsisten dengan Arifin (2003) serta Setiawan (2004) yang mendapati sistem kepemilikan perusahaan-pe-rusahaan terbuka di Indonesia yang terkonsen-trasi dengan pemegang kendali utama adalah keluarga. Sebagaimana temuan Claessens & Fan (2002) yang mendapati bahwa pengontrol utama dari kebanyakan perusahaan terbuka di Indone-sia adalah keluarga, temuan penelitian Sugiarto
(2008) yang menggunakan tahun 1996 sebagai acuan pembanding penelitian Claessens & Fan (2002) menunjukkan fenomena dalam rentang waktu penelitian belum bergeser secara signifi-kan dari fenomena yang didapati pada tahun 1996. Pada hakekatnya temuan Sugiarto (2008) ini juga mengemukakan fenomena yang sama terkait indikasi moral hazard dan masalah corpo-rate governance.
Penelitian yang dilakukan oleh Setiawan (2004); Setiawan & Fauziah (2005) menunjukan bahwa kinerja keuangan mempunyai hubun-gan yang erat dengan struktur kepemilikan dan adanya permasalahan keagenan. Tabel 1 menu-jukan hubungan antara kinerja keuangan yang diproksikan dengan Tobin’Q dengan struktur kepemilikan. Fenomena yang ada menunjuk-kan bahwa hubungan masalah keagenan dan struktur kepemilikan dalam keterkaitan dengan masalah mekanisme corporate governance bukan saja merupakan hal yang menarik, melainkan dapat memberikan kontribusi yang besar bagi pencapaian kinerja perusahaan di Indonesia. Se-jauh ini penelitian yang komprehensif tentang hubungan antara masalah informasi yang asim-etrik, struktur kepemilikan dalam keterkaitan-nya dengan mekanisme corporate governance un-tuk Indonesia masih jarang dilakukan.

Penelitian yang dilakukan oleh Setiawan (2004) menggunakan data tahun 1993 sampai dengan tahun 2000. Penelitian yang dilakukan oleh Sugiarto (2008) menggunakan data ta-hun 1996 sampai dengan tahun 2005. Temuan-temuan dari dua penelitian tersebut menjadi dasar dilakukannya penelitian lanjutan ini, yang menggunakan data dari perusahaan-perusahaan tbk di Indonesia mulai dari tahun 1993 sampai dengan tahun 2008. Diharapkan dengan periode data yang cukup panjang dan melewati masa krisis ekonomi pada tahun 1998 dapat memberi-kan gambaran yang lebih komprehensif tentang perjalanan mekanisme corporate governance di In-donesia.
Mengingat kajian corporate governance meru-pakan hal yang kompleks, penelitian ini akan memfokuskan perhatian pada dampak corporate governance terhadap kinerja perusahaan di Indo-nesia. Pertanyaan tersebut akan dijawab dengan melakukan kajian atas perusahaan-perusahaan publik di Indonesia (bukan perusahaan / lem-baga keuangan) selama tahun 1993 sampai den-gan 2008 dengan mempergunakan analisis data panel.
Kinerja perusahaan merupakan salah satu tolok ukur capaian hasil perusahaan. Terda-pat berbagai proksi dalam menilai kinerja, baik menggunakan data akuntansi atau nilai pasar ekuitas. Terkait penggunaan data akuntansi, indikator kinerja yang lazim digunakan adalah rasio profitabilitas. Rasio profitabilitas yang di-gunakan dalam penelitian ini adalah return on equity (ROE) dan return on assets (ROA) yang merepresentasikan efektifitas manajemen dari hasil kebijakan pendanaan dan investasi. Indika-tor kinerja yang merepresentasikan nilai pasar digunakan Tobin’s Q yang merupakan rasio dua valuasi aset atau sekelompok aset yang sama, yaitu nilai pasar aset dibagi dengan replacement cost atau nilai buku aset. Tobin’s Q sebagai ukuran prospek keuntungan perusahaan mengindikasi-kan bahwa semakin tinggi Tobin’s Q semakin
menarik perusahaan. Klapper and Love (2002) menemukan adanya hubungan positif corpo-rate governance dengan kinerja perusahaan yang diukur dengan return on asset (ROA) dan Tobin’s Q. Dalam hal ini efektivitas proxy kinerja yang efektif disinyalir terkait dengan kondisi negara berlangsungnya penelitian. Krisis ekonomi yang melanda Indonesia pada tahun 1998 berdampak pada banyak aspek dari perusahaan-perusahaan yang secara umum melemahkan kondisi peru-sahaan. Karenanya merupakan suatu hal yang menarik untuk mengkaji peran impelementasi corporate governance pada sebelum dan sesudah tahun 1998 tersebut.
2. METODOLOGI PENELITIAN
2.1 Model dan Langkah PenelitianTujuan utama dari penelitian ini adalah melaku-kan kajian secara komprehensif atas hubungan mekanisme corporate govenance di Indonesia ter-hadap kinerja perusahaan.

Berle dan Mean (1932) mengemukakan 5 tipe kontrol sebagaimana ditampilkan dalam Tabel 2 dan dalam penelitian ini tipe kontrol yang diper-gunakan adalah tipe 1 sampai dengan 4, dengan 3 dummy variable, yaitu K1, K2 dan K3.

2.2. Pemilihan Sampel Kajian dalam penelitian ini adalah memakai model data panel. Data perusahaan yang dapat dikumpulkan untuk tahun 1993 sampai dengan 2008 sebanyak 60 perusahaan.
Data dalam penelitian ini diambil dari lapo-ran keuangan perusahaan yang public listed di
Indonesia, yang diperoleh di Indonesia Capital Market Directory (ICMD) mulai tahun 1993 sam-pai dengan tahun 2008. Data yang diteliti ada-lah data dari perusahaan yang bukan lembaga keuangan dan bukan perbankan.

3. HASIL DAN PEMBAHASAN3.1. Hubungan Corporate Governance, Infor-
masi Asimetrik dan Kinerja Perusahaan Sebelum Krisis (periode 1993 sampai 1998)
Periode tahun 1993 sampai dengan tahun 1998 dianggap sebagai periode sebelum krisis. Anali-sis data panel dalam periode tersebut diperlihat-kan dalam Tabel 4, 5 dan 6. Hubungan Kinerja Perusahaan (Tobin’s Q) dengan proksi corporate governance memperlihatkan hubungan yang positif significant untuk manager block ownership (MBO) dan private ownership control (K1) baik un-tuk common model, fixed effect dan random effect. Temuan penelitian ini sejalan dengan temuan Klapper and Love (2002) untuk Tobin’s Q sebagai proxy kinerja perusahaan, namun tidak sejalan untuk ROA sebagai proxy kinerja perusahaan.
Fakta ini menunjukan bahwa semakin terkonsentrasi perusahaan maka Tobin’s Q se-makin tinggi dan semakin besar kepemilikan manajemen maka kinerja semakin baik (Tabel 4). Tetapi untuk ROA tidak terjadi hubungan yang significant baik pada common model, fixed effect dan random effect demikian pula halnya dengan ROE (Tabel 5 dan 6). Hubungan yang negatif significant hanya terjadi untuk private ownership control (K1) dengan ROA.
Tobin’s Q adalah proksi kinerja perusahaan yang memperhitungkan nilai pasar sedang-kan ROA hanya memperhitungkan nilai buku. Jika nilai pasar diperhitungkan maka private ownership control akan berpengaruh positif se-dangkan jika hanya memperhitungkan nilai buku maka private ownership akan berpengaruh negatif. Temuan ini menunjukan fakta empiris tentang kondisi bisnis yang khas Indonesia. Se-cara umum pasar menilai bisnis dari nama besar group bisnis, sehingga masalah corporate gover-nance sering bukan menjadi sebuah acuan da-lam melakukan sebuah penilaian. Dalam hal ini seakan akan pasar hanya mempunyai memori menilai bisnis dari group kepemilikan. Dalam kajian teori keagenan kondisi ini menjadi adverse selection problem.
Proksi informasi asimetrik memperlihatkan bahwa ukuran perusahaan (size) dan tingkat hutang (leverage) mempunyai hubungan yang negatif dengan Tobin’s Q dalam semua model analisis sedangkan aktiva tetap (tangibil) tidak berhubungan significant (Tabel 4). Semakin besar perusahaan dan semakin tinggi tingkat hutang perusahaan maka Tobin’s Q semakin rendah. ROA sebagai proksi kinerja perusahaan mem-perlihatkan arah yang sama kecuali dalam com-mon model dan random effect dimana tingkat hu-

tang (leverage) tidak mempunyai hubungan yang significant.
Jika dalam Tobin’s Q sebagai proksi kinerja tidak mempunyai hubungan yang significant dengan aktiva tetap, dalam ROA sebagai prok-si kinerja perusahaan terdapat hubungan yang positif significant dengan aktiva tetap (tangibil) untuk semua model analisis (Tabel 5). ROE se-bagai proksi kinerja perusahaan tidak memperli-hatkan hubungan yang significant dengan semua proksi informasi asimetrik (Tabel 6).
3.2. Hubungan Corporate Governance, Infor-masi Asimetrik dan Kinerja Perusahaan Setelah Krisis (setelah 1998)Tobin’s Q sebagai proksi kinerja perusahaan
mempunyai hubungan yang positif significant dengan kepemilikan manajemen (MBO), private ownership control (K1), majority control (K2, kecuali pada fixed effect model) dan kepemilikan terbesar (L). Untuk minority control tidak terdapat hubun-gan yang significant (Tabel 7). Untuk ROA sebagai proksi kinerja perusahaan kepemilikan manaje-men hanya positif significant pada common model. Private ownership control (K1) justru mempunyai hubungan yang negatif significant dengan ROA untuk semua model analisis. Arah hubungan ini sama dengan majority control (K2) (Tabel 8). Dalam Tabel 9, diperlihatkan bahwa ROE seba-gai proksi kinerja perusahaan tidak mempunyai hubungan yang significant dengan semua proksi corporate governance.
Proksi informasi asimetrik tidak mempunyai hubungan yang significant dengan Tobin’s Q da-lam semua model analisis (Tabel 7). Tidak adan-ya hubungan yang significant ini juga terdapat dalam hubungan antara ROE dan proksi infor-masi asimetrik (Tabel 9). Hubungan yang positif significant hanya terdapat antara ROA dan aktiva tetap (tangibil) untuk semua model analisis dan negatif significant antara ROA dengan ukuran pe-rusahaan (size) dan tingkat hutang (leverage) da-lam fixed effect (Tabel 8).
KESIMPULANProksi-proksi kinerja perusahaan yang berbeda menghasilkan perbedaan efektivitas dampak implementasi corporate governance terhadap kin-erja perusahaan. Tobin’s Q sebagai proksi kinerja perusahaan yang memperhitungkan nilai pasar dan ROA yang hanya memperhitungkan nilai buku menghasilkan simpulan yang berbeda. Efektivitas perbedaan hasil juga didapati saat menggunakan return on equity selaku indikator rentabilitas modal yang menunjukkan seberapa banyak keuntungan yang menjadi hak pemilik modal sendiri.
Kondisi sebelum dan sesudah tahun 1998 menunjukkan perbedaan temuan pengaruh si-multan corporate governance dan variabel-vari-abel lain dalam model dengan kinerja perusa-haan. Hasil analisis empiris memperlihatkan bahwa sebelum krisis (tahun 1998) Tobin’s Q mempunyai hubungan yang negatif significant dengan ukuran perusahaan dan tingkat hutang. Semakin besar perusahaan kinerja perusahaan akan semakin rendah demikian pula hanya den-gan tingkat hutang. Semakin tinggi tingkat hu-tang maka kinerja perusahaan semakin rendah.
Tidak adanya hubungan yang significant antara aktiva tetap dengan Tobin’s Q merupa-kan hal yang sangat menarik untuk dikaji. Dalam kajiannya Setiawan (2004) mengemuka-kan bahwa sebelum krisis (1998) tingkat hutang tidak berhubungan secara significant dengan aktiva tetap dan tingkat hutang berhubungan negatif dengan Tobin’s Q. Permasalahan yang berhasil dikemukakan yaitu adanya persoalan moral hazard dalam pilihan hutang atau ekuitas dalam struktur modal.
Hasil temuan ini senada dengan temuan Set-iawan (2004) yaitu persoalan keagenan yang ada adalah permasalah adverse selection. Pasar hanya melihat group perusahaan dan bereaksi positif. Pertimbangan pasar seakan akan ditentukan oleh siapa yang menjadi CEO dan dalam group

perusahaan mana karena itulah ROE tidak mem-punyai hubungan yang significant dengan semua proksi informasi asimetrik.
Permasalahan informasi asimetrik ada per-bedaaan antara masa sebelum krisis dan sesudah krisis. Jika sebelum krisis Tobin’ Q mempunyai hubungan yang negatif dengan tingkat hutang dan ukuran perusahaan, setelah krisis tidak hubungan yang significant. Persoalan informasi asimetrik diatasi dengan mekanisme corporate governance sehingga dapat dikatakan bahwa me-kanisme corporate governance di Indonesia mem-berikan dampak yang positif bagi kinerja peru-sahaan di Indonesia
