(A) King Street at Ellen Street/Len Self Boulevard Intersection (Full Signals) Required Works The works are to include the supply and installation of the following:

New Econolite traffic signal controller with UPS; audible pedestrian signals with vibrating button actuation; 2-section pedestrian signals with single-section LED, Countdown signals mounted with double

arm brackets (OPSD-2524.01) (8 required); highway traffic heads complete with LED signals and hangers (OPSD-2522) (8 required); all sundry materials and labour, to provide fully functioning traffic signals as described.

(B) King Street at Galloway Boulevard Intersection (New LED Signal Heads) Required Works The works are to include the supply and installation of the following:

audible pedestrian signals with vibrating button actuation; 2-section pedestrian signals with single-section “Countdown” LED signals mounted with double

INSTRUCTIONS TO BIDDERS

Delivery and Opening of Tenders Tenders, in envelopes supplied, will be received up to:

1:00 p.m. local time - Wednesday, May 31, 2017 by Shawn Berriault, C. Tech., Director of Operations, Town of Midland, 575 Dominion Avenue, Midland, Ontario, L4R 1R2. PLEASE NOTE – THERE ARE NO COURIER SERVICES THAT PROVIDE EARLY DELIVERY TO MIDLAND. This time and date shall be deemed to be the Official Closing Time. Each Tender will be marked with the time and date it was received. The Tender Form must be fully legible, signed and witnessed in the spaces provided, with the signature of the Tenderer or a responsible official of the organization bidding and the name of the person signing on behalf of the organization bidding printed under the signature. Bidders requiring a receipt or acknowledgment for the tender delivery are required to bring a copy of the Tender Advertisement page from the Tender document (Page 2 herein). An acknowledgment will be provided on that sheet and returned to the person delivering the tender. No other form of acknowledgment will be provided. Tech., Director of Operations Email: [email protected] Subject Line: King/Ellen Traffic Signal Tender L04-51906 Questions The intent is to address questions received only up to the end of business (4:00 p.m. local time) on Wednesday, May 24, 2017 and issue any required addenda by noon (local time) Friday, May 26, 2017. E-mail or fax tender submissions will not be accepted. We would point out that most courier services do not offer guaranteed early morning delivery to our area. Courier deliveries are usually made in the early afternoon. Please take this into account if sending your tender bid by courier. Tender Deposit Each Tender shall be accompanied by either: (a) a tender deposit in the form of a certified cheque made payable to the Town of Midland for an

amount of Two Thousand Dollars ($2,000.00); or (b) a bid bond in the amount of Two Thousand Dollars ($2,000.00) and sealed by a corporation duly

authorized to transact the business of Suretyship and having an office in the Province of Ontario. The Tender deposit cheques or Bid Bonds of the three lowest Tenderers shall be retained by the Town for sixty (60) days after the Official Closing Time or until the Contract has been signed by the successful Tenderer. Tender deposit cheques or bid Bonds of all other Tenderers will be returned within thirty (30) days of the Official Closing Time. The Tender deposit cheque or Bid Bond of the successful Tenderer will be returned upon execution of the Contract Documents. If the Tender consists of more than one Contract, each Contract may be individually bonded in accordance with the above requirements.

In the event that any Tender is withdrawn before the Contract is executed by the successful bidder or for a period of Thirty (30) days commencing from the Date of Closing of Tenders, whichever event first occurs, the certified cheque or bid bond accompanying such Tender shall be forfeited to the Owner. Hold Harmless To the fullest extent permitted by law, the successful Tenderer agrees to defend (including attorney’s fees), pay on behalf of, indemnify and hold harmless The Corporation of the Town of Midland, its elected and appointed officials, employees and volunteers and others working on behalf of The Corporation of the Town of Midland against any and all claims, demands, suits or loss, including all costs connected therewith and for any damages which may be asserted, claimed or recovered against or from The Corporation of the Town of Midland, its elected and appointed officials, employees, volunteers or others working on behalf of The Corporation of the Town of Midland, by reason of personal injury, including bodily injury or death and/or property damage, including loss of use thereof, which arises out of or is in any way connected or associated with this contract. Insurance/W.S.I.B Clearance Certificate The successful bidder will be required to register with Compliance Sync and provide them with a certified copy of an insurance policy covering Public Liability and Property Damage in the amount of $5 million as specified in O.P.S. General Conditions, Section GC6, showing the Town of Midland as an “additional named insured”. The Contractor will also be required to supply to Compliance Sync a certificate from the Workers' Safety and Insurance Board (WSIB) indicating that he is in good standing with the Board prior to the Town authorizing commencement of work and prior to the issuance of a Certificate of Substantial Performance. It should be noted that Compliance Sync must be able to obtain a current WSIB Certificate at all times during the contract. Proof of Ability Bidders are required to disclose their legal status as to whether they are a Federal, Provincial or Foreign Corporation, a partnership or an individual and to state the names and addresses of the responsible officers or partners as the case may be. They must furnish satisfactory evidence that they have the requisite ability and experience in the class of work contemplated and sufficient capital and plant to enable them to complete the work successfully within the time stated in the Contract. Contract The party to whom the Contract is awarded will be required to execute the Agreement contained herein in duplicate and to provide proof they have registered with Compliance Sync and have furnished Compliance Sync with a certified copy of a satisfactory insurance policy referred to herein within seven (7) days not including Sunday or a legal holiday, after e-mailing of written notice by the Owner to him at his business e-mail address as stated in his Tender, of the award of the Contract to him. Should the said party fail to execute this Contract within the time stipulated above, the deposit accompanying his Tender shall be forfeited to the Owner. Informal Tenders Tenders that are incomplete, conditional, illegible or obscure or that contain additions not called for, reservations, erasures, alterations or irregularities of any kind, may be rejected as informal. Bidders are required to fill in all the blanks.

Compliance Sync Contractor Compliance Verification: The Town of Midland has initiated a program for all Contractors performing work on behalf of the Town to ensure continuous visibility to Compliance. This includes the provision of all legal requirements in accordance with the Occupational Health and Safety Act; as well as other documentation which may be legally required in order to be retained by the Town to provide services. The Town hereby requires all Contractors having successful quotations or tenders to be Verified by Compliance Sync and/or equivalent programs/services and maintain their compliance status in good standing throughout the duration of the Contract (including any maintenance period) in accordance with terms of the Contract. This requirement does not apply if the Contractor is not the successful bidder. The Town will only execute documents with Contractors after such Contractor(s) has/have been verified by Compliance Sync, and that said Contractor is approved by the Town to be in compliance with the requirements of the Contract. At minimum, in order to satisfy the terms of the quotation or tender, all Contractors performing work on behalf of the Town must provide Proof of Insurance, Registration, Certification, Licensing, Authorization or Professional Membership as legally required, where applicable, as well as all relevant Workplace Occupational Health & Safety Training applicable to the scope of work and such documentation and training shall remain current and valid during the duration of the Contract period. In order to complete the Verification process Contractors will be requested to provide information which may include, but is not limited to: CRA Business Number; WSIB Account Number; Certificate of Insurance with Town of Midland named as additional insured and with a minimum

$5,000,000 (unless otherwise specified) Commercial General Liability Insurance Policy; Business License, Registration or Authorization as legally required by Contractor, where

applicable. Town of Midland Contract(s) signed and related Contractor Program requirements as shown on

Compliance Sync upon registration. It is also required that all Contractors provide the following information on behalf of their worker which include, but is not limited to: First and Last Names of all workers performing work on behalf of the Town; Certificates of Qualification from the relevant industry authority related to their professional

certifications, where applicable. (e.g. Ontario College of Trades, Technical Standards and Safety Authority, Professional Engineers Association, etc.)

Proof of Training for all Occupational Health & Safety requirements related to the work they are required to perform and exposure to potential workplace hazards (e.g. WHMIS, fall prevention, confined space, etc.) where applicable.

Proof of Completion for Worker/Supervisor Safety Awareness Training, mandatory in Ontario since July, 2014. (whichever is applicable)

* Use of Sub-Contractors: Where the Contractor requires the services of Sub-Contractors to satisfy the terms of the quotation or tender, the Contractor shall ensure compliance with, and acknowledges that, it will not be permitted to use such Sub-Contractor until such Sub-Contractor and its workers have been Verified by Compliance Sync as being in compliance with the standards set forth by the Town and that said Sub-Contractor is Approved by the Town to be in compliance with the requirements of the Contract and remains current and valid with compliance requirements for the duration of the Contract period. It shall be the responsibility of the Contractor to ensure the Sub-Contractor is aware and abides by the terms of this quotation/tender. Contractors, and their proposed Sub-contractors, will be required to provide all compliance information and documentation to Compliance Sync, and to be Verified by Compliance Sync as having all documentation current and valid, within 30 days of being notified in writing as being the successful Contractor. Where a Contractor and/or Sub-Contractor is unsuccessful in meeting the Verification requirements of Compliance Sync within the 30 day period the Contractor shall be considered in default of its’ tender and the default provisions of the Contract shall govern.

* Excludes tenders with a value in excess of $50,000.00 - Notice of Project As per the OHSA, Construction Reg. 213/91 ‘Notice of Project’ refers to the Constructor Definition of Constructor as per the OHSA: ‘means a person who undertakes a project for an owner and includes an owner who undertakes all or part of a project by himself or by more than one employer’ For these ‘Notice of Project’ tender/quotation contracts, the Town of Midland will require only the Constructor to provide all compliance information and documentation to Compliance Sync and to be Verified by Compliance Sync. Constructors who are required by the terms of the tender/quotation to file a Notice of Project will be solely responsible for ensuring their Sub-Contractors have satisfied the Constructors requirements. The Tenderer is advised that the completion of the works set out in this Tender Document is contingent on the Council of the Town of Midland authorizing the work. The Town may limit or expand or limit the scope of the proposed traffic signal replacement works to the total value of our budget amount(s). If prices dictate, a portion of the works, or a complete schedule, may be removed, or a section added. The Contractor will not be entitled to any compensation should a line item or complete schedule be removed from the tender contract.

CONTRACT DOCUMENTATION

Prior to commencing work, the Contractor must have registered with Compliance Sync and provided them with the following: a clearance certificate indicating good standing with the Worker's Safety and Insurance Board; submission of completed Health & Safety Form-14; and insurance certificates for insurance as specified.

PAYMENT

A payment certificate will be issued when, in the Director of Operations’ opinion, the contract has been substantially performed. 10% of all monies due will be held as Statutory Holdback and will be released 46 days after the advertised date of publication by the Contractor of the Certificate of Substantial Performance in the Daily Commercial News, or 46 days after issuance of a Certificate of Total Completion without advertisement, and upon provision by the Contractor in a form satisfactory to the Director of Operations of the following: a Statutory Declaration re: Payment of Accounts; a Statutory Declaration re: Liens & Liabilities; and a Clearance Certificate indicating good standing with the Worker’s Safety and Insurance Board. 2.5% of all monies due will be held as Maintenance Holdback and will be released 12 months after the date of substantial performance and upon final acceptance of the work by the Owner. Payment will be made within 30 days after issuance of the payment certificate from the Director of Operations.

GENERAL CONDITIONS

1. OPS General Conditions of Contract shall apply. 2. All necessary permits and approvals required for this contract shall be obtained by the Contractor. 3. All tenderers must be bondable, however an Agreement to Bond is not required to be included

with the tender submission. The successful Contractor may be required to furnish Bonds for "Performance" and "Materials and Labour Payment" each equal to 100% of the Quoted sum, with a Guarantee Surety Company authorized by law to carry on business in the Province of Ontario and having an office in Ontario. The inability of a tenderer to supply requested bonds shall result in a rejection of the tender.

4. This Contractor’s quote is to continue open to acceptance until the Contract is executed or for a

period of thirty (30) days commencing from the Date of Closing of Quotations, whichever event first occurs and that the Owner may, at any time within that period, accept this Quote whether any other Quote has been previously accepted or not.

5. The Contractor guarantees that with ordinary wear and tear, the Work shall, for a period of twelve

(12) months from the Date of Substantial Completion of the Work or where there is no Substantial Performance Certificate, twelve (12) months from the date of completion of the Work, as set out in the completion certificate, or such longer periods as may be specified for certain materials or work, remain in such condition as will meet the approval of the Director of Operations, and that the

Contractor will upon being required by the Director of Operations, make good in permanent manner, satisfactory to the Director of Operations, any imperfections due to materials or workmanship used in the construction of the Work. The decision of the Director of Operations is to be final as to the nature and cause of such imperfections and the necessity for remedying same. Should the Contractor fail to comply with the directions of the Director of Operations, the Director of Operations may, after giving the Contractor twenty-four (24) hours written notice to perform the necessary work, and the cost thereof may be deducted from the Contractor or his Surety jointly or severally in any court of competent jurisdiction as a debt due to the Owner. If the Director of Operations notifies the Contractor in writing of imperfections prior to the termination of the Warranty Period, then the Contractor shall make good the imperfections as specified above, notwithstanding that the Work may commence after or extend beyond the end of the twenty-four (24) month period.

6. The Contractor shall register with Compliance Sync and provide them with a comprehensive general

liability insurance policy in the amount of $5,000,000 naming the Town of Midland as an additional named insured, in the same manner and to the same extent as if a separate policy had been issued to each.

The Contractor will also be required to supply Compliance Sync with a certificate from the Workers' Safety and Insurance Board indicating that they are in good standing with the Board prior to the Town authorizing commencement of work and prior to the issuance of a Certificate of Substantial Performance.

7. The Contractor shall provide All Risk and Contractor’s Equipment insurance policies as specified in

the OPS General Conditions of Contract, Section GC6.03.05 and GC6.03.06. 8. No work shall begin until the Director of Operations has issued a Start Work Order. 9. Completion of the contract is to be achieved 6 weeks following the issuance of a start work order. 10. Section GC8.02.09 of the OPS General Conditions, Liquidated Damages, is amended by deleting

paragraph .01 and replacing it with the following:

It is agreed by the parties to the Contract that in case all the Work called for under the Contract is not Substantially Performed and/or Completed by the completion date stipulated, damage will be sustained by the Owner and that it is and will be impracticable and extremely difficult to ascertain and determine the actual damage which the Owner will sustain in the event of and by reason of such delay. The parties hereto agree that the Contractor will pay to the Owner a minimum of Five Hundred Dollars ($500.00) for Liquidated Damages for each and every calendar day's delay in finishing the Work in excess of the dates of completion prescribed. It is agreed that this amount is a minimum estimate of the actual damage to the Owner, which will accrue during the period in excess of the completion dates prescribed. In addition to the $500 per day Liquidated Damages charge, the Contractor shall pay to the Owner in respect of additional site supervision, office supervision and administration caused by the delay in finishing the Work in excess of the completion dates prescribed.

The Owner may deduct any amount due under this paragraph from any monies that may be due or payable to the Contractor on any account whatsoever. The Liquidated Damages payable under this paragraph are in addition to and without prejudice to any other remedy, action or other alternative that may be available to the Owner.

11. Measurement for payment will be as specified on the Schedule of Items & Prices. 12. The lowest or any quotation will not necessarily be accepted. The Owner reserves the right, in its

absolute discretion, to reject any or all Tenders or to award the contract to other than the Tenderer

submitting the lowest Tender, provided that Council, in its sole and absolute discretion, decides that it is in the best interest of The Corporation of the Town of Midland to do so.

Without in any way limiting the generality of the preceding, Tenders, commencing with the lowest tender, will be evaluated against criteria developed by the Town using information provided by the Tenderer in the Schedule of Items & Prices and additional criteria information as requested. The Town’s criteria include, but are not limited to:

Skill and experience demonstrated on similar projects of similar scope; Reputation, qualifications and experience of the Tenderer; Qualifications and experience of key personnel of the Tenderer; Tender price; Project schedule/substantial performance date; Reference checks with former clients, consultants and subtrades; Five year history of claims, litigation and/or arbitration between Tenderer and former clients

and between itself and subcontractors; Five year history of charges under the Occupational Health & Safety Act (Ontario); Five year record with the Work Place Safety and Insurance Board (“WSIB”); Anticipated additional costs not included in the Tender Price but inferable from the evaluation

criteria or from the Tender.

Where the Tenderer is associated with one or more persons or corporations which conduct the same or similar business as the Tenderer, the Town may, but is not obliged to, request from such Tenderer the evaluation information with respect to such associated persons or corporations. The failure or refusal of a Tenderer to comply with such a request may result in the rejection of its Tender.

The above criteria are not necessarily listed in the order of their importance to the Town. 13. The selected Contractor will be requested to enter into the agreement as per Appendix A. 14. The Contractor shall ensure that all employees and sub-contractors employed under this contract are

familiar with the Town’s Health and Safety Policy and Procedures Manual document. Copies of this document will be made available as required.

SPECIAL PROVISIONS

These Specifications are based on Ontario Provincial Standard Specifications. The applicable OPS Specification number is shown for each item in the Schedule of Items & Prices. The Standard Specifications together with the following Special Provisions shall apply to this Contract. The Special Provisions shall take precedence over the Standard Specifications. The Work under this Contract shall include all work within the Limits shown on the drawings and in addition shall include the work on private property where required. The Director of Operations shall obtain permission to enter private properties if required.

GENERAL WORK

Qualification The Contractor and/or his representatives shall be a qualified Electrical Contractor having a minimum of five years previous experience in the construction and maintenance of traffic control signal and street lighting systems. Award of any Contract may be subject to the submission of references acceptable to the Director of Operations. The Contractor’s field representative shall be a qualified electrician certified under The Apprenticeship and Tradesman’s Qualification Act. Code Rules and Regulations All work shall be performed in accordance with C.S.A. Standard C22.1-1982, Canadian Electrical Code Part 1 the Hydro Electric Power Commission of Ontario Supplement Electrical Safety Code, and Rural Electrical Code 1977, including all appending bulletins issued by the Hydro Electric Commission of Ontario which are applicable to the work. All work shall be governed by Federal, Provincial and Local laws and by-laws pertaining to the work, as well as by the latest issue of C.S.A. Standards pertinent to the work. In the event of confliction of regulations, the strictest regulation shall apply. Scope The Contractor shall perform all the general work covered by the following Specifications. Schedule of Work Upon being awarded the contract, the Contractor shall forthwith supply to the Director of Operations for his approval a copy of his detailed planned Schedule of Work, showing clearly that the work will be completed within the stipulated time. No work shall commence on the contract until the Schedule of Work has been approved by the Director of Operations. Public Liability and Property Damage Insurance The Contractor shall provide insurance in accordance with the Instructions to Bidders. Permits and Fees The Contractor shall obtain permits for all work and shall file applications for inspection with Electrical Safety Authority and/or the local Hydro Services Company as required. The Contractor shall pay all fees related to permits, applications and inspections for the necessary completion of the Contract as outlined. Layout Work The Director of Operations shall provide the benchmark elevations and horizontal alignment for the Contractor. The Contractor shall be responsible for the detailed layout of the work.

The Director of Operations shall be notified of any layout work carried out and shall check same if he so desires. Checking of layout or failure to do so on the part of the Director of Operations in no way relieves the Contractor of full responsibility for construction to the proper location, alignment and grade. Restoration of Work Areas The Contractor shall restore all work areas to their previous condition to the satisfaction of the Director of Operations (ie. maintained grass areas will be reinstated with a minimum of 100mm of good quality imported topsoil and sod. Paved areas will be repaired with granular A and asphalted. Concrete areas will be repaired with concrete, etc.). Thickness of granular material, asphalt and concrete shall match existing. Materials Supplied by the Contractor The Contractor shall base his tender on new, CSA approved materials as specified. The Contractor may, however, after acceptance of his tender, request permission to substitute alternative material where "other approved" is allowed in the specification. Should the Director of Operations not approve such alternative material, the Contractor shall have no claim whatsoever against the Owner. All materials must meet Town of Midland, MTO, and CSA standards. When requested by the Director of Operations, the Contractor must be able to provide written evidence of approval by the various agencies. OPS Specification 601.04 is amended such that the Contractor is required to submit shop drawings (manufacturers catalogue information is acceptable) for all supplied materials. This information is to be provided to the Director of Operations prior to the issuance of the Certificate of Substantial Performance. All materials shall be stored in accordance with manufacturer’s instructions to prevent damage, soiling, or finish spoilage. - police control for installation and testing Adjustment of Equipment All equipment shall be installed in a neat and orderly manner to the satisfaction of the Director of Operations. Minor adjustments to equipment, which in the opinion of the Director of Operations are required to improve the appearance of the site, shall be carried out at the Contractor’s expense. The Contractor shall also make minor adjustments, during night time conditions if so required, to any equipment that can be adjusted to provide optimum performance. All such adjustments shall be carried out to the satisfaction of the Director of Operations at the Contractor’s expense. Testing, Inspection and Approvals The Contractor shall ensure that the pedestrian and traffic signal equipment is properly and adequately tested prior to installation so that the equipment can be put into proper operation with a minimum of field-testing. Should any testing in the field become necessary where a display on the exposed signal heads is required, the presence of a member of the Operations Department and the Police Department will be required. Tests on electrical wiring and material shall, unless otherwise specified, conform to the Canadian Electrical Code Part 1 and shall include insulation value readings and resistance to ground readings. Testing shall be performed by qualified personnel only and shall be done in the presence of the Director of Operations. The Contractor shall provide all necessary instruments, equipment and personnel required to satisfactorily carry out prescribed tests at his own expense. The Director of Operations shall provide for tests on materials other than electrical materials as described elsewhere in the Specifications for the Contract. Where any tests indicate faulty workmanship or unacceptable electrical measurements, the Contractor shall repair or replace the faulty equipment at hisown expense, and to the satisfaction of the Director of Operations. If the Director of Operations requires documentary evidence to the effect that materials supplied by the Contractor comply with the terms of the Specifications, such evidence must be provided by the Contractor in the form of a certified copy of a laboratory report from a recognized testing company acceptable to the Director of Operations.

The Contractor shall pay for the entire cost of such testing. Factory finished equipment shall be protected so that the surface will not be damaged during construction. Damaged work shall be removed and replaced at no additional cost to the Corporation. Minor damage to paint finishes may be retouched to the satisfaction of the Director of Operations. When all the electrical work under the Contract has been completely tested and proven satisfactory, the protective covering of factory finished materials shall be removed and the equipment thoroughly cleaned and maintained clean, so that the work is in perfect condition when acceptance is made. Luminaries and lamps shall be cleaned thoroughly prior to final inspection. Temporary Water and Power The Contractor shall make his own arrangements for the supply of temporary water and power, as may be required from time to time. Existing Utilities and Sewers The Contractor's attention is drawn to the presence of numerous underground and overhead utilities on the Contract. The Contractor shall be responsible for obtaining information in regard to the exact location of buried utilities and sewers including existing service connections. This shall include excavation of inspection holes if necessary. The Contractor must exercise necessary care in construction operations to safeguard utilities and sewers from damage. The Contractor will be liable for all damage to same occurring within or outside the Contract limits caused by his operations. Existing hydro poles, telephone poles and light standards requiring relocation will be relocated by others prior to the start of construction or during construction. The Contractor shall work around such poles until they are relocated. The Contractor is advised that the existing gas mains, hydro, cable TV and telephone cable will remain in their existing locations. The intended method of duct installation is by directional boring technique, however, excavation in the vicinity of existing utilities with lighter machines and in some cases handwork, may be required to physically confirm location of buried utilities. If a permanent relocation or replacement of an existing utility or existing sewer becomes necessary, at the discretion of the Director of Operations, during the Work the Contractor shall co-operate with the Owner’s forces or the Utility Company to allow them the opportunity to make the necessary alterations to their plant. In the event that all necessary permanent relocations of utilities have not been completed prior to the time when the Contractor will be required to co-operate with the Utility Companies and work around the utilities so that the existing services are protected until such time as such relocations are completed. No claims for extra payment or for additional Working Day will be allowed for this requirement. It shall be the Contractors responsibility to contact all Utility Companies regarding their scheduling of work.

Provision for Traffic and Signs In the event that open trench work within the travelled portion of roadways is requested by the Contractor and approved by the Director of Operations, the Contractor must have two lanes, a minimum width of 6.0 metres, open to traffic at night, weekends and statutory holidays. All methods of traffic control must meet with the approval of the Director of Operations. The Contractor shall also supply and erect fluorescent “Construction Ahead” warning signs - 1.2m x 1.2m minimum size at the ends of the work. The Construction and warning signs shall be well lighted at night with battery operated flashing amber lights or other means approved by the Town. All signing shall be done in accordance with MTO’s Ontario Traffic Manual Book 7. The Contractor shall provide a watchman or other suitable employee to inspect and maintain the detour signs, barricades and pedestrian ramps on weekends and other times when the Contractor is not working, as may be required from time to time. The Contractor shall provide an adequate number of flagmen to direct traffic at all times during construction as required by the Director of Operations. Contractor Responsibilities The Contractor will be responsible for notifying all utilities prior to commencement of work and coordinating construction appropriately. All locates are to be completed prior to commencement of construction. The Contractor shall supply all required materials to the job site and these must meet or exceed relevant Institute of Transportation Engineers (ITE), International Municipal Signal Association (IMSA), and/or Ministry of Transportation of Ontario (MTO) material specifications relevant to the installation of traffic control signals and relevant OPSS and OPSD sections. The Contractor will be responsible for installing all above ground equipment and connecting the installation to the power supply. Measurement and Payment No measurement of quantities will be made for the General Work. No direct payment will be made for any of this General Work. The Contractor shall allow in his prices bid in the Schedule of Unit Prices for the cost of all General Work described herein or specified elsewhere in the Contract. Special Provisions 1.0 TRAFFIC SIGNAL EQUIPMENT (Tender Items B-1.1) Traffic Signal Heads (Advance Green Capable)

Work to include the supply and installation of highway traffic signal heads, including all required mounting hardware and LED lamps. Traffic signal heads to be poly-carbonate and shall have cowl visors, stainless steel reinforcing plates for mounting, bird stops, backboards and plumbizer hanger system. The colour of the traffic signals shall be black with a Federal Yellow back plate. Traffic signal head clearance shall be 5.2 metres above the roadway. Primary (Highway) signal heads shall have 300 mm diameter red LED signal lamps and 200 mm diameter amber, green and advanced green LED signal lamps. Spring cushion hangers shall conform to OPS 2522.01. Measurement for payment will be by the number of highway traffic signal heads installed, including mounting hardware and lamps. Payment at the contract unit price for this item will be full compensation for all labour, equipment and material necessary to do the work.

Work to include the supply and installation of highway traffic signal heads, including all required mounting hardware and LED lamps. Traffic signal heads to be poly-carbonate and shall have cowl visors, stainless steel reinforcing plates for mounting, bird stops, backboards and plumbizer hanger system. The colour of the traffic signals shall be black with a Federal Yellow back plate. These Secondary signal heads shall be highway heads above except that all lenses will be 200mm diameter. All LED lamps shall be LED Dialight product No. 431-1210 or Duralite-JXC, or approved equal.

Measurement for payment will be by the number of highway traffic signal heads installed, including mounting hardware and lamps. Payment at the contract unit price for this item will be full compensation for all labour, equipment and material necessary to do the work.

3.0 PEDESTRIAN SIGNAL EQUIPMENT (Tender Items A.2 and B-1.3) Pedestrian Signal Heads

Work to include the supply and installation of two (2) section LED, Countdown pedestrian heads complete with double arm brackets hardware, lamps and sundry items. Pedestrian heads shall be Fortran P3LP640 signal heads, or approved equal. Pedestrian signal heads shall be mounted directly to pole ("Quick Mount") using hardware of the same source as the signal heads or mounted using double arm bracket per OPSD 2505.01. Colour of pedestrian heads shall be Federal Yellow. Installation shall be in accordance with OPSD 2505.01 and 2524.01, providing a clearance from the bottom of signal to ground level of 2.75 meters. Unless otherwise directed by the Engineer, the pedestrian signals shall be on the side of the pole away from potential damage due to turning trucks.

Measurement for payment will be by the number of pedestrian signal heads installed, including mounting hardware and lamps. Payment at the contract unit price for this item will be full compensation for all labour, equipment and material necessary to do the work.

4.0 TRAFFIC SIGNAL CONTROLLER (Tender Items A.3) The Contractor shall supply and install an Econolite Model CBD-6000 Controller with pole mount

aluminum cabinet as required. Controller to be advanced green capable. The controller will be programmed and commissioned by the supplier.

The contractor shall mount and wire the controller in accordance with the manufacturers

instructions. 5.0 UPS TRAFFIC SIGNAL CONTROLLER (Tender Items A.4 and B-2.1) The Contractor shall supply and install a UPS compatible with the controller with pole mount

aluminum cabinet as required for each installation. The contractor shall mount and wire the UPS in accordance with the manufacturers instructions.

6.0 PEDESTRIAN PUSH BUTTONS

(Tender Item A.5 and B-1.4)

Work to include the supply and installation of new Novax VB3™ Vibrawalk™ 3Sound system (External)APS Part Number PLS004000 (External Mount) vibrating pedestrian push buttons including drilling wire opening in poles and the supply and installation of required wiring. Push buttons are to be configured to work in conjunction with the audible pedestrian signals.

Installation shall be in accordance with OPSD 2505.01, providing a clearance from the push button to ground level of 1.20 meters. Pedestrian push button housings shall be either die-cast or permanent mold cast aluminum. Anti-seize compound is to be applied to the face plate and mounting screws.

7.0 AUDIBLE PEDESTRIAN SIGNALS

(Tender Item A.6 and B-1.5)

Work to include the supply and installation of audible pedestrian signals at each pedestrian crossing. The signals shall be Novax DS3000 series (or approved equal) audible pedestrian signals with 2 standard sounds and grey colour. Button actuated timers are to be installed in conjunction with each pedestrian signal. The audible signal is to be actuated to trigger with the walk visual signal only after the pedestrian pushbutton is depressed for 3 seconds.

Measurement for payment will be by the number of audible pedestrian signals installed, including mounting hardware. Payment at the contract unit price for this item will be full compensation for all labour, equipment and material necessary to do the work.

8.0 MISCELLANEOUS - TRAFFIC SIGNS

(Tender Item A.7 and B-1.6) All signs and sign installations shall be in compliance with the Ontario Traffic Manual. The Contractor shall supply and mount Ra-12 “Push Button” signs on signal poles using stainless steel bonding straps. All other post mounted signs will be supplied and installed by the Town.

9.0 PROVIDE POLICE TRAFFIC CONTROL (Tender Item A.8 and B-1.7) The contractor shall arrange for Police traffic control as required during the installation and testing components of the new signal mounting and commissioning.

AGREEMENT

THIS AGREEMENT made in duplicate the day of A.D. 2017, between Contractor and The Corporation of the Town of Midland Owner WITNESSETH That, the Contractor for and in consideration of the payment specified in the Quotation Document for this Work, hereby agrees to furnish all necessary plant, labour and materials, except as otherwise specified, and to complete the said Work in strict accordance with the Quotation Document, all of which are to be read herewith and form part of this present agreement as fully and completely to all intent and purposes as though all the stipulations thereof have been embodied therein. The Contractor further agrees that he will deliver the whole of the Work completed in accordance with the Agreement. To the fullest extent permitted by law, the Contractor agrees to defend (including attorney’s fees), pay on behalf of, indemnify and hold harmless The Corporation of the Town of Midland, its elected and appointed officials, employees and volunteers and others working on behalf of The Corporation of the Town of Midland against any and all claims, demands, suits or loss, including all costs connected therewith and for any damages which may be asserted, claimed or recovered against or from The Corporation of the Town of Midland, its elected and appointed officials, employees, volunteers or others working on behalf of The Corporation of the Town of Midland, by reason of personal injury, including bodily injury or death and/or property damage, including loss of use thereof, which arises out of or is in any way connected or associated with this contract. IN CONSIDERATION WHEREOF, the Owner agrees to pay to the Contractor for all Work done, the sum stipulated in the Contract Documents. Holdbacks and Payment Terms as stipulated in the Contract Document. THIS AGREEMENT SHALL enure to the benefit of and be binding upon the heirs, executors, administrators, and assigns of the Contractor and on the heirs and successors of the Owner.
