EXHIBIT A

STATEMENT OF WORK AND PROJECT TIMELINE

I. STATEMENT OF WORK

Grant funds to Kitsap Rescue Mission for operation of the Bremerton Overnight shelter which will provide low-barrier (not including individuals that require assistance with mobility) overnight shelter for individuals experiencing homelessness, located at 810 61h Street, Bremerton, 98337, or at another Bremerton location (address to be provided to Kitsap County), for operations for the contract time period, as detailed in the Response to the 2020 Shelter Operations Request for Proposals (RFP).

Recipient must comply with the Housing and Homelessness Grant Program Guidelines and all updates to the Guidelines during the grant period.

The Bremerton Shelter to include at least five (5) Continuous-stay Shelter beds, meeting the following criteria as defined in the RFP:

• Offer living arrangements where households have a room or bed assigned to them throughout the duration of their stay.

• There is no limit to the clients' length of stay.

• Housing Stability Case Management is provided to all clients on a regular on-going basis and the Kitsap County Housing Stability Planning and Progress Reports (HSPPR) is used by case managers for all clients.

In addition, the Bremerton Shelter to include at least 21 Drop-In Shelter beds, meeting the following criteria as defined in the RFP:

• Offer night-by-night living arrangements that allow households to enter and exit the program on a daily or irregular basis and do not guarantee households a bed from one night to the next.

• There is no limit it to the clients' length of stay.

• The program may include (but are not required to include) irregular, one-time, or "light touch" interactions with case management staff.

The following are additional requirements of the contractor, as specified in the RFP:

• Coordinated Entry Referrals: Accept referrals and intakes exclusively from the Housing Solutions Center. Domestic Violence Shelters may accept clients directly, as long as they coordinate with the Housing Solutions Center and subsequently refer clients to the Housing Solutions Center.

• Data Collection and Entry: Enter all client information into HMIS, following Department of Commerce and HUD data standards that are applicable to the program. Data must be entered within 6 business days of a household's enrollment into the program or changes in the household's program status or household information.

• Coordination with other Agencies: Participate in the monthly meetings of the Kitsap Housing and Homelessness Coalition. Actively coordinate additional meetings as needed with other agencies that provide social services to provide the most comprehensive and seamless provision of care for clients as possible.

• Reporting: Submit all applicable reports to Kitsap County and the Department of Commerce by the published deadlines and respond in a timely way to County information requests and countywide reports.

• Non-Discrimination: Ensure equal access for people experiencing homelessness regardless of race, national origin, gender identity, sexual orientation, marital status, age, veteran or military status, disability, or the use of an assistance animal.

• Religious Activities: No funding provided through this grant may be used to support or engage in any explicitly religious activities, including activities that involve overt religious content such as worship, religious instruction, or proselytization, nor may the provision of services provided be conditioned upon a program participant's engaging in any such explicitly religious activities.

• Occupancy: Have a bed utilization rate of no less than 90% -- calculated based on the number of bed nights provided, the number of beds or rooms, and the possible annual nights (365 or 366). Shelters with a lower bed utilization rate each quarter must provide information about why the bed utilization rate was lower than 90% and a plan to improve the bed utilization rate. If the bed utilization rate is lower than 90% for multiple quarters, the shelter may be reimbursed on a per occupancy day rate rather than an annual bed rate.

• Performance Measurement: Work towards achieving the countywide performance measures, as indicated below:

o Exits to Stable Housing -

• For Drop-In Shelters, the 2020 target is at least 50% of households exit to a positive housing destination.

• For Continuous-Stay Shelters and Enhanced Services Shelters, the 2020 target is least 41 % of households exit to a stable housing destination.

o Reduce Median Length of Stay -

• For Continuous-Stay Shelters and Enhanced Services Shelters, the target is that the median length of stay for households is 20 days or less.

• Complaint Process: Have a written complaint/grievance policy approved by the agency's Board of Directors, provide information about the complaint/grievance process to shelter clients upon their enrollment in the program, and ensure that complaint forms are readily available to clients in the shelter.

• Staff Training: Staff working with clients should be, at a minimum, trained in ACES/Resiliency, trauma-informed care, progressive engagement, and mental health first aid.

• Housing Stability Case Management: Starting no later than January 1, 2020, shelters that provide case management use the Kitsap County Housing Stability Planning and Progress Report (HSPPR) to assist clients with setting housing stability goals and tracking progress. HSPPRs are part of the client record-keeping requirements.

Scope of work for COVID-19 Homeless Response: In addition to the scope of work indicated above, the contractor is granted additional funds, as indicated the Exhibit B - Budget, for the purposes of COVID-19 homelessness response activities. This funding is to be used for expenses related to:

• operating a new temporary homeless shelter site, that includes substituting the Continuous­Stay Shelter beds and Drop-In Shelter beds as described in the scope of work above for all Continuous Stay Shelter beds (for a total of 26 Continuous Stay Shelter beds);

• adding up to an additional 54 Continuous Stay Shelter beds, as needed, for a total of up to 80 beds;

• operating this new temporary homeless shelter on a 24 hours a day, 7 days a week basis and allowing shelter residents access to their shelter accommodations 24 hours a day, 7 days a week; and

• ensuring that three meals a day and snacks are provided to shelter guests (these may be provided by KRM directly or by arrangement with other meal providers).

Kitsap County Human Services will provide the building, utilities, tables and chairs, pipe and drape system, 24-hour security guard service (as needed), and access to security cameras.

Contractor must do everything possible to ensure that all safety, sanitation, and disinfection protocols for the prevention of the spread of COVID-19 that are recommended by the Kitsap Public Health District, and/or the Washington State Department of Health, and/or the Center for Disease Control are followed at all times. This includes ensuring that staff and guests maintain appropriate physical distancing from each other, including bed spacing, meals, and daytime activities.

Expenses may include additional staff salaries and benefits, additional program supplies, meal expenses, and additional cleaning supplies that are needed to expand operational hours and carry out appropriate disinfection/sanitizing of facilities.

The additional funding is expected to support these activities starting 5/28/20 and extending at least through 8/31/20.

Expenses for COVID-19 homelessness response activities will be reimbursed as a single line item on the reimbursement request form, with all other requirements for documentation remaining the same.

During the period that the COVID-19 related activities are being carried out, requirements and performance measures relating to occupancy rate/bed utilization, exits to stable housing, median length of stay, housing stability case management, and data quality are temporarily suspended.

The COVID-19 Scope of Work and requirements are subject to change if the source of these grant funds, the Washington State Department of Commerce COVID-19 Homeless Response Grant Guidelines, change.

EXHIBIT E

SCOPE OF WORK for Use of Pavilion

Kitsap County Parks Department ("Parks") will grant access to the Kitsap Rescue Mission ("KRM") and provide use of public areas in and around the Kitsap Sun Pavilion located at 1200 NW Fairgrounds Road, Bremerton as a temporary homeless shelter site from March 27, 2020 through August 31, 2020.

In exchange for payment in accordance with Exhibit C, Parks shall provide the following:

• Limited staffing assistance to ensure the Kitsap Sun Pavilion building is operational at the expense of the Kitsap Rescue Mission/Human Services.

• Use of Parks garbage and recycling dumpsters at the expense of the Kitsap Rescue Mission/Human Services.

• Utilities including internet, water, gas, and energy for use of the Kitsap Sun Pavilion.

• Use of Parks equipment including chairs, tables, staging, fencing, spider boxes, pipe and drape, and electrical cords.

• Cleaning supplies, including disinfectant wipes, hand sanitizer, soap, paper towels, toilet paper, pine sol, gloves, and garbage bags, to assist with the start of the shelter operation.

• Replacement of the Hot Water Tank.

• Use and dry cleaning for pipe and drape.

EXHIBITG LICENSE AGREEMENT

LICENSE AGREEMENT FOR USE OF FAIRGROUNDS PAVILION FACILITIES

BY KITSAP RESCUE MISSION

WHEREAS, on February 29, 2020, the Governor of the State of Washington declared a State of Emergency in all counties of the State of Washington due to the outbreak of Novel Coronavirus (aka COVID-19), for the extreme risk of person-to-person transmission throughout the United States and Washington State; and

WHEREAS, on March 8, 2020, the Director of the Kitsap County Department of Emergency Management issued a proclamation of emergency in response to cases of COVID-19 identified in Kitsap County, which was adopted by resolution of the Kitsap County Board of Commissioners on March 9, 2020;and

WHEREAS, CO VID-19 cases continue to occur in Kitsap County, indicating that the disease and its potential progression in Kitsap County affects life, health, property, public peace; and

WHEREAS, Kitsap County executed KC-073-20 on March 23, 2020 and KC-073-20-A on April 20, 2020, providing $125,822.00 in Consolidated Homeless Grant- COVID-19 Homeless Response Grant funds to Kitsap Rescue Mission to operate an overnight shelter for individuals experiencing homelessness during the health emergency; and

WHEREAS, County owns certain real property in the City of Bremerton, Kitsap County, Washington, commonly known as the Kitsap Fairgrounds and Events Center, which includes the Fairgrounds Pavilion, located at 1200 NW Fairgrounds Road, Bremerton, WA 98311 (hereinafter "County Property"); and

WHEREAS, the County Property as shown in Exhibit H, attached hereto, and incorporated herein by this reference, was intended to support community use; and

WHEREAS, the Licensee desires to utilize the Pavilion facilities located at the County Property for purposes of providing temporary homeless shelter site; and

WHEREAS, the Board of County Commissioners finds it is in the best interest of the public health and welfare to temporarily authorize the use of the County Property for emergency services in response to the COVID-19 outbreak; and

WHEREAS, the County, wishes to provide Licensee with use of the County Property for purposes of providing a temporary homeless shelter operated by Licensee during the COVID-19 outbreak; and

WHEREAS, due to the conditions resulting from COVID-19, the parties hereto desire to enter into this Agreement and amend to KC-073-20 executed March 23, 2020; and

WHEREAS, use of the County Property for the purposes identified herein will be beneficial to the health and safety of the public.

NOW, THEREFORE, in consideration of the mutual benefits to be derived, it is agreed:

1. Incorporation of Recitals. The foregoing recitals are incorporated in full and made a part of this Agreement by this reference.

2. License and Conditions. County grants Licensee this non-exclusive license to utilize a portion of County Property under the following conditions:

A. Use: This license is granted to Licensee for use of facilities at County Property as shown in - Exhibit H and Exhibit I, attached hereto and by this reference made a part hereof ("License Facilities") for the purpose of providing a temporary homeless shelter at the County Property. The License Facilities includes the Foyer, Conference Room, Lower Floor, Catering Kitchen, Office, Locker Rooms, Bathrooms and Mezzanine.

B. Term: This license shall take effect immediately upon execution and remain in effect until terminated pursuant to Section 5 below.

C. Payment: Kitsap County shall be paid in accordance with Exhibit F.

D. This License Agreement is granted only for the above stated purpose. Any extension or modification of the scope of use shall be in writing and signed by those with authority to represent the Parties.

E. Licensee shall reasonably carry out the above stated permitted uses within the County Property and License Facilities so as not to interfere with the County's use and operation of the County Property.

F. Licensee shall comply with Kitsap County Parks rental guidelines during the term of this License Agreement.

G. Licensee will provide security 24 hours a day and 7 days a week to ensure damage to the County Property and License Facilities is not caused by Licensee or guests of Licensee.

H. Licensee shall professionally and thoroughly clean and disinfect License Facilities upon termination of this Agreement. Licensee agrees to restore County Property and License Facilities to their original condition upon termination of this Agreement.

I. Licensee shall be responsible for all costs associated with restoring the County Property and License Facilities to their original state.

J. Licensee shall be responsible for its own property located, maintained, or stored on the County Property.

K. This license is non-assignable.

3. Indemnification. Licensee shall defend, indemnify and hold the County, its officers, officials, employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal costs and attorney fees, arising out of or in connection with the Licensee's use of the County Property and License Facilities pursuant to this Agreement, except for that portion of the injuries and damages caused by the County's sole negligence.

The provisions of this section shall survive the expiration or termination of this Agreement.

4. Insurance. Licensee shall procure and maintain for the duration of this license, insurance against claims for injuries to persons or damage to property that may arise from or in connection with the operation of this license by Licensee, its agents, representatives, employees, contractors or subcontractors.

By the effective date of this Agreement, Licensee shall provide a Certificate of Insurance evidencing:

Commercial General Liability insurance written on an occurrence basis with limits no less than $1,000,000 combined single limit per occurrence and $1,000,000 aggregate for personal injury, bodily injury, and property damage. Coverage shall include but not be limited to: blanket contractual; products/completed operations/broad form property damage; explosion, collapse and underground (XCU) if applicable.

Automobile Liability insurance with limits no less than $1,000,000 combined single limit per accident for bodily injury and property damage; and

Excess Liability insurance with limits not less than $1,000,000 limit per occurrence and aggregate; and

Workers Compensation insurance as statutorily required by the Industrial Insurance Act of the State of Washington, Title 51, Revised Code of Washington, and employer's liability with limits not less than $1,000,000.

Any payment of deductible or self-insured retention shall be the sole responsibility of Licensee.

The County shall be named as an additional insured on the insurance policy, with respect to the operation of this Agreement by or on behalf of Licensee, and a copy of the endorsement naming the County as additional insured shall be attached to the Certificate of Insurance.

Licensee's insurance shall contain a clause stating that coverage shall apply separately to each insured against whom claim is made or suit is brought, except with respects to the limits of the insurer's liability.

5. Termination. Either party may terminate this license at their sole discretion, for convenience or otherwise and for no consideration or damages, with 48 hours prior notice to the other party.

6. Modification. This Agreement may not be modified, altered, or amended unless first approved in writing by the County.

7. Breach. In the event of any alleged breach or threatened breach of this Agreement by either party, and if County and Licensee are unable to cure the breach or otherwise resolve their dispute, then final resolution of the dispute or claim shall occur solely under the jurisdiction and venue of the Kitsap County Superior Court, and each party shall be responsible for its own legal costs and attorney fees incurred in defending or bringing that claim or lawsuit.

8. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors.

9. Entire Agreement. This Agreement contains the entire agreement between the Parties and, in executing it, County and Licensee do not rely upon any statement, promise, or representation, whether oral or written, not expressed herein.

10. Non-Waiver. Waiver of a breach of any provision hereof shall not be deemed to be a waiver of a breach of any other provision or a subsequent breach of the same provision.

11. Notices. Any notice desired or required to be given hereunder shall be in writing, and shall be deemed received three (3) days after deposit with the U.S. Postal Service, postage fully prepaid, certified mail, return receipt requested, and addressed to the party to which it is intended at its last known address, or to such other person or address as either party shall designate to the other from time to time in writing forwarded in like manner:

12. Severability. In the event that one or more provisions of this Agreement shall be determined to be invalid by any court of competent jurisdiction or agency having jurisdiction thereof, the remainder of the Agreement shall remain in full force and effect and the invalid provisions shall be deemed deleted.

13. Counterparts. This License may be executed in two (2) or more counterparts, any of which shall be deemed an original but all of which together shall constitute one and the same instrument.

13
