Notice is hereby given that on the 30th day of October, 2009 an Oil and Gas Lease ("Lease") was made and entered into by and between Ritchie Farms, Ltd., as "Lessor", and Ranger Exploration Corporation, as "Lessee", wherein Lessor granted, leased and let exclusively unto Lessee for the sole purpose of investigating, exploring, drilling, operating, and producing oil and/or gas together with any liquid or gaseous substances produced in association with oil and gas, the following described land situated in La Salle and Dimmit Counties, Texas (sometimes referred to hereinafter as the "leased premises") to wit: See Exhibit "A" attached hereto and by reference made a part hereof.

Subject to the other provisions therein contained, the Lease is for a primary term of three (3) years and as long thereafter as oil, gas or other minerals are produced from the leased premises in paying quantities or Lessee is conducting continuous drilling or other operations on the leased premises as provided in the Lease. Originals of the Lease are in the possession of Lessor and Lessee.

This Memorandum is executed for the purpose of filing this instrument of record in the Official and/or Real Property Records of Dimmit and La Salle Counties, Texas, to give notice to all third parties dealing with Lessor or Lessee or with the lands above described of the existence ofthe Lease.

This Memorandum is signed by Lessor and Lessee as of the date of acknowledgment of their signatures, but is effective for all purposes as of the Effective Date stated above.

WHEREAS, on the 30th day of October, 2009, Ritclue Farms, Ltd. entered mto an Otl &

Gas Lease, as Lessor, with Ranger ExploratJ.on Corporation, as Lessee, covenng 8,701.2 acres of

land, more or less, said lease being eVIdenced by that certam Memorandum of Otl and Gas Lease

of record m Volume 487, Page 109 of the Deed Records of La Salle County, Texas and m

Volume 378, Page 218 of the Deed Records ofDtmmtt County, Texas, (heremafter referred to as

the "Lease");

WHEREAS the leasehold interest in the Lease lS now owned by El Paso E&P Company,

L.P., a Delaware limited partnership, as Lessee;

WHEREAS, pursuant to Paragraph 29 of the Lease, Lessor elected to have the leased

premises resurveyed by a licensed surveyor and that survey shows there are more than 8,701.2

acres located withm the boundaries of the subject property;

NOW THEREFORE, Lessor, for and m conSiderat!On of the sum of One Dollar ($1.00}

and other valuable consideration cash in hand paid by Lessee, the recetpt and sufficiency of

which are acknowledged, does hereby agree that the descnption of the lands covered by the

Lease as shown m Exh1b1t "A" to the Lease and in Exhibit "A" to the Memorandum of Oil and

Gas Lease IS hereby deleted in Its entirety and replaced w1th Exhibit "A" attached hereto and

made a part hereof;

Except as herem amended, the provisions of the Lease and any recorded amendments

thereto shall remain in full force and effect, and Lessor (1) does hereby ratify, adopt and confirm

the same as if incorporated herein and (ii) does hereby grant, lease and let unto Lessee the leased

premises subject to the tenns and conditions of the Lease as amended hereby and set forth

herein.

EP Energy E&P Company, L.P. ("EP") is the lessee under a lease covering the State of Texas's free roya lty interest in the above-referenced survey (the "Armstrong Free Roya lty"). A copy of the lease has previously been filed with your office. EP has dril led a well, the Ritchie Farms Well No. 108H (API No. 42-283-34457), across the Armstrong Free Royalty and desires to reach an agreement with the State for allocating production from that well and others that may cross the Armstrong Free Royalty in the future.

Accordingly, EP proposes the enclosed Product ion Sharing Agreement (" PSA"). Exhibit 2 to the PSA is an as-dril led plat for Well No. 108H, wh ich shows the location of the Armstrong Free Royalty. A lso enclosed is a check in the amount of $500.00 payable to the Texas Genera l Land Office to cover the pooling applicat ion fee for this PSA. • The Production Sharing Agreement will allow the operator to drill addit ional horizontal wells(" haring Wells") that cross tale Lease M- 11 2769.

• The State's parti cipation in a Sharing Well will be based on the length of latera l on the Lease divided by the total length of latera l of the haring Well.

POOLING COMMITTEE RECOMMENDATION:

The Pooling Committee recommends Board approval of the Production haring Agreement.

This Production Sharing Agreement (this "Agreement' ) is between EP Energy E&P Company, L.P., whose address is I 00 I Louisiana Street, Houston, Texas 77002 ("Lessee"), the State or Texas, and Ritchie Farms, Ltd . (with the State or Texas, "Interest Owners") (Lessee and Interest Owners may be referred to individually as "Pa11y ' and collectively as "Parties").

The State of Texas claims a free royalty interest in the Mrs. A. Y. Armstrong Survey, A­l 897, F-14324 (the '·Armstrong Survey"), which tract is shown on the plats attached as Exhibit 2. Ritchie Farms claims the remaining royalty in that tract and other tracts under the oi l and gas lease more fully described on Exhibit I (the 'Lease").

The Parties desi re to allocate the production and royalties from wells drilled partly on the Armstrong urvey and pa11ly on other lands within the Lease on a lateral-length basis in lieu of acreage-based pooling to promote conservation and orderly development under the terms of th is Agreement.

In consideration of the mutual promises and covenants contained in this Agreement, Lessee and Interest Owners agree as fo llows:

I. For purposes of this Agreement the fo llowing definitions apply:

(a) "Horizontal Well," "Horizontal Drainhole Displacement," "Penetration Point," "Terminus" and "Correlative Interva l" shall have the meanings currently ascribed to such terms in 16 Tex. Admin. Code§ 3.86(a);

(b) "Take Point" is any point along a Horizontal Drainhole where oi l or gas could enter the wellbore from the Correlative Interval and be produced;

(c) "Productive Drain hole Length" is the horizontal length of the well bore path that begins at the first Take Point of a Horizontal Well and runs along the wellbore path to the last Take Point. In the event a Horizontal Well shall be developed with more than one ( ! ) Horizontal Drainhole, the Product ive Drain.hole Length sha ll be the sum of such Productive Drain.hole Lengths of all such Horizontal Drainholes;

(d) "Separate Tract" is any tract of land traversed by a Horizontal Well in whjch the ownership of the parties entitled to production or proceeds of production, of oi l or gas from such tract di ffers now or hereafter, ei ther as to parties or amounts, from any other tract crossed by the Hori zontal Well.

(e) "Allocation Well" is a Horizontal Well in which all or a portion of the Productive Drainhole Length is located on the Armstrong Survey and on one or more other Separate Tracts.

2. Each Interest Owner shal l share in the production, or proceeds of production, from any Allocation Wel l(s) on the basis of each Interest Owner's ownership in each Separate Tract traversed by the Productive Drainhole Length multiplied by an Allocation Factor. The Allocation

Factor is defined as a fraction the numerator being equal to the length of that portion of the Producti ve Drainhole Length that lies within the Separate Tract owned by such Interest Owner, and the denominator being equal to the total Productive Drainhole Length. In the event that an Interest Owner owns less than the entire undivided fee simple estate in the Separate Tract, then the allocation of production, or proceeds of production, made in favor of an Interest Owner as set fo rth in this Section 2 shall be proportionately reduced based only upon the interest in production, or proceeds of production, in and under the Separate Tract that actual ly is owned by such Interest Owner.

3. In the event that the ownership of interests entitled to production, or proceeds of production from the Separate Tract, are now or shall become divided interests, the production allocated to such eparate Tract from an Allocation Well shall be further allocated to each Interest Owner on the basis or the length or the Productive Drainhole Length located on such Interest Owner's portion of the Separate Tract as compared to the total Productive Drainhole Length on the entire Separate Tract.

4. This Agreement is effective as of the effective date stated below, and shall remain in force and effect as long as the later of: (a) any Allocation Well is capable of producing in paying quantities or (b) the Lease is in force and effect. Lessee shall evidence any termination of this Agreement by written instrument duly executed by Lessee, its successors and/or assigns and to record same in La alle County, Texas.

5. This Agreement shall not amend any of the terms and provisions of any Lease other than the granting of rights as outlined in this Agreement as they pertain only to any Allocation Well , nor sha ll this Agreement serve as an abrogation or relinquishment or Interest Owners' rights.

6. Lessee may change, add or delete Interest Owners to th is Agreement as maybe dictated by title examination or other causes of change in ownershi p. otwithstanding the allocation for production purposes hereunder, Lessee may designate retained acreage pursuant to the Leases.

7. This agreement may be executed in any number of counterparts, each or which shal l be an original, binding upon all Parties executing this agreement just as if each Party had executed the same counterpart, and any Party may combine said counterparts to form one single instrument. This Agreement shall be binding on each individual Party who executes th is Production Sharing Agreement regardless of whether or not other Parties execute this Agreement.
