GENERAL TBRMS & COI\DITIONS OF'THE TENDER AND CONTRACT

(Note: This is to be signed and enclosed with Part -*A" of the tender while submitting the pre qualification Bid)

I Quotations must be enclosed in properly sealed envelopes. For this use separate envelopefor Part- "A" ( Technical/ Pre-Qualifications Bid including the general terms & conditions )and Part- "8" ( Price Bid), seal them and write on the top of both envelops Name of YourFirm, Tendered item Name, and related PART 'oA" or "B" as the case may be and do itcarefully.

The ratelunit must not under any circumstances be altered and the rates must be entered inwords as well as in figures. If there is any discrepancy in both, the rates in words will befinal. The rates per unit should be quoted. The contract period can be extended if mutuallyagreed to.

Tenders should be given by Manufacturers or those Firm's/Dealers who are either registered/approved dealers for these materials or by those who are dealing actually in the job forwhich Tender is being given.

The approved supplier shall be deemed to have carefully examined the conditions,specifications, sizeo make and drawings etc. of the goods to be supplied. If he shall have anydoubt as to the meaning of any portion of these conditions or of the specifications, drawingsetc. he shall before signing the contract, refer to the managing Director and get theclarifications.The contractor shall not assign or sub-let his contract or any substantial part thereofto any

other agency.

(a) The Managing Director or his nominee shall have all reasonable time accessto the tenderer premises, and shall have the power at all reasonable time to inspect andexamine the materials and workmanship ofthe goods.(b)The tenderer shall, invariably, furnish complete address of the premises of his office,godown and workshop where inspection can be made together with full name & address ofthe person who is to be contacted for the purpose. In case of those dealers who have newlyentered into business; letter of introduction from their Bankers will be necessary.

In case the goods are not of the approved quality, make or size used for the job are supplied,the same will be rejected on supplier cost .The rejected articles must be removed by thetenderer from the site within a week of the information of the rejection.

The tenderer shall be responsible for the proper packing so as to avoid any damage in thenormal condition for the transport by sea, rail, road or air and delivery of the material ingood condition to the consignee at destination. The supplier, if he so desires, may Insure thevaluable goods at his cost against loss by theft, destruction, riots or damage by fire, flood,under exposure to weathers or other conditions.

The amountshould be deposited as Bank draft in favor of Managing Director, UdaipurDugdh Utpadak Sahakari Sangh Ltd., Udaipur. This Earnest Money will berefunded to the Unsuccessful tenderer within three months of the final acceptanceofthe tender. No interest shall be payable on EMD.

13. Remittance charge on movement made to the firm will be borne by the approvedSuppliers.

If the approved suppliers fails either to work as per the prescribed specificationsor to complete the job within specified period, the Managing Director shall be atliberty to get supply/get work done either through retender or otherwise asDeemed fit looking to emergency state. The Managing Director may give sevendays notice in writing to the approved supplier to make good the loss due to hisfailure, neglect or contravention and should the contractor fail to comply with theNotice within seven days of the date of service there-of in such cases , If theManaging Director deems fit, it shall be lawful for him to retain the balance due toContractor or to apply the amount of earnest money, deposited by the supplier, tomake good the losses sustained or excess cost incurred by the Dairy in arrangingthe supplies or completing the job through any other agency. Penal action, for thefault in quality / Delivery schedule, may also be taken as deemed fit, by theManaging Director.

15. Direct or indirect canvassing on the part of tenderer or their representative willdis-quali$' their tender.

16. The U.D.U.S.S. Ltd., Udaipur reserves the right to accept any tender not necessarilythe lowest tender and reject any tender without assigning any reason there of ordercan be placed for the whole or part of the job to the tenderer at the absolute discretion

of the Managing Director. The tender quantity is tentative and it may increase &decrease at absolute discretion of Managing Director Milk Union Udaipur.

17. 90YoPayment of Bill value shall be made on safe receipt of material at Milk Union, Udaipur and balance l0 o/o on completion of the three months after supply .

18. All legal proceedings, if necessary arises, to be instituted by any of the parties, UDUSSLtd or Supplier shall have Udaipur jurisdiction.

The material is to be supplied immediately (within one month ) after receipt ofPurchase Order. In case the supplier fails to deliver the material in time, the pvp/ security deposit will be forfeited and the tender will be terminated.

All risks / insurance for the safety of our machines, tools, tackles, labor etc. shouldbe covered by the contractor only. For any loss / damages of our equipment thecontractor shall be solely responsible.

No Railway receipt will be accepted and material will not be received by v.p.p.

U.DU.S.S. LTD., have the right to split the tender between one/more parties. Alsothe Right to accept or reject any tender in part or full rest with Managing Director,U.D.U.S.S. LTD. UDAIPUR.

Terms & conditions other than this document shall not accepted.
