THE RENTAL PROCESSWhen one of our highly qualified Rental Associates places a guest in your home, the process goes as follows:

Rental Licenses are required if your property is located within the City limits of Rehoboth Beach, Town of Dewey Beach and Town of Henlopen Acres.

n For weekly rentals a lease is sent out to the guest (usually by email). The guest has seven (7) days to sign the agreement and send it back with a deposit for 50% of the total rent. This does not include any applicable tax, accidental damage protection fee or processing fee. The full commission is deducted from the initial deposit.” In Season” we do our best to turn this process around with full payment within twenty four (24) hours.

n For seasonal tenants we collect a 1/3 deposit - a payment schedule is set up with the tenant to be paid in full prior to occupancy usually in two (2) more 1/3 payments. The full commission is deducted from the initial 1/3 deposit.

n Once the lease is received, the agent will sign on your behalf and send a confirmation copy to the guest, the payment will be posted to your account and you can check your account at any time on line. Direct deposit is available and you will receive an email when funds are deposited.

n After the initial deposit is posted, the balance of the rent is due thirty (30) days prior to check-in. At that time you will receive the full balance of the rent due and pet fees if applicable.

n We also collect the 3% rental tax (charged in Rehoboth Beach, Dewey Beach and Henlopen Acres) and we pay each municipality on your behalf.

n When a damage deposit is collected it is held in a non-interest bearing account until the guest checks out and all has been cleared to release, in part or in full. We use the DLLTC as a guide and do our best to get these deposits reconciled and released within twenty (20) days.

n Weekly guests pay a non refundable damage protection fee of $50/$100/$200 that will cover the owner per guest up to $500/$1000/$2000 respectively.

n On or about May 15th of each rental year, we place a $500 minimum account balance on each property. This gives us a working balance for any maintenance issues, cleaning, etc. that may come up during the season.

n On or about October 1st the $500 minimum account balance is released and any money remaining will be forwarded to you. If your expenses have gone over the $500 you will be billed for payment.

RENTAL STANdARdSIn this competitive market we urge each owner to supply the following for you property. We have compiled a list of “Rental Standards” for you to use as a guideline in marketing your rental property. If you should have any questions, please call us. We are happy to be of service. It is required that all units be spring cleaned, walls cleaned/painted, drapes/bedspreads, mattress pads and pillows cleaned and/or replaced. Bathroom – caulking renewed and mildew removed. Carpets freshly cleaned. Porches, decks, grills and outside showers should be cleaned and/or power washed before first tenant. Lawn care and maintenance to be provided during rental season including but not limited to mowing and weeding. DON’T FORGET TO CHANGE BATTERIES IN SMOKE DETECTORS AND REMOTE CONTROLS AND CHECK ALL LIGHTBULBS.

A rental license is required for properties located in the City limits or Rehoboth, Dewey, and Henlopen Acres.

2015 EXCLUSIVE RENTAL LISTING AGREEMENT WHEREAS, Owner is the fee simple and/or leasehold owner of the following house, condominium, duplex, town home and/or other residential dwelling unit, address listed as follows: ________________________________________________________(Physical address for 911 and mapping purposes) PROPERTY ADDRESS WHEREAS, Jack Lingo, Inc. Realtor is in the business of renting short-term rental properties owned by others and of finding guests for the same; and WHEREAS, subject to the terms of this Agreement, Owner desires to engage Jack Lingo, Inc. Realtor to provide rental services for the above mentioned property and Jack Lingo, Inc. Realtor desires to accept such engagement.NOW, THEREFORE, for and in consideration of the mutual promises and covenants contained herein and other good and valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. TERM. Subject to the terms contained in this Agreement, Owner hereby agrees to engage Jack Lingo, Realtor, Inc. as the exclusive rental agent for the Property, and Jack Lingo, Inc. Realtor hereby agrees to accept such engagement, for a term to begin on October 1st, 2014 (or when contract is fully executed) and will terminate on December 31st, 2015.2. USE OF PROPERTY AS TRANSIENT RENTAL ACCOMMODATION, DELAWARE STATUES AND LANDLORD-TENANT EXEMPTION. Jack Lingo Realtor, Inc. agrees to offer the Property for rent to the general public as a transient accommodation in accordance with Delaware Statutes, and other ap-plicable laws governing public lodging establishments. Owner represents that all present and future regulations of local, state or federal authorities cover-ing zoning, safety, fair housing, wage-price and other government requirements have been fully complied with to the best of his/her knowledge and belief and agrees to hold Jack Lingo, Inc. Realtor and it’s Rental Agents safe and harmless from any claims of liability or wrong doing in the rental of the above described property if for some unknown reason it should later be determined that the premises do not meet the requirements of governmental authorities. In addition, it is understood that Property rented for less than one hundred twenty (120) days residing in either Lewes/Rehoboth Hundred, Baltimore Hundred and Indian River Hundred shall be exempt from the Delaware Landlord-Tenant Code. Except for specifically provided herein, all decisions concerning the day-to-day operation of the Property as a transient rental accommodation shall be made by Jack Lingo, Inc. Realtor in it’s sole discretion, including, but not limited to, decisions regarding rental rates, staffing, maintenance, housekeeping, reservation policies, and collection of rental proceeds. In addition, Jack Lingo, Inc. Realtor shall have the right, in its sole discretion, to charge guests a reservation or other transaction fee, which amount shall be in addition to the rental rate charged and shall belong exclusively to Jack Lingo, Inc. Realtor. 3. AGENCY AGREEMENT. It is agreed that Jack Lingo, Inc. Realtor is acting as Agent only and has no liability for the performance of any term or covenant of license agreements. As disclosed in the Consumer Information Statement of the Delaware Real Estate Commission, the parties confirm that Jack Lingo, Inc. Realtor is acting as an Agent for Landlord.4. RENTAL LICENSE. It is further understood that Owners with properties located in the Town of Dewey Beach, City of Rehoboth Beach and the Town of Henlopen Acres or any other municipality agree to obtain a rental license for the period that the Property is made available to rent through Jack Lingo, Inc. 5. RENTAL TAX. Rental taxes for properties located within the City of Rehoboth Beach, Town of Dewey Beach and the Town of Henlopen Acres will be col-lected from the guest by Jack Lingo, Realtor, Inc. and escrowed until such time when those municipalities require the taxes be paid on the Owner’s behalf.6. COMPENSATION. As compensation for performing its duties hereunder, Owner shall pay Jack Lingo, Inc. Realtor an amount equal to fifteen percent of all gross rental proceeds generated from the Property. Owner acknowledges and agrees that Jack Lingo, Inc. Realtor may immediately deduct from rents collected and retain for its own benefit all amounts due to Jack Lingo, Inc. Realtor hereunder.7. DELIVERY OF RENTAL PROCEEDS. Agent will furnish the Landlord with a copy of all license agreements executed as soon as is reasonable. Landlord agrees that Agent will deposit rental monies in a separate non-interest bearing rental escrow account. Agent will process and remit all deposits and rent pay-ments, subject to the conditions herein, as soon as possible after the close of the calendar month in which said sums are collected, allowing a reasonable time for personal checks to clear the bank and the necessary accounting process. Agent will submit upon request a complete accounting for all receipts and disbursements.8. DEFAULT-COLLECTION OF FUNDS. If Guest shall default on the license agreement, collection of any unpaid rental shall be the responsibility of the Owner, and any expense involved with this collection shall be paid by the Owner. Jack Lingo, Inc. Realtor shall not be liable to Owner for rental proceeds which cannot be collected for any reason, including, but not limited to, non-sufficient fund checks, credit card “charge backs,” or fraud. Nothing contained in this Agreement shall be construed to obligate Jack Lingo, Inc. Realtor to engage the services of a collection company or institute any kind of legal proceed-ings for the purpose of collecting unpaid rents.9. OCCUPANCY OF PROPERTY BY OWNER AND OWNER’S GUESTS. In the event the Owner desires to occupy the property him/herself, he/she will first determine from the Agent that the Property is not rented nor have any commitments or license agreements been made for the rental thereof. In such event the Agent will be relieved of all responsibility for cleaning after Owners, their guests. If owner fails to notify Jack Lingo, Inc. Realtor and a double book-ing occurs Owner agrees to assume all expenses incurred to relocate guest. No commission shall be payable to Jack Lingo, Inc. Realtor for any periods that the Property is occupied by Owner or Owner’s immediate family or guests. Owner and Owner’s guests shall be subject to the same check-in and check-out times and procedures as other guests who rent the Property from Jack Lingo, Inc. Realtor. If the Owner should rent or allow friends/family to occupy the property it is expressly understood that Owner will be responsible for distributing keys and handling any maintenance issues that may arise during their stay. Jack Lingo, Inc. Realtor will not be responsible for lockouts, check-in and check out, maintenance and/or cleaning. x___________ Owner’s initials

10. FURNISHINGS. The parties acknowledge that in order for the Property to successfully be rented to the general public by Jack Lingo, Inc. Realtor as a transient accommodation, it must contain furnishings of high quality, style and utility which are consistent with other accommodations being offered for transient rental in the general vicinity of the Property. Consequently, owner agrees to keep the Property furnished in a manner acceptable to Jack Lingo, Inc. Realtor. Such furnishings shall include, but not limited to, appropriate furniture for each room to accommodate the number of guests which the Property sleeps, pillows, mattress pads, bedspreads or comforters, refrigerator, range, oven, microwave, coffeemaker, toaster, pots and pans and twice the amount of kitchenware (i.e., plates, glasses and silverware) as the number of guests which the Property sleeps. Owner agrees, in order to avoid unnecessary repairs or expenditures during the rental periods, to check the condition of appliances, equipment, furnishings and have the property thoroughly spring-cleaned (including carpet shampooing) prior to the rental season. Owner also agrees to have bed spreads, mattress pads, pillows, drapes and area rugs laundered or dry cleaned at his/her expense. 11. PET FRIENDLY PROPERTIES. If Owner has pets, Owner agrees that the property will be exterminated for fleas prior to the season. Furthermore, if an Owner offers his/her home as a pet friendly home he/she agrees to have property treated for fleas as needed at the Owner’s expense. An extra pet cleaning fee will be charged for any time period where a pet is in residence where Jack Lingo, Inc. Realtor coordinates cleaning. 12. MAINTENANCE OF PROPERTY. Owner shall be responsible for all costs associated with maintaining the Property (including all furnishes, appliances, heating/air conditioning, plumbing and electrical systems) in good clean working condition, as determined by Jack Lingo, Inc. Realtor in its sole discretion, and as otherwise required by applicable law. Items of maintenance, replacement or repair which do not exceed two hundred and fifty ($250.00) dollars may be made by Jack Lingo, Inc. Realtor at Owner’s expense without prior notice to Owner. Items of maintenance, replacement or repair in excess of such amount shall only be made by Jack Lingo, Inc. Realtor with the prior approval of Owner, except that in the case of an emergency, Jack Lingo, Inc. Realtor shall make whatever expenditures on behalf of Owner which it deems reasonably necessary to preserve the Property and prevent further damage from occurring, or to otherwise restore the Property to a condition fit for occupancy by a guest. Under such circumstances, Jack Lingo, Inc. Realtor shall notify Owner of the amount and purpose of the emergency expenditure as soon as is practicably possible, and owner shall reimburse Jack Lingo, Inc. Realtor. The existence of an emergency as contemplated herein shall be determined by Jack Lingo, Realtor, Inc. in its sole discretion. For any item of maintenance, replacement or repair performed by Jack Lingo Realtor, Inc. hereunder, Owner shall be charged Jack Lingo, Inc.’s cost to perform such item, along with a reasonable administrative fee if necessary. In the event Jack Lingo, Inc. Realtor enters into an agreement with a contractor to perform such item of maintenance, replacement or repair, Owner shall be charged the amount charged by such contractor to Jack Lingo, Inc. Realtor to perform such item, along with a reasonable administrative fee if applicable. Any contractor engaged by Jack Lingo, Inc. Realtor to perform maintenance, replacement or repair on the Property may or may not be affiliated with Jack Lingo, Inc. Realtor Owner shall only perform maintenance, replacement or repair on the Property with prior notice to Jack Lingo, Inc. Realtor and subject to the Property not being rented by a guest. Failure by Owner to make or approve an item of maintenance, replacement or repair recommended by Jack Lingo, Inc. Realtor within fifteen (15) days of such recommendation shall constitute a default of this Agreement. 13. TERMINATE, REFUND AND REBATE TO GUESTS. Agent is authorized to terminate any license agreement and refund any deposit or rent, or any portion thereof, in the event in his/her discretion, the premises are unfit for tenancy, or are not as represented by the Owner on the Property Listing Sheet. Agent is specifically authorized to make adjustments in any rent when in Agents discretion, a mechanical failure occurs (not resulting from an act of the Guest), including but not limited to, central air conditioning, air conditioning units, heating, plumbing, and major appliances which cannot be repaired within a reasonable period of time. A reasonable period of time for repair of water supply, hot water supply, central air conditioning, and heat or sewage system failures shall be twenty four (24) hours. In the event that repairs cannot be made within twenty four (24) hours, and shall go unrepaired for the entire term of the license agreement, then the Tenant shall be entitled to a rebate equal to the prorated amount below. In the event that repairs are made during the term of the license agreement, but not within the prescribed twenty four (24) hours, the amount of the rebate shall be pro-rated accordingly. A reasonable period of time for the repair of central air con-ditioning and major appliance failures shall be twenty four (24) hours and rebates shall be made as follows (at the Owner’s expense): Central AC -20%,AC Units -5%,Refrigerator - 20%,Washer - 5%,Dryer - 5%,Dishwasher - 5%, Range - 20%,Hot Water - 20%,Private Pool or Hot Tub - 10%,Television -10%, Internet -10%.14. CONDEMNATION. If during the term of the license agreement, the property is so damaged by fire or other casualty without fault or negligence of the Guest and it is rendered wholly unfit for occupancy and cannot be repaired, then license agreement shall terminate as of the date of such injury, and the Guest shall pay the rent apportioned to the time of the injury. The Owner may then re-enter the premises. If such injury can be repaired within six (6) days (and the rental term is for fourteen (14) days or longer) thereafter the Owner may enter and repair, and the license agreement shall not be affected, except that the rental shall be suspended during the repair. If guest needs to be relocated, owner agrees to refund rent including but not limited to Jack Lingo, Inc. – Realtor commission. 15. REMODELING & NEW CONSTRUCTION. Any remodeling/construction should be restricted to either off season or the time period to complete such work should be blocked from the rental market until all work is complete. At the time the rental listing Agreement is signed, if the property is under construction or there are plans for renovations, it is mutually agreed by Owner and Jack Lingo, Inc. Realtor that all rental payments will be held in escrow until a final walk through can be performed confirming that the property is ready for occupancy including but not limited to obtaining a final certificate of occupancy. It is further understood that if the property is not ready for occupancy and the Guest needs to either be moved to a comparable property or a refund is in order the Owner agrees to pay Jack Lingo, Inc. Realtor their full commission for procuring the Guest, in addition to, any expenses incurred in relocating tenant.16. $500 MINIMUM ACCOUNT BALANCE. Agent is authorized to expend such sums at his/her discretion as necessary to make the premises habitable, including but not limited to reasonable repairs and cleaning and to deduct said sums from Owners account. There will be a $50.00 minimum service charge if the Rental Agent is requested to purchase and deliver items and/or visit the property to adjust heat/ac, check storm damage, meet service, cable, telephone, delivery people, etc. Jack Lingo, Inc. Realtor will hold a minimum account balance of $500 (5/15) to cover expenditures for cleaning and/or repairs made by Agent on Owner’s behalf. Minimum account balance to be released on or about 10/15). 17. NOTIFICATION. All such license agreements will be honored by the Owner whether or not the Owner has been notified. Jack Lingo, Inc. Realtor is specifi-cally authorized to sublet the premises where the Guest is in default, either because of his absence, default on payments or for other reason. 18. OWNER RE-LEASE TO JLR GUESTS. If at any time during the two (2) calendar years beginning January 1st after the termination of any license agree-ments brought about by Jack Lingo, Inc. Realtor the Owner should re- lease the property to the Guest for a future term, there shall be due and payable to said Agent from the Owner a further fifteen percent commission of the total rent fixed in any such re-lease agreement. The Owner authorizes Agent to accept tentative reservations for the following season and report such reservations when necessary. 19. TERMINATION OF LICENSE AGREEMENTS. Jack Lingo, Inc. Realtor is authorized to terminate any license agreement, if in his/her discretion, the Guest is objectionable, and whether or not said Guest is in breach of his/her license agreement. Jack Lingo, Inc. Realtor Agent, may at any time prior to taking occupancy by the Guest, for any reason whatsoever and at its sole option, without liability to either Owner or Guest void any license agreement by returning the executed copies of the license agreement to the Owner and Guest along with notice that same has been voided by Agent and upon return of the rental deposit to the Guest.20. RELEASE OF KEYS/SERVICE. It is further understood that any service person will not be given keys to a property unless we have permission in advance from Owner. This is to protect the Owner from unauthorized persons entering their property without their permission. Also, any owner guest, family, friend, etc. must get key, permits, pool cards, etc. from Owner. 21. SALE OF PROPERTY. If property is sold, it shall be sold subject to any existing license agreements. Owner (Seller) agrees to have Buyer sign a rental listing agreement with Jack Lingo, Inc. – Realtor prior to settlement for any rentals that may take occupancy after settlement. If Owner (Sellers) sells property and does not honor executed license agreements in place at the time of sale, Owner (Seller) will be responsible for full commissions and costs involved in relocating guests as well as any legal fees if court action is filed. Sale showings are to be scheduled between guest occupancy only. 22. NO SMOKING PROPERTIES. All properties are considered No Smoking unless otherwise indicated.23. CANCELLATION. This agreement may be cancelled by either party five (5) days after written receipt of cancellation. All license agreements executed up to and including the date of cancellation will be honored by the Owner. If Owner refuses to honor an agreement and a guest must be relocated, Owner is respon-sible for refunding any deposits paid, in full including commission and any costs associated with relocating Guest and legal fees, court costs, etc. if necessary. x___________ Owner’s initials

24. ACCIDENTAL DAMAGE PROTECTION/DAMAGE DEPOSIT. In cases where a $50$100/$200 accidental damage protection fee has been collected (short term rentals), the Owner is covered for $500/$1000/$2000 in damages. The Owner and/or their cleaners shall be responsible for the inspection of the property. Any deficiencies must be reported prior to the next guest check-in, Damages discovered at the end of the season will not be covered under the accidental damage protection. When it is necessary for an Agent to represent the Owner in disposition of the damage deposit (long term rentals), it is hereby agreed and understood that the Owner agrees to accept the inspection results of the designated cleaning service and hereby authorizes the Agent or Jack Lingo, Inc. Realtor to retain in full, release in part, or release in full the damage deposit without liability to Agent, cleaning service, Jack Lingo, Inc. Realtor or Guest. 25. SMOKE DETECTORS. The Owner is responsible for having required smoke detectors installed and in good working condition. A minimum of one (1) working smoke detector on each floor and it is recommended that one smoke detector be placed in each bedroom (required in Rehoboth Beach).26. SIGNS. The Owner authorizes the Agent to display a “For Rent” sign on the property. 27. KEYS. The Owner will furnish the Agent no less than six (6) keys or Agent will have them made and charge the Owner’s account.28. REPRESENTATION. The person(s) signing this agreement represents and warrants that he/she is (are) authorized to execute the agreement on behalf of all Owners of the property identified herein and assumes responsibility for the performance of all covenants binding upon the Owner. 29. AGREEMENT OF TERMS. Owner agrees that he/she has read this Agreement in its entirety prior to the execution thereof, and further acknowledges that he/she understands the terms of said Agreement and that he/she fully agrees thereto. 30. RENTAL STANDARDS. Agent’s acceptance of this agreement is subject to compliance with suggested rental standards for the property (attached) and inspection of premises as to habitability, prior to the first guest each season.31. COMMISSION DISCLOSURE. Jack Lingo, Inc. Realtors offers trip cancellation insurance and collects a commission which is retained by Jack Lingo, Inc. Realtors. In addition, Jack Lingo, Inc. Realtors charges a $50 processing fee that is retained in full by Jack Lingo, Inc. Realtors. 32. AMENITIES. The Landlord agrees to supply the following items and amenities enumerated on the Property Listing Sheet (attached). If property should be deficient in any of the below listed items upon check-in Agent is authorized to rectify deficiencies at Owner’s expense. This shall include but not be limited to bedding, electronics, appliances, parking permits, pool cards, cleaning, grills, etc. Trash pick up must be scheduled for 2X a week (minimum 2 cans w/lids)33. Consumer Information Statement (CIS) for Consumers Seeking to

Rent Residential Property

Delaware law, title 24 ch.29 requires real estate salespersons, associate brokers, and brokers to provide this CIS to

you at the earlier of your first scheduled appointment, the first showing of a property, or making an offer unless

you are a tenant for 120 days or less. You are encouraged to read this CIS before you list your home for rent or go

to view homes to rent. This is first given to you to explain Agency law in Delaware. It must be signed prior to

completing a rental application, or the signing of a rental agreement (lease), a listing agreement, or any other

brokerage agreement.

Presumed Agency: You are a customer when you first contact a broker or salesperson who immediately owes you a duty

of confidentiality as explained below. You automatically become a client and the other Statutory Duties begin upon the

earlier of (i) the first scheduled appointment, (ii) the first showing of a property, (iii) making an offering, or (iv) the agent

working for you, unless a CIS is signed indicating there is no agency relationship which means there are no duties owed to

you other than confidentiality. Under Delaware Law, it is presumed that you consent to dual agency unless you fill

out this form saying you do not want dual agency. Dual agency is explained below.

Brokers and Salespersons as Statutory Agents: Under Delaware law, a real estate broker, associate broker, or

salesperson is a statutory agent of yours and may be a dual agent representing both parties unless you elect, in a written

agreement, to enter into a common law agency relationship or to decline dual agency. A statutory agent is an independent

contractor. He or she is NOT your fiduciary, but is an agent with duties specified by Delaware statutory law. Unless you

say otherwise, the broker, associate broker, or salesperson also may represent both the tenant and landlord with duties

owed to both which is called dual agency as explained below.

Important Terms:

Client: The member of the public who is the principal in the statutory agency relationship.

Customer: A member of the public who is working with a licensee, before the presumed agency relationship begins or

who declines agency representation which means there are no duties other than confidentiality.

Delaware Real Estate Commission: The regulatory body which issues licenses to brokers and salespersons under

Delaware law, and which hears complaints filed by the public with respect to licensees. License law and rules and

regulations are available on the Real Estate Commission’s website at www.dpr.delaware.gov.

Designated Agent: An independent contractor working with you under statutory agency. He or she may be licensed as a

broker, associated broker, or a salesperson.

Dual Agency: Whenever a dual agency relationship exists, the designated salesperson or associate broker, that agent’s

broker, and the brokerage organization may be dual agents. Examples are listed below:

1. If the same salesperson or associate broker represents both the tenant and landlord in a transaction, then that

salesperson or associate broker, his or her broker, and brokerage organization are all dual agents.

2. If the tenant and landlord are represented by two different salespeople or associate brokers working for the same

broker, then the broker and the brokerage organization are both dual agents, but the salespersons or associate brokers

are not.

3. If the tenant and landlord are represented by two different salespeople or associate brokers working for different

brokers under the same brokerage organization, then only the brokerage organization is a dual agent.

Statutory Agent: An agent with duties under Delaware statutory law, not common law fiduciary duties. The agent is a

statutory agent for you and may be a dual agent as explained above.

Confidentiality: Brokers and salespersons have a duty of confidentiality to all parties from the moment of their first

contact. A broker or salesperson MAY NOT disclose the following information UNLESS the affected party has

provided his or her informed consent:

1. The tenant is willing to pay more rent than what has been offered.

2. The landlord is willing to accept less than the rent rate asked.

3. The landlord or tenant will agree to terms other than those offered.

4. Any personal motivations for any party to a transaction, IF that party has requested that the information be kept

confidential.

5. Other confidential information, UNLESS disclosure is required by law, or UNLESS failure to disclose would be

fraud or intentional misrepresentation.

6. Facts or suspicions regarding circumstances which may psychologically impact or stigmatize property under Section

2927 of Title 24 of Delaware law unless by law it must be disclosed.

7. Facts or suspicions that someone is a registered sex offender under Delaware law. Information regarding registered

sex offenders is available from the Delaware State Police at www.state.de.us/dsp/sexoff/index.htm.

Important Information:

1. The client and his or her broker and designated agent are not responsible for the wrongful actions of the other unless

they had actual knowledge of the wrongful act, error, omission or misrepresentation; however, the person who was

wrong is still responsible.

2. Notice given to a designated agent is considered notice to that designated agent’s client. Notice given to anyone else

in the licensee’s office is not considered notice to that client.

3. Put it in writing! Statements and negotiations by a party are not binding until they are in writing and signed by the

party.

Brokers, Associate Brokers, and Salespersons MUST:

1. Comply with all applicable laws, including performing the duties required of him or her by the statute and rules and

regulations of the Delaware Real Estate Commission.

2. Follow all other applicable laws, including laws governing fair housing and civil rights.

3. Perform as required by the terms of any written brokerage agreement, if one exists.

4. Exercise reasonable skill and care as a broker or salesperson.

5. Advise you to obtain expert advice on material matters outside his or her expertise.

6. Account to you in a timely manner for all money and property received.

7. Help to inform the parties regarding the progress of the transaction.

8. Disclose adverse material facts or defects actually known by the broker or salesperson.

9. Put any compensation agreement in writing.

Brokers, Associate Brokers, and Salespersons MAY:

1. List similar properties for rent.

2. Show clients properties not owned by their other clients.

3. Show the same property one client is interested in to one or more other clients.

4. Provide information generally available to licensees, such as recent rental activity.

5. Give advice and opinions throughout the real estate transaction.

6. Help you prepare offers and counteroffers and present them in a timely manner so long as the forms used advise the

parties that they may seek legal advice prior to signing.

7. Develop negotiating strategies or options for how to proceed with a transaction.

8. Perform ministerial tasks.

9. Cooperate with other brokers or salespersons.

10. Provide clients with relevant information and advice when requested.

11. Transmit financial information provided to them. Although they do not independently verify the accuracy or

completeness of this information, they MAY NOT transmit financial information they know is false.

Common Law Agency: Under Delaware law, salespersons, associate brokers, and brokers are statutory agents as

explained in this form and are not common law agents. If you are considering hiring a common law agent, you should

obtain disclosure of the potential legal liability and financial risks of common law agency and read and understand those

Purpose of Form

A person who is required to file an information return with the IRS must obtain your correct taxpayer identification number (TIN) to report, for example, income paid to you, payments made to you in settlement of payment card and third party network transactions, real estate transactions, mortgage interest you paid, acquisition or abandonment of secured property, cancellation of debt, or contributions you made to an IRA.

Use Form W-9 only if you are a U.S. person (including a resident alien), to provide your correct TIN to the person requesting it (the requester) and, when applicable, to:

1. Certify that the TIN you are giving is correct (or you are waiting for a number to be issued),

2. Certify that you are not subject to backup withholding, or

3. Claim exemption from backup withholding if you are a U.S. exempt payee. If applicable, you are also certifying that as a U.S. person, your allocable share of any partnership income from a U.S. trade or business is not subject to the

withholding tax on foreign partners’ share of effectively connected income, and

Note. If you are a U.S. person and a requester gives you a form other than Form W-9 to request your TIN, you must use the requester’s form if it is substantially similar to this Form W-9.

Definition of a U.S. person. For federal tax purposes, you are considered a U.S. person if you are:

• An individual who is a U.S. citizen or U.S. resident alien,

• A partnership, corporation, company, or association created or organized in the United States or under the laws of the United States,

• An estate (other than a foreign estate), or

• A domestic trust (as defined in Regulations section 301.7701-7).

Special rules for partnerships. Partnerships that conduct a trade or business in the United States are generally required to pay a withholding tax under section 1446 on any foreign partners’ share of effectively connected taxable income from such business. Further, in certain cases where a Form W-9 has not been received, the rules under section 1446 require a partnership to presume that a partner is a foreign person, and pay the section 1446 withholding tax. Therefore, if you are a U.S. person that is a partner in a partnership conducting a trade or business in the United States, provide Form W-9 to the partnership to establish your U.S. status and avoid section 1446 withholding on your share of partnership income.
