EXPRESSION OF INTEREST
FOR
LEVERAGING SEVEN ITDC PROPERTIES AT VARIOUS PLACES IN INDIA FORADDITIONAL PRODUCTS DEVELOPMENT & DIVERSIFICATION THROUGHPUBLIC PRIVATE PARTNERSHIPS (PPP)
1. The India Tourism Development Corporation Ltd (ITDC), proposes to leverageITDC properties for additional products development & diversification through
public private partnerships (PPP). ITDC invites the eligible bidders to submit their Expression of Interest (EOI) for partnering with corporation to provide tourismfacilities in accordance with the conditions and manner prescribedin this Expression of Interest document.
2. ITDC has identified seven properties HOTEL JAIPUR ASHOK, JAIPURRAJASTHAN, HOTEL KALINGA ASHOK, BHUBANESHWAR, ORISSA, HOTELLEELA MAHAL PALACE, MYSORE, HOTEL JAMMU ASHOK, JAMMU,J&K,HOTEL PATALIPUTRA ASHOK, PATNA, BIHAR, BHARATPUR TOURIST
LODGE, BHARATPUR, RAJASTHAN, KOSI TOURIST COMPLEX, UTTARPRADESH, , for augmentation of facilities and revenues at various places inIndia. ITDC intends to conceptualise permissible development options inaccordance to its business objectives, applicable laws and market trends inhospitality sector. The development would be carried out on a suitable PublicPrivate Partnership (PPP) structure as approved by ITDC.
3. To identify and shortlist interested parties willing to participate in development of these properties, ITDC invites Expression of Interests (EOI) seeking Approachpaper from interested parties on proposed components (project facilities), size,marketability, estimated cost and revenue potential etc. from large HotelDevelopers, Hospitality Services providers, Real Estate Developers and largeindustrial houses.

2. INTRODUCTION
2.1The India Tourism Development Corporation Ltd (ITDC), a Government of India undertaking, has been the prime mover in the progressive development,promotion and expansion of tourism in the country. The corporation is running
hotels, restaurants at various places for tourists, besides providing transportfacilities. In addition, the Corporation is engaged in production, distributionand sale of tourist publicity literature and providing entertainment and dutyfree shopping facilities to the tourists. The Corporation has diversified intonew avenues/innovative services like Full-Fledged Money Changer (FFMC)services, engineering related consultancy services etc. The Ashok Institute of Hospitality & Tourism Management of the Corporation imparts training andeducation in the field of tourism and hospitality.
2.2Presently, ITDC has a network of eight Ashok Group of Hotels, six Joint
Venture Hotels, one Restaurant & two tourist/lodges forest, 12 TransportUnits, one Tourist Service Station and Duty Free Shops.
2.3It is observed that some of these properties owned/managed by ITDC have ascope for augmentation of facilities and thereby optimizing the revenue fromeach property. At this stage ITDC has identified seven properties across Indiaas given below. These properties are;

III. Hotel Leela Mahal Palace, MysoreIV. Hotel Jammu Ashok, JammuV. Hotel Pataliputra Ashok, Patna, Bihar
VI. Bharatpur Tourist Lodge, Bharatpur, RajasthanVII. Kosi Tourist Complex, Uttar Pradesh
2.4ITDC intends to explore possible market driven development options for augmenting the facilities in line with its business objectives in theabovementioned properties. The development options also need to adhere tothe applicable laws like Development Control Regulations of the concernedauthorities.
2.5A brief information note on all the properties and existing facilities mentionedin Group A and Group B is attached in Appendix 2.
3. PURPOSE OF THE EOI
3.1 The purpose of this Expression of Interest is to shortlist a panel of eligibleagencies to partner with ITDC for development of the properties mentioned inclause 2.3. The objective of this document is seeking Approach paper from

interested parties on proposed components (project facilities), size,marketability, estimated cost and revenue potential etc. from large HotelDevelopers, Hospitality Services providers, Real Estate Developers andlarge industrial houses.
3.2The detailed Scope of Work, Terms and Conditions, Eligibility Criteriawhich shall be worked out latter and parameters for selection of thebidding organization will be provided in the detailed tender document,which will be provided to only those firms that are shortlisted as per thisEOI document.
4. WHO SHOULD RESPOND
4.1ITDC would welcome response to the EOI from a National & Internationalsingle entity (Body Corporate) or a group of entities (the Consortium )subject to compliance with applicable laws, policies and guidelines of Government of India, coming together to implement the Project. However, noapplicant applying individually or as a member of a Consortium, as the casemay be, can be member of another Applicant. The term Applicant used hereinwould apply to both a single entity and a Consortium.
4.2 The Applicant may be:Hotel Developers/Operators Or
Hospitality Service Providers Or Real Estate Developers Or Large Industrial houses interested in diversifying in hospitality sector
5. Pre Qualification Criteria
The Applicant must fulfil the following criteria to submit their EOI.
The average annual turnover of last three financial years should be at least Rs 25
Crores, ORDevelopment 1 of hospitality related project with minimum built-up area of 12,500sqm in the last three year
ORDevelopment 2 of any other Real Estate project with minimum built-up area of 25,000 sqm in the last three years
OR
1 Development is defined as integrated responsibility of designing, financing, construction and operations
2 Definition of Development is same as above

Presently operating one Hotel with minimum 25 rooms or should be operating aminimum of 35 rooms in different hotels.
Note;-The financial turnover of the lead firm only will be reckoned; in case theresponse is on behalf of a consortium.
6. HOW TO RESPOND
6.1The response to EOI shall be enclosed in a separate sealed envelope andshall be marked as Expression of Interest for ITDC Properties.
6.2The EOI should be submitted in the format given at Appendix-I. The proposalshould be accompanied with a statement of relevant financial informationpertaining to the audited annual accounts of the Applicant for the last threeyears.
6.3Bidders are required to ensure that content/ documents as mentioned in thetable below will constitute the Expression of Interest. Incomplete submissionwill not be considered for short listing.

The EOI must be sent to the address indicated above and received by ITDCnot later than the time and the date indicated, or any extension of this date inaccordance with paragraphs above. Any proposal received by ITDC after thedeadline for submission shall be returned unopened. In the event of thespecified last date for receiving the proposal being declared a holiday, theproposals shall be received up to the appointed time on the next working day.
The envelope shall bear the submission address and be clearly marked DONOT OPEN, BEFORE 06.02.2012 (1530 hrs). ITDC shall not be responsiblefor misplacement, loss or premature opening if the envelope is not sealedand/or marked as stipulated. The EOI document is to be submitted in a BoundForm.
The proposal may be liable for rejection, if the above-mentioned conditionsare not complied with.
EOI will be opened in front of the representatives of the companies who havesubmitted their proposal and who are present at the ITDC office on thescheduled date and time mentioned above.
6.10 The applicant may be required to make a presentation on Approach Paper submitted by them as per Annexure 1, The date shall be announcedseparately.
6.11 In case the Applicant intends to give additional information for whichspecified space in the given format is not sufficient, it may be furnished in a

separate sheet. Such information is to be given only if it is salient anddirectly pertinent to the EOI.
6.12 All the pages of the EOI and Annexure should be signed & stamped andthe authorized signatory should countersign corrections and over writings.
6.13 ITDC reserves the right to cross check and confirm the information/details
furnished by the Applicants in response to this EOI.6.14 All the information submitted by the party through EOI will be kept as strictly
confidential by ITDC and will not be shared with any other party.
7. USE OF INFORMATION
ITDC reserves the right to use information received in the replies to EOI for
further development of the project. Mere fact of responding to the EOI,however, shall not confer any right on the parties to preferential treatment atthe subsequent bid/development stage.
8. APPLICANTS RESPONSIBILITY
It is expressly clarified that before submitting the EOI, the Applicant must havecarefully examined the contents of all the documents. Any failure to comply todo so will be at the Applicants risk.
9. AMENDMENT
ITDC may modify the EOI by issuing an addendum before the last date of submission of the Application and shall provide minimum 3 weeks after suchamendment for submission of EOI. Any addendum thus issued shall be part of EOI and shall be posted on the website and News Paper.
10. LANGUAGE
The response to EOI prepared and all correspondence and documentsrelated to the EOI, and exchange by the Applicant and ITDC shall be inEnglish. If another language is used, it must be accompanied by thetranslated version in English.
11. SIGNATURE AND SUBMISSION
All the responses submitted by the interested parties must be duly signed bythe Authorized Signatory under the Letter of Response, the format for which isprovided at Appendix 1 of this document.

The signed & stamped proposal along with all the documentary evidencerequired of technical and financial capability and with all the Annexure filledand signed must be submitted on or before the prescribed date and time for the submission of EOI in this document.
12. GOVERNING LAW
The governing law for the purpose of the process is the laws of India andcourts of New Delhi shall have full jurisdiction considering any matter arisingout of this EOI and the process.
13. DISQUALIFICATION
ITDC would like to caution that Applicants shall be ineligible to bid for or participate in the project (at the subsequent stage) in the following cases:
a. In regard to matters relating to the security and integrity of the country, anycharge-sheet by an agency of the Government / conviction by a Court of Law for an offence committed by the company or by any sister concern of the company would result in disqualification. The decision in regard to therelationship between the sister concerns would be taken by ITDC, basedon the relevant facts and after examining whether the two concerns aresubstantially controlled by the same person/persons.
b. In regard to matters other than the security and integrity of the country,any conviction by a Court of Law or indictment / adverse order by aregulatory authority against the company or against any sister concernwhich relates to a grave offence, or would constitute disqualification.Grave offence is defined to be of such a nature that it outrages the moralsense of the community. The decision in regard to the nature of theoffence would be taken on case to case basis after considering the facts of the case and relevant legal principles, by ITDC.
c. The Applicant must submit duly documented Appendix 3 in this regardalong with EOI.
14. Proposal Evaluation
From the time the EOI are opened till the time the selection is concluded,the Companies should not contact ITDC on any matter related to its
Proposal. Any effort by Companies to influence ITDC in the examination,

evaluation, and recommendation for selection may result in the rejection of the Proposal.

Keoladeo National Park
The Keoladeo National Park or Keoladeo Ghana
National Park formerly known as the Bharatpur
Bird Sanctuary in Rajasthan, India is a famousavifauna sanctuary that sees (or saw) thousands of
rare and highly endangered birds such as the
Siberian Crane come here during the winter
season. Over 230 species of birds are known to
have made the National Park their home. It is also a major tourist centre with scores of
ornithologists arriving here in the hibernal season. It was declared a protected sanctuary in
1971. It is also a declared World Heritage Site. Now declared a World Heritage Site by
UNESCO, the duck-hunting reserve of theMaharajas is one of the major wintering areas for
large numbers of aquatic birds from Afghanistan,
Turkmenistan, China and Siberia. Some 364
species of birds, including the rare Siberian Crane,
have been recorded in the park. The name
"Keoladeo" is derived from the name of an ancient
Hindu temple devoted to Lord Shiva in the sanctuary's central zone while the Hindi term
"Ghana" implies dense, thick areas of forest cover.
Lohagarh Fort
The massive iron structure built in the early 18th Century. With its impregnable defences it
sustained itself even after a number of British attacks. The fort was conceived and designed
by Maharaja Suraj Mal, the founder of Bharatpur. Some interesting monuments in the fort
are Kishori Mahal, Mahal Khas, Moti Mahal and Kothi Khas. Jawahar Bhurj and Fateh Bhurj,
inside the fort, were built by Maharaja Suraj Mal to commemorate the victories over the
mughals and the British.
Bandh Baretha (60 Kms)
Band Baretha is the old wildlife reserve of the rulers of Bharatpur state. There is a dam on
Kakund river. The foundation stone of this dam was laid in 1886 AD by Maharaja Jaswant
Singh and it was completed in 1897-98 AD during Maharaja Ram Singhs rule. Band Baretha
is inhabited by animals like Sambhar, Chital, Blue bull, wild boar, hyena and leopard. It is
also inhabited by 200 rare species of birds.

1 . An Affidavit on stamp paper of INR 50.00 (non judicial) stating that
in case any ambiguity is noticed in the documents submitted at any stage, we shall
be entirely responsible and liable for any action as deemed fit under the law.
2. Original documents shall be provided as required for cross verification.
3. The International firms shall submit an Undertaking that they shall abide by the
rules/laws governing such contracts from the financial, legal and other aspects as
applicable on the land and pay taxes, duties and other statutory deductions as
applicable. The undertaking shall be submitted with the application from on their
letterhead.
4. The firms are advised to inspect and examine the site and its surroundings andsatisfy themselves before submitting their EOI as to the nature of the ground andsub-soil, the form and nature of the site, the means of access to the site, theaccommodation and in general shall themselves obtain all necessary information asto risks, contingencies and other circumstances which may influence or effect their proposal. A firm shall be deemed to have full knowledge of the site, whether heinspects it or not and consequent on any misunderstanding or otherwise shall be
allowed.
5. The India Tourism Development Corporation reserves to themselves the right of accepting the whole or any part of the EOI and firms shall be bound to perform thesame .
6. In regard to matters relating to the security and integrity of the country, anycharge-sheet by an agency of the Government / conviction by a Court of Law for anoffence committed by the company or by any sister concern of the company wouldresult in disqualification. The decision in regard to the relationship between the sister
concerns would be taken by ITDC, based on the relevant facts and after examiningwhether the two concerns are substantially controlled by the same person/persons.
7.In regard to matters other than the security and integrity of the country, anyconviction by a Court of Law or indictment / adverse order by a regulatory authorityagainst the company or against any sister concern which relates to a grave offence,or would constitute disqualification.
