FAILURE TO DO SO RAISES A SUBSTANCIAL RISK OF ELEMENTS OF A PLAN BECOMING “LISTED TRANSACTIONS” THAT CAN RESULT IN DEDUCTIONS BEING DISALLOWED, WITH TAXES, INTEREST, AND PENALTIES COMING INTO PLAY.
