.1 MODE OF PAYMENT OF EMD

In the form of Demand Draft / Bankers Cheque/ Pay order from nationalized / Scheduled bank in favour of ‘Indian Oil Corporation Limited’ payable at Mumbai

As per MSME Act, 2006 (or Erstwhile NSIC Registered parties), MSE / NSIC registered party and Central/State PSUs and JVs of IOC will be exempted for submission of EMD, provided party is registered for the similar nature of works as asked for in the tender. In this case, tenderer has to upload a copy of the valid MSE / NSIC registration certificate along with the technical bid and same shall be verified at the time of document verification on given date. Central / State PSUs & JVs of IOCL shall upload relevant documents showing the Company stature and their registration for similar nature of works seeking EMD exemption. However IOC reserves the right for rejection of the tender if the certificate submitted by the tenderer is found unsatisfactory for exemption of EMD.

Bidder of this tender shall upload scanned copy of EMD instrument of full amount as proof of submission of original EMD instrument or the exemption certificate as mentioned above, alongwith Technical Bid while submitting the tender electronically in the e-tender Portal. The physical EMD in original (DD/ BC/ PO) / documents seeking EMD exemption as detailed above, must reach Indian Oil, Taloja at the corresponding address mentioned in this tender document before due date and time for submission / uploading of tender as per the date and time given. Mere uploading proof of EMD document in the portal and non submission of the physical full EMD instrument amount (DD/ BC/ PO) in original or documents seeking EMD exemption in sealed envelope in the tender box kept at the address given below before due date and time for submission / uploading of tender will lead to technical disqualification of the bidder's bid :

Shall be deducted as per prevailing rules. The party must quote rates inclusive of all taxes, duties, levies etc. and also service tax. Current applicable Service Tax is 15% and it is extra.. Rest all taxes, duties will be inclusive. Indian Oil shall not entertain any request for payment of any taxes, levies etc..

13. SERVICE TAX

Rates mentioned in ‘Schedule of Works’ / PRICE BID (BOQ) are inclusive of all taxes, duties, levies etc, however,Service Tax is extra and payable as applicable;

14. GUIDELINES OF SUBMISSION / UPLOADING OF TENDER DOCUMENTS

Submission of Documents

The Un-priced Technical/Commercial Bid and Price Bid (BOQ) have to be submitted online only. EMD in original and any other documents mentioned in the tender terms and condition for physical submission has to be submitted offline. Prices should not be submitted in a sealed envelope. Indian Oil shall not be responsible in any way for failure on the part of the bidder to follow the instructions.

It is advised that the bidder uploads small sized documents (preferably upto 5 MB) at a time to facilitate in easy uploading into e-tendering site. Indian Oil does not take any responsibility in case of failure of the bidder to upload the documents within specified time of tender submission.

Bid Submission

All tender documents / bid should be submitted in electronic form only through Indian Oil e-tendering system/portal after digitally signing using digital signatures issued by Certifying Authority (CA) in accordance with the Indian IT Act 2000.

Last date for submission of bids Bidders are advised in their own interest to ensure that bids are uploaded in e-Procurement system/portal well before the closing date and time of bid. Vendors / Bidders must use any computer having Windows 2000 or Windows XP versions or higher of Window operating system and an internet web browser version internet explorer V8.0 or higher recommended.

15. METHODOLOGY OF SELECTION OF CONTRACTOR /EVALUATION CRITERIA FOR DECIDING L-1 :

This tender is a Single bid tender and BOQ is on percentage basis on IOCL's Schedule of Rates provided in the tender. The methodology for evaluation of the bids shall be as under: a) After opening the price bids, party who has quoted the lowest percentage

variation in BOQ shall be the L-1 rate /tenderer for consideration of award of work with or without negotiation as per the Corporation Policy,

b) Award of contract will be on ONE tenderer only. c) In case more than one tenderer quotes / offers the same percentage variation in

BOQ, then the tenderer with the highest (average annual turnover) during the preceding 3 financial years (i.e. 2012-13, 2013-14 and 2014-15) will be preferred above other tenderer(s) who has quoted the same percentage variation. In case P/L account or balance sheet of any financial year is not submitted, it shall be considered as ‘zero’ for that year, for the purpose of calculating average turnover.

REQUIRED DOCUMENTS TO BE SUBMITTED/UPLOADED WITH TECHNICAL/ COMMERCIAL BID.

Essential Documents:

Following documents MUST be submitted with the Technical/ Commercial Bid for consideration of the offer (In the absence of these documents, one chance will be given to the tenderer to produce the same and if unable to produce, the tender is liable for rejection):

1. EMD instrument in original (DD / BC / PO) or documents related to EMD waival/exemption to be dropped in the tender box on or before due date & time of submission/uploading of the tender, as specified in the tender. Copy of EMD payment instrument or EMD waival / exemption document should be uploaded along with the technical bid as per the tender condition - For EMD submission no chance will be given subsequent to tender submission/uploading date & time..

2. Successful Bidder shall be required to present their original documents to the tender inviting authority within a period of 7 days from the date of opening of price bids or date of intimation as specified in the tender. In the event of failure of the bidder to get the documents verified as per the specified time schedule, the EMD submitted shall be forfeited. In case, it is observed that the L-1 bidder has submitted forged documents, besides cancellation of tender, necessary action for holiday listing of the bidder in line with the guidelines shall be carried out including forfeiture of EMD.

3. Indian Oil Corporation Ltd. reserves the right to accept / reject any or all tenders without assigning any reason whatsoever. Such decision by IOCL shall be binding on the Bidders.

EVALUATION CRITERIA : 1. Service Charges percentage only to be quoted in price bid and lowest quoted rate i.e. L-1 rate against

estimated Cost. 2. The L1 party will be awarded contract, if rates are within reasonable estimated rate in line with Vol V,

of Engineering manual under clause no. 19. In case, L-1 quote is beyond the departmental estimate original L1 party will be called for negotiation after approval of competent authority. Normally, negotiations will not be carried out as matter of routine.

3. Price bid will be opened for all selected parties.

REJECTION OF TENDERS: A tender shall be rejected outright, if the tenderer: 1. Does not pay / submit / drop the original Earnest Money Deposit (EMD) instrument amount in full or

copy/documents related to EMD exemption / waival in box provided for as mentioned above on or before due date and time of submission / uploading of the tender Details of documents to be uploaded in e-tender site and submission in tender box for qualification of exemption are available in tender documents

2. Submit /drop the EMD or EMD exemption/waival document late, i.e., after due date & time of submission / uploading.

3. Is holiday listed or blacklisted. 4. Does not submit acceptable instruments towards EMD and / or EMD amount in FULL. 5. Forgery of documents or submission of false/fabricated information /certificates. EMD of such tenderers

shall be forfeited and they shall be blacklisted /holiday listed by IOC (also applicable for parties who have sought exemption for EMD payment).

A tender is also liable for rejection, if the tenderer: 1. Stipulates the validity period less than what is stated in the Tender Form. 2. Stipulates his own conditions. 3. Do not fill in and digitally sign the tender form as well as the schedule of rates, annexures,

specifications, etc. 4. Suppression of information / facts. 5. Non-withdrawal of conditions imposed in tender document & conditions imposed during negotiations (if conducted) subsequent to Price Bid opening.

SPECIAL TERMS AND CONDITIONS OF CONTRACT/

SCOPE OF WORK

1.0 Our Office at Taloja Speciality Lube Complex, Lube Blending Plant, Small Can Filling Plant

and Administrative Office. Canteen is located separately in the premises.

2.0 The contractor will be responsible for upkeep, cleaning of all kitchen equipments and kitchen area. The contractor will have to keep the kitchen equipments, kitchen area and dining hall (equipments / furniture & floors) in good spic-n-span condition all the time. Similarly, the contractor has to dispose off trash collected in kitchen area dustbins to a safe place approved by MCGM.

3.0 The contractor will be liable and responsible for the safety and upkeep of all furniture, fittings and other facilities provided by the Corporation. He will be responsible for making good the damaged ones at his own cost.

4.0 The contractor must maintain a good standard of quality of eatables and hygiene at all

times. Officers designated by the Corporation / Canteen Committee will be free to inspect the canteen for this purpose at any time. Contractor shall be fully responsible, in the event of any adulteration / food poisoning etc. and the Corporation shall terminate the contract forthwith, at its discretion.

5.0 It is the responsibility of contractor to procure all raw materials including rice, sugar, wheat

and any food grains / food products etc. from his own sources, cost of which shall be entirely borne by him. Corporation will not be responsible for this in any manner. The contractor should purchase all masalas of “Agmark” trademark or brands of makes mentioned in the tender.

The cooking oil should be Gemini / Godrej / Sunflower / Saffola/ Dhara Groundnut refined oil. The Oil once used should not be reused. Corporation officials may check any of the provisions at any time for quality and rejected items will be thrown.

Cost of fuel used for keeping buffet arranged at food counter in warm condition shall be borne by the contractor.

6.0 The Contractor will have to comply / follow all statutory requirements related to the jobs as per State Government / Central Government rules and regulation to perform & complete the assigned job entirely to satisfaction of the Corporation.

7.0 No labour/worker shall be deputed to perform more than 8 hrs. duty, in any period of 24

hrs. within the Corporation's premises. 8.0. The canteen facilities should be available at all the time during working hours and also at

other times, whenever required by Management, for which advance information will be given.

9.0 Successful contractor should engage sufficient manpower for carrying out various activities

like Supervisor, Cooking, Serving, cleaning, dishwashing, serving to Admin Office and Plant, etc. satisfactorily. No service should be hampered due to shortage of manpower. For cleaning of utensils only VIM/PRIL bars/VIM Powder/VIM/DETTOL Liquids to be used and the cost of the same shall be borne by the successful tenderers. All the wiping cloths required for cleaning the tables in Canteen shall be periodically changed and same shall not be stinking. The Canteen kitchen / Canteen Hall shall be washed every week with KLINO/LIZOL or equivalent liquid floor cleaner. Daily brooming / cleaning is to be done. Canteen stores where all consumables are kept, high standard of cleanliness is to be maintained. Periodic drying out of the hand wash area while the canteen facilities (during break-fast, Lunch and Snacks time), are on to be done without fail.

10.0 Contractor will be responsible for the due compliance of the provisions

of the various labour laws (both central and state), whichever are applicable to workmen deployed by the party in relation to the subject work. Following rules / regulation may be complied.

a) Employee’s Provident Fund Act, 1952 b) Employee’s State Insurance Act, 1948 c) Payment of Wages Act, 1936 d) Minimum Wages Act, 1948 e) Equal Remuneration Act, 1976 f) B.M.C. Act, 1988 g) Contract Labour (Regulation & Abolition) Act, 1970 h) Payment of Bonus Act, 1965. IX) Service Tax etc.

11.0 The Tenderer may contact LBP Taloja office, for familiarizing themselves with other aspects

of the contract, as they may choose to understand before submitting their tender. Moreover there shall be Pre-Bid meeting prior to the submission date to clarify the doubts of the tenderer during the period from 8th to 10th June, 2016.

12.0 The contractor shall be responsible for any compensation to their Workmen payable under

the Workmen’s Compensation Act, 1923 and amendments there to / for injuries caused to the workmen. The contractor shall be responsible for and pay the expenses for providing medical treatment to any workmen who may suffer any bodily injury as a result of any accident. The contractor shall be liable for all payments to their staff, labours and workmen employed for the performance or carrying out the said work and the Corporation shall in no event be liable or responsible for any payment and the contractor shall keep the Corporation indemnified against the same and from all proceedings in respect thereof.

13.0 The contractor must ensure that the staff employed by him are medically fit and examined

at his cost before their employment. Thereafter, the contractor will have to ensure that his staff is examined at intervals of every six months. All expenses for subsequent examination will also be at Contractor’s cost.

14.0 Normally Contractor and his employees are forbidden to stay overnight in our premises.

15.0 The Contractor and all other employees will have no rights and privileges for employment or

any other benefits in the Corporation. In other words, the employees of the contractor will be the exclusive responsibility of the contractor himself with no liability or responsibility of the Corporation.

16.0 Contractor and his employees shall be subjected to verification and of their character and

antecedents by the police, the cost of which shall be borne by the contractor. For security reasons, no contractor or his employees shall be allowed to enter IOCL premises if their character and antecedents verification has not been cleared by the police department. The contractor shall submit documentary proof of such clearance to the company.

17.0 Employees of the successful contractor are not allowed to take alcohol / Paan / Gutkha /

smoking while on duty or after duty hours while their stay inside the IOCL premises. The contractor will be held responsible for any misbehavior of his staff inside IOCL premises.

18.0 Credit Facilities : The contractor will have to provide credit facilities up to one month for

canteen items supplied on Corporation’s account. The accounts department will arrange payment within 15 days from date of submission of bills.

19.0 The contractor will ensure that all their employees wear Clean uniforms while on duty.

20.0 The contractor is responsible for keeping all canteen equipment and kitchen equipment in canteen clean at all the time. A system of evaluating the performance of the contractor by way of hygiene index is prevailing at our office.

21.0 The contractor shall obey the instructions of the Corporation authorities with regard to hygiene, from time to time.

22.0 No unauthorized person should serve the food prepared.

23.0 There will be self service in our canteen. However, Corporation can revert to table service at its discretion.

24.0 Cook should observe utmost economy in use of electricity and water for the use of canteen.

25.0 The contractor and his employees should work under the guidance of IOC officer in charge.

26.0 Daily menu in Canteen will be decided in advance by our canteen committee/officer in charge. The contractor should strictly adhere to the Menu suggested by officer- in-charge. Any change in the menu needs prior approval from officer-in-charge.

27.0 Prices of all food items agreed are fixed during the contractual period. The request by the contractor for any additional charges / revision in the rates shall not be considered during the contractual period.

28.0 The canteen contractor shall pay the workmen employed by him for performance of contract at the rate of minimum wages applicable to “ Canteen & Club” category in Zone-I as notified by Government under Minimum Wages Act 1948. The payment shall be through RTGS/NEFT. No cheque / cash payment is permitted.

29.0 The timings to provide the services are:

Tea/Breakfast : 0830 hrs. to 0915 hrs. Tea : 10.30 hrs. To 11.00 hrs. Lunch : 1230 hrs. to 1345 hrs. Tea/Snacks : 1500 hrs. to 1530 hrs.

The Service Provider shall ensure that food is available at all times during the above- mentioned timing.

30.0 The Service Provider shall serve tea and coffee at the workstation around two times a day (timing mentioned below) and also during meetings and conferences as and when intimated.

Timing for serving tea/coffee at the workstation:

0845 hrs to 0915 hrs. 1030 hrs to 1100 hrs 1500 hrs to 1530 hrs

Above mentioned timing is subjected to change.

31.0. With regard to meetings, conferences and trainings, etc, for making any food and/or refreshment arrangement, intimation will be provided by the authorized personnel of that Deptt. which will provide the details what need to be served (only in case of refreshment), the likely no. of people attending and the date/timing detail. Intimation for the sake of urgency might be verbal but for billing purpose, service agency will have to get a written intimation and provide the same.

32.0 Canteen facilities should be available at all times during working hours and also at other times, whenever required by the Management. The Office will be following 6 days a week (i.e. Sunday will be closed day). However, a few employees will be attending office on Sunday/Holiday for urgent work. The Service Provider should provide tea/coffee, limited snack items and also lunch on a limited scale on Sunday/Holiday.

33.0 The Service Provider and the persons employed by him will have no rights and privileges for employment or any other benefits in the Corporation. In other words, the persons employed by the contractor will be the exclusive responsibility of the contractor himself with no liability or responsibility of the Corporation. The Contractor shall obtain License under Contract Labour (R&A) Act, 1970 within one month from the date of award of Contract.

34.0 The Canteen Contractor must ensure that the persons employed by him are paid their salary

and allowances, if any, latest by 10th of the following month and ensure that the requirements of the Payment of Wages Act 1936, Employees’ Provident Fund & MP Act 1952, ESI Act 1948, Labour Welfare Fund Act 1953, Contract Labour (R&A) Act 1970, Workmen’s Compensation Act 1923 & Amendments thereto etc. are complied with. The Contractor should maintain proper records of the salaries paid and this should be available for scrutiny of the Management as and when required. Corporation shall have the right to terminate the contract forthwith, for any non compliance of laws applicable without assigning notice thereof.

35.0 In every case in which by virtue of the provisions of Section 12, Sub-Section (1) of the Workmen’s Compensation Act, 1923 the Corporation is obliged to pay compensation to workmen employed by the Contractors in execution of the works, the Corporation will recover from the Contractors the amount of the compensation so paid, and without prejudice to the rights of the Corporation under the Sub-section (2) of Section 12 of the said Act, the Corporation shall be at liberty to recover such amount or any part thereof by deducting it from the security deposit or from any sum due by the Corporation to the Contractors, whether under the contract or otherwise.

The Corporation shall not be bound to contest any claim made against it under sub-section (1) of section 12 of the said Act except on written request of the Contractors and upon their giving to the Corporation full security for all cost for which the Corporation might become liable in consequences of contesting such claim.

36.0 Three Month’s notice shall be given by the Corporation for termination of the contract for providing of Canteen services.

37. A dietician should be appointed by the Service Provider to inspect the food/place where the food is cooked and the canteen at least once a month. The payment to the dietician will be made by the Service Provider. The dietician should follow the hygiene index and submit the reports periodically. The dietician should also check the quality of food supplied.

38. The service provider shall ensure that a senior, qualified and experienced person is deputed

for supervising and guiding the day-to-day operations and coordinating the canteen services.

SUB: PROVISION OF CATERING SERVICES AT OUR OFFICE AT

TALOJA SPECIALTY LUBE COMPLEX

FACILITIES PROVIDED BY THE CORPORATION TO THE CONTRACTOR

1. Space required for various purpose in canteen, such as sitting accommodation, kitchen, washing place, store room, etc. will be provided on payment of nominal rent of Re. 1/- (Rupee One Only) per month.

2. All items of furniture and fixtures required for canteen will include tables, chairs, refrigerators, water cooler, washing place, electric geyser and other electrical equipments etc.

3. All cooking vessels and service utensils including crockery / cutlery as required. However, any breakage or loss will be the responsibility of the contractor.

4. Free water, electricity and LPG Cylinders for cooking.

5. On commencement of the Contract, the successful tenderer will sign a joint statement of inventory of utensils, flasks, Crockery, glasses etc, handed over to him/them by IOCL. Successful tenderer will be responsible for proper maintenance of the same and periodically the inventory will be checked. In the event of any loss / breakage of such items, the cost of the same will be recovered from the running bills of successful tenderer.

The Contractors hereby agree, confirm and declare that they have fully complied / will comply

with the provision of various labour laws, particularly those referred to hereinabove and that no violation of the provision of various amenities and facilities to the workers under different laws has been done by them and in the event of any past or future violation of the various labour laws, the contractors shall indemnify and keep the Corporation duly indemnified against all losses, damages, cost charges, expenses, penalties, suits or proceedings which the Corporation may incur, suffer or be put to.

2. The Contractors hereby undertake to furnish a certificate with regard to the number or

labourers employed by them in the Corporation/in other organization throughout the country to the Location In charge of the Corporation where the work is undertaken by the contractors.

3. The contractors hereby confirm and state that they are duly registered under the contract

labour (Regulations and Abolition Act, 1970) as amended from time to time and that they undertake to furnish a certified copy of the requisite license obtained by the contractors from the competent authority to the Corporation’s representative.

4. The Contractors hereby undertake to keep proper record of attendance of his labourers and will

give opportunity to the officer of the Corporation to supervise the same and confer upon the Corporation’s representative the right to counter sign the said register. The contractor shall provide a copy of pay sheets to the Location In charges of the Corporation for supervision of the payment of wages made to the labourers by the contractors and also confer the right on the Corporation representative to supervise the payment of wages to the labourers on the spot.

5. The contractors state that they are fully aware of the provision of the Provident Fund Act.,

particularly with regard to the enrollment of labourers as a member of Provident Fund. The contractors further confirm that they are aware of the provisions, that they are obliged to

recover Provident Fund contribution from the eligible labourers engaged by them and, after adding their own contribution, remit the same to RPFC. The contractors state and confirm that they are fully aware of their obligation to remit the said amounts on account of the Provident Fund to the RPFC, within the prescribed period, and that they have obtained as separate code no. from the RPFC which is bearing SL.No. MH-37488 dtd. 20-03-1991 from RPFC.

6. The contractors will afford all opportunities to the offices of the Corporation to verify that the

Provident Fund is actually deducted by the contractors from the wages of the labourers and the same together with the contractor’s contribution has been duly remitted by the contractors to the concerned P.F. Commissioner. The contractors also undertake to provide photocopy of the receipt issued by the concerned P.F. Commissioner for having received the P.F. contribution from the contractors.

7. In the event the Location In charge of the Corporation is not satisfied about the payment of

wages made and the recovery of P.F. Act, from the labourers employed by the contractors, the contractor hereby agree and authorize the Corporation to withhold the payment of their bills till the contractors completed all the obligations in this matters.

8. Notwithstanding the provisions contained in clause 7 above, the contractors hereby undertake

and authorize the Corporation to recover dues payable by the contractors to the labourers employed by them as also amounts on account of P.F. contributions (including the contractors contribution) as also losses, damages, costs, charges, expenses, penalties from their bills and other dues including the security amount.

9. The Contractors hereby agree that the aforesaid indemnify undertaking or in addition to and

not in substitution of the terms and conditions contained in the tender documents and the offer / work order and also the Agreement executed by the contractors with the Corporation.

10. The contractors hereby confirm, agree and record that this letter of undertaking and indemnity

shall be irrevocable and unconditional and shall be binding on their heirs, executors, administrators and legal representative and shall ensure for the Corporation benefits and for the benefits of its successors and assign.

DECLARATION/AGREEMENT TO BE SIGNED BY THE CONTRACTOR

This agreement made on _________________________ between M/s _____________ and Indian Oil Corporation Limited. We ____________________________________hereby agree, undertake to faithfully observe and comply with the following during the performance of the contract. WHEREAS the Indian Oil Corporation (hereinafter called the “Corporation”) has its Registered Office at Ali Yavar Jung Marg, Bandra (E), Mumbai-400051 (hereinafter called the "IOCL"): AND WHEREAS the Corporation intended to give contract for running and operating the canteen at IOCL, Lube Blending Plant at Taloja, to ________________________________ AND WHEREAS the Contractor approached the Corporation with a request to allow the contractor to provide canteen services at IOCL on such terms and conditions as the Corporation may lay down AND WHEREAS the Corporation had agreed to allow the Contractor to run and conduct the canteen operation at IOCL for the Corporation on the following terms and conditions AND WHEREAS the Contractor accepted and agreed to abide by and duly perform and discharge the terms and conditions hereinafter appearing: NOW THEREFORE THIS AGREEMENT WITNESSTH AND IT IS HEREBY AGREED BY AND BETWEEN, THE PARTIES HERETO AS UNDER: 1. The contractor shall run and conduct the canteen operations for the Corporation in the

premises provided by the Corporation with certain equipments and furniture, which forms part of this Agreement together with water and electricity supplied free by the Corporation. However, the Contractor shall have to make his own arrangements at his own cost in case of any failure of electricity at any time.

This Agreement for providing the canteen services at IOCL shall be initially for a period of one

year i.e. from the date of awarding the contract. The contract will be extended for a further period of one year at the discretion of the Corporation at the same rates, terms and conditions.

2. Besides the equipments, the Corporation has provided canteen furniture, utensils and crockery. The contractor will, however, not be responsible for maintenance and repairs of this furniture etc.

3. The contractor hereby covenants with the Corporation as follows:

i) The Contractor shall pay a nominal license fee of Rs.1/- (Rs. One only) per month for running canteen services in acknowledgement of the ownership of the premises by the Corporation. The Contractor shall pay this fee on or before the 7th day of every month in advance.

ii) Under no circumstances will the contractor allow the staff to remain in the premises between the hours of 1000 pm and 6.00 am. In case, if any person is found in the premises between 1000 pm and 6.00 am, the Corporation shall remove him physically. However, based on need, a few selected employees will be allowed to stay in the premises overnight due to exigency of the situation, based on prior approval.

iii) The successful contractor shall deposit an amount of 10% of the value of the

work order with the Corporation as security deposit which will bear no interest, in the form of Bank Guarantee, drawn on any nationalized / scheduled bank in favour of Indian Oil Corporation Limited, Mumbai. The Bank Guarantee should be executed on Stamp Paper of Rs. 200/- as per provision of Stamp Act. The bank guarantee should be valid for a period of 27 months i.e. from the date of commencement of contract.

iv) The employees of the contractor working in our canteen should be first medically

examined by contractor at his own cost and then they will be allowed to work for the contractor, will have to ensure that his staff is periodically examined and the cost will be borne by the contractor.

v) The canteen contactor shall provide 3 sets of uniform of a reputed brand and two pairs of shoes on yearly basis during the contract period to his workers at his own cost.

vi) The rates for various items (tea, coffee, eatable, buffet lunch etc, as per

tender documents, shall remain firm during the contract period and items/ services shall be supplied at that rate only. The request by the contractor for

any additional charges/revision in rates etc. shall not be considered during the contract period. The rate list of items shall form part of this agreement.

vii) Credit sales, if any, effected by the contractor will be at his own risk and that the

Corporation will not be held responsible for the recovery of such arrears in this transaction. The contract will however, afford credit facilities upto one month for items supplied on Corporation’s account in the event of breach of any of the terms & conditions of the Agreement. The Corporation shall be at liberty to withhold any and /or all the payments due to the contractor, without assigning any reason and no interest will be payable on such payments, which is withheld.

viii) Replacement of broken /damaged crockery utensils within the financial ceiling of Rs.

5,000/- per annum will be done by the Corporation. This amount will be settled only at the end of contract period, however, the contractor should exercise maximum control on least damages to crockery / utensils. In case of theft of crockery / utensils, losses will have to be compensated by the contractor.

ix) Reconciliation of inventory of canteen items and other equipments/material handed over to

the contractor should be done on quarterly basis. In case of shortfall/missing items, the contractor to make good of the same in the same month.

x) The contractor shall not assign or transfer the contract of running and conducting the

canteen operations to any one should he appoint a sub-contractor for the said purpose, nor shall he with the canteen premises in favour of anyone whomsoever. A responsible person / manager appointed by the contractor should be available in the premises to attend to complaints arising in our canteen.

xi) All the statutory payments & statutory requirements to be paid/followed by the Contractor as per the existing rules from time to time. If payment is not made / requirement not followed, the contractor is solely responsible for any consequences arising out of the same at a later date.

xii) The Corporation shall obtain necessary licence from the local or public authorities for running the canteen service and pay all the charges, taxes, and assessment payable to such public or local authorities in respect of the canteen.

The contractor is fully aware of the terms and conditions of licence granted by the Municipal Corporation of Greater Mumbai and local statutory authorities and MIDC, Taloja to the Corporation of establishing the canteen and undertakes not to do any act or omit to do anything where by the said license would be terminated or in any way as to affect the rights and obligations of the Corporation there under. The contractor shall be liable for all fines and penalties which may be levied by the local or public authorities as a result of the non observance of any of the statutes or the rules framed there under by such authorities, keeping the Corporation harmless and indemnified against all actions, demands, expenses and charges incurred or suffered on that behalf.

xiii. The contractor shall always keep and maintain the canteen premises in clean and hygienic

conditions, as prescribed by the local and public authorities. xiv. To improve the efficiency of service, the contractor shall implement faithfully all suggestions

and directions made by the officials of the Corporation. xv. The kitchen premises, furniture, fittings and fixtures and the supply of water, gas and

electricity shall be used only for the purpose of running the canteen.

xvi. It is expressly agreed and understood by the contractor that nothing herein contained shall confer or is intended or is deemed to confer or expressly or implied to construe as to create any tenancy or right or title or nay interest in favour of the contractor in IOC premises or any part thereof, having been provided and allowed for use, incidental to running of the canteen at IOC for the Corporation as aforesaid.

The contractor is only a license Simplicitor and the Corporation shall be entitled to terminate such

license at any time without assigning any reason thereof.

a) It is further expressly agreed and understood that the contractor is not, nor shall he be deemed to in possessing/sole, exclusive possession of IOC premises or any part thereof, which shall always be in the exclusive possession and control of the Corporation, the contractor having only a bear permission / license to make use thereof may be necessary,

incidental to running and conducting the said canteen operation at IOC for the Corporation as herein provided.

b) The canteen premises and the kitchen shall be deemed to owned by the Corporation and shall be considered as public premises within the meaning of the public premises (eviction of unauthorized occupant) Act, 1971.

c) i) The license granted hereunder shall automatically and ipso facto come to an end simultaneously with the termination of this agreement and it will not be necessary for the Corporation in such circumstances to give any separate notice to the contractor for the termination of the license.

ii) Upon the termination of this agreement and the license and permission granted, the contractor will immediately remove himself from the said premises with all the goods, property and effects belonging to him and permit the Corporation to have vacant and peaceful possession of the premises, and the Corporation shall be entitled to enter upon the same without any hindrance or objection from the contractor in such circumstances. iii) Notwithstanding any other right or any other remedies available to the Corporation against the contractor, in the event of the contractor not removing himself from the said premises on termination of this agreement, the contractor shall be deemed to be in unauthorized occupation of the public premises within the meaning of the provision of the public premises (Eviction of unauthorized Occupants) Act, 1971 and the Corporation shall be entitled to take proceeding for eviction of the contractor under the provisions of the said Act or in such other manner as the Corporation may in its absolute discretion think fit in such circumstances. iv) Notwithstanding the rights and remedies available to the Corporation against the contractor in the event of his refusing or delaying to handover peaceful and vacant possession of the premises after the date of termination of the agreement, the contractor shall be bound to pay to the Corporation a sum of Rs. 1000/ = (Rs. One Thousand only) per day on the basis of liquidated damages for the loss and damage that would be occasion to the Corporation on account thereof and contractor would not be entitled to contest the aforesaid right as the same has been confirmed by the parties hereto as being fair and reasonable in the circumstances of the case. The amount shall be adjusted from the security deposit at the time of release of security deposit to the contractor.

xviii) The contractor shall be responsible for the payment to his staff employed for the performance or carrying out the said work and that the Corporation shall in no event be liable or responsible for any payment and the contractor shall keep the Corporation indemnified against the and from all proceeding in respect thereof.

xix) The Canteen contractor shall pay to the persons employed by him for

performance of the contract at the rate of minimum wages applicable to “Canteen & Club” category as notified by Central Government from time to time.

xx) The contractor shall complete all the statutory requirements with regard to labour welfare

fund etc. as per the provisions of labour welfare fund Act, 1953 in respect of the persons employed by the contractor, at the prevailing rates from time to time.

xxi) The contractor shall be responsible and shall pay all compensation to his employees and

agent payable under the provisions of the workmen’s compensations Act, 1923, and 1933, the Bombay labour welfare fund Act 1953 and the amendments thereto.. The contractor shall be responsible for and pay the expenses for providing medical treatment to his employees who may suffer any bodily injury during the course of business as a result of any accident in IOCL premises. The employees shall be deemed to be the employees of the contractor for the purpose of the Shop & Establishment Act (Maharashtra State), payment of wages Act, 1936, minimum wages Act 1948 and all other labour laws, rules and regulation thereunder. The contractor shall be liable for all payment to his staff, labour and workman employed by him for the performance or carrying out the said works and the Corporation shall in no event be liable or responsible for any payment to the contractor and shall keep the contractor indemnified against the same and from all proceedings in respect thereof. The contractor shall obtain the contract labour licence under contract Labour (R&A) Act, 1970 for the contractual period.

xxii) In every case in which by virtue of the provision of section 12, subsection (1) of the

workman’s compensation Act, 1923, the Corporation is obliged to pay compensation to workmen employed by the contractor for execution of the work’s, the Corporation will recover from the contractor the amount of compensation so paid, and without prejudice to the rights of the Corporation under the sub section (2) of the section 12 of the said Act, the Corporation shall be at liberty to recover such amount or any part thereof by deducting it

from the security deposit or from any sum due to the contractor from the Corporation, whether under the contract or otherwise. The Corporation shall not be bound to contest any claim made against it under sub section (1) of section 12 of the said Act except on written for all cost for which the Corporation might become liable in consequences of contesting such claim.

xxiii) The contractor shall duly introduce the contributory scheme for the employees under him, if

so require by law as envisaged by the provision of the Employees State Insurance Act 1948. xxiv) The contractor shall duly introduce the provident fund scheme to the staff employees by

him if so required by law as envisaged by the provision of the Employees Provident Fund Act,1952. The contractor should see that the recoveries of provident fund in respect of his employees are made regularly from the salaries of the employees as per the terms of the provident fund Act/Scheme, if any.

xxv) In case, the contractor requires any addition or alteration in our canteen so as to suit

better and efficient running or conducting of canteen operations, he shall approach the Corporation for the same and shall not carry out the scheme on his own. The contractor should carry out effective pest control treatment and rodent control treatment at IOCL kitchen and canteen every quarter OR as and when required depending on the need.

xxvi) The contractor shall observe and implement all the laws and the rules framed there under

which are beneficial to the staff employed by him and that the Corporation shall in no event be liable or responsible for any default that will arise out of non-observance of such law /rules on the part of the contractor and the contractor shall indemnify and keep indemnified the Corporation against any members of the staff of the Corporation through neglect or default or any act of the contractor.

xxvii) Three months notice shall be given by Corporation for said termination of the contract. The

Corporation also reserves the rights to termination the contract without assigning any reason whatsoever.

xxviii) The canteen is only for the catering of Corporation’s staff and the officers. No outsider shall

be entertainment or served within IOC’s premises by the contractor.

xxix) The contractor shall duly carry out, observe and perform every term and conditions thereof. It is hereby expressly AGREED AND DECLARED that if the contractor shall commit breach fail or neglect to perform or observe any of the terms and conditions herein contained, it shall be lawful for the Corporation at any time thereafter to terminate this contract by giving the contractor a fifteen days notice without prejudice to its general power of termination as provided in clause (xxvii) above. In such a case, the Corporation reserves the right to carry out the work of running and conducting the canteen operations at IOC at the risk and cost of the contractor.

xxx) Any acquiescence or waiver by the Corporation for any delay, breach or default committed

by contractor, shall not be deemed to be or considered as estoppels against the Corporation or prevent the Corporation from exercising any of its rights under any of the provisions of this agreement.

xxxi) Any breach of the conditions of the contract by the contractor or unsatisfactory services by

1. All other preparations to be prepared with Postman/Sunflower Groundnut Refined Oil

3. No other oil to be used under any circumstances.

4. All used oils should not be carried forward to the next day. Similarly, all food items over are not to be used in any other form on the subsequent day.

5. The Contractor must ensure that there is no adulteration in any way, in any shape or form. Management will reserve the right to carry out surprise checks as and when considered necessary to ensure that quality control is maintained. Any deliberate failure on the part of the Canteen Contractor will make him liable to cancellation of the Contract and for the damages caused.
