Bespoke Open and Closed Ended-Funds

Through our Fund Platform, Centaur can create bespoke fund structures for both Open-ended and Closed-ended funds or ‘managed accounts’ to suit investor requirements and/or appetite to risk.

A European asset management company (the “Company”) contacted us initially with an interest in investing into

the Phoenix Legal Financing Fund I, through the ‘Institutional’ share class. After various meetings and discussions

regarding the investment profile of the Phoenix Legal Financing Fund I and the Company’s requirements, it became

clear that the potential investor was looking for more risk than was structured into the Phoenix Legal Financing

Fund I and potentially greater returns than estimated for the Phoenix Legal Financing Fund I.

The Company had the option to commit capital for a longer term (5 years +) and did not require the ability to

be able to ‘redeem’ or ‘exit’ the proposed investment early. We worked with the Company to create a bespoke

closed-ended fund with a 5-year term, managed by Centaur Asset Management Ltd as the Investment Manager.

The closed-ended fund created for the Company shares a lot of similarities with the Phoenix Legal Financing Fund I

in terms of the asset class and service providers.

The increased exposure to ‘risk’ and the potentially higher returns sought by the Company have been provided

by adjusting the insurance component as compared to the Phoenix Legal Financing Fund I and also through the

option to commit to longer term, higher return investments as the closed-ended funds are committed for a

longer period of time.

Bespoke Open and Closed Ended-Funds

An investor (the “Investor”) who was already a Centaur client and an investor in the Phoenix Legal Financing

Fund I, approached Centaur with a mandate to invest into listed and private companies involved in the ‘fracking’

or ‘unconventional energy’ sectors in conjunction with a pre-identified UK based management team that specialised

in the unconventional energy sector.

After various meetings and discussions regarding the proposed investment strategy and the Investor’s requirements,

it became clear that we could assist the Investor by providing access to our legal and financial teams to conduct due

diligence on the proposed investment, package and monitor the proposed investment through an open-ended fund

structure on our Fund Platform and also deal with regulatory requirements in various jurisdictions including the

UAE to allow the proposed open-ended fund to raise capital in those jurisdictions.

Ventures Ltd and Centaur Private Equity Ltd. Centaur Ventures Ltd has a specific

focus on investments in the mining and natural resources sectors in South Africa,

USA, UK and Australia whilst Centaur Private Equity Ltd has a more varied sector focus

with investments ranging from agriculture, wealth management, sports and sports

management, event management and venture capital.

case study

As a brief background and overview; a UAE based

entrepreneur and famous international footballer

approached Centaur Private Equity Ltd in 2013 with a

requirement for investment to establish a new international

football concept and a world amateur 5-a-side football

concept. Centaur’s investment team analysed the opportunity

and identified the basic fundametals for an innovative

business model with high growth potential in a relatively

short period of time.

Centaur ‘fast tracked’ a solution resulting in the formation of

Sport Events International Ltd and associated subsidiaries,

and included working with the founders to secure

a significant funding package, and the support of Centaur

Asset Management’s Dubai based legal, operational and

financial support teams during the period of Centaur’s

investment.

Centaur private equity investment

Sport Events International became the holding company

of a series of sports based event companies including;

Global Legends Series, which brings together a group of

legendary football players from around the world to play

against each other in legend vs legend games in different

cities worldwide; F5WC, the world’s largest 5-a-side

football tournament; and World Soccer Fives USA, a multi

city tournament to find the best amateur 5-a-side soccer

team in the United States to represent the USA in the

F5WC World Finals.

Global Legends Series 2014 Bangkok event featured 28

famous international footballers including Fabio Cannavaro,

Luis Figo, Andryi Shevchenko, Patrick Kluivert, Cafu, Steve

McManaman, Michel Salgado and Deco, and was launched

with a ceremony to honour His Majesty King Bhumibol

Adulyadej’s 87th birthday, the event was broadcast across

the globe to more than 200 million viewers.

Our investment thesis and global mandate allowed us take a

combination of an equity stake in Sport Events International

in conjunction with providing a short-term debt package

to facilitate the start up and initial expansion phases. Sport

Events International booked a seven figure USD profit on

its first event in less than 8 months of operation proving

an all round success for Centaur, the founders and other

stakeholders including key sponsors such as Ford, Procter

and Gamble and Hublot.

We sold our shareholding in Sport Events International to

Thai Prime Investments Ltd, a subsidiary of an investment

company listed on the Stock Exchange of Thailand. Thai

Prime Investments is headed up by Bee Taechaubol, whom

recently announced the proposed purchase of a 48% stake

in Italian football club A.C. Milan.
